condicionados à realização bem-sucedida da transação acima referida.

responsibility and under penalty of perjury, confirm and agree to know and comply with the price and
conditions to be followed derived from the Joint Venture Agreement, the Risk Agreement signed with the
BENEFICIARY PARTICIPANTS, as well as honor, pay and protect all payments to it and the amounts provided
in this Agreement and conditioned upon the successful completion of the above-mentioned transaction.

1.1. This Master Agreement gives the protection of the commissioning holdings. Provision of services of the Main
Contract and Addictives and shall include all re, extensions, developments, additions or any new contract or transfer of
this transaction originated through intermediaries above.

1.2. Este Instrumento fará parte integrante do Contrato Principal da operação referenciada, e o Cedente
Vendedor, sobre penalidade de perjúrio.

1.3. O Cedente Vendedor por meio deste instrumento confirma que todos os pagamentos serão efetuados
mediante depósito nas Contas Bancárias dos BENEFICIÁRIOS PARTICIPANTES, no mesmo momento em que o
Cedente Vendedor receber o valor da transação NAS CONTAS INDICADAS ABAIXO.

1.3. The Transferor Seller through this instrument confirms that all payments will be made by

depositing the Bank Accounts of the BENIFICIARY PARTICIPANT, at the same time that
the seller transferor receives the value of the transaction, THE ACCOUNTS LISTES IN BELOW.

1.4. As assinaturas enviadas por correio eletrônico, em tudo serão consideradas como assinaturas originais
para a finalidade de concordância de todas as partes a este acordo.

1.4. Signatures sent by email, everything will be considered as original signatures for the purpose of

agreement of all parties to this Agreement.

1.5. O presente Acordo assinado é um documento juridicamente vinculativo e executório à luz do direito

internacional e REGRAS ICC e regulamentos, incluindo Evasão e Não Disclousure.

1.5. This agreement signed is a legally binding and enforceable in light of international law and ICC Rules and

regulations, including Evasion and Non Disclosure.

1.6. Este acordo contém os  entendimentos integrais entre as partes com relação à transação aqui
contemplada e só pode ser alterado por acordo escrito. Qualquer alteração prévia, escrita ou verbal, é
considerada incorporada aqui e será substituída por este acordo.

1.6. This agreement contains the full understanding between the parties with respect to the

transaction contemplated herein and may be amended only by written agreement. Any change prior written

1.7. O Cedente Vendedor concorda que qualquer ou toda comissão, participações ou prestação de serviços é
devida e será paga às BENEFICIÁRIOS PARTICIPANTES em conseqüência de qualquer extensão do contrato, e
se compromete a enviar toda a documentação necessária ao Banco sem nenhum atraso, para assegurar que
tais comissões sejam pagas dentro das condições do contrato.

1.7. The Assignor Seller agrees that any or all of commission, participations or services is and due  will
be paid to the BENIFICIARY PARTICIPANT bas a result of any extension of the contract and agrees
to submit all necessary documentation to the Bank without delay, to ensure that such fees are
paid within contract terms.

1.8. Todos os pagamentos serão feitos por Transferência Eletrônica Bancária TED, ou outros meios
disponíveis para as contas dos Intervenientes identificados no item 06 deste Acordo, e serão feitas sem
restrições, impostos, impedimentos, livres de quaisquer impostos locais ou nacionais, deveres e reclamações
ou atrasos de quaisquer espécies.

1.8. All payments will be made by Bank Wire Transfer TED (SWIFT), or other means available for the accounts
of the actors identified in item 06 of this Agreement, and shall be made without restrictions,  taxes, 
impediments, free from any local or national taxes, duties, and complaints or delays of any species.

1.9. Uma necessidade de mudança na coordenadas bancárias dos  BENEFICIÁRIOS PARTICIPANTES pode

surgir de vez em quando, e em tais circunstâncias o Cedente Vendedor concorda em adequar os pedidos de
novas instruções bancárias tão logo tais pedidos, sejam formulados e confirmados pelos beneficiários por
escrito.

1.9. An need for change in bank details of the  BENEFICIARY  PARTICIPANTS may arise from time to time and
in such circumstances the Merchant Seller agrees to tailor applications for new bank statements as soon as
such requests are made and confirmed in writing by the beneficiaries.

1.10. Esta irrevogável ordem de pagamento é válida sob  CO - PARTICIPAÇÃO, assinada com o  CEDENTE
VENDEDOR e CESSIONÁRIA e permanecerá válida e aplicável, por todo o período, além de inclusões e
extensões por 5 anos.

1.10. This irrevocable payment order is valid under CO-PARTICIPATION, signed with

the ASSIGNORS and ASSIGNEE SELLER and shall remain valid and enforceable throughout the period,
plus additions and extensions for 5 years.

2. O Proprietário/vendedor apresenta as Coordenadas Bancárias para receber os fundos objetos do Joint

Venture Master, o valor total referente as 01 AGUIA NEGRA (DONUS MEXICANO) TÍTULOS MEXICANO COM
O VALOR DE VENDA DE U$D 50.000.000.00 (CINQUENTA MILHÕES DE DÓLARES AMERICANOS) sendo U$D
20.000.000,00 (VINTE MILHÕES DE DÓLARES AMERICANOS),por cada título, QUE SERÁ DIVIDIDO EM
COMPRA E VENDA , que deve ser creditado diretamente em conta em nome dos participantes que ele,
PROPRIETÁRIO, transferirá para os intermediários, conforme descritos abaixo nesta JVA, OU EM
CONCORDÂNCIA COM A COMPRA.

funds object of the Joint Venture Master, the total value referring to the 01 TITULO(BONUS) is US$

DOLLARS) , by 01 bonus(titulos) aguia negra sold, which shall be directly credited to the account in the name
of the OWNER of what he, OWNER, will transfer to the intermediaries, as described below in this JVA. S A

3.2. Conforme acordo comum assinado entre o vendedor de cessionários, o proprietário das notas e os

NEGRA , será utilizado pelo adquirente comprador, automaticamente e irrevogavelmente e irreversível
conforme especificado na tabela abaixo.

3.2. In accordance with Joint Agreement signed between the Assignor Seller, owner of the assets and the
BENEFICIARYS PARTICIPANTS   the amount to be paid by the Assignee Purchaser for the acquisition of 01
AGUIA NEGRA active, will be used by the Transferee Buyer, automatically and irrevocably and irreversibly as
specified in the table below.

4. ARBITRATION: (Arbitragem)

4.1. As partes concordam que todas as dúvidas que possa haver fora ou em relação a este acordo que inclui
quaisquer perguntas a respeito de sua existência, validez ou fechamento, estarão sob as regras de
arbitragem do Centro Internacional do Arbítrio (I.A.C). O árbitro indicado atenderá ao procedimento na Suíça
e serão aplicadas as regras do I.A.C ou Estados Unidos da América.

4.1. All parties agree to refer any disputes between the parties arising out of or in connection with this
agreement including any questions regarding its existence, validity or termination to arbitration rules of the

5. NÃO DIVULGAÇÃO E NÃO REVELAÇÃO

5.1. As partes irão manter a total confidencialidade em relação às fontes de cada negócio ou de suas
afiliadas e somente poderão divulgar estas informações confidenciais aos participantes envolvidos nesse
Contrato, com o prévio e expresso consentimento por escrito da Parte que tenha disponibilizado a fonte
citada.

5.1. The parties will maintain complete confidentiality regarding the sources of each business or its affiliates
and may only disclose this confidential information to participants involved in this Agreement, with the
express prior written consent of the Party had provided the source cited.

5.2. As Partes Acordam Limitar-se por um período de 05 (cinco) anos pelas regras de Non-Disclosure And
Non-Circumvention, segundo estabelecido pela International Chamber of Commerce (ICC) séries 322-
400/500/600 – Paris – França. Este compromisso está vinculado, as partes e seus Associados, Agentes e/ou
designados.

5.2. The Parties agree to limit for a period of five (05) years by the rules And Non-Disclosure Non-

circumvention, as established by the International Chamber of Commerce (ICC) series 322-400/500/600 -
Paris - France. This commitment is bound, the parties and their Affiliates, agents and /or designated.

USD 20,000,000,000.00 ( VINTE MILHOES de dólares Americanos) para as comissões e facilitadores
será dessa forma entre;
2. Lado venda - USD 10.000,000,000.00 ( dez milhões de dólares Americanos) e distribuído conforme
(PSA).
3. Lado compra - USD 10,000,000.00 ( dez de dólares Americanos) distribuído conforme ( PSA).

7. GENERALIDADES/Generalities
7.1. Este Acordo é assinado e aceito pelas partes nomeadas abaixo faz parte integral do Contrato Máster, e
será entregue ao banco pagador através do CEDENTE VENDEDOR.

7.2. Este Acordo com características de Ordem de Pagamento é específico não transferível e incondicional; e
será interpretado e traduzido de acordo com as leis do Brasil, tendo como jurisdição o Estado de São
Paulo/SP, e Estados Unidos da América de acordo com a lei internacional do ICC de ativos.

Para finalização e pagamento A COMPRA solicitará ao proprietário um POL atualizado dos ATIVOS em
questão, que deverá ser feita conforme orientação da compra, para fins de se fazer a pericia.

7.3. These 01 AGUIA NEGRA BONUS MEXICANO according to the number on the first page are not being
traded with any other group until finalized.For finalization and payment The PURCHASE will ask the owner
for an updated POL of the ASSETS in question, which should be done according to the orientation of the
purchase, in order to do the skill

8. This contract will be linked to the main contract and KYC.
