Productive Efficieny :
Ocorre quando todos os bens são produzidos ao menor preço total de custo por
unidade. É prover o máximo produto com os recursos e tecnologias disponíveis,
significando evitar perdas desnecessárias.
São divididos em três tipos. Economies of scale; Economies of scope e Synergies.
Economies of scale: Otimização do tamanho da empresa. Algumas vezes uma empresa
pode ser mais eficiente quando ela se expande, mas em um certo ponto esta expansão pode
ser negativa. Por exemplo, expandir torna mais difícil administrar o processo de produção.
Se uma empresa não se encontra eficientemente alocada então outras empresas serão
capazes de ter o menor preço de seu produto e, como resultado, esta empresa cujo tamanho
é ineficiente sairá do mercado ou será adquirida por outra empresa, no conhecido “survivor
principle”. As fusões preenchem um papel vital neste principio porque ao combinar
operações, aumenta qualitativamente processo produtivo e reduz seu custo e tamanho.
Economies of scope: ocorre quando é a produzir dois ou mais produtos conjuntamente que
leva, como conseqüência, à redução de custo, principalmente se o conhecimento
tecnológico for comum aos produtos, reduzindo o custo por unidade tendo uma única
especializada força de trabalho para lidar com múltiplos bens e/ou serviço. Synergies:
Ocorre, por exemplo, quando dois produtos são complementares, o que significa que o
consumidor que usa um tende a usar o outro. O usuário de computador pode contar com
dois softwares diferentes para trabalhar em um projeto, mas se duas companhias que
produzem esses bens não trabalharem juntas então o usuário pode se deparar com
dificuldades de incompatibilidade. As fusões permitem as companhias atingirem uma
sinergia porque podem trabalhar na melhoria da inter-operacionabilidade dos programas.
Outra situação é quando duas empresas produzem o mesmo produto ou similar que fazem
parte em diferentes áreas, numa mesma cadeia de produção. Enquanto as empresas não se
fundem ou não cooperam entre si, elas são desencorajadas a dividir experiências e
conhecimentos graças à visão de cada uma delas como competidores ou potenciais
competidores.

Productive efficiency exists when all goods are produced at the minimum possible
total cost so that there is no possible rearrangement or alternative organization of resources
(such as labor, raw materials, and machinery) that could increase the output of one product
without necessarily forcing a reduction in output for at least one other product. This
concept highlights the principle that firms’ choices involve explicit tradeoffs between
competing demands for scarce resources. Mergers (as well as joint ventures and other
cooperative practices) hold the potential to increase productive efficiency in a number of
ways, including by fostering economies of scale, economies of scope, and synergies. The
first way that mergers can increase productive efficiency is to move firms closer to the
optimal scale of production for their industry.

Some economists and antitrust practitioners argue that antitrust agencies should, as
a general practice, be skeptical of treating achievement of economies of scale as a merger-
specific efficiency.

There are three practical reasons, however, why internal expansion (or contraction)
can be more costly than a merger. First, firms can often expand their scale faster through a
merger than is possible through internal expansion. Mergers may provide the acquiring firm
with ready access to existing inventories or supply contracts for important inputs as well as
access to additional plant capacity that can quickly be brought on-line. Second, adding new
capacity in a market with static or declining demand may also place sufficient downward
pressure on price to make internal expansion unprofitable. In this situation, neither of
themerging firms might be likely to expand its scale in the near future absent the merger.
Third, the construction of new capacity may create social waste if duplicate resources at the
acquired firm eventually wind up being scrapped when they are removed from competition
rather than being merged into a single firm. When any of these conditions is present,
mergers may be a privately or socially less costlymeans to reap economies of scale and
enhance firms’ productive efficiency.

Joseph Schumpeter was the first to teach us that in other markets, especially those
driven by innovation, there may be a tension between allocative efficiency on the one hand
and productive or dynamic efficiency on the other. For example, where firms need to
invest in order to innovate, prices will need to be above short-term marginal cost to provide
an incentive to make the needed investments. As Schumpeter observed, these markets are
often marked by "gales of creative destruction," in which one firm may serve the entire
market or at least a large portion of it for a period of time, only to be displaced by another
firm with a leapfrogging technological innovation that delivers dramatically improved
performance or dramatically lower cost. Think of Visicalc being displaced by Lotus, which
in turn was displaced by Excel. In these markets an efficient monopolist, constrained by
overall market demand and the threat of entry, will often charge quality-adjusted prices
that, while above marginal cost, are still below the prices that would be charged by a group
of less efficient competitors. To an economist, the competitive process is working in these
markets, even if it results in only one firm serving the entire market for some period of
time. In such markets, government intervention to preserve rivals or create new ones will
again worsen overall economic performance.
