FATO RELEVANTE

PORTO SEGURO S.A. (“Companhia”) (B3: PSSA3) informa que protocolou, nesta data, junto à
Superintendência de Seguros Privados – SUSEP, pedido de autorização prévia para a realização
da cisão parcial de sua controlada Porto Seguro Companhia de Seguros Gerais (CNPJ
n.º 61.198.164/0001-60), com o objetivo de transferir parte de suas atividades para a Porto
Seguro Assistência e Serviços S.A. (CNPJ n.º 41.608.574/0001-24), sociedade igualmente
controlada pela Companhia. A cisão tem por finalidade concentrar negócios relacionados em uma
mesma entidade e assim otimizar a sua gestão dentro do grupo.

A efetivação da cisão dependerá da aprovação da SUSEP e de eventuais outras aprovações. A

Companhia manterá o mercado informado a respeito, nos termos da regulação aplicável.

MATERIAL FACT

PORTO SEGURO S.A. (“Company”) (PSSA3) informs that it was filed, on this date, with the
Superintendency of Private Insurance – SUSEP, a request for prior authorization for the partial
spin-off of its subsidiary Porto Seguro Companhia de Seguros Gerais (CNPJ No. 61.198.164/0001-
60), with the purpose of transferring part of its activities to Porto Seguro Assistência e Serviços
S.A. (CNPJ No. 41.608.574/0001-24), also controlled by the Company. The spin-off is intended
to concentrate related businesses into the same entity and thus optimize their management within
the group.

The execution of the spin-off will depend on the approval of SUSEP and any other approvals. The
Company will keep the market informed about it, under the terms of the applicable regulation.
