MENSAGEM DA ADMINISTRAÇÃO
“O terceiro trimestre de 2022 foi marcado por outro passo importante na execução da nossa estratégia de crescimento e diversificação
do portfólio, por meio da aquisição de ativos de fontes complementares à hídrica e pela evolução nos resultados operacionais do
período: anunciamos em agosto a adição de +456 MW de capacidade instalada operacional a partir da aquisição de três novos
Complexos Eólicos: Ventos do Araripe (PI), Caetés (PE) e Cassino (RS).
Os novos Complexos estão contratados no ambiente regulado, 100% operacionais e com suprimento até 2035. Com isso, a AES Brasil
dobra o seu MW instalado de 6 anos atrás e passa contar com 5,2 GW de capacidade instalada 100% renovável (49% advindos de eólico
+ solar e 52% advindos de hídrica), sendo 4,2 GW operacionais e 1,0 GW em construção, e se torna um dos maiores players renováveis
do país.
Outro importante acontecimento do trimestre foi o sucesso do aumento de capital privado, anunciado em conjunto com a aquisição,
que resultou em R$1 bilhão de equity para financiar a referida transação. O closing da operação está previsto para ocorrer até o 1T23,
após o cumprimento das condições precedentes.
Quanto ao desenvolvimento das obras dos Complexos Eólicos Tucano e Cajuína, vale destacar que em Tucano mais de 87% da
construção já foi concluída, com a operação comercial de 9 aerogeradores e estimativa operação comercial total no 1T23.
Em Cajuína, a primeira fase (324,5 MW de capacidade instalada) está com cerca de 48% do projeto executado, com destaque para a
evolução das obras de construção civil e da subestação, com expectativa de entrada em operação comercial no 1S23. Adicionalmente,
a segunda fase de Cajuína (370,5 MW de capacidade instalada) está com 12% do projeto concluído e expectativa de entrada em
operação no 2S23.
Na frente regulatória, o Ministério de Minas e Energia publicou portaria que permite que todos os consumidores do mercado de alta
tensão migrem para o Mercado Livre e que, com isso, possam a escolher seu fornecedor de energia a partir de janeiro de 2024. Neste
sentido, destacamos a nossa posição relevante na comercialização varejista de energia, com todas as condições para a captura de
novos clientes. Adicionalmente, o anúncio, pelo Governo Federal, do marco legal para a produção de hidrogênio verde abre novas
frentes de crescimento e oportunidades. Neste sentido, é importante mencionar a assinatura de um pré-contrato com o Porto de Pecém
para avançar com os estudos de viabilidade para produção de até 2 GW de hidrogênio verde e de até 800 mil toneladas de amônia
verde por ano, seguindo nossa estratégia de contribuir para descarbonização da matriz energética global, por meio de novas
tecnologias que ajudem os clientes nesta missão.
Em relação aos resultados, encerramos o terceiro trimestre com um EBITDA de R$ 284 milhões, versus R$ 92 milhões no 3T21,
refletindo, principalmente, a melhora relevante na margem hídrica e melhor performance operacional dos ativos eólicos e solares.
Adicionalmente, finalizamos o trimestre com uma posição de caixa robusta (R$ 3,5 bilhões), reflexo, principalmente, do sucesso no
aumento de capital privado.
Gostaria de destacar que nesse trimestre começamos a ver a materialização da nossa estratégia de crescimento e diversificação nos

DESTAQUES DO PERÍODO
• Crescimento: Aquisição 456 MW de capacidade eólica operacional com a celebração de contrato de
compra e venda de ações (SPA) com a Cubico Brasil S.A., referente à aquisição da totalidade das ações
representativas do capital social das sociedades de propósito específico (SPEs) que compõe o Complexo
Eólico Ventos do Araripe, Caetés e Cassino. O valor total da Operação (enterprise value) é de até
R$ 2.033,0 milhões, sendo: (i) R$ 1.105 milhões de equity; e (ii) R$ 928,0 milhões de assunção da dívida.
• Aumento de Capital Privado (ACP): Em 03 de outubro, o Conselho de Administração homologou o
Aumento de Capital, com a emissão de 106.599.446 novas ações ordinárias, representando
aproximadamente 91,72% das ações objeto do Aumento de Capital, ao preço de emissão de R$ 9,61 por
ação, totalizando R$ 1.024,4 milhões. Os recursos serão utilizados para viabilizar a aquisição dos
Complexos Eólicos Ventos do Araripe, Caetés e Cassino, anunciada em 08 de agosto de 2022.
• Abertura do Mercado Livre: Ministério de Minas e Energia publicou, em 28 de setembro, a Portaria nº
50/2022, que torna elegível todos os consumidores do mercado de alta tensão à migração para o
Mercado Livre, podendo assim escolher seu fornecedor de energia a partir de 01 de janeiro de 2024.
• Carbono Neutro: Neste trimestre a AES Brasil neutralizou todas as suas emissões de gases de efeito
estufa, desde o início das suas operações no país. Essa conquista foi alcançada por meio da compra de
créditos de carbono certificados pela ONU, para compensação das emissões a partir de 1999.

AES Brasil (Companhia) investe há mais de 20 anos no Brasil e é uma geradora de energia elétrica 100% renovável,
única Companhia do setor elétrico na América Latina com classificação ESG nível “AAA” no MSCI 2, um dos
principais rankings de avaliação da resiliência de uma empresa aos riscos Ambientais, Sociais e de Governança
(ESG).
Atualmente, considerando a última aquisição anunciada em agosto de 2022 (Ventos do Araripe, Caetés e Cassino),
a Companhia possui portfólio diversificado (fontes hidráulica, eólico e solar) com capacidade instalada de
aproximadamente 4,2 GW em operação, e mais de 1,0 GW em construção (Tucano e Cajuína), totalizando 5,2

Em 08 de agosto de 2022, a AES Brasil anunciou o acordo de aquisição dos Complexos Eólicos Ventos do Araripe,
Caetés e Cassino. Os complexos localizam-se nos estados do Piauí, Pernambuco e Rio Grande do Sul e possuem
um total de 455,9 MW de capacidade instalada, 100% contratados no mercado regulado (LER 13 e LFA 10) e
comercializado por leilões de reserva e de fontes alternativas por 20 anos. O closing da operação está previsto
para ocorrer até o 1T23.

Conforme abordado no capítulo Contexto Regulatório, a Garantia Física das usinas hidrelétricas da Companhia
será reajustada a partir de 01 de janeiro de 2023.
PROJETOS EM CONSTRUÇÃO
A Companhia está na fase final de construção de 322,4 MW de capacidade instalada no Complexo Eólico Tucano,
na Bahia e de outros 695,0 MW de capacidade instalada no Complexo Cajuína, no Rio Grande do Norte.
No Complexo Eólico Tucano, a evolução geral do projeto já ultrapassa 87%. Até final de outubro, 9 dos 52
aerogeradores iniciaram a operação comercial. A estimativa é que o parque esteja 100% operacional no 1T23.
O Complexo Eólico Cajuína - Fase 1 está em fase de construção Civil e da Subestação, com mais de 2.000 pessoas
trabalhando no local. Atualmente, mais de 48% do projeto foi executado, sendo 87% de todo o trabalho civil, 59%
dos trabalhos na Subestação Caju e 95% na conexão da Subestação de Açu III. Adicionalmente, durante o 3T22,
iniciou-se a montagem dos primeiros aerogeradores, sendo um montado até as pás, além de outras cinco torres
já erguidas.
Na Fase 2, a evolução da construção já superou os 12%, com destaque para os 31% de avanço das obras civis e
30% de avanço nas obras da subestação. A estimativa é que o parque esteja 100% operacional no 2S23.

Estrutura do Sistema
A receita decorrente da geração hídrica está relacionada à estratégia de alocação de energia adotada pela
Companhia, e não diretamente ao seu volume de geração, uma vez que as hidrelétricas fazem parte do
Mecanismo de Realocação de Energia (MRE), mecanismo financeiro de compartilhamento do risco hidrológico.
As usinas da AES Brasil representam aproximadamente 2% de toda a garantia física hídrica que compõe este
sistema de compartilhamento de risco hidrológico. Neste contexto, os resultados decorrentes da geração
hidrelétrica não estão relacionados puramente ao volume de geração da Companhia, mas sim ao desempenho de
todo o conjunto de usinas pertencentes a este mecanismo, de forma proporcional à representatividade de cada
agente neste sistema.
O despacho das usinas hidrelétricas pertencentes ao MRE é determinado pelo Operador Nacional do Sistema
(ONS) e foi maior no 3T22 e nos 9M22, em decorrência das melhores afluências no período quando comparado
ao cenário hídrico adverso registrado ao longo de 2021.

• Complexo Solar Guaimbê: a geração solar bruta totalizou 64,6 GWh, redução de 5,9% se comparado ao
3T21, decorrente da menor irradiância (190,1 W/m² no 3T22 vs. 210,1 W/m²no 3T21), parcialmente
compensada pela maior disponibilidade no período (98,2% no 3T22 vs. 96,7% no 3T21).
No 9M22, a geração bruta foi de 203,9 GWh, 0,8% superior em relação ao 9M21, explicado,
principalmente, pela maior disponibilidade da usina (98,8% nos 9M22 vs. 96,2% nos 9M21),
parcialmente mitigado pela menor irradiância (210,6 W/m² no 3T22 vs. 218,8 W/m²no 3T21).
• Complexo Ouroeste: a geração solar bruta totalizou 75,9 GWh no 3T22, sendo 34,6 GWh em Boa Hora
e 41,3 GWh em Água Vermelha, em linha com o volume de 76,0 GWh gerado no 3T21. O desempenho
das usinas reflete a menor irradiância observada no período (204,1 W/m² em Boa Hora e 205,9 W/m²
em Água Vermelha no 3T22 vs. 215,7 W/m² em Boa Hora e 218,6 W/m² em Água Vermelha no 3T21),
parcialmente mitigada pela maior disponibilidade em Água Vermelha (99,8% no 3T22 vs. 91,7% no 3T21).
Nos 9M22, a geração do Complexo Ouroeste totalizou 228,7 GWh, aumento de 6,8% em relação ao
9M21 (214,2 GWh). A variação decorre do aumento da disponibilidade de Água Vermelha, após
manutenções e trocas de equipamentos ocorridas ao longo de 2021 (disponibilidade consolidada de
97,6% nos 9M22 vs. 85,5% nos 9M21).

Em função das explicações apresentadas acima, no trimestre, o GSF médio foi de 74,6% vs. 51,2% no 3T21. O
Preço de Liquidação das Diferenças (PLD) para o submercado SE/CO manteve-se um pouco acima do valor limite
inferior estabelecido pela ANEEL para 2022 ao longo de todo o 3T22 (R$ 55,70/MWh), e foi 88,6% inferior ao valor
médio registrado no 3T21 (R$ 581,76/MWh).

Em função da criação e listagem da AES Brasil Energia S.A. em 29 de março de 2021, as informações apresentadas
ao longo deste documento contemplam os resultados da AES Brasil Energia S.A. referentes ao 3T22 e 9M22, e
resultado proforma considerando a AES Tietê Energia no 1T21 para compor os 9M21.

Nos 9M22, a receita operacional líquida totalizou R$ 2.084,3 milhões, representando um aumento de 17,1% em
comparação aos 9M21 (R$ 1.779,9 milhões).
A margem operacional líquida9 da AES Brasil totalizou R$ 1.213,1 milhões nos 9M22, crescimento de 19,9% em
relação a margem operacional dos 9M21. Importante destacar que no 1T21 houve o reconhecimento de R$ 35,9
milhões relativo ao ressarcimento do GSF, impactando positivamente a margem dos 9M21.
A variação entre os períodos pode ser explicada, principalmente, pela:
• Hídrica: aumento de R$ 137,8 milhões, decorrente, principalmente, do aumento de 26% na receita
energia vendida no 9M22, parcialmente compensado pelo maior custo de compra de energia no
período, em função das compras realizadas em 2021 para mitigar o risco associado ao déficit do
balanço energético, na época, causado pelo GSF em um cenário de crise hídrica.
No 9M22 foram vendidos 10.752.859 MWh a um preço de R$ 175/MWh versus 8.783.964 MWh a
R$ 169/MWh no 9M21. Foram comprados 3.707.218 MWh a um preço de R$ 193/MWh no 9M22 e
2.324.628 a R$ 238/MWh no 9M21.
Adicionalmente, no 3T22 houve a venda de 465.807 créditos de carbono, oriundos dos parques Eólicos
de Mandacaru e Salinas, correspondente a R$ 7,9 milhões de receita reconhecida no período;
• Eólica: aumento de R$ 29,7 milhões na margem, reflexo, principalmente, da recuperação da
performance operacional dos ativos e correção dos contratos pela inflação, mitigando o impacto do
menor regime de ventos entre períodos;
• Tucano: aumento na margem, decorrente da multa por atraso recebida pelo Complexo Tucano (PPA
Anglo) no 3T22 no montante de R$ 26,9 milhões, parcialmente compensado pelo custo de transmissão
do ativo;
• Solar: aumento de R$ 20,7 milhões na margem pela melhor disponibilidade dos Complexos Guaimbê
e Água Vermelha, parcialmente suavizado pela menor irradiância no período.

CUSTOS E DESPESAS OPERACIONAIS
Os custos operacionais e despesas gerais e administrativas (excluindo depreciação e amortização) totalizaram
R$ 143,6 milhões no 3T22, crescimento de 21,3% em relação ao mesmo período de 2021, quando atingiu R$ 118,4
milhões. Abaixo, os principais destaques sobre as variações na comparação trimestral:
• Inflação: R$ 13,4 milhões referente ao impacto da inflação em todos dos custos e despesas do período;
• Não recorrentes: apuração de ganho de R$ 2,7 milhões em 2021, em decorrência da baixa de ativos na
AES Operações (ativos hídricos);
• Manutenções: crescimento de R$ 4,8 milhões nos custos com manutenção dos ativos, principalmente,
em função do aumento do preço dos componentes e custos de importação desses equipamentos;
• Modernização de sistemas: aumento de R$2,3 milhões em função de despesas com TI, referentes ao
projeto de modernização e melhoria dos sistemas;
• Outros: aumento de R$ 2,0 milhões, principalmente, pela atualização do risco dos contratos de seguro da
Companhia, no montante de R$ 1,3 milhões e despesas de R$ 0,6 milhões com deslocamentos e viagens,
reflexo da retomada das agendas presenciais pós pandemia do Covid-19.

totalizaram R$ 389,3 milhões, 23,7% superior ao reportado no 9M21 (R$ 314,7 milhões).
• Inflação: +R$ 37,9 milhões referente ao impacto da inflação em todos dos custos e despesas do período;
• Crescimento: gastos relacionados aos contratos de operação e manutenção, TI e auditoria dos Complexos
Mandacaru e Salinas, que começaram a fazer parte do portfólio da Companhia em maio de 2021;
• Não recorrentes:
o 9M21: refere-se, principalmente, à venda dos ativos de Geração Distribuída (GD) no montante de
R$ 9,6 milhões e ao recebimento de R$ 1,8 milhões relativos a rateio oriundo do processo de
falência do Banco Santos;
o 9M22: aumento de R$ 2,6 milhões, reflexo, principalmente, da: (i) manutenção bianual das
eclusas no valor de R$ 13,0 milhões; (ii) ajuste de R$ 1,7 milhão relacionado ao fechamento do
preço de compra do Complexo Solar Guaimbê Holding pela Companhia; compensado pela
reversão de R$ 10,0 milhões de provisão para crédito de liquidação duvidosa (PCLD) e pelos
créditos de PIS/COFINS de anos anteriores, no montante de R$ 3,4 milhões;

A AES Brasil registrou um EBITDA de R$ 283,8 milhões no 3T22, valor 207,5% superior quando comparado ao 3T21.
• Hídrica: resultado positivo de R$ 140,3 milhões, revertendo o resultado negativo reportado no 3T21, de
R$ 22,1 milhões, reflexo da melhora do cenário hídrico entre períodos e consequente redução (-13%) do
custo com compra de energia no trimestre;
• Eólico: incremento de R$ 22,6 milhões, refletindo a recuperação da performance operacional dos ativos
e correção dos contratos pela inflação, mitigando o impacto do menor regime de ventos entre períodos;
• Tucano: reconhecimento de multa por atraso recebida pelo Complexo Tucano (PPA Anglo) no 3T22 no

O resultado financeiro líquido registrado pela Companhia no 3T22 foi negativo em R$ 35,8 milhões. Abaixo

Receitas Financeiras
As receitas financeiras somaram R$ 115,3 milhões no 3T22 (vs. R$ 56,2 milhões no 3T21) e R$ 273,7 nos 9M22 (vs.
R$ 78,9 milhões nos 9M21).
O aumento na comparação de ambos os períodos pode ser explicado, principalmente, pelo crescimento nos
rendimentos de aplicações financeiras decorrente: (i) da melhor estratégia de alocação dos recursos disponíveis
para aplicação; (ii) maior taxa média de rentabilidade no período (CDI 3T22: 13,47% vs. 3T21: 4,86% e 9M22:
12,06% vs. 9M21: 3,41%).; e (iii) maior saldo médio de caixa na comparação entre os períodos.
Despesas Financeiras
As despesas financeiras somaram R$ 151,1 milhões no 3T22 (vs. R$ 166,0 milhões no 3T21) e R$ 511,4 milhões
nos 9M22 (vs. R$ 409,5 milhões nos 9M21). O aumento na comparação de ambos os períodos pode ser explicado,
principalmente, por:
• Encargos de Dívida: crescimento em função do maior saldo de dívida entre períodos e pelo maior custo
CDI dos últimos 12 meses (CDI médio 2022: 10,95% vs. 3,03% em 2021)10 impactando 48% da dívida
atrelada a esse indexador;
• Atualização Monetária de Empréstimos e Debêntures: redução em função da deflação registrada no
3T22, impactando 46% das dívidas indexada ao IPCA;
• Juros Capitalizados: aumento nos juros transferidos para o imobilizado e intangível em curso, decorrente
dos financiamentos tomados a nível da AES Brasil Operações para a construção dos Complexos Eólicos
Tucano e Cajuína.
EQUIVALÊNCIA PATRIMONIAL
O resultado da equivalência patrimonial foi positivo em R$ 15,2 milhões no 3T22 e positivo em R$ 18,1 milhões
nos 9M22. A variação apresentada em ambos os períodos é explicada, principalmente, pelo reconhecimento de
multa contratual decorrente do atraso de fornecedor do Complexo Eólico de Tucano, nos montantes de R$ 19,4
milhões no 3T22 e R$ 26,3 milhões no acumulado do ano, referente à Joint Venture com a Unipar (50% AES Brasil).
A multa é calculada por dia de atraso, por aerogerador.
Importante destacar, que ao final do 3T22, a evolução geral do projeto ultrapassa 87% e os primeiros 09
aerogeradores entraram em operação comercial a partir de julho. A estimativa é que o Complexo esteja 100% em
operação comercial no 1T23.
LUCRO LÍQUIDO
Em função dos fatores mencionados acima, o lucro líquido consolidado foi de R$ 102,6 milhões no 3T22 (vs. R$
429,5 milhões no 3T21) e de R$ 182,8 milhões nos 9M22 (vs. R$ 549,1 milhões nos 9M21).
ENDIVIDAMENTO
Dívida Bruta e Líquida
A AES Brasil encerrou o 3T22 com dívida bruta11 consolidada de R$ 7.922,8 milhões, 33,0% superior à posição de
dívida bruta do mesmo período de 2021 (R$ 5.955,0 milhões). O aumento do saldo é explicado pela: (i) 1ª emissão
de Debêntures da AES Brasil no montante de R$ 1,1 bilhão ocorrida no 1T22, além dos movimentos citados abaixo
na AES Brasil Operações.
A AES Brasil Operações encerrou o trimestre com dívida bruta 12 consolidada de R$ 6.867,4 milhões, 15,3%
superior à posição de dívida bruta do mesmo período de 2021. A variação entre os períodos é explicada,
principalmente, pelo: (i) pré-pagamento da 7ª emissão de debêntures, no montante de R$ 767 milhões, em
novembro de 2021; (ii) captação da 1ª debênture de Tucano Holding II, de R$ 300 milhões, desembolsada no 4T21;
(iii) desembolso do BNB no Complexo Tucano II, no montante de R$ 333 milhões em 2022; (iv) captação da 1ª
debênture de Cajuína AB1, de R$ 950 milhões; e (v) juros e atualizações monetárias incorridos entre os períodos.
Em 30 de setembro de 2022, o caixa13 consolidado da AES Brasil somava R$ 3.455,4 milhões, e a AES Brasil
Operações finalizou o trimestre com um caixa de R$ 3.302,1 milhões. Desta forma, a dívida líquida consolidada
da AES Brasil e da AES Operações é apresentada conforme abaixo:

CONTEXTO REGULATÓRIO
REVISÃO ORDINÁRIA DE GARANTIA FÍSICA
Em 11 de agosto, o MME publicou a Portaria Nº 676/2022, que estabeleceu os documentos e procedimentos para
abertura da Consulta Pública nº132/2022 que trata da revisão ordinária de garantia física das usinas
hidroelétricas despachadas centralizadamente no SIN, para início de vigência em 1º de janeiro de 2023. O
processo de revisão de garantia física é esperado e regulamentado como processo ordinário a cada cinco anos,
com o objetivo de adequar o parque gerador existente à sua capacidade efetiva de geração de acordo com as
evoluções naturais do sistema, além de ser parâmetro de definição da participação de cada usina no MRE.
Por fim, é importante mencionar que os valores finais no âmbito da Revisão Ordinária de Garantia Física ainda
não foram publicados pelo MME até a elaboração deste documento.
ABERTURA DO MERCADO
O Ministério de Minas e Energia (MME) publicou, em 28 de setembro, a Portaria nº 50/2022, que permite aos
consumidores do mercado de alta tensão serem elegíveis à migração para o Mercado Livre e possam escolher seu
fornecedor de energia a partir de 01 de janeiro de 2024.
A liberalização representa continuidade dos esforços envidados pelo Ministério de Minas e Energia na abertura
de mercado, conforme previsto em regulamentações anteriores e um avanço em relação ao limite de 500 kW
definido pela Lei nº 9.427/1996, ao permitir que qualquer consumidor atendido por tarifa do Grupo A
(consumidores de alta tensão), independentemente do seu consumo, possa escolher o seu fornecedor. Também
é claramente definida a segregação entre atacado e varejo em que os consumidores com carga individual inferior
a 500kW devem ser representados por agente varejista perante a Câmara de Comercialização de Energia Elétrica
(CCEE).

A abertura do mercado traz maior liberdade de escolha aos consumidores, com a consequente ampliação do
ambiente competitivo, ao permitir o acesso a outros fornecedores, além das distribuidoras. Com essa medida, o
MME calculou que aproximadamente 106 mil unidades consumidoras estarão aptas a migrar para o mercado livre.
A AES Brasil destaca sua atuação no mercado varejista e ocupa posição relevante dentre os demais agentes. Desde
a sua criação, em 2019, o braço varejista da AES Brasil fechou contratos com 58 clientes, totalizando 41 MWm
comercializados.
O próximo passo de abertura do mercado para a baixa tensão, incluindo clientes residenciais, por exemplo, deverá
permitir o acesso de todos os consumidores de energia elétrica ao mercado livre. Em se tratando de uma mudança
necessária, porém de grande relevância e que carece de ampla discussão com o mercado, o MME abriu a Consulta
Pública 137/2022, visando obter subsídios para a regulamentação da abertura total do mercado, de forma que o
consumidor residencial possa escolher o seu fornecedor livremente a partir de 2028, e o comercial e o industrial
a partir de 2026.
HIDROGÊNIO VERDE
Em 04 de agosto, foi publicada a Resolução nº 6, do Conselho Nacional de Política Energética (CNPE), que institui
o Programa Nacional do Hidrogênio (PNH2), e estabelece a estrutura de governança do programa.
O Brasil tem grande potencial de se destacar nesse mercado, dada a forte exposição de sua matriz energética às
fontes renováveis de energia. Além disso, o país possui ampla gama de recursos energéticos que podem ser
utilizados para a produção de hidrogênio de baixo carbono, por diversas rotas tecnológicas.
Neste contexto, a AES Brasil assinou, em 22 de setembro, um pré-contrato com o Porto de Pecém, para avançar
com os estudos de viabilidade para produção de até 2 GW de hidrogênio verde e de até 800 mil toneladas de
amônia verde por ano, seguindo sua estratégia de contribuir para descarbonização da matriz energética global,
por meio de novas tecnologias que ajudem os clientes nesta missão. A Companhia tem interesse em viabilizar a
uma planta de produção e comercialização de hidrogênio verde e seus derivados utilizando o terminal cearense
para exportar sua produção, principalmente, para países da Europa.
O hidrogênio verde é um vetor energético que desperta o interesse do mercado na medida em que as metas de
redução de emissões de gases de efeito estufa se tornaram mais desafiadoras e seu custo vem se tornando
competitivo, com a diversificação de fontes de energias renováveis.

considerando os limites superiores e inferiores móveis, associados à variação da inflação medida pelo Índice de
Atualização da Transmissão (IAT) e ao risco imediato de expansão da transmissão.
A norma passou por três fases de consulta pública, e um dos pontos contestados neste processo referiu-se à
aplicação da nova metodologia tanto aos geradores existentes, quanto aos novos empreendimentos de geração,
resultado principal da 2ª fase da consulta pública, definido em junho de 2022, quando a ANEEL regulamentou o
fim da estabilização das tarifas, então, afetando os projetos existentes. Assim, ao final da estabilização das tarifas
de cada projeto, mesmo estes sendo existentes, será aplicada a nova metodologia respeitados os pesos definidos
na transição em cada ciclo tarifário até o ciclo 2027/2028.
No mesmo dia 20 de setembro, a ANEEL foi notificada de uma ação judicial na qual a ABEEólica tentou suspender,
sem sucesso, a aprovação do fim da estabilização, sob os argumentos de violação ao princípio do contraditório,
ilegalidade, insegurança jurídica por uma suposta mudança brusca da regra sem transição, além da tese de direito
adquirido à tarifa estabilizada. Não houve até o momento decisão liminar em caráter de urgência, no entanto, a
ação segue para discussão de mérito até o trânsito em julgado.
A mudança de metodologia e fim de estabilização das tarifas pode impactar as usinas do portfólio da AES Brasil
de forma gradativa, considerando o ciclo de estabilidade de cada usina e de forma positiva ou negativa a depender
da localização de cada ativo. A magnitude de tal impacto se encontra em fase de avaliação interna, haja vista que
diversos aspectos, no tocante à regulamentação das operações atuais e para empreendimentos futuros devem
ser pontuados, a saber:
• Os projetos atuais possuem em suas outorgas/autorizações o conceito de tarifas estabilizadas por 10
ciclos tarifários. Após este período, suas tarifas passarão a ser anualmente recalculadas, conforme a nova
metodologia aprovada pela ANEEL, sendo necessária avaliação do panejamento futuro de expansão da
geração e transmissão para estimativa de novas tarifas;
• A nova regra será diretamente aplicada aos novos projetos/outorgas, sem a estabilização dos ciclos
tarifários supracitada;
• As tarifas de transmissão, que serão calculadas anualmente, serão limitadas a um teto e um piso móvel,
que considera o valor das tarifas em uma barra de transmissão e uma tarifa contratada associados à
variação da inflação, medida por um Índice de Atualização da Transmissão (IAT), além de um risco de
expansão da transmissão (fixado em 5%);
• Adicionalmente, está prevista a combinação entre o Despacho Regional, metodologia anteriormente
vigente, e o Despacho Nacional, que intensifica o sinal locacional.
A AES Brasil possui tarifa estabilizada para o seu portfólio – portanto, não passível das alterações apontadas acima
até o respectivo vencimento do período de estabilização – conforme a seguir:
• Portfolio hídrico: não possui tarifa estabilizada;
• Complexo Alto Sertão II: 36% do portfólio com fim do período de estabilização no Ciclo 2021-2022, e os
64% restantes no Ciclo 2022-2023;
• Complexo Ventus: fim do período de estabilização no Ciclo 2021-2022;
• Complexos Mandacaru e Salinas: fim do período de estabilização no Ciclo 2023-2024;
• Complexo Tucano: 67% do portfólio com fim do período de estabilização no Ciclo 2030-2031, e os 33%
restantes no Ciclo 2031-2032;
• Complexo Cajuína: fim do período de estabilização no Ciclo 2031-2032;
• Complexo Guaimbê: fim do período de estabilização no Ciclo 2026-2027;
• Complexo Boa Hora: fim do período de estabilização no Ciclo 2021-2022 para todo o portfólio;

DIRETRIZES E COMPROMISSOS
A AES Brasil acredita que seu modelo de negócios contribui diretamente de forma positiva para os principais
desafios socioambientais da sociedade. Nesse sentido, a Companhia estabeleceu um conjunto de compromissos
e metas para a gestão ESG – sigla em inglês que significa o gerenciamento de aspectos, riscos e oportunidades
ambientais (Environmental), sociais (Social) e de governança corporativa (Governance), ou ASG no português. Os
compromissos e metas foram definidos com base em três temas principais: Mudanças Climáticas, dentro do pilar
de meio ambiente; Diversidade, Equidade e Inclusão, em social; e Ética e Transparência em governança.
Os Compromissos ESG 2030 tem como ponto de partida os Objetivos de Desenvolvimento Sustentável (ODS) da
Agenda 2030, proposta pela Organização das Nações Unidas (ONU), tendo seis ODS como prioritários:
Desde 2007, a AES Brasil integra o Índice de Sustentabilidade Empresarial da B3, que avalia o desempenho das
companhias listadas quanto às respectivas práticas de sustentabilidade. A Companhia é signatária do Pacto Global
da ONU desde 2006, apoiando a promoção dos direitos humanos e práticas de trabalho relativas ao meio
ambiente e ao combate à corrupção. A Companhia faz parte da cobertura dos principais ratings ESG, como
Sustainalytics e MSCI, sendo que neste último é a única companhia de energia na América Latina a obter uma nota
AAA18, demonstrando o compromisso com a transparência e as melhores práticas ESG do mercado.
Como destaque do trimestre, no pilar Ambiental e com foco no combate às mudanças climáticas, a Companhia
neutralizou todas as suas emissões de gases de efeito estufa desde o início de suas operações no país. Essa
conquista foi alcançada por meio da recente compra de créditos de carbono certificados pela ONU para
compensação das emissões dos escopos 1, 2 e 3 de 1999 a 2019. Tais emissões foram estimadas a partir de um
estudo desenvolvido pela consultoria WayCarbon. Vale ressaltar que, desde 2020, a AES Brasil já neutraliza suas
emissões a cada ano, e agora avançou com essa compensação histórica.
Ainda sobre a temática de créditos de carbono, as oportunidades referentes ao mercado de carbono se
intensificaram nos últimos meses na AES Brasil. No 3T22, a Companhia obteve a receita de USD 2,2 milhões
referentes à comercialização de créditos de carbono dos Complexos Salinas e Mandacaru.
A AES Brasil segue com o compromisso de contribuir para a transição energética com o aumento de fontes
renováveis na matriz elétrica brasileira, para que os clientes evitem a emissão de gases de efeito estufa. Na frente
de preservação e proteção da biodiversidade, em linha com a meta anual de reflorestamento de Mata Atlântica
e Cerrado, foi concluído o plantio de aproximadamente 14,1 hectares de plantas nativas, totalizando 150.544
árvores plantadas no período. Além disso, a Companhia manteve ações de preservação de três espécies
ameaçadas de extinção, parte da lista da IUCN (União Internacional para a Conservação da Natureza) e
selecionadas em conjunto com o órgão ambiental para o monitoramento. Outra conquista deste pilar foi o
recebimento, pelo sexto ano consecutivo, do Selo Ouro do Programa Brasileiro GHG Protocol, o mais alto nível de

qualificação da metodologia, para o ciclo de 2022. O Selo Ouro reconhece as empresas que têm seus inventários
de emissões de gases de efeito estufa auditados por terceira parte independente, o que garante maior
transparência e confiabilidade no relato de emissões de gases de efeito estufa.
Nos pilares Social e de Governança, como parte do compromisso de aumentar a força feminina na AES Brasil e
em linha com a meta estabelecida de ter até 30% de mulheres na alta liderança até 2025, a AES Brasil aderiu ao
Movimento Elas Lideram 2030, iniciativa da Rede Brasil do Pacto Global da ONU e ONU Mulheres. Ao encontro
desta meta, houve aumento de 75% de presença feminina nas posições de gerências e acima na comparação entre
o 3T21 e o 3T22. O Conselho de Administração da AES Brasil Energia S.A. possui 36% de representatividade
feminina entre os membros efetivos.
Outro importante destaque do período foi a realização de um encontro com a governadora do Estado do Rio
Grande do Norte para celebração de dois importantes compromissos da Companhia:
• Parceria com o SENAI RN para realização do curso de Especialização Técnica em Manutenção e Operação dos
Parques Eólicos exclusivamente para mulheres no estado, com o objetivo de ampliar o acesso a
oportunidades de qualificação profissional e emprego em um setor em franca expansão, além de preparar a
potencial força de trabalho feminina para futuras vagas no Complexo Eólico Cajuína (RN), seguindo os
resultados positivos da iniciativa similar desenvolvida para o Complexo Eólico Tucano, na Bahia.
• Assinatura de carta de intenções, com ciência da Secretaria de Estado do Desenvolvimento Rural e Agricultura
Familiar do RN e Universidade Federal do Rio Grande do Norte, com o objetivo de investir em ações de
desenvolvimento local nas comunidades rurais do Complexo Eólico Cajuína, por meio de ações que
contribuam para o acesso à água, assessoria técnica rural e fortalecimento do empreendedorismo feminino
ao longo dos próximos anos.
No 3T22, a AES Brasil deu início ao Plano Básico Ambiental indígena em Itarema (CE), com duas tribos de etnia
Tremembé, sendo elas Córrego João Pereira e Queimadas. Algumas das ações realizadas foram assessoria técnica
rural com visita às unidades de produção familiar, valorização cultural, com a realização da Oficina de História e
Saberes Tremembé, e, por fim, ações de proteção territorial, com as Oficinas de Produção da Cartilha de Proteção
Territorial, com amplo diálogo e participação social dos indígenas em todos os processos.
Além disso, a Companhia manteve a gestão do relacionamento com as comunidades nas regiões dos Complexos
Eólicos Tucano e Cajuína, com a realização de treinamentos para os trabalhadores das obras sobre temas como
direitos humanos e respeito às comunidades locais, bem como ações de comunicação para os moradores das
regiões.

1 – Considera todas as unidades de negócio em operação;
2 – Somatória de resíduos perigosos e não perigosos destinados. A diminuição no valor do 3T22 se deu pelo fato dos meses julho, agosto e setembro de 2022 ainda estarem em contabilização;
3 – Somatória dos escopos 1, 2 e 3 considerando o acumulado do início do ano até o período reportado. A grande variação é reflexo da incorporação dos ativos Mandacaru, Salinas e Ventus ao inventário de
carbono da AES Brasil em 2022, sendo que neste último foi identificado vazamento de hexafluoreto de enxofre (SF6) e para solucionar o problema estão sendo substituídos os cubículos alimentadores de
energia nessa unidade. Além disso, devido à pandemia, em 2021 as viagens aéreas foram menos recorrentes e em 2022 foram normalizadas;
4 – Consumo total de energia elétrica proveniente do SIN – Sistema Interligado Nacional. No ano de 2021 houve necessidade de disponibilização de energia elétrica para operação da PCH Itaiquara à jusante da
UHE Caconde devido à crise hídrica, o que foi normalizado em 2022;
5 – A partir deste ano a companhia definiu que os ativos em operação, incorporados em sua base por meio de M&A, passarão pelo processo de implementação do sistema de gestão no primeiro ano da
aquisição, no segundo ano pela maturidade e consolidação e no terceiro ano pelo processo de certificação externa devido a necessidade de diagnósticos de adequação e melhoria dos processos, alinhados ao
padrão adotado pela empresa para todos os negócios;
6 – Pode haver alterações significativas de produtividade entre trimestres devido a eventos climáticos;
7 – Cargos de gerência, diretoria, vice-presidência e presidência;
8 – Foram executadas ações ao longo do 3T22 para redução do indicador, uma vez que no 2T22 houve um aumento significativo;
9 – A AES Brasil possui meta de 95% de participação mensal dos colaboradores nas reuniões de segurança do pessoal AES e terceiros;
10 – Houve aumento em resposta à intensificação da comunicação e treinamentos internos, o que traz maior confiança dos colaboradores no canal AES Helpline ampliando a sua utilização. O retorno das
atividades presenciais também ocasionou aumento de preocupações e, consequentemente, dos relatos.

3Q22 Results
MANAGEMENT COMMENTS
“The third quarter of 2022 was marked by another important step in the execution of our strategy of portfolio growth and diversification
through the acquisition of assets of complementary sources to hydropower and by improved operating results during the period: we
announced in August the addition of +456 MW of installed capacity after the acquisition of three new Wind Complexes: Ventos do
Araripe (PI), Caetés (PE) and Cassino (RS).
The new Complexes are contracted in the regulated environment, are fully operational and with supplies until 2035. With this, AES
Brasil doubles its installed MW from 6 years ago and now has 5.2 GW of 100% renewable installed capacity (49% from wind + solar and
52% from hydro), 4.2 GW of it operational and 1.0 GW under construction, becoming one of the largest renewable players in Brazil.
Another important event in the quarter was the successful private capital increase, announced together with the acquisition that
resulted in an equity of BRL 1 billion to finance said acquisition. The transaction is expected to be concluded by 1Q23, after compliance
with conditions precedent.
Regarding construction work on the Tucano and Cajuína Wind Complexes, more than 87% of works at Tucano have already been
completed, with the commercial operation of 9 wind turbines and full commercial operation scheduled for 1Q23.
In Cajuína, approximately 48% of the first phase (324.5 MW of installed capacity) of the project has been concluded, notably the civil
construction and substation works, with commercial operation expected to start in 1H23. Moreover, the second phase of Cajuína (370.5
MW of installed capacity) has seen 12% of the project concluded and startup expected in 2H23.
On the regulatory front, the Ministry of Mines and Energy published an ordinance that permits high voltage market consumers to
migrate to the Free Market and, consequently, choose their energy supplier from January 1, 2024. In this regard, we hold an important
position in the energy retail market, with all the requisites to attract new clients. Also, the Federal Government's announcement of a
legal framework for the production of green hydrogen opens new fronts for growth and opportunities. In this regard, we signed a pre-
agreement with the Port of Pecém to continue the feasibility studies for producing up to 2GW of green hydrogen and up to 800
thousand tons of green ammonia per year, according to our strategy of contributing to the decarbonization of the global energy matrix
through new technologies that help clients in this mission.
As for results, we ended the third quarter with EBITDA of BRL 284 million and margin of 36%, as against to BRL 92 million in 3Q21,
mainly reflecting the significant improvement in hydropower margin and operational performance of the wind and solar assets. We
also closed the quarter with a robust cash position of BRL 3.5 billion, mainly due to the successful private capital increase.

3Q22 HIGHLIGHTS
• Growth: Acquisition of further 456 MW of operating wind power capacity through a share purchase
agreement (SPA) with Cubico Brasil S.A., related to the acquisition of all the shares of special purpose
entities (SPEs) that make up the Ventos do Araripe, Caetés and Cassino Wind Complex. Total enterprise
value is up to BRL 2,033.0 million, of which: (i) BRL 1,105 million refers to equity; and (ii) BRL 928.0 million
refers to debt assumption.
• Private Capital Increase (PCI): On October 3, the Board of Directors approved Capital Increase through the
issue of 106,599,446 new common shares, representing approximately 91.72% of the shares issued as part
of the Capital Increase, at the issue price of BRL 9.61 per share, totaling BRL 1,024.4 million. The funds
will be used possible to acquire the Ventos do Araripe, Caetés and Cassino Wind Complexes, announced
on August 8, 2022.
• Market Opening: On September 28, the Ministry of Mines and Energy published Ordinance 50/2022, which
permits high voltage market consumers to migrate to the Free Market and choose their energy supplier
as from January 1, 2024.
• Carbon Neutral: This quarter, AES Brasil neutralized all of its greenhouse gas emissions since it started
operating in Brazil. This was achieved by purchasing carbon credits certified by the UN to offset the
emissions as from 1999.

HYDROPOWER GENERATION
System Structure
Revenue from hydropower generation is related to the energy allocation strategy adopted by the Company and
not simply to its generation volume, since hydroelectric plants are part of the Energy Reallocation Mechanism
(ERM), a financial mechanism for sharing of hydrological risk.
AES Brasil's power plants account for approximately 2% of the hydropower physical guarantee of the
hydrological risk sharing system. As such, the results from hydropower generation are not solely related to the
Company’s generation volume, but to the performance of all the plants in this mechanism in proportion to the
share of each agent in the system.
Dispatch by hydroelectric plants in the ERM is determined by the National Electrical System Operator (ONS) and
was higher in 3Q22 and 9M22, due to higher rainfall during the period, in contrast to the adverse hydrological
scenario in 2021.

WIND POWER GENERATION
Gross wind power generation was 714.2 GWh in 3Q22, up 3.0% from 3Q21 (693.1 GWh) and 1,589.3 GWh in
9M22, in line with the generation in 9M21 (1,593.3 GWh).
• Alto Sertão II: generation in the Complex totaled 461.1 GWh in 3Q22, up 11.5% from 3Q21 (413.6 GWh),
as a result of increased curtailment in 3Q21 (39.4 GWh vs. 6.9 GWh in 3Q22), which impeded power
generation during that period. Aneel regulated the definition of the rules for reimbursing generation
companies affected, with CCEE being responsible for structuring the methodology and enforcement of these
rules, which have no defined term yet.
In 9M22, generation increased 2.4% (1,088.6 GWh in 9M22 vs. 1,063.0 GWh in 9M21). Wind speed remained
stable between periods and average availability of the complex was 96.6% in 9M22 (vs. 95.3% in 9M21).
Curtailment totaled 36.9 GWh in 9M22, down 15.6% in relation to the restriction in 9M21 (43.7 GWh).
• Ventus: generation at the Complex as 114.5 GWh in 3Q22, down 18.6% from 3Q21 (140.7 GWh), mainly
reflecting the curtailment of 4.4 GWh due to maintenance at the region’s substation and the lower availability
of the complex between the periods (80.2% in 3Q22 vs. 83.7% in 3Q21) due to preventive and corrective
maintenance.
In 9M22, gross generation at the Complex was 238.7 GWh, down 29.0% from 9M21 (336.2 GWh), reflecting
the lower availability in the period (81.1% in 9M22 vs. 85.0% in 9M21) and curtailment (4.9 GWh in 9M22 vs.
1.3 GWh in 9M21), which occurred mainly in 3Q22.
Note that the complex has a contractual availability index of 96% with the FSA (Full Service Agreement)
supplier. As such, the Company makes a monthly provision for the fine payable by the supplier for lower asset
availability, to be received (cash) at the end of each annual cycle.
• Mandacaru and Salinas: added to the Company’s portfolio in May 2021, the complexes registered gross
generation of 138.6 GWh in 3Q22 and 262.0 GWh in 9M22. Generation remained stable in relation to 3Q21
(138.8 GWh), the first complete quarter in which the complexes were considered in the Company’s portfolio.
Improvement in the availability index of these assets – observed from a comparison between the periods –
reflects the turnaround of the operations, aligned with the Company’s strategy, which rolled out a
comprehensive maintenance plan that is already in the final phase.

• Solar Guaimbê Wind Complex: gross solar power generation totaled 64.6 GWh, down 5.9% from 3Q21,
due to higher irradiance (190.1 W/m² in 3Q22 vs. 210.1 W/m²in 3Q21), partially offset by higher
availability in the period (98.2% in 3Q22 vs. 96.7% in 3Q21).
In 9M22, gross generation was 203.9 GWh, increasing 0.8% from 9M21, mainly due to the higher
availability of the plant (98.8% in 9M22 vs. 96.2% in 9M21), partially mitigated by lower irradiance (210.6
W/ m² in 3Q22 vs. 218.8 W/m² in 3Q21).
• Ouroeste Wind Complex: gross solar generation was 75.9 GWh in 3Q22, 34.6 GWh of which inBoa Hora
and 41.3 GWh in Água Vermelha, coming in line with the volume of 76.0 GWh generated in 3Q21. The
plants' performance reflects the lower irradiance in the period (204.1 W/m² in Boa Hora and 205.9 W/m²
in Água Vermelha in 3Q22 vs. 215.7 W/m² in Boa Hora and 218.6 W/m² in Água Vermelha in 3Q21), which
was partially mitigated by higher availability in Água Vermelha (99.8% in 3Q22 vs. 91.7% in 3Q21).
In 9M22, generation at the Ouroeste Complex was 228.7 GWh, up 6.8% from 9M21 (214.2 GWh). The
variation is due the increase in availability of Água Vermelha, after maintenance shutdowns and
replacement of equipment in 2021 (consolidated availability: 97.6% in 9M22 vs. 85.5% in 9M21).

ENERGY MARKET
The performance in 2022 continues to demonstrate the recovery from the adverse hydrological scenario during
the same period in 2021, reflecting the improvement in inflows and reservoir levels between the periods.
In 2021, the management policy adopted by the ONS focused on preserving and restoring reservoir levels, which
resulted in less water dispatch and higher dispatch from thermal power plants (average dispatch of 4.7 GWavg in
3Q22 and 5.9 GWavg in 9M22 vs. average dispatch of 15.7 GWavg in 3Q21 and 12.6 GWavg in 9M21).

Net operating revenue came to BRL 2,084.3 million in 9M22, representing an increase of 17.1% in relation to 9M21
(BRL 1,779.9 million).
Net operating margin of AES Brasil came to BRL 1,231.1 million in 9M22, up 19.9% from the operating margin in
9M21. It is important to highlight that in 1Q21 there was the recognition of BRL 35.9 million related to the
reimbursement of the GSF, positively impacting the 9M21 margin.
The variation is explained mainly by:
• Hydropower: increase of BRL 137.8 million, mainly due to the 26% growth in revenue from energy
sales in 9M22, which was partially offset by higher energy purchase costs in the period due to
purchases made in 2021 to mitigate the risk associated with the deficit in the energy balance caused,
at the time, by GSF in a water crisis scenario.
In 9M22, energy sales totaled 10,752,859 MWh at BRL 175/MWh, versus 8,783,964 MWh at
BRL 169/MWh in 9M21. 3,707,218 MWh purchased at BRL 193/MWh in 9M22 and 2,324,628 at
BRL 238/MWh in 9M21.
Also, in 3Q22, 465,807 carbon credits generated by the Mandacaru and Salinas wind complexes were
sold, resulting in revenues of BRL 7.9 million recognized in the period;
• Wind power: increase of BRL 29.7 million in margin, mainly reflecting the recovery in the operating
performance of the assets and the annual price adjustment of contracts, mitigating the impact of
weaker winds between the periods;
• Tucano: margin growth resulting from the fine for delay received by the Tucano Complex (PPA Anglo)
in 3Q22 of BRL 26.9 million, partially offset by the transmission costs of the asset;
• Solar: increase of BRL 20.7 million in margin due to better availability of the Guaimbê and Água
Vermelha Complexes, partially offset by lower irradiance during the period.

AES Brasil reported EBITDA of BRL 283.8 million in 3Q22, representing an increase of 207.5% compared to 3Q21.
• Hydropower: positive result of BRL 140.3 million, reversing the negative result reported in 3Q21, of
BRL 22.1 million, reflecting improvement in the water scenario between the periods and the consequent
reduction (-13%) in energy purchase costs during the quarter;
• Wind power: increase of BRL 22.6 million, reflecting the recovery in the operating performance of the
assets and the annual price adjustment of contracts of contracts, mitigating the impact of weaker winds
between the periods;
• Tucano: fine for delay received by the Tucano Complex (PPA Anglo) in 3Q22 of BRL 26.9 million, partially
offset by the transmission costs of the asset;
• Solar: increase of BRL 10.4 million, mainly due to the increased availability of assets and annual price
adjustment in agreements.

In 9M22, EBITDA came to BRL 823.8 million, up 24.6% from the EBITDA adjusted by the GSF reimbursement in
9M21 (BRL 661.1 million). The variation between the periods is explained by:
• Hydropower: increase of BRL 77.0 million, mainly due to the increase in revenue from energy sold in
9M22, which was partially offset by higher energy purchase costs in the period due to purchases made in

2021 to mitigate the risk associated with the deficit in the energy balance caused, at the time, by GSF in a
water crisis scenario;
• Wind: increase of BRL 10.2 million, due to the fine receivable by the Tucano Complex for the delay in the
vendor's supply chain, mitigating the impacts of weaker winds during the period.
• Tucano: fine for delay received by the Tucano Complex (PPA Anglo) in 3Q22 of BRL 26.9 million, partially
offset by the transmission costs of the asset;
• Solar: increase of BRL 42.3 million due to better operational performance of assets and annual price

Financial revenue
Financial income amounted to BRL 115.3 million in 3Q22 (vs. BRL 56.2 million in 3Q21) and BRL 273.7 million in
9M22 (vs. BRL 78.9 million in 9M21).

The increase between the periods is mainly due to higher returns on investments, resulting from: (i) a better fund
allocation strategy for investments; (ii) the higher average yield in the period (CDI 3Q22: 13.47% vs. 3Q21: 4.86%
and 9M22: 12.06% vs. 9M21: 3.41%); and (iii) the higher average cash balance in the comparison period.
Financial Expenses
Financial expenses amounted to BRL 151.1 million in 3Q22 (vs. BRL 166.0 million in 3Q21) and BRL 511.4 million
in 9M22 (vs. BRL 409.5 million in 9M21). The increase in both comparison periods is mainly due to:
• Debt Charges: growth due to the higher debt balance between periods and the higher CDI cost in the last
12 months (average CDI 2022: 10.95% vs. 3.03% in 2021)8 impacting 48% of the debt linked to this index;
• Inflation Adjustment on Debentures, Loans and Financing: reduction due to the deflation registered in
3Q22, impacting 46% of debts indexed to the IPCA;
• Capitalized Interest: the increase in interest transferred to property, plant and equipment and intangible
assets under development, resulting from the loans borrowed by AES Brasil Operações for construction
of the Tucano and Cajuína Wind Complexes.
EQUITY INCOME
Equity income amounted to BRL 15.2 million in 3Q22 and BRL 18.1 million in 9M22. The increase in both periods
is mainly explained by the booking of a contractual fine resulting from the delay by a supplier of the Tucano Wind
Complex, in the amounts of BRL 19.4 million in 3Q22 and BRL 26.3 million in 9M22, related to the joint venture
with Unipar (50% AES Brasil). The fine is levied per day of delay per wind turbine.
Note that, at the end of 3Q22, overall progress of the project surpassed 87% and the first 09 wind turbines went
operational as of July. The complex is expected to be 100% in commercial operation by 1Q23.
NET INCOME
In view of the aforementioned factors, AES Brasil reported consolidated net income of BRL 102.6 million in 3Q22
(vs. BRL 429.5 million in 3Q21) and BRL 182.8 million in 9M22 (vs. BRL 549.1 million in 9M21).
Note that net income in 2021 reflects: (i) the constitution of a deferred income tax asset of BRL 532.6 million in
3Q21, and (ii) apart from the impact of the GSF reimbursement in 1Q21, net of income tax in the amount of
BRL 23.7 million.
Adjusted for these effects, net income increased BRL 205.7 million and BRL 190.0 million in 3Q22 and 9M22,
respectively, compared to the same periods in 2021.

DEBT
Gross and Net Debt
AES Brasil ended 3Q22 with consolidated gross debt9 of BRL 7,922.8 million, up 33.0% from 3Q21 (BRL 5,955
million), with the higher balance due to: (i) the 1st issue of debentures by AES Brasil in 1Q22, in the amount of
BRL 1.1 billion, apart from the operations mentioned below at AES Brasil Operações.
AES Brasil Operações ended the quarter with consolidated gross debt10 of BRL 6,867.4 million, up 15.3% from
3Q21. The variation between the periods is mainly explained by: (i) the prepayment of the 7th issue of debentures
(BRL 767 million) in November 2021; (ii) the 1st issue of debentures of Tucano Holding II, which raised BRL 300
million, disbursed in 4Q21; (iii) the disbursement by BNB of BRL 333 million for the Tucano II Complex in 2022; (iv)
the 1st issue of debentures of Cajuína AB1, of BRL 950 million; and (v) interest and inflation adjustment between
the periods.
On September 30, 2022, consolidated cash 11 of AES Brasil totaled BRL 3,455.4 million, and AES Brasil Operações
ended the quarter with cash of BRL 3,302.1 million. The consolidated net debt of AES Brasil and AES Operações is

Due to the Company’s growth and the consequent progress in the construction of the Tucano and Cajuína Wind
Complexes, AES Brasil’s capital expenditure totaled BRL 695.9 million in 3Q22 and BRL 1,420.6 million in 9M22.
The increase in the modernization and maintenance line mainly reflects the turnaround strategy for wind assets
acquired via M&A – Mandacaru and Salinas wind complexes (+BRL 17.4 million in 3Q22 vs. 3Q21 and +BRL 38.8
million in 9M22 vs. 9M21).

REGULATORY SCENARIO
ORDINARY REVIEW OF PHYSICAL GUARANTEE
On August 11, the Ministry of Mines and Energy (MME) published Ordinance 676/2022, which established the
documents and procedures for Public Hearing 132/2022 on the ordinary review of the physical guarantee of the
hydroelectric plants centrally dispatched in SIN, to be effective on January 1, 2023. Review of the physical
guarantee process is expected and regulated as an ordinary process every five years, with the goal of adapting the
existing generation base to its effective generation capacity in accordance with the natural evolution of the
system, besides serving as a parameter for defining the participation of each plant in ERM.
The energy Physical Guarantee of the generation plants is calculated and reviewed by the Energy Research
Company (EPE) according to the methodologies and criteria defined by the MME. The periodical review process
(every five years) was established to promote an equilibrium among the plants in the ERM. Approximately 70% of
the plants subject to review would reach the maximum reduction limit during the ordinary process (of the 122
plants considered in the process, 86 reached the limit of 5.0% reduction in physical guarantee and 1 reached the

limit of 10.0% in relation to the initial value of the concession agreement.) In this process, the hydroelectric plants
of AES Brasil registered a total weighted reduction of 4.7.%.
Since the Company's plants are part of the ERM, their results arise from the performance of all the plants
pertaining to the mechanism in proportion to the participation of each agent in the system. Considering the
preliminary data in said Public Hearing 132/2022 and the reduction in the Physical Guarantee of Eletrobras' plants
as part of the Privatization Law (14,182/2021) and effective from January 2023, AES Brasil's participation in ERM
is estimated at 2.18%, a decrease of 0.02 p.p. from the 2.20% prior to the ordinary revision, which corresponds to
an allocated energy loss of approximately 8MWavg per year for the Company, considering the generation of ERM
adjusted by the expected GSF impact. Valued at the average PLD of the 12 months ended September 30, 2022,
the impact on the Company's revenue would be approximately BRL 5.5 million.

Finally, it is important to mention that the final values within the scope of the Ordinary Review of Physical
Guarantee have not yet been published by the MME until the preparation of this document.
MARKET OPENING
On September 28, the Ministry of Mines and Energy published Ordinance 50/2022, which permits high voltage
market consumers to migrate to the Free Market and choose their energy supplier as from January 1, 2024.
Liberalization represents the continuation of efforts made by the Ministry of Mines and Energy to open the
market, as established in previous regulations and is an advance in relation to the limit of 500 kW defined by Law
9,427/1996, as it allows any consumer whose tariff pertains to Group A (high voltage consumers), irrespective of
their consumption, to choose their supplier. Also clearly defined is the segregation between wholesale and retail,
in which consumers whose individual load is less then 500kW should be represented by a retail agent at the
Electric Power Trading Chamber (CCEE).
Market opening brings consumers greater freedom of choice, resulting in a more competitive environment, since
it allows access to other suppliers and distributors. With this measure, MME calculated that approximately 106
thousand consumer units will be able to migrate to the free market.
AES Brasil's operations in the retail market represent a significant position. Since its creation in 2019, the retail
branch of AES Brasil has signed agreements with 58 clients, with a total of 41 MWavg traded.
The next step towards the opening of the low voltage market, including residential clients, for example, should
permit access to the free market to all electricity consumers. Since it is a highly important and necessary change
that needs broad discussion with the market, the MME opened Public Hearing 137/2022 to obtain inputs to
regulate the complete market opening so that residential consumers can freely choose their suppliers from 2028,
while the commercial and industrial consumers from 2026.

GREEN HYDROGEN
On August 4, the Brazilian Energy Policy Board (CNPE) published Resolution 6, which establishes the National
Hydrogen Program (PNH2) and establishes its governance structure.
Brazil has tremendous potential to stand out in this market, given the strong exposure of its energy matrix to
renewable energy sources. Furthermore, it has a wide range of energy resources that can be used to produce low
carbon hydrogen through diverse technological routes.
In this regard, on September 22, AES Brasil signed a pre-agreement with the Port of Pecém to continue the
feasibility studies for producing up to 2GW of green hydrogen and up to 800 thousand tons of green ammonia per
year, according to our strategy of contributing to the decarbonization of the global energy matrix through new
technologies that help clients in this mission. The Company is interested in building a plant to generate and
sell green hydrogen and its by-products, using the terminal in Ceará state to export its production, mainly to
European countries.
Green hydrogen is an energy vector that caught the market’s attention as the targets for reducing greenhouse
gas emissions have become increasingly challenging, and its cost has become competitive with the
diversification of renewable energy sources.

The change in methodology and the end of stabilization of tariffs should gradually affect the plants in AES Brasil's
portfolio, considering their individual stability cycle, positively or negatively, depending on the location of each
asset. The magnitude of said impact is being assessed internally, because several aspects regarding the regulation
of the current operations and for future projects should be pointed out, namely:
• The current projects include in their grants/authorizations the concept of stabilized tariffs for 10 tariff
cycles. After this period, their tariffs will be recalculated annually, according to the new methodology
approved by ANEEL, for which it is necessary to evaluate the future plan for the expansion of generation
and transmission in order to estimate new tariffs.
• The new rule will be directly applied to new projects/grants, without the aforementioned stabilization of
tariff cycles.
• The transmission tariffs, which will be calculated annually, will be limited to a ceiling and a mobile
minimum, which considers the value of the tariffs in a transmission bar and a contracted tariff linked to
the variation in inflation, measured by a Transmission Update Index (IAT), in addition to a transmission
expansion risk (fixed at 5%).
• Also estimated is the combination between the Regional Dispatch, previous methodology, and the
National Dispatch, that intensifies the locational signal.
AES Brasil has a stabilized tariff for its portfolio and so it is not subject to the changes described above until the
respective expiry of the stabilization period, as follows:
• Hydropower portfolio: does not have a stabilized tariff;
• Alto Sertão II Complex: 36% of the portfolio with the end of the stabilization period in the 2021-2022
Cycle, and the remaining 64% in the 2022-2023 Cycle;
• Ventus Complex: end of the stabilization period in the 2021-2022 Cycle;
• Mandacaru and Salinas Complexes: end of the stabilization period in the 2023-2024 Cycle;
• Tucano Complex: 67% of the portfolio with the end of the stabilization period in the 2030-2031 Cycle, and
the remaining 33% in the 2031-2032 Cycle;
• Cajuína Complex: end of the stabilization period in the 2031-2032 Cycle;
• Guaimbê Complex: end of the stabilization period in the 2026-2027 Cycle;
• Boa Hora Complex: end of the stabilization period in the 2021-2022 Cycle for all the portfolio;
• Água Vermelha Complex: end of the stabilization period in the 2021-2022 Cycle for all the portfolio.

ESG PERFORMANCE
GUIDELINES AND COMMITMENTS
AES Brasil believes that its business model directly contributes positively to the main social and environmental
challenges of society. In this regard, the Company established a series of commitments and targets for the
management of Environmental, Social and Governance (ESG) aspects, risks and opportunities. These
commitments and targets were based on three key topics: Climate Change, in the environmental pillar; Diversity,
Equity and Inclusion, in the social pillar; and Ethics and Transparency, in the governance pillar.
The 2030 ESG Commitments are based on the United Nations Sustainable Development Goals (SDG) of the 2030
Agenda, with six priority SDGs:

Since 2007, AES Brasil has been included in B3’s Corporate Sustainability Index, which evaluates the sustainability
practices of listed companies and their performance. The Company has been a signatory to the UN Global
Compact since 2006, supporting the promotion of human rights and labor practices related to the environment
and combating corruption. The Company is covered by leading ESG rating agencies, such as Sustainalytics and
MSCI, and is the only energy company in Latin America to obtain an AAA16 rating from MSCI, demonstrating its
commitment to transparency and best ESG practices in the market.
The highlight of the quarter in the Environmental pillar, where the focus is on combating climate change, was that
the Company neutralized all of its greenhouse gas emissions since the start of its operations in Brazil. This was
achieved by the recent purchase of carbon credits certified by the UN to offset the emissions of scopes 1, 2 and 3
from 1999 to 2019. These emissions were estimated based on a study by the consulting firm WayCarbon. Note
that, since 2020, AES Brasil has been neutralizing its emissions each year and has now progressed with this
historical compensation.
Still on the subject of carbon credits, opportunities related to the carbon market intensified in recent months at
AES Brasil. In 3Q22, the Company recorded revenue of USD 2.2. million from the sale of carbon credits from the
Salinas and Mandacaru Complexes.
AES Brasil upholds its commitment to assist in energy transition by expanding the renewable sources in the
Brazilian energy matrix so that clients can avoid greenhouse gas emissions. On the biodiversity preservation and
protection front, in line with the current annual target of reforesting the Atlantic Forest and Cerrado region, the
Company planted approximately 14.1 hectares of native plants, totaling 150,544 trees planted in the period. It
also continued its efforts to preserve three endangered species, which figure on the list compiled by the
International Union for Conservation of Nature (IUCN) and were selected in partnership with the environmental
organization for monitoring. Another achievement in this pillar was that the company received, for the sixth
consecutive year, the Gold Seal of the Brazilian GHG Protocol Program, the highest level of qualification of the
methodology, for the 2022 cycle. The Gold Seal recognizes companies whose greenhouse gas emission inventories
are audited by an independent third party, which ensures greater transparency and reliability in their greenhouse
gas emissions reports.
On the Social and Governance pillars, as part of AES Brasil’s commitment to increase women employees at the
Company and the goal of having up to 30% of women in senior leadership positions by 2025, the company joined
the Elas Lideram 2030 Movement, an initiative of the UN Global Compact Brazil Network and UN Women. In line
with this target, the number of women in managerial and higher positions increased 75% between 3Q21 and
3Q22. Women represent 36% of the members of the Board of Directors of AES Brasil Energia S.A.
Another important highlight in the period was a meeting held with the governor of Rio Grande do Norte to
celebrate two important commitments of the Company:

• Partnership with SENAI RN to organize the Technical Specialization course in Maintenance and Operation of
Wind Farms exclusively for women in the state to increase access to opportunities for professional
qualification and jobs in a sector that has been expanding rapidly, besides preparing the potential female
workforce for future vacancies at the Cajuína Wind Complex (RN), following the positive results of a similar
initiative implemented at the Tucano Wind Complex in Bahia.
• Signing of a letter of intent, with the consent of the RN State Secretariat of Rural Development and Family
Farming and the Federal University of Rio Grande do Norte, to invest in grassroots development actions in
rural communities at the Cajuína Wind Complex through actions for expanding access to water, rural
technical advisory and encouragement to women entrepreneurship over the coming years.
In 3Q22, AES Brasil launched its Indigenous Environmental Basic Plan in Itarema (CE) for two tribes of the
Tremembé ethnicity: Córrego João Pereira and Queimadas. The actions included rural technical advisory with visits
to family production units, cultural appreciation, which involved the Tremembé History and Knowledge
Workshop, and, finally, land protection actions, with Workshops on the Production of the Territorial Protection
Booklet, with broad dialogue and social participation of indigenous people in all the processes.
The Company also continued relationship management actions with the communities in the regions around the
Tucano and Cajuína Wind Complexes, holding training sessions for construction workers on topics such as human
rights and respect for local communities, as well as communication actions targeted at local residents.

1 – Considers all business units in operation;
2 – Sum of hazardous and non-hazardous waste disposed of. The reduction in 3Q22 was due to the fact that July, August and September 2022 numbers are still being accounted for;
3 – Sum of scopes 1, 2 and 3 in the year. The big variation reflects the incorporation of the assets Mandacaru, Salinas and Ventus into the carbon inventory of AES Brazil in 2022; a sulfur hexafluoride (SF6) leak
was identified in the Ventus Complex and, to fix the issue, the energy supply cubicles of this unit are being replaced. Furthermore, due to the pandemic, in 2021 air travel was less recurring, which was
normalized in 2022.
4 – Total consumption of electricity from the National Interconnected System (SIN). In 2021, there was a need to supply electricity to SHPP Itaiquara, an asset located downstream in relation to HPP Caconde
due to the hydropower crisis, which was normalized in 2022.
5 – Starting this year, the Company defined that the operational assets included in its base via M&A, will undergo the process of implementation of the management system in their first year after the
acquisition, maturity and consolidation in the second year and external certification process in the third year, due to the need for diagnoses on adequacy and improvement of processes, in line with the
standard adopted by the Company for all its businesses.
6 – There may be significant changes in productivity in the quarters due to climatic events;
7 - Management, executive board, vice president and CEO positions;
8 – During 3Q22, actions were taken to reduce the indicator since, in 2Q22, there was a significant increase;
9 – AES Brasil has a target of 95% monthly participation by employees in the safety meetings of AES personnel and contractors;
10 – The growth was in response to the intensification of internal communication and training, which brought greater confidence to employees regarding the AES Helpline channel, increasing its use. Return to
work at offices also led to an increase in concerns and, consequently, in reports.
