COMUNICADO AO MERCADO

Rio de Janeiro, 1° de dezembro de 2022 – O IRB-Brasil Resseguros S.A. (B3: IRBR3) (“IRB Brasil RE”
ou “Companhia”) comunica aos seus acionistas e ao mercado em geral que o Conselho de Administração,
tendo sido obtida a aprovação da consulta prévia realizada perante a Superintendência de Seguros
Privados (SUSEP) e em consonância com o artigo 150 da Lei n° 6.404/76 e do artigo 22, § 2, do Estatuto
Social da Companhia, elegeu o Sr. Israel Aron Zylberman, em reunião realizada no dia 30 de novembro
de 2022, para ocupar cargo de membro efetivo do Conselho de Administração, complementando o
mandato unificado de 2 (dois) anos em curso, que se estende até a assembleia geral ordinária da
Companhia que aprovar as demonstrações financeiras do exercício social encerrado em 31 de dezembro
de 2022. A referida eleição deverá ser ratificada pela assembleia geral de acionistas da Companhia.

O Sr. Israel Aron Zylberman é formado em Engenharia Industrial Metalúrgica pela Escola de Engenharia
da Universidade Mackenzie (1970), com especialização em Governança Corporativa pelo Instituto
Brasileiro de Governança Corporativa (2006 e 2021) e MBA pela FIA/FEA-USP (2003). Atualmente é
Diretor Executivo dos Institutos Cyrela e SYN, atua nos comitês de apoio a conselhos da Cyrela, IGUÁ
Saneamento, Urbem S.A. e da própria Companhia, bem como participa dos conselhos de administração
da Urbem S.A., MBM-Movimento Bem Maior, Instituto Liberta, Instituto Jatobás e Instituto Avon.

Considerando a referida deliberação do Conselho de Administração, bem como a eleição do Sr. Marcos
Pessoa de Queiroz Falcão (“Sr. Falcão”) aos cargos de Diretor Presidente e Diretor Vice-Presidente de
Subscrição Interino do IRB Brasil RE, realizada em 16 de novembro de 2022, o Sr. Falcão apresentou ao
Conselho de Administração, na mesma reunião realizada em 30 de novembro de 2022, sua renúncia ao
cargo de membro efetivo do Conselho de Administração, de forma que possa se dedicar exclusivamente
aos cargos para os quais foi eleito na Diretoria Estatutária do IRB Brasil RE.

A Companhia agradece ao Sr. Falcão pelo profissionalismo e dedicação durante o período em que atuou
como membro efetivo do Conselho de Administração.

NOTICE TO THE MARKET

Rio de Janeiro, December 1st, 2022 – IRB-Brasil Resseguros S.A. (B3: IRBR3) (“IRB Brasil RE” or
“Company”) informs its shareholders and the market in general that its Board of Directors, having obtained
approval for the prior consultation carried out with SUSEP (the insurance and reinsurance regulator), and
in accordance with article 150 of Law No. 6,404/76 and of article 22, § 2, of the Company's Bylaws, elected
Mr. Israel Aron Zylberman, at a meeting held on November 30, 2022, to hold the position of effective
member of the Board of Directors, complementing the current unified term of office of 2 (two) years, which
extends until the Company's ordinary general meeting that approves the financial statements for the fiscal
year ended December 31, 2022. Said election must be ratified by the Company's shareholders' meeting.

Mr. Israel Aron Zylberman holds a degree in Industrial Metallurgical Engineering from the School of
Engineering at Mackenzie University (1970), with a specialization in Corporate Governance from the
Brazilian Institute of Corporate Governance (2006 and 2021) and an MBA from FIA/FEA-USP (2003). He
is currently Executive Director of Cyrela and SYN Institutes, serves on the support committees for the
boards of Cyrela, IGUÁ Saneamento, Urbem S.A. and the Company itself, as well as sits on the boards of
directors of Urbem S.A., MBM-Movimento Bem Maior, Instituto Liberta, Instituto Jatobás and Instituto Avon.

Considering the referred decision of the Board of Directors, as well as the election of Mr. Marcos Pessoa
de Queiroz Falcão (“Mr. Falcão”) to the positions of IRB Brasil RE’s Chief Executive Officer and Interim
Chief Underwriting Officer on November 16, 2022, Mr. Falcão presented to the Board of Directors, at the
meeting held on November 30, 2022, his resignation from the position of effective Board Member, so that
he can dedicate exclusively to the positions for which he was elected as IRB Brasil RE’s Statutory Executive
Officer.

The Company thanks Mr. Falcão for his professionalism and dedication during the period in which he served
as an effective member of the Board of Directors.
