FATO RELEVANTE

A SANTOS BRASIL PARTICIPAÇÕES S.A. (“SBPAR” ou “Companhia”), nos termos

da regulamentação em vigor, comunica aos seus acionistas e ao mercado, em geral,
que, na presente data, o Conselho de Administração da Companhia deliberou e
aprovou a distribuição de dividendos intermediários no valor de R$31.000.000,00
(trinta e um milhões de reais), à conta de reserva de lucros existente na data de
31.12.2022.

As condições abaixo deverão ser observadas:

1. Os dividendos intermediários declarados poderão ser imputados aos

dividendos obrigatórios a serem declarados com base no balanço levantado
em 31.12.2022;
2. Serão contempladas 864.168.933 ações ordinárias de emissão da Santos
Brasil Participações S.A, já excluindo-se as ações mantidas em tesouraria;
3. Os valores equivalem a R$ 0,035872616 por ação;
4. A data de 18.04.2023 como dia da posição acionária para o respectivo
cálculo;
5. A data de 19.04.2023 para considerar as ações “ex-direitos”;
6. A data de 15.05.2023 para o início do pagamento correspondente.

À presente distribuição pode-se somar dividendos complementares no valor de

R$12.935.951,80 (doze milhões, novecentos e trinta e cinco mil, novecentos e
cinquenta e um reais e oitenta centavos), que consta da proposta de destinação do
resultado do exercício social de 2022, submetida à deliberação da Assembleia Geral
Ordinária – AGO que se realizará no dia 27.04.2023.

A Companhia informa que a distribuição em referência está em consonância com

os seus objetivos estratégicos, em especial de remunerar o capital de seus
acionistas, sem prejuízo ao financiamento do crescimento, investimentos e
negócios da Santos Brasil.

 MATERIAL FACT

SANTOS BRASIL PARTICIPAÇÕES S.A. (“SBPAR” or “Company”), in accordance with

the regulations in force, hereby announces to its shareholders and the market in general
that, in the Board of Directors’ Meeting, held on the present date, it was approved the
distribution of intermediary dividends in the amount of R$ 31,000,000 (thirty-one
million reais) based on the profit reserve account on 12.31.2022.

The following conditions must be observed:

1. The intermediary dividends declared can be considered for the mandatory

dividends based on the balance sheet of December 31, 2022.
2. The distribution will consider 864,168,933 common shares issued by Santos
Brasil, which already excludes shares held in treasury.
3. The amount to be distributed corresponds to R$ 0.035872616 per common share.
4. Base date for shareholding position: April 18, 2023.
5. Shares will trade ex-dividend as of April 19, 2023.
6. The dividends will be paid on May 15, 2023.

The present distribution can be added to the complementary dividends in the amount
of R$12,935,951.80 (twelve million, nine hundred and thirty-five thousand, nine
hundred and fifty-one reais and eighty cents), which is included in the proposal for
allocation of net income for the year of 2022, submitted to the deliberation of the Annual
Shareholders Meeting - ASM that will be held on 04.27.2023.

The Company informs that the present distribution is aligned with its strategic goals, in
special to remunerate the capital of its shareholders, without prejudice to the financing
of its growth, investments, and business of Santos Brasil.
