License Agreement
This agreement (the “Agreement”) is made and entered into as of
10-10-2021 (the “Effective Date”) and will form a legally binding
agreement between:
JOAQUIM EDUARDO TEIXEIRA, whose ID Number is
272352330, an individual residing at RUA GOIÁS, 312 - VILA
PAULISTA - CUBATÃO/SP - CEP: 11510-060 (“you” or
“Licensor”), which expression shall, where the context permits,
include the Licensor’s successors and authorized assignees,
however denominated,
AND
TikTok Technology Limited, a private limited company with its
registered address at 10 EARLSFORT TERRACE, DUBLIN 2,
D02 T380, IRELAND (hereinafter referred to as “we”, “Licensee”
or “Company”), which expression shall, where the context permits,
include Company’s Affiliates, executors, administrators, permitted
assigns and successors in business.
Company and the Licensor will be referred to individually as
"Party" and, collectively, as "Parties".
1. Your Relationship with Us and Your Acceptance of this
Agreement
a) You understand that by accessing Company’s platform currently
branded “SoundOn” (the “Service”) and signing this Agreement,
you agree to be bound by the terms set forth below. The Terms of
Service (https://www.soundon.global/legal/terms-of-service, or
such other URL as may be determined by Company in its discretion
from time to time) (“Terms of Service”) and the Privacy Policy
(https://www.soundon.global/legal/privacy-policy, or such other
URL as may be determined by Company in its discretion from time
to time) (“Privacy Policy”) of the Service, respectively, are hereby
incorporated into and made a part of this Agreement. To the extent
there is a conflict between this Agreement, the Terms of Service,
and the Privacy Policy, the terms of this Agreement shall control.
Any capitalized terms used but not otherwise defined in this
Agreement shall have the meanings ascribed to them in the Terms
of Service and the Privacy Policy, respectively.
b) If you access the Service within a jurisdiction for which there are
separate or additional terms applicable to the use of the Service

Este Contrato (o "Contrato") é celebrado e firmado em 10-10-2021
(a "Data de Vigência") e constituirá um contrato juridicamente
vinculante entre:
JOAQUIM EDUARDO TEIXEIRA, portador da carteira de
identidade número 272352330, um indivíduo residente em RUA
GOIÁS, 312 - VILA PAULISTA - CUBATÃO/SP - CEP: 11510-
060 ("você" ou "Licenciante"), sendo que, onde o contexto
permitir, tais expressões incluirão os sucessores e cessionários
autorizados do Licenciante, ou de outra forma designados,

TikTok Technology Limited, uma sociedade privada limitada com
seu endereço registrado em 10 EARLSFORT TERRACE, DUBLIN
2, D02 T380, IRLANDA (doravante denominada "Nós",
"Licenciada" ou "Sociedade"), sendo que, onde o contexto
permitir, tais expressões incluirão as Afiliadas, testamenteiros,
administradores, cessionários autorizados e sucessores nos
negócios da Sociedade.
A Sociedade e o Licenciante serão designados individualmente
como Parte e, coletivamente, como Partes.
1. Seu Relacionamento Conosco e sua Aceitação deste Contrato
a) Você compreende que, ao acessar a plataforma da Sociedade
atualmente denominada com a marca “SoundOn” (o “Serviço”) e
assinar este Contrato, você concorda em se vincular aos termos
estabelecidos abaixo. Os Termos de Serviço
(https://www.soundon.global/legal/terms-of-service, ou qualquer
outra URL que possa ser determinada pela Sociedade, sob o seu
exclusivo critério, de tempos em tempos) (“Termos de Serviço”))
e a Política de Privacidade
(https://www.soundon.global/legal/privacy-policy, ou qualquer
outra URL que possa ser determinada pela Sociedade, sob o seu
exclusivo critério, de tempos em tempos) (“Política de
Privacidade”) do Serviço, respectivamente, são aqui incorporados
a este Contrato e são partes integrantes deste Contrato. Em caso de
conflito entre este Contrato, os Termos de Serviço e a Política de
Privacidade, os termos deste Contrato prevalecerão. Quaisquer
termos em maiúsculas usados, mas não definidos de outra forma
neste Contrato terão os seus significados atribuídos nos Termos de
Serviço e na Política de Privacidade, respectivamente.
b) Se você acessar o Serviço de uma jurisdição para a qual existam
termos separados ou adicionais aplicáveis ao uso do Serviço e/ou

and/or Distribution Platforms (“Supplemental Terms”), you also
hereby agree to the Supplemental Terms applicable to users in each
jurisdiction as set forth below, and in the event of a conflict between
the provisions of any applicable Supplemental Terms that are
relevant to your jurisdiction from which you access the Service and
the rest of this Agreement, the applicable Supplemental Terms that
are relevant to your jurisdiction will supersede and control. Any
applicable Supplemental Terms that are relevant to your
jurisdiction from which you access the Service are also hereby
incorporated by reference and will also form a part of and constitute
this Agreement.
c) If you do not agree with the terms and conditions set forth in this
Agreement, please do not electronically accept or sign this
Agreement.
2. Participation in the Service
You hereby agree voluntarily to participate in the Service. As a
participant, you may upload Licensed Content to the Service
through your Service account for exploitation by Company and its
Affiliates including on the Distribution Platforms during the Term
and throughout the Territory in accordance with the terms of this
Agreement. The Licensed Content you upload is entirely within
your discretion.
a) “Licensed Content” includes Licensed Recordings,
Licensed Underlying Works, Licensed Marks, Licensed Artwork
and Other Materials.
b) “Licensed Recordings” means each individual sound
recording (including excerpts thereof) that is uploaded by you on
the Service.
c) “Licensed Commercial Recordings” means any Licensed
Recordings which you expressly allow (by checking the
Commercial Music Usage box during “Upload Music” stage) for
any commercial usage on any media and platform as deemed
appropriate by Company and/or its Affiliates.
d) “Licensed All-Platform Recordings” means any
Licensed Recordings which you expressly allow (by checking the
“Other Global Stores” box(es) during “Upload Music” stage)
Company to distribute on Bytedance Platforms as well as Third
Party Stores.
e) “Licensed Underlying Works” means the musical works
(i.e., musical compositions) embodied in the Licensed Recordings.
f) “Licensed Marks” means each individual name, logo,
brand, trade name, trademark, service mark or other proprietary

Plataformas de Distribuição ("Termos Complementares"), você
também aqui concorda com os Termos Complementares aplicáveis
aos usuários em cada jurisdição conforme estabelecido abaixo, e em
caso de conflito entre as disposições de quaisquer Termos
Complementares aplicáveis para a sua jurisdição a partir da qual
você acessa o Serviço e as demais disposições deste Contrato, os
respectivos Termos Complementares aplicáveis para a sua
jurisdição prevalecerão. Quaisquer Termos Complementares
aplicáveis para sua jurisdição a partir da qual você acessa o Serviço
também são aqui incorporados por referência e serão parte
integrante e constituirão este Contrato.
c) Se você não concordar com os termos e condições estabelecidos
neste Contrato, não aceite ou assine este Contrato eletronicamente.
2. Participação no Serviço
Você aqui concorda voluntariamente em participar do Serviço.
Como participante, você pode carregar Conteúdo Licenciado para o
Serviço por meio de sua conta no Serviço para exploração pela
Sociedade e suas Afiliadas, incluindo nas Plataformas de
Distribuição, durante a Vigência do Contrato e em todo o Território
de acordo com os termos deste Contrato. O Conteúdo Licenciado
que você carregar fica inteiramente a seu critério.
a) “Conteúdo Licenciado” inclui Gravações Licenciadas, Obras
Subjacentes Licenciadas, Marcas Licenciadas, Obras de Arte
Licenciadas e Outros Materiais.
b) “Gravações Licenciadas” significa cada fonograma individual
(incluindo trechos do fonograma) que é carregado por você no
Serviço.
c) “Gravações Comerciais Licenciadas” significa qualquer
Gravação Licenciada a qual você expressamente autorize (através
do aceite do Uso Comercial de Música durante o estágio de
“Carregamento de Música”) qualquer uso comercial em qualquer
mídia ou plataforma que a Sociedade e/ou suas Afiliadas julgarem
apropriados.
d) “Gravações Licenciadas para Todas as Plataformas”
significa quaisquer Gravações Licenciadas que você expressamente
autorize (através do aceite de “Outras Lojas Globais” durante o
estágio de “Carregamento de Música”) para a Sociedade distribuir
em Plataformas da Bytedance, bem como Plataformas de Terceiros.
e) “Obras Subjacentes Licenciadas” significa as obras musicais
(ou seja, composições musicais) fixadas nas Gravações
Licenciadas.
f) “Marcas Licenciadas” significa, individualmente, cada nome,
logotipo, marca, nome comercial, marca registrada, marca de
serviço ou outra designação de propriedade do Licenciante e de

designation of Licensor and any Other Personnel, whether
registered or unregistered, that is uploaded by you on the Service.
g) “Licensed Artwork” means each individual item of
artwork, including booklets, graphics, images and textual materials
(including liner notes) associated with a Licensed Recording that is
uploaded by you on the Service.
h) “Other Materials” means each individual item of
metadata, Licensed Recording titles, Licensed Underlying Works
titles, names/images/likenesses of Licensor and Other Personnel,
Licensed Artwork, Licensed Marks, electronic press kits (“EPKs”)
that is uploaded by you on the Service. Company shall have the
right to: (i) create, edit or modify metadata you provide to correct
errors; and (ii) add additional categories of information to the
associated metadata, including, for example, a “Distributed by
SoundOn” tag or such other designation as determined by Company
in its reasonable discretion (which may be publicly displayed in
proximity to the copyright line), genres, biographical information
and product reviews, and such corrected and/or created metadata
may be used by Company, with respect to or in connection with the
applicable Licensed Content in any and all media during the Term
(subject to the Minimum Exploitation Period).
i) “Other Personnel” means, for each Licensed Recording,
any and all items of Licensed Artwork and item of Other Materials
that is uploaded during the Term, any and all recording artists (other
than you), producers, lyricists, composers, engineers, mixers,
remixers, A&R executives, and all other persons and entities
contributing to the creation, recording and production, as
applicable, of the Licensed Recording, item of Licensed Artwork
and item of Other Materials concerned.
j) “Video” means an audiovisual recording that may include
sound recording(s) if and as selected and determined solely by a
user from a selection of sound recordings made available by or on
behalf of Company or an Affiliate or uploaded by other users on the
Distribution Platforms.
k) “Bytedance Platforms” shall collectively mean all
products, services and platforms owned, controlled or operated by
Company or any Affiliate in the Territory, during the Term,
including but not limited to, the applications, websites and
platforms branded as (a) “TikTok” and “TikTok Lite”, respectively
(collectively, the “TikTok Platforms”); (b) Resso; (c) “CapCut”
and (d) “Helo”. Any of the Bytedance Platforms, as well as the
Service (currently branded as “SoundOn”), may be rebranded by
Company or Affiliates (as applicable) from time to time during the
Term in Company’s or its Affiliate’s (as applicable) sole discretion.
l) “Third Party Stores” means digital platforms, stores, and
services that are not owned, controlled, or operated by Company or
any Affiliate (e.g., Spotify, Apple Music, Amazon, Tidal, subject to
Company’s choice and adjustments), as disclosed on the Service
and chosed by you.

g) “Obras de Arte Licenciadas” significa cada item individual
de arte, incluindo livretos, gráficos, imagens e materiais textuais
(incluindo notas de capa), associado a uma Gravação Licenciada
que seja carregada por você no Serviço.
h) “Outros Materiais” significa cada item individual de
metadados, títulos de Gravações Licenciadas, títulos de Obras
Subjacentes Licenciadas, nomes/imagens do Licenciante e Outro
Pessoal, Obras de Arte Licenciadas, Marcas Licenciadas, kits de
imprensa eletrônica (“EPKs”) que é carregado por você no Serviço.
A Sociedade terá o direito de (i) criar, editar ou modificar
metadados que você fornecer para corrigir erros, e (ii) incluir
categorias adicionais de informação aos metadados associados,
incluindo, por exemplo, “Distribuído por SoundOn”ou qualquer
outra designação, conforme determinado pela Sociedade, ao seu
próprio critério (que pode ser divulgado publicamente próximo à
linha de direitos autorais), gêneros, informações biográficas e
revisões de produtos, e tais metadados corrigidos ou criados podem
ser usados pela Sociedade, em respeito ou em conexão com o
Material Licenciado equivalente, em toda e qualquer mídia, durante
o Prazo (sujeito ao Período Mínimo de Exploração).
i) “Outro Pessoal” significa, para cada Gravação Licenciada,
todos e quaisquer itens da Obra de Arte Licenciada e item de Outros
Materiais que sejam carregados durante a Vigência do Contrato,
todo e qualquer artista (exceto você), produtores, letristas,
compositores, engenheiros, mixador, remixador, executivos de
A&R e todas as outras pessoas e entidades que contribuam para a
criação, gravação e produção, conforme aplicável, da Gravação
Licenciada, item de Obra de Arte Licenciada e item de Outros
Materiais em questão.
j) “Vídeo” significa uma gravação audiovisual que pode incluir
fonograma(s) se e conforme selecionado e determinado
exclusivamente por um usuário a partir de uma seleção de
fonogramas disponibilizadas por ou em nome da Sociedade ou uma
Afiliada ou carregada por outros usuários nas Plataformas de
Distribuição.
k) “Plataformas da ByteDance” significa coletivamente todos
os produtos, serviços e plataformas pertencentes, controlados ou
operados pela Sociedade ou qualquer Afiliada no Território, durante
a Vigência do Contrato, incluindo, mas não se limitando a,
aplicativos, sites e plataformas denominados com a marca (a)
“TikTok” e “TikTok Lite”, respectivamente (em conjunto
“Plataformas TikTok”); (b) “Resso”; (c) “CapCut” e (d) “Helo”.
Qualquer uma das Plataformas da ByteDance, bem como o Serviço
(atualmente denominado com a marca " SoundOn"), podem ser
renomeados pela Sociedade ou Afiliadas (conforme aplicável) de
tempos em tempos durante a Vigência do Contrato a critério
exclusivo da Sociedade ou de suas Afiliadas (conforme aplicável).
l) "Plataformas de Terceiros" significam plataformas digitais,
lojas e serviços que não são de propriedade, controlados ou
operados pela Sociedade ou qualquer Afiliada (por exemplo,
Spotify, Apple Music, Amazon, Tidal, sujeito à escolha e ajustes da
Sociedade), conforme divulgado no Serviço e escolhidos por você.

m) “Distribution Platforms” means the Bytedance Platforms
and the Third Party Stores if you checked the “Other Global Stores”
box(es) during “Upload Music” stage, or Bytedance Platforms if
you didn’t check any “Other Global Stores” box during “Upload
Music” stage.
n) “Affiliate” or “Affiliates” means any parent corporation,
subsidiary, affiliate, related corporation, licensee or sublicensee of
Company.
o) “Net Synch Receipts” means an amount equal to the gross
monies received by or credited to Company or its Affiliate (as
applicable) from a third-party in connection with a Paid Synch
License for each Licensed Commercial Recording (excluding any
out-of-pocket, third-party handling, processing and/or
administrative fees) less all costs paid or incurred by Company or
its Affiliate (as applicable) in connection with the licensing and/or
exploitation of the synchronization rights concerned and the
collection of such sums, sales taxes and withholding taxes. For the
avoidance doubt, the Net Synch Receipts do not equal the net
revenue received by Company or its Affiliate (as applicable) from
a third-party for the advertising service.
p) “Net Third Party Store Income” means Company’s
actual receipts from Third Party Stores in connection with the
distribution of the Licensed All-Platform Recordings, less (i) any
tax, fee or other charge related to the distribution of Licensed All-
Platform Recordings; (ii) any returns or amounts which a Third
Party Store has requested be returned (via a so-called “claw back”,
or similar accounting adjustment); and (iii) less any amounts which
Company, in its good faith discretion, believes to be the result of
copyright infringement and/or Fraudulent Videos/Plays.
3. Distribution of Licensed Content
a) Nothing in this Agreement or otherwise shall obligate Company,
its Affiliates, or third-party partners to distribute, reproduce,
exploit, or otherwise use or make available any of the Licensed
Content on the Distribution Platforms, or any of them, all of which
shall be in Company’s, its Affiliates’ , and third-party partners’ (as
applicable) sole, unrestricted discretion. Company and its Affiliates
may choose to not provide, or cease to provide, any services, with
respect to any Licensed Content in its sole discretion, including,
without limitation, due to poor recording quality of the Licensed
Content or violation of a Distribution Platform’s Terms of Service,
Privacy Policy and/or Community Guidelines or similar rules
governing hateful, obscene or inappropriate content on the Service
or Distribution Platform concerned. Without limiting the foregoing,
Company, its Affiliates, and third-party partners (as applicable)
shall have the unilateral right to remove any Licensed Content or
Other Materials from a Distribution Platform that it deems, in its
sole discretion, to violate this Agreement, or the Terms of Service,
Privacy Policy and /or Community Guidelines of the Service or the

m) "Plataformas de Distribuição" significa as Plataformas da
Bytedance e as Plataformas de Terceiros se você optou por marcar
a(s) opções(s) "Outras Lojas Globais" durante o estágio de
"Carregamento de Música", ou as Plataformas da Bytedance se você
não marcou nenhuma opção "Outras Lojas Globais" durante o
estágio de “Carregamento da Música”.
n) “Afiliada” ou “Afiliadas” significa qualquer sociedade
controladora, subsidiária, afiliada, sociedade relacionada,
licenciada ou sublicenciada da Sociedade.
o) "Receitas Líquidas de Sincronização" significa uma quantia
igual ao valor bruto recebido ou creditado à Sociedade ou sua
Afiliada (conforme aplicável) de um terceiro em conexão com uma
Licença de Sincronização Paga para cada Gravação Comercial
Licenciada (excluindo gastos próprios, taxas de manuseio,
processamento e/ou administrativas de terceiros) menos todos os
custos pagos ou incorridos pela Sociedade ou sua Afiliada
(conforme aplicável) em conexão com o licenciamento e/ou
exploração dos direitos de sincronização em questão e a cobrança
de tais quantias, impostos sobre vendas e impostos retidos na fonte.
Para evitar dúvidas, as Receitas Líquidas de Sincronização não são
equivalentes à receita líquida recebida pela Sociedade ou suas
Afiliadas (conforme aplicável) de um terceiro pelo serviço de
publicidade.
p) "Receita Líquida da Plataforma de Terceiro" significa as
receitas atuais da Sociedade advindas das Plataformas de Terceiros
em conexão com a distribuição das Gravações Licenciadas para
Todas Plataformas, menos (i) qualquer imposto, taxa ou outro
encargo relacionado à distribuição de Gravações Licenciadas para
Todas as Plataformas; (ii) quaisquer devoluções ou valores que uma
Plataforma de Terceiro tenha solicitado que sejam devolvidos (por
meio de um “claw back” ou ajuste contábil semelhante); e (iii)
menos quaisquer valores que a Sociedade, a seu critério de boa fé,
acredite ser o resultado de violação de direitos autorais e/ou
Vídeos/Reproduções Fraudulentas.
3. Distribuição de Conteúdo Licenciado
a) Nada neste Contrato ou de outra forma obrigará a Sociedade, suas
Afiliadas ou plataformas de terceiros a distribuir, reproduzir,
explorar, ou de outra forma usar ou disponibilizar qualquer
Conteúdo Licenciado nas Plataformas de Distribuição, ou qualquer
uma delas, tudo isso a critério exclusivo e irrestrito da Sociedade,
suas Afiliadas ou plataformas de terceiros (conforme aplicável). A
Sociedade e suas Afiliadas podem escolher não fornecer, ou deixar
de fornecer, quaisquer serviços, com relação a qualquer Conteúdo
Licenciado, a seu exclusivo critério, incluindo, sem limitação,
devido à baixa qualidade de gravação do Conteúdo Licenciado ou
violação dos Termos de Serviço, Política de Privacidade e/ou
Diretrizes da Comunidade de uma Plataforma de Distribuição ou
regras semelhantes que regem conteúdo de ódio, obsceno ou
impróprio no Serviço ou Plataforma de Distribuição em questão.
Sem limitar o disposto anteriormente, a Sociedade, suas Afiliadas
ou plataformas de terceiros (conforme aplicável) terão o direito
unilateral de remover qualquer Conteúdo Licenciado ou Outros
Materiais de uma Plataforma de Distribuição que considere, a seu

Distribution Platform concerned (collectively, the “Distribution
Platforms Agreements”).
b) During the Term, you shall not enter an agreement with a third-
party pursuant to which you grant such third-party the right to
deliver the Licensed Content, in whole or in part, to the ByteDance
Platforms or Third Party Stores (if you checked the “Other Global
Stores” box(es) during “Upload Music” stage) , or any of them, i.e.,
the sound recordings, musical compositions, artwork and other
materials which comprise the Licensed Content shall be made
available on the ByteDance Platforms or Third Party Stores (if you
checked the “Other Global Stores” box(es) during “Upload Music”
stage) solely through your upload thereof to the Service and shall
not be delivered to the Service by or through a third-party such as a
digital music distributor, aggregator, etc.
4.Your Representations and Warranties
By signing this Agreement, you represent, warrant and affirm as of
the Effective Date and on a present and continuing basis throughout
the Term, each of the following:
a) Capacity. You are at least eighteen (18) years old and
have the full legal authority and competency to enter into and abide
by this Agreement. Without limiting any of our rights and
remedies, if we learn that you are not at least eighteen (18) years
old, we will terminate your Service account and the Term of this
Agreement.
b) Authority. You have the full authority to act on behalf of
any and all Other Personnel, and any and all other persons and
entities owning or controlling any right, title or interest in and to
Licensed Content.
c) Intellectual Property Rights. The Licensed Content is
your own original work, you own the entire right, title and interest
in and to the Licensed Content and you exclusively own or control
all of the necessary rights in and to all of the Licensed Content
(other than public performance rights in the Licensed Underlying
Works) in order to make the grants of rights, licenses,
authorizations and permissions herein, and the exercise of such
rights, licenses, authorizations and permissions by or on behalf of
Company and its Affiliates, will not violate or infringe the rights of
any third party (including, but not limited to, copyrights, and
industrial property, image, voice, name, likeness, and personal data
rights), and will otherwise be free of any claims, suits, proceedings
and/or assertions. None of the Licensed Content constitutes a so-
called “cover” recording or “cover” version of a musical
composition, a “remix”, a mixtape or DJ set, an audio-only
recording (e.g., spoken word material or a podcast), or contains any
uncleared or unauthorized “samples” of copyrighted sound
recordings and/or musical compositions. You are not a party to an
existing exclusive agreement with a third party in respect of your
recording services as a musical artist or your services as a
songwriter or composer. The Licensed Content is not subject to an

exclusivo critério, violar este Contrato ou os Termos de Serviço,
Política de Privacidade e/ou Diretrizes da Comunidade do Serviço
ou da Plataforma de Distribuição em questão (coletivamente, os
“Contratos das Plataformas de Distribuição”).
b) Durante a Vigência do Contrato, você não deverá firmar um
contrato com um terceiro que conceda a esse terceiro o direito de
entregar o Conteúdo Licenciado, no todo ou em parte, às
Plataformas da ByteDance ou Plataformas de Terceiros (se você
selecionou a opção “Outras Lojas Globais” durante o estágio de
“Carregamento de Música”) ou a qualquer uma delas, ou seja, os
fonogramas, composições musicais, obras de arte e outros materiais
que compõem o Conteúdo Licenciado devem ser disponibilizados
nas Plataformas da ByteDance ou Plataformas de Terceiros (se você
selecionou a opção “Outras Lojas Globais” durante o estágio de
“Carregamento de Música”) apenas por meio de seu upload para o
Serviço e não devem ser entregues ao Serviço por ou através de
terceiros como um distribuidor de música digital, agregador, etc.
4. Suas Declarações e Garantias
Ao assinar este Contrato, você declara, garante e afirma a partir da
Data de Vigência e de forma presente e contínua ao longo da
Vigência do Contrato, cada um dos seguintes:
a) Capacidade. Você tem pelo menos dezoito (18) anos de idade
e tem plena autoridade e competência legal para celebrar e cumprir
este Contrato. Sem limitar nenhum de nossos direitos e recursos, se
soubermos que você não tem pelo menos dezoito (18) anos de idade,
encerraremos sua conta no Serviço e a Vigência deste Contrato.
b) Autoridade. Você tem plena autoridade para agir em nome
de todo e qualquer Outro Pessoal, e de toda e qualquer outra pessoa
e entidade que possua ou controle qualquer direito, título ou
interesse em e para/sobre o Conteúdo Licenciado.
c) Direitos de Propriedade Intelectual. O Conteúdo Licenciado
é seu próprio trabalho original, você possui todos os direitos, títulos
e interesses no e para/sobre o Conteúdo Licenciado e você possui
ou controla exclusivamente todos os direitos necessários em e
para/sobre todo o Conteúdo Licenciado (exceto os direitos de
execução pública nas Obras Subjacentes Licenciadas) a fim de fazer
as concessões de direitos, licenças, autorizações e permissões aqui
contidas, e o exercício de tais direitos, licenças, autorizações e
permissões por ou em nome da Sociedade e suas Afiliadas, não
violará ou infringirá os direitos de quaisquer terceiros (incluindo,
mas não se limitando a, direitos autorais e de propriedade industrial,
imagem, voz, nome, e direitos de dados pessoais) e de qualquer
outra forma estará livre de quaisquer reivindicações, processos,
procedimentos e/ou afirmações. Nenhum dos Conteúdos
Licenciados constitui uma chamada gravação "cover" ou versão de
"cover" de uma composição musical, um "remix", uma mixtape ou
“DJ set”, uma gravação apenas de áudio (por exemplo, material
falado ou um podcast), ou contêm quaisquer “samples” não
licenciadas ou não autorizadas de fonogramas e/ou composições
musicais protegidas por direitos autorais. Você não é parte de um
contrato exclusivo existente com terceiros em relação aos seus

exclusive license agreement, distribution agreement or any other
type of agreement which grants a third party exclusive rights in and
to the Licensed Content. Although we may review and remove
particular Licensed Content from time-to-time, we take no
responsibility for the Licensed Content you upload and share
through the Service or on the Distribution Platforms. You have
obtained, and during the Term will maintain, all rights and licenses
necessary from each third party that owns or controls any and all
interest in and to the corresponding Licensed Content necessary to
make the uses permitted under this Agreement, free of any claims,
suits, proceedings and/or assertions (other than Licensed Underlying
Works to the extent they are exclusively controlled and/or administered
by a performing rights organization, collective management
organization or collecting society). To the extent you are required
under this Agreement to make any payments to third parties, you
will timely do so. As of the Effective Date, you have not received
any claim from any third party contrary to the foregoing provisions.
d) Registration Information. Any and all registration
information that you submit to the Service for use in connection
with this Agreement is true, accurate, and complete, and you agree
to keep it that way at all times until this Agreement expires or is
sooner terminated by either you or Company pursuant to the
provisions below.
e) Further Documentation. You shall execute and shall
ensure that all Other Personnel execute such further documentation
as may be required by Company in connection with the rights
granted to Company and its Affiliates under this Agreement. Upon
request, you will assist the Company and/or its Affiliates (as
applicable), in obtaining any other documents as may be necessary
in connection with the rights granted to Company and its Affiliates
under this Agreement.
5. Term/Minimum Exploitation Period
The Term of this Agreement shall commence as of the Effective
Date and continue for a period of three (3) years (the “Initial
Period”), unless sooner terminated in accordance with the
provisions set forth elsewhere in this Agreement. Following the
Initial Period, the Term shall automatically renew and be extended
for additional, successive periods of one (1) year each (each, a
“Renewal Period”) (the Initial Period and Renewal Period(s) (if
any) are collectively referred to herein as the “Term”), unless
sooner terminated in accordance with the provisions set forth
elsewhere in this Agreement; provided, however, either Party may

contrato de licença exclusivo, contrato de distribuição ou qualquer
outro tipo de contrato que conceda a terceiros direitos exclusivos
sobre o Conteúdo Licenciado. Embora possamos revisar e remover
Conteúdo Licenciado específico de tempos em tempos, não
assumimos qualquer responsabilidade pelo Conteúdo Licenciado
que você carrega e compartilha através do Serviço ou nas
Plataformas de Distribuição. Você obteve, e durante a Vigência do
Contrato manterá, todos os direitos e licenças necessárias de cada
terceiro que possui ou controla todo e qualquer interesse no e sobre
o Conteúdo Licenciado correspondente, necessário para tornar os
usos permitidos neste Contrato, livres de quaisquer reivindicações,
processos, procedimentos e/ou afirmações (que não Obras
Subjacentes Licenciadas, no limite em que elas sejam controladas
e/ou administradas exclusivamente por uma organização de direitos
autorais, de gerenciamento coletivo ou sociedade de coleta) . Na
medida em que seja exigido por este Contrato que você faça
quaisquer pagamentos a terceiros, você o fará em tempo hábil. Até
a Data de Vigência, você não recebeu nenhuma reclamação de
terceiros contrária às disposições anteriores.
d) Informações de registro. Todas e quaisquer informações de
registro que você enviar ao Serviço para uso em conexão com este
Contrato são verdadeiras, precisas e completas, e você concorda em
mantê-las assim em todos os momentos até que este Contrato expire
ou seja rescindido por você ou pela Sociedade de acordo com as
disposições abaixo.
e) Documentação Adicional. Você deve providenciar e deve
garantir que todo o Outro Pessoal providencie a documentação
adicional que possa ser exigida pela Sociedade em relação aos
direitos concedidos à Sociedade e suas Afiliadas nos termos deste
Contrato. Mediante solicitação, você ajudará a Sociedade e/ou suas
Afiliadas (conforme aplicável), na obtenção de quaisquer outros
documentos que possam ser necessários em conexão com os
direitos concedidos à Sociedade e suas Afiliadas nos termos deste
Contrato.
5. Vigência do Contrato/Período Mínimo de Exploração
A Vigência deste Contrato terá início na Data de Vigência e
continuará por um período de três (3) anos (o "Período Inicial"),
salvo se rescindido antecipadamente, de acordo com as disposições
estabelecidas em outras partes deste Contrato. Após o Período
Inicial, a Vigência do Contrato será automaticamente renovada e
prorrogada por períodos sucessivos adicionais de um (1) ano cada
(cada um, um "Período de Renovação") (o Período Inicial e o(s)
Período(s) de Renovação (se houver) são coletivamente designados
neste instrumento como "Vigência do Contrato"), a menos que o
Contrato seja rescindido antecipadamente de acordo com as
disposições estabelecidas em outras partes deste Contrato; desde
que, no entanto, qualquer uma das Partes possa rescindir a Vigência
do Contrato por meio de notificação à outra Parte enviada, no mais
tardar, até a data de noventa (90) dias antes da expiração do Período
Inicial ou do Período de Renovação então vigente (cada uma, uma

terminate the Term by notice to the other Party that is sent not later
than the date that is ninety (90) days prior to the expiration of the
Initial Period or the then-current Renewal Period (each, a “Term
Termination Notice”). If either Party sends a Term Termination
Notice as and when required hereby, the Term shall end as of the
expiration of the Initial Period or the then-current Renewal Period,
as applicable, unless sooner terminated in accordance with the
provisions set forth elsewhere in this Agreement. Notwithstanding
anything in this Section 5 or otherwise, in respect of all Licensed
Content, Company and its Affiliates shall have all rights granted
under this Agreement for a period of not less than one (1) year from
the date of upload of the Licensed Content concerned,
notwithstanding the expiration or termination of the Term (the
“Minimum Exploitation Period”).
6. Territory
The territory of this Agreement is the world (the “Territory”).
7. Grant of Rights to Bytedance Platforms
Licensor hereby grants to Company and its Affiliates, on a non-
exclusive, sublicensable and assignable basis, during the Term, in
the Territory, all rights necessary in the Licensed Content
including, without limitation, all reproduction, distribution,
transmission, public performance (including public performance
rights in Licensed Underlying Works to the extent Licensor may
grant such rights directly in any particular country of the Territory),
public display, adaptation, synchronization, communication to the
public and making available rights (including public performance
rights in Licensed Underlying Works to the extent Licensor may
grant such rights directly in any particular country of the Territory),
to do (and to authorize users of the Bytedance Platforms to do, as
the case may be) the following:
a) make available Licensed Recordings (including Licensed
Underlying Works) and Live Recordings, in whole or in part, to
users of the Bytedance Platforms as on-demand streams and to the
general public via the Bytedance Platforms in order to promote the
availability of Licensed Content thereon, and to reproduce and
display Licensed Content on the Bytedance Platforms;
b) permit users of the Bytedance Platforms to download to
devices Licensed Content and Live Recordings as conditional
and/or permanent digital copies (each, a “Download”);
c) reproduce and store on servers Licensed Recordings
(including Licensed Underlying Works) and Live Recordings, and
make available the Licensed Recordings (including Licensed

“Notificação de Rescisão de Vigência do Contrato”). Se
qualquer uma das Partes enviar uma Notificação de Rescisão de
Vigência do Contrato como e quando exigido por meio deste
instrumento, a Vigência do Contrato terminará na expiração do
Período Inicial ou do Período de Renovação então atual, conforme
aplicável, a menos que seja rescindido antes de acordo com as
disposições estabelecidas em outras partes deste Contrato. Não
obstante qualquer disposição neste item 5 ou de outra forma
disposto neste Contrato, em relação a todo o Conteúdo Licenciado,
a Sociedade e suas Afiliadas deterão todos os direitos concedidos
sob este Contrato por um período não inferior a um (1) ano a partir
da data de carregamento do Conteúdo Licenciado em questão, não
obstante a expiração ou rescisão da Vigência do Contrato (o
“Período Mínimo de Exploração”).
6. Território
O território deste Contrato é o mundo (o “Território”).
7. Concessão de Direitos para Plataformas da ByteDance
O Licenciante aqui concede à Sociedade e a suas Afiliadas, de
forma não exclusiva, sublicenciável e passível de cessão, durante a
Vigência do Contrato, no Território, todos os direitos necessários
no Conteúdo Licenciado incluindo, sem limitação, todos os direitos
de reprodução, distribuição, transmissão, execução pública
(inclusive direitos de performance pública para Obras Subjacentes
Licenciadas, no limite em que seja permitido garantir tais direitos
diretamente em qualquer país do Território), exibição pública,
adaptação, sincronização, comunicação ao público e
disponibilização de direitos (inclusive direitos de performance
pública para Obras Subjacentes Licenciadas, no limite em que seja
permitido garantir tais direitos diretamente em qualquer país do
Território), para fazer (e para autorizar os usuários das Plataformas
da ByteDance a fazer, conforme o caso) o seguinte:
a) disponibilizar Gravações Licenciadas (incluindo Obras
Subjacentes Licenciadas) e Gravações ao Vivo, no todo ou em
parte, para usuários das Plataformas da ByteDance como streams
sob demanda e para o público em geral através das Plataformas da
ByteDance, para promover a disponibilidade de Conteúdo
Licenciado nelas e para reproduzir e exibir Conteúdo Licenciado
nas Plataformas da ByteDance
b) permitir que os usuários das Plataformas da ByteDance
façam download de Conteúdo Licenciado e Gravações ao Vivo para
dispositivos como cópias digitais condicionais e/ou permanentes
(cada um, um “Download”);
c) reproduzir e armazenar em servidores Gravações
Licenciadas (incluindo Obras Subjacentes Licenciadas) e
Gravações ao Vivo, e disponibilizar as Gravações Licenciadas

Underlying Works) and Live Recordings in the form of streams for
purposes of enabling users of the Bytedance Platforms to listen and
decide whether to use an excerpt of a Licensed Recording
(including Licensed Underlying Work) or a Live Recording in a
Video;
d) synchronize, incorporate, and/or enable users to
synchronize and incorporate Licensed Recordings (including
Licensed Underlying Works), Live Recordings and/or excerpts
thereof into a Video (e.g., from the licensed library of sound
recordings on the Bytedance Platforms, from the local library of
recordings on the user’s device via the upload, recording, and/or
microphone features of the Bytedance Platforms, or via selecting
the audio portion of another user’s Video on the Bytedance
Platforms);
e) permit users of the Bytedance Platforms to receive
playbacks of Videos created by users with incorporated Licensed
Recordings (including Licensed Underlying Works) and Live
Recordings, and permit users to save Videos with incorporated
Licensed Recordings (including Licensed Underlying Works), and
Live Recordings, to their devices (or storage clouds) and share such
Videos and Live Recordings with private or public audiences via
the Bytedance Platforms, email or messaging services and/or other
third party platforms, in each case whether by way of an attached
file or a link to the Video hosted on computer servers owned or
controlled by or on behalf of Company or its Affiliates;
f) display and use the Licensed Content and Videos which
embody Licensed Recordings (including Licensed Underlying
Works) or Live Recordings, in any media, whether on or off the
Bytedance Platforms, in promotions, marketing, advertising and/or
publicity related to the Company, its Affiliates, the Bytedance
Platforms and/or the Service;
g) modify, adapt, edit, remix, alter, make derivative works of
the Licensed Recordings (including Licensed Underlying Works)
or Live Recordings and exploit same on the Bytedance Platforms
or otherwise;
h) publicly perform/communicate to the public the Licensed
Recordings (including Licensed Underlying Works) and Licensed
Underlying Works (separate from the Licensed Recordings) in
content which is live streamed (i.e., transmitted in so-called “real
time”) on the Bytedance Platforms;
i) record and store content transmitted in so-called “real
time” that may include: (A) performances of one or more pre-
recorded Licensed Recordings (including Licensed Underlying
Works), and/or (B) performances of one or more Licensed
Underlying Works (separate from Licensed Recordings) (each, a
“Live Recording”) on users’ devices (or storage clouds) and
computer servers owned or controlled by or on behalf of Company
or its Affiliates, respectively;
j) to communicate to the public/publicly perform Licensed
Recordings (including Licensed Underlying Works) and Live
Recordings which are embodied in audiovisual promotions and/or
advertisements on the Bytedance Platforms;

em um Vídeo (por exemplo, da biblioteca licenciada fonogramas
nas Plataformas da ByteDance, da biblioteca local de gravações no
dispositivo do usuário por meio dos recursos de carregamento,
gravação e/ou microfone das Plataformas da ByteDance, ou por
meio da seleção de parte do áudio do Vídeo de outro usuário nas
Plataformas de Distribuição);
e) permitir que os usuários das Plataformas da ByteDance
recebam reproduções de Vídeos criados por usuários com
Gravações Licenciadas sincronizadas (incluindo Obras Subjacentes
Licenciadas) e Gravações ao Vivo, e permitir que os usuários
salvem Vídeos com Gravações Licenciadas sincronizadas
(incluindo Obras Subjacentes Licenciadas), e Gravações ao Vivo
nos seus dispositivos (ou nuvens de armazenamento) e
compartilham tais Vídeos e Gravações ao Vivo com públicos
privados ou públicos através das Plataformas da ByteDance, e-mail
ou serviços de mensagens e/ou outras plataformas de terceiros, em
cada caso por meio de um arquivo anexado ou um link para o Vídeo
hospedado em servidores de computador pertencentes ou
controlados por ou em nome da Sociedade ou suas Afiliadas;
f) exibir e usar o Conteúdo Licenciado e Vídeos que
incorporam Gravações Licenciadas (incluindo Obras Subjacentes
Licenciadas) ou Gravações ao Vivo, em qualquer mídia, seja dentro
ou fora das Plataformas da ByteDance, em promoções, marketing,
anúncios e/ou publicidade relacionada à Sociedade, suas Afiliadas,
às Plataformas da ByteDance e/ou ao Serviço;
g) modificar, adaptar, editar, remixar, alterar, fazer obras
derivadas das Gravações Licenciadas (incluindo Obras Subjacentes
Licenciadas) ou Gravações ao Vivo e explorá-las nas Plataformas
da ByteDance ou de outra forma;
h) executar/comunicar publicamente ao público as Gravações
Licenciadas (incluindo Obras Subjacentes Licenciadas) e Obras
Subjacentes Licenciadas (separadas das Gravações Licenciadas) em
conteúdo que é transmitido ao vivo (ou seja, transmitido no
chamado "tempo real") nas Plataformas da ByteDance;
i) gravar e armazenar o conteúdo transmitido no chamado
"tempo real", que pode incluir: (A) apresentações de uma ou mais
Gravações Licenciadas pré-gravadas (incluindo Obras Subjacentes
Licenciadas) e/ou (B) apresentações de uma ou mais Obras
Subjacentes Licenciadas (separadas das Gravações Licenciadas)
(cada uma, uma "Gravação ao Vivo") em dispositivos de usuários
(ou nuvens de armazenamento) e servidores de computador
pertencentes ou controlados por ou em nome da Sociedade ou suas
Afiliadas, respectivamente;
j) comunicar ao público/executar publicamente Gravações
Licenciadas (incluindo Obras Subjacentes Licenciadas) e
Gravações ao Vivo que estão sincronizadas em promoções
audiovisuais e/ou anúncios nas Plataformas da ByteDance;

k) to display the lyrics of the Licensed Underlying Works on
the Bytedance Platforms;
l) to allow business users on the Bytedance Platforms,
including without limitation, brands, commercial entities, business,
and advertisers (collectively, the “Business Users”), to synchronize
the Licensed Commercial Recordings (and the corresponding
Licensed Underlying Works) in a Video with or without the
Business Users’ brand, logo, trademark or other brand-identifying
characteristics, and further display the Video in any media, whether
on or off the Bytedance Platforms;
m) to grant any third parties (including, without limitation,
brands, commercial entities) the right to synchronize the Licensed
Commercial Recordings (and the corresponding Licensed
Underlying Works) and Live Recordings in paid advertisements
(including, without limitation, paid hashtag challenges, paid
branded effects, promoted videos, and paid advertisements
displayed in any other format), and other audiovisual productions
(e.g. motion pictures, television programs, video games, etc.) on the
Bytedance Platforms, or any of them, or in any other media (each,
a “Paid Synch License”); and
n) make all reproductions and distributions necessary to
facilitate any and all of the above-described activities.
7A. Company and its Affiliates shall not grant a third party a
synchronization license in respect of a Licensed Recording
(including the corresponding Licensed Underlying Work) which is
not a Licensed Commercial Recording for use in connection with
alcohol or tobacco, without your prior consent (e-mail authorization
shall be sufficient).
8. Distribution to Third Party Stores
a) Licensor further grants to Company and its Affiliates and its third
party distribution partners, on a sublicensable and assignable basis,
during the Term, in the Territory, all rights necessary in the
Licensed All-Platform Recordings, including, without limitation,
all reproduction, distribution, transmission, public performance
(including public performance rights in Licensed Underlying
Works to the extent Licensor may grant such rights directly in any
particular country of the Territory), public display, adaptation,
synchronization, communication to the public and making available
rights (including public performance rights in Licensed Underlying
Works to the extent Licensor may grant such rights directly in any
particular country of the Territory), to do the following:
(i) on an exclusive and irrevocable basis, to grant Third Party Stores
the sublicense, directly or via multiple tiers of sublicense, to
distribute Licensed All-Platform Recordings (including the
Licensed Underlying Work) by digital downloads and/or streaming,
and to collect all income deriving therefrom;
(ii) on an exclusive and irrevocable basis, to grant Third Party
Stores and/or their users the sublicense, directly or via multiple tiers
of sublicense, to synchronize the Licensed All-Platform Recordings
(including the Licensed Underlying Work) in timed relation with

k) exibir as letras das Obras Subjacentes Licenciadas nas
Plataformas da ByteDance;
l) permitir que os usuários comerciais das Plataformas da
ByteDance, incluindo mas não se limitando a marcas, entidades
comerciais, negócios e anunciantes (em conjunto, os “Usuários
Comerciais”) sincronizem as Gravações Comerciais Licenciadas (e
as correspondentes Obras Subjacentes Licenciadas) a Vídeos com
ou sem as marcas, logotipos ou outros elementos caracterizadores
da marca dos Usuários Comerciais, e demais exibições do Vídeo em
qualquer mídia, seja nas Plataformas da ByteDance ou não;
m) conceder a quaisquer terceiros (incluindo, sem limitação,
marcas, entidades comerciais) o direito de sincronizar as Gravações
Comerciais Licenciadas (e as Obras Subjacentes Licenciadas
correspondentes) e as Gravações ao Vivo a anúncios pagos
(incluindo, mas não se limitando, a desafios de hashtags pagos,
efeitos de marca pagos, vídeos promovidos, e exibição de anúncios
pagos em qualquer outro formato), e outras produções audiovisuais
(por exemplo, filmes, programas de televisão, videogames, etc.) nas
Plataformas da ByteDance, ou qualquer uma delas, ou em qualquer
outra mídia (cada uma, uma “Licença de Sincronização Paga”); e
n) fazer todas as reproduções e distribuições necessárias para
facilitar todas e quaisquer atividades descritas acima.
7A. A Sociedade e suas Afiliadas não devem conceder a terceiros
uma licença de sincronização em relação a uma Gravação
Licenciada (incluindo a Obra Subjacente Licenciada
correspondente) que não seja uma Gravação Comercial Licenciada
para uso em conexão com álcool ou tabaco sem o seu consentimento
prévio (autorização por e-mail será suficiente).
8. Distribuiçao para Plataformas de Terceiros
a) O Licenciante concede ainda à Sociedade e suas Afiliadas, e seus
terceiros parceiros de distribuição em uma base sublicenciável e
passível de cessão, durante o Prazo, no Território, todos os direitos
necessários sob as Gravações Licenciadas para Todas as
Plataformas, incluindo, sem limitação, todos os direitos de
reprodução, distribuição, transmissão, execução pública (inclusive
direitos de performance pública para Obras Subjacentes
Licenciadas, no limite em que seja permitido garantir tais direitos
diretamente em qualquer país do Território), exibição pública,
adaptação, sincronização, comunicação ao público e
disponibilização de direitos (inclusive direitos de performance
pública para Obras Subjacentes Licenciadas, no limite em que seja
permitido garantir tais direitos diretamente em qualquer país do
Território), para fazer o seguinte:
(i) em regime de exclusividade e forma irrevogável, conceder às
Plataformas de Terceiros uma sublicença, diretamente ou por meio
de múltiplas camadas de sublicenciamento, para distribuir
Gravações Licenciadas para Todas as Plataformas (inclusive Obras
Subjacentes Licenciadas) por download digital e/ou streaming, e
para coletar todas as receitas delas decorrentes;
(ii) em regime de exclusividade e de forma irrevogável, para
conceder às Plataformas de Terceiros e/ou seus usuários o
sublicenciamento, diretamente ou por meio de múltiplas camadas
de sublicenciamento, para sincronizar as Gravações Licenciadas

visual images, and any necessary rights of performance and
reproduction required for the operation of such Third Party Stores;
and
(iii) on a non-exclusive basis, to grant Third Party Stores the
sublicense, directly or via multiple tiers of sublicense, to use
Licensor’s name(s), photographs and likenesses, artwork images,
biographical and other information in the Licensed Marks, Licensed
Artwork, and Other Materials.
b) Neither Company nor its Affiliates, or any third party distribution
partner of Company, shall be liable for, or have any liability in
connection with, (i) the failure by a third party to deliver the
Licensed Content (in whole or part) to a particular Third Party
Store; (ii) the removal by a Third Party Store of the Licensed
Content (in whole or part) from its service, without regard to the
reason for doing so; (iii) the use or misuse of the Licensed Content
by a Third Party Store; or (iv) the failure by a Third Party Store to
account to Company, its Affiliates or any third party distribution
partner of Company.
9. Right of First Refusal
During the Term, Company shall have the first opportunity to
acquire ownership of intellectual property rights (including
copyright) in any or all Licensed Content on terms to be mutually
agreed upon by the Parties in good faith. In the event that Licensor
receives a third party offer during the Term to acquire ownership of
intellectual property rights (including copyright) in any Licensed
Content, Licensor will advise the third party concerned of
Company’s right of first refusal hereunder and will notify Company
of such offer, and the specific terms of such offer, in writing within
two (2) days of Licensor’s initial receipt of such third party offer.
Company shall then have forty-five (45) days to exercise its right
to acquire intellectual property rights (including copyright) in the
Licensed Content concerned, on the same terms as contained in
such third party offer (the “Third Party Offer Terms”). In the
event that Company elects not to exercise its rights under this
paragraph, Licensor may assign the Licensed Content concerned to
the offering party in accordance with the Third Party Offer Terms,
subject always to the rights granted to Company under this
Agreement. In the event the offering party does not acquire the
Licensed Content concerned on the Third Party Offer Terms, then
Company’s right of first refusal pursuant to this paragraph shall
continue to apply to the Licensed Content concerned.
10. LICENSE PAYMENTS

níveis de sublicenciamento, para usar o(s) nome(s) do Licenciante,
imagem e semelhança, imagens de obras de arte, informações
biográficas e outras informações nas Marcas Licenciadas, Arte
Licenciada, e outros materiais.
b) Nem a Sociedade, nem suas Afiliadas, ou qualquer terceiro
parceiro de distribuição da Sociedade, será responsável por, ou terá
qualquer responsabilidade em conexão com, (i) a falha de um
terceiro em entregar o Conteúdo Licenciado (no todo ou em parte)
a um Plataforma de Terceiros em particular; (ii) a remoção por uma
Plataforma de Terceiros do Conteúdo Licenciado (no todo ou em
parte) de seu serviço, sem levar em conta o motivo para fazê-lo; (iii)
o uso ou uso indevido do Conteúdo Licenciado por uma Plataforma
de Terceiros; ou (iv) a falha de uma Plataforma de Terceiros em
contabilizar a Sociedade, suas Afiliadas ou qualquer terceiro
parceiro de distribuição da Sociedade.
8. Direito de Preferência
Durante a Vigência do Contrato, a Sociedade terá a primeira
preferência de adquirir a propriedade dos direitos de propriedade
intelectual (incluindo direitos autorais) em qualquer ou todo o
Conteúdo Licenciado em termos a serem mutuamente acordados
pelas Partes de boa-fé. No caso de o Licenciante receber uma oferta
de terceiros durante a Vigência do Contrato para adquirir a
propriedade dos direitos de propriedade intelectual (incluindo
direitos autorais) sobre qualquer Conteúdo Licenciado, o
Licenciante informará o terceiro interessado sobre o direito de
preferência da Sociedade nos termos deste instrumento e notificará
a Sociedade de tal proposta, e os termos específicos de tal proposta,
por escrito dentro de dois (2) dias após o recebimento inicial de tal
proposta de terceiro pelo Licenciante. A Sociedade terá, então,
quarenta e cinco (45) dias para exercer seu direito de adquirir os

tal proposta de terceiro (os “Termos da Proposta de Terceiro”).
Caso a Sociedade opte por não exercer seus direitos nos termos
deste parágrafo, o Licenciante pode ceder o Conteúdo Licenciado
em questão à parte proponente de acordo com os Termos da
Proposta de Terceiro, sempre sujeitos aos direitos concedidos à
Sociedade nos termos deste Contrato. No caso de a parte proponente
não adquirir o Conteúdo Licenciado em questão nos Termos da
Proposta de Terceiro, o direito de preferência da Sociedade de
acordo com este parágrafo continuará sendo aplicável ao Conteúdo
Licenciado em questão.
9. PAGAMENTOS DA LICENÇA

In consideration for the rights granted in this Agreement and the
representations, warranties and covenants are made by Licensor in
this Agreement:
a) Licensed Recordings and Licensed Underlying Works on the
TikTok Platforms:
(i) on a monthly basis, in respect of each video created by a user on
the TikTok Platforms which embodies an identified excerpt of a
Licensed Recording, Company shall pay you one hundred percent
(100%) of the royalty you earn in an amount which equals a pro-
rata share of a sound recording royalty pool from which licensors
of sound recordings to the TikTok Platforms are compensated in
respect of videos created by users which embody their sound
recordings, such pro-rata share calculated by multiplying the
applicable royalty pool by a fraction, the numerator of which is the
total number of Videos created in the Territory embodying an
identified Licensed Recording by the total number of Videos
created embodying an identified sound recording in the Territory
during the same period;
(ii) on a monthly basis, in respect of each Video created by a user
on the TikTok Platforms which embodies an identified excerpt of a
Licensed Underlying Work, Company shall pay you one hundred
percent (100%) of the royalty you earn in an amount which equals
a pro-rata share of the mechanical/reproduction rights royalty pool
from which licensors of musical compositions to the TikTok
Platforms are compensated in respect of Videos created by users
which embody their musical compositions, such pro-rata share
calculated by multiplying the applicable royalty pool by a fraction,
the numerator of which is the total number of Videos created in the
Territory embodying an identified Licensed Underlying Work by
the total number of Videos created embodying an identified musical
composition in the Territory during the same period;
(iii) the respective royalty data and information described in
sections 10(a)(i) and (ii), above, will be disclosed on the Service's
reporting system on a monthly basis.
b) Licensed Recordings and Licensed Underlying Works on
Resso:
(i) on a monthly basis, in respect of each play of a Licensed
Recording for more than thirty (30) consecutive seconds (each, a
“Play”) on the free, ad-supported tier and the premium subscription
tier, in the month concerned, Company shall pay you one hundred
percent (100%) of the royalty you earn, as disclosed on the
Service’s reporting system on a monthly basis;
(ii) on a monthly basis, in respect of each Play of a Licensed
Underlying Work on the free, ad-supported tier and the premium
subscription tier, in the month concerned, Company shall pay you
one hundred percent (100%) of the royalty you earn, as disclosed
on the Service’s reporting system on a monthly basis;

Como contrapartida pelos direitos concedidos neste Contrato e
pelas declarações, garantias e acordos feitos pelo Licenciante neste
Contrato:
a) Gravações Licenciadas e Obras Subjacentes Licenciadas
nas Plataformas TikTok:
(i) mensalmente, em relação a cada vídeo criado por um usuário nas
Plataformas TikTok que sincronize um trecho identificado de uma
Gravação Licenciada, a Sociedade pagará a você 100% (cem por
cento) dos royalties que você auferir em um valor equivalente à
parte pro-rata do pool de royalties de fonogramas a partir do qual os
licenciantes de fonogramas para as Plataformas TikTok são
compensados em relação aos vídeos criados por usuários que
incorporam seus fonogramas, essa participação pro-rata será

(i) mensalmente, em relação a cada reprodução de uma Gravação
Licenciada por mais de trinta (30) segundos consecutivos (cada
uma, uma "Reprodução") na modalidade de assinatura gratuita,
suportada por anúncios e na modalidade de assinatura premium, no
mês em questão, a Sociedade pagará a você 100% (cem por cento)
dos royalties que você auferir, em valor a ser divulgado
mensalmente no sistema de relatórios do Serviço;
(ii) mensalmente, em relação a cada Reprodução de uma Obra
Subjacente Licenciada na modalidade de assinatura gratuita,
suportada por anúncios, e na modalidade de assinatura premium, no
mês em questão, a Sociedade pagará a você 100% (cem por cento)

(iii) notwithstanding sections (b)(i) and (ii), above, no royalties
shall be payable in respect of Plays of Licensed Recordings or
Licensed Underlying Works which occur during a user’s free trial
or other special program (e.g., VIP days) of Resso;
c) Business Users’ Videos on the TikTok Platforms:
(i) on a monthly basis, in respect of the exploitation of a Licensed
Commercial Recording (and the corresponding Licensed
Underlying Work) which is incorporated by a Business User in a
Video, Company shall pay you one hundred percent (100%) of the
royalty you earn in an amount which equals a pro-rata share of the
sound recording royalty pool from which licensors of sound
recordings to the TikTok Platforms are compensated in respect of
videos created by users which embody their sound recordings, and
an additional amount, based on the number of views of the Video
concerned, in a total amount to be disclosed on the Service’s
reporting system on a monthly basis;
(ii) on a monthly basis, in respect of the exploitation of a Licensed
Underlying Work embodied in the Licensed Commercial
Recording which is incorporated by a Business User in a Video,
Company shall pay you one hundred percent (100%) of the royalty
you earn in an amount which equals a pro-rata share of the
mechanical / reproduction rights royalty pool from which licensors
of musical compositions to the TikTok Platforms are compensated
in respect of videos created by users which embody their musical
compositions, and an additional amount based on the number of
views of the Video concerned, in a total amount to be disclosed on
the Service’s reporting system on a monthly basis.
d) Paid Synch Licenses: in respect of a Paid Synch License for a
Licensed Commercial Recording (and the corresponding Licensed
Underlying Work) granted by Company or an Affiliate to a third-
party, Company or its Affiliate (as applicable) shall pay you sixty-
five percent (65%) of the Net Synch Receipts in connection with
such Paid Synch License.
e) Third Party Stores Distribution: in respect of the exploitation
of a Licensed All-Platform Recording on the Third Party Stores,
Company shall credit to your Service account, (i) one hundred
percent (100%) of the Net Third Party Store Income received during
the first year from the date of upload of the Licensed All-Platform
Recording concerned, and (ii) ninety percent (90%) of the Net Third
Party Store Income received during remaining period of the Term,
as disclosed on the Service’s reporting system.

do pool de royalties de fonogramas a partir do qual os licenciantes
de fonogramas para as Plataformas TikTok são compensados em
relação aos vídeos criados por usuários que incorporam seus
fonogramas, e uma quantia adicional, com base no número de
visualizações do Vídeo em questão, em um valor total a ser
divulgado no sistema de relatórios do Serviço em uma base mensal;
(ii) em uma base mensal, em relação à exploração da Obra
Subjacente Licenciada incorporada na Gravação Comercial
Licenciada que seja incorporada por um Usuário Comercial em um
Vídeo, a Sociedade deve pagar a você 100% (cem por cento) dos
royalties que você auferir em um valor igual a uma parte pro-rata
do pool de royalties de direitos mecânicos/de reprodução a partir do
qual os licenciantes de composições musicais para as Plataformas
TikTok são compensados em relação a vídeos criados por usuários
que incorporam suas composições musicais e um valor adicional
com base no número de visualizações do vídeo em questão, em um
valor total a ser disponibilizado no sistema de relatório do Serviço
em uma base mensal.
d) Licenças de Sincronização Pagas: em relação a uma Licença
de Sincronização Paga para uma Gravação Comercial Licenciada (e
Obra Subjacente Licenciada correspondente) concedida pela
Sociedade ou uma Afiliada a um terceiro, a Sociedade ou sua
Afiliada (conforme aplicável) pagará a você sessenta e cinco por
cento (65%) das Receitas Líquidas de Sincronização com relação a
essa Licença de Sincronização Paga.
e) Plataformas de Terceiros: em relação à exploração de uma
Gravação Licenciada para Todas Plataformas nas Plataformas de
Terceiros, a Sociedade deve creditar em sua conta de Serviço (i)
cem por cento (100%) da Renda Líquida das Plataformas de
Terceiros recebida durante o primeiro ano a partir da data de upload
da Gravação Licenciada para Todas as Plataformas em questão, e
(ii) noventa por cento (90%) da Renda Líquida das Plataformas de
Terceiros recebida durante o período remanescente do Prazo,
conforme divulgado no sistema de relatórios do Serviço.

11. Payments and Reporting
a) Payments required by section 10, above (collectively, “License
Royalties”), will be determined and computed on a calendar
monthly basis during the Term (and the Minimum Exploitation
Period, if applicable). Total License Royalties in each calendar
month shall be accessible to you at the Service’s reporting system
in Brazilian Reais and credited to your Service account. With
respect to License Royalties attributable to Net Third Party Store
Income, Company will credit to your Service account the applicable
sums received from Company’s third party distributor(s) on an as-
received basis, which may be less frequently than monthly, depending
on each Third Party Store’s individual accounting cycle. Once the
Licensed Royalties have been credited to your account, you will be
able to withdraw monies from your account in accordance with the
applicable rules set forth on the Service.
b) Other than the amounts expressly referenced in this Agreement,
no additional fees, amounts or consideration of any kind or nature,
other than royalties payable in respect of the public performance and/or
communication to the public of Licensed Underlying Works to the
extent they are controlled and/or administered by a performing rights
organization, collective management organization or collecting
society, will be owed by or on behalf of Company or its Affiliates,
directly or indirectly, in connection with the use of Licensed
Content in connection with the Service, the Distribution Platforms
or the exercise of the rights granted to Company, its Affiliates or
any third parties under this Agreement.
c) For the avoidance of doubt, neither Company nor any of its
Affiliates will be obligated to pay to or on behalf of Licensor any
additional amounts in connection with the storage, hosting, display,
encoding, reproduction, communication, performance, making
available, transmission, delivery, distribution, exhibition or other
use or exploitation of Licensed Content, in whole or in part, directly
or indirectly, including any incidental uses of Licensed Content for
purposes of operating, marketing and/or promoting the Service or
Distribution Platforms or otherwise.
(d) Without limiting any of Company’s other rights and remedies
hereunder (including those set forth in Section 15, below), if during or
after the Term, but not to exceed the Clawback Period, a Third Party
Store, Company’s distribution partner or other third party claims, with
substantiating evidence, any License Royalties previously paid to you
hereunder should have been less (whether as a result of Fraudulent
Videos/Plays, copyright infringement, or otherwise), Company shall
have the right to (i) deduct from the available balance in your Service
account the amount demanded by such claimant, which is not subject
to a bona fide, good faith objection by you; or (ii) demand
reimbursement by you of such undisputed amount, and you agree to
reimburse Company for such amount on demand. “Clawback Period”

11. Pagamentos e Relatórios

mensalmente, dependendo de cada ciclo de contabilidade individual
da Plataforma de Terceiros. Assim que os Royalties de Licença
forem creditados em sua conta, você poderá sacar o dinheiro de sua
conta de acordo com as regras aplicáveis estabelecidas no Serviço.
b) Além dos valores expressamente referenciados neste Contrato,
nenhuma taxa, valores ou contraprestação adicionais de qualquer
tipo ou natureza, exceto royalties a pagar em relação à execução
pública e/ou comunicação ao público de Obras Subjacentes
Licenciadas, na medida em que sejam controladas e/ou
administradas por uma organização de direitos de execução,
organização de gestão coletiva ou sociedade de gestão coletiva,
serão devidos por ou em nome da Sociedade ou suas Afiliadas, quer
direta ou indiretamente, com relação ao uso do Conteúdo
Licenciado em conexão com o Serviço, as Plataformas de
Distribuição ou o exercício dos direitos concedidos à Sociedade,
suas Afiliadas ou quaisquer terceiros no âmbito deste Contrato.
c) Para evitar dúvidas, nem a Sociedade nem qualquer uma de suas
Afiliadas será obrigada a pagar para ou em nome do Licenciante
quaisquer valores adicionais relacionados ao armazenamento,
hospedagem, exibição, codificação, reprodução, comunicação,
execução, disponibilização, transmissão, entrega, distribuição,
exibição ou outro uso ou exploração do Conteúdo Licenciado, no
todo ou em parte, direta ou indiretamente, incluindo quaisquer usos
incidentais de Conteúdo Licenciado para fins de operação,
marketing e/ou promoção do Serviço ou Plataformas de
Distribuição ou de outra forma.
d) Sem limitar quaisquer outros direitos e remédios da Sociedade aqui
descritos (inclusive aqueles descritos na Cláusula 15 abaixo), se
durante ou após o Prazo, mas sem exceder o Período de Recuperação,
uma ação de Plataforma de Terceiro, de parceiro de distribuição da
Sociedade ou de qualquer outro terceiro com evidências substanciais,
quaisquer royalties de licença pagos anteriormente a você nos termos
deste instrumento deveriam ter sido menores (seja como resultado de
vídeos / reproduções fraudulentas, violação de direitos autorais ou de
outra forma), a Sociedade terá o direito de (i) deduzir do saldo
disponível em sua conta do Serviço, o valor exigido por tal reclamante,
que não está sujeito a uma objeção de boa fé e de boa-fé de sua parte;
ou (ii) exigir o reembolso por você de tal quantia indiscutível, e você
concorda em reembolsar a Sociedade por tal quantia sob demanda.

as used herein shall mean a period of time equal to the longer of (i)
twelve (12) months following the end of the Term (or Minimum
Exploitation Period, if applicable); and (ii) the period during which
Company’s distribution partner can contractually demand repayment
from Company with respect to the Licensed Content subject to the
applicable claim.
12. Tax
Licensor is responsible for all taxes (if any) associated with the
Agreement. All payments to Licensor from Company in relation to
the Agreement shall be inclusive of tax (if applicable). If any
payments made by Company to Licensor under this Agreement are
subject to withholding tax levied by any governmental authority,
Company may withhold the applicable withholding tax from the
relevant payment and remit the balance to Licensor. In this event,
Company shall provide to Licensor the tax receipts issued by the
relevant tax authority evidencing payment of taxes so deducted or
withheld upon receiving the receipt. To the extent any amounts for
taxes are so withheld, such withheld amounts shall be treated for all
purposes of this Agreement as having been paid to the person or
entity to whom or to which such amounts would otherwise have
been paid. Licensor and its Affiliates are not entitled to any gross-
up if any amounts are withheld by or on behalf of Company due to
the applicable law. Licensor shall provide Company with all
required documents for the purposes of making any payments
herein.
13. Indemnification & Limitation of Liability
a) Licensor agrees to defend, indemnify and hold harmless
Company, its Affiliates, subsidiaries, related corporations,
successors, licensees, agents, contractors, sublicensees, resellers,
attorneys and assignees, and the officers, directors, shareholders,
contractors, members and employees of the foregoing (collectively,
“Company Parties”), from and against any and all liabilities,
damages, awards, settlements, losses, claims, suits, proceedings,
assertions and expenses, including without limitation, court costs,
reasonable third party legal fees and third party costs of
investigation due to any claim, suit, proceeding or assertion by a
third party: (i) based on facts that, if true, would constitute a breach
by Licensor of this Agreement, including any warranty,
representation, agreement or covenant made in this Agreement by
Licensor; and (ii) arising from or related to the rights, permissions
and authorizations granted to Company and/or its Affiliates in this
Agreement or the exercise thereof, of whatever nature and in
whichever jurisdiction, which are or which may be sustained,
instituted, made or alleged against, or suffered or incurred by
Company Parties.
b) WITHOUT LIMITING THE INDEMNITY OBLIGATIONS
OF THE PARTIES PURSUANT TO THE FOREGOING
PROVISIONS OF THIS SECTION, NEITHER PARTY HERETO
WILL BE LIABLE TO THE OTHER PARTY FOR ANY

“Período de Recuperação”, conforme usado neste documento, significa
um período de tempo igual a (i) doze (12) meses após o final do Prazo
(ou Período Mínimo de Exploração, se aplicável); e (ii) o período
durante o qual o parceiro de distribuição da Sociedade pode exigir
contratualmente o reembolso da Sociedade com relação ao Conteúdo
Licenciado sujeito à reivindicação aplicável.
12. Impostos
O Licenciante é responsável por todos os tributos (se aplicável)
associados com este Contrato. Todos os pagamentos ao Licenciante
pela Sociedade em relação ao Contrato serão incluídos de impostos
(se aplicável). Se quaisquer pagamentos feitos pela Sociedade ao
Licenciante sob este Contrato estiverem sujeitos a imposto retido na
fonte cobrado por qualquer autoridade governamental, a Sociedade
pode reter tal imposto aplicável do pagamento em questão e remeter
o saldo ao Licenciante. Nesse caso, a Sociedade fornecerá ao
Licenciante os recibos fiscais emitidos pela autoridade fiscal
competente, comprovando o pagamento dos impostos assim
deduzidos ou retidos no momento do recebimento do recibo. Na
medida em que quaisquer valores de impostos sejam retidos, tais
valores retidos serão tratados para todos os fins deste Contrato como
tendo sido pagos à pessoa ou entidade a quem ou à qual tais valores
teriam sido pagos. O Licenciante e suas Afiliadas não têm direito a
qualquer valor bruto se quaisquer valores forem retidos por ou em
nome da Sociedade devido à lei aplicável. O Licenciante fornecerá
à Sociedade todos os documentos necessários para fins de fazer
quaisquer pagamentos aqui descritos.
13. Indenização e Limitação de Responsabilidade
a) O Licenciante concorda em defender, indenizar e isentar de
responsabilidade a Sociedade, suas Afiliadas, subsidiárias,
corporações relacionadas, sucessores, licenciadas, agentes,
contratados, sublicenciadas, revendedores, advogados e
cessionários, e os diretores, conselheiros, acionistas, contratados,
membros e funcionários das pessoas/entidades anteriores
(coletivamente, "Partes da Sociedade"), de e contra todas e
quaisquer responsabilidades, danos, indenizações, acordos, perdas,
reivindicações, processos, procedimentos, afirmações e despesas,
incluindo, sem limitação, custas judiciais, honorários advocatícios
de terceiros razoáveis e custos de investigação de terceiros devido
a qualquer reclamação, processo, procedimento ou afirmação por
um terceiro: (i) com base em fatos que, se verdadeiros, constituiriam
uma violação pelo Licenciante deste Contrato, incluindo qualquer
garantia, declaração, acordo ou avença feito neste Contrato pelo
Licenciante; e (ii) decorrentes de ou relacionados aos direitos,
permissões e autorizações concedidas à Sociedade e/ou suas
Afiliadas neste Contrato ou ao seu exercício, de qualquer natureza
e em qualquer jurisdição, que são ou podem ser mantidos,
instituídos, criados ou alegados contra, ou sofridos ou incorridos
pelas Partes da Sociedade.
b) SEM LIMITAR AS OBRIGAÇÕES DE INDENIZAÇÃO DAS
PARTES DE ACORDO COM AS DISPOSIÇÕES ANTERIORES
DESTA CLÁUSULA, NENHUMA DAS PARTES SERÁ
RESPONSÁVEL PERANTE A OUTRA PARTE POR

INDIRECT, INCIDENTAL, CONSEQUENTIAL, PUNITIVE OR
SPECIAL DAMAGES, ARISING OUT OF OR RELATED TO
THIS AGREEMENT, INCLUDING DAMAGES FOR LOSS OF
BUSINESS PROFITS, BUSINESS INTERRUPTION, LOSS OF
BUSINESS INFORMATION, AND THE LIKE, EVEN IF SUCH
PARTY HAS BEEN ADVISED OF THE POSSIBILITY OF
SUCH DAMAGES. COMPANY AND ITS AFFILIATES MAKE
NO WARRANTY OR REPRESENTATION, EXPRESS OR
IMPLIED, TO LICENSOR AS TO THE QUALITY,
PERFORMANCE, MERCHANTABILITY OR FITNESS FOR A
PARTICULAR PURPOSE OF THE SERVICE OR ANY OF THE
DISTRIBUTION PLATFORMS, OR ANY ELEMENTS
THEREOF. THE AGGREGATE LIABILITY OF COMPANY
AND ITS AFFILIATES FOR ANY AND ALL CAUSES OF
ACTION ARISING OUT OF OR RELATED TO THIS
AGREEMENT SHALL NOT EXCEED THE AMOUNT OF
MONEY PAID BY COMPANY TO LICENSOR DURING THE
TERM PRIOR TO THE DATE OF THE BREACH OR ALLEGED
BREACH BY COMPANY OR AN AFFILIATE OF THIS
AGREEMENT GIVING RISE TO SUCH LIABILITY.
14.Third-Party Rights Responsibilities:
As between Company, its Affiliates and Licensor, Licensor is
responsible for obtaining and paying for any and all rights, consents
and licenses required in connection with the exploitation of
Licensed Content as authorized in this Agreement other than public
performance / communication to the public rights to the Licensed
Underlying Works to the extent they are controlled and/or administered
by a performing rights organization, collective management
organization or collecting society (e.g., in connection with all record
royalties in respect of the use and exploitation of sound recordings
and audiovisual works; unions/guilds; performer’s rights, rights of
equitable remuneration, and neighboring rights, rights of publicity
including any and all name/image/likeness rights embodied in
Licensed Content made available via Distribution Platforms or
otherwise throughout the Territory, including any and all
synchronization, mechanical, distribution and making available
rights in the Underlying Works (as applicable), however
characterized under applicable laws, etc.).
15. Termination Rights
a) Without limiting any other remedy available at law or in
equity, either Party may terminate the Term in the event of any
material breach of this Agreement by the other Party that is not
remedied within sixty (60) days after notice to the breaching party
thereof. Without limiting the generality of the preceding sentence,
neither Party shall be entitled to recover damages or to terminate
the Term by reason of any breach by the other Party of its
obligations hereunder unless the breaching party fails to remedy
such breach within sixty (60) days following receipt of notice
thereof. The foregoing cure period(s) will not apply to breaches

DANOS POR LUCROS CESSANTES, INTERRUPÇÃO DE
NEGÓCIOS, PERDA DE INFORMAÇÕES DE NEGÓCIOS
ENTRE OUTROS DANOS SIMILARES, MESMO QUE TAL
PARTE TENHA SIDO AVISADA DA POSSIBILIDADE DE
TAIS DANOS. A SOCIEDADE E SUAS AFILIADAS NÃO
OFERECEM NENHUMA GARANTIA OU DECLARAÇÃO,
EXPRESSA OU IMPLÍCITA, AO LICENCIANTE QUANTO À
QUALIDADE, DESEMPENHO, COMERCIALIZAÇÃO OU
ADEQUAÇÃO A UMA DETERMINADA FINALIDADE DO
SERVIÇO OU QUALQUER UMA DAS PLATAFORMAS DE
DISTRIBUIÇÃO, OU QUAISQUER ELEMENTOS DOS
MESMOS. A RESPONSABILIDADE AGREGADA DA
SOCIEDADE E DE SUAS AFILIADAS POR TODAS E
QUAISQUER CAUSAS DE AÇÃO DECORRENTES OU
RELACIONADAS A ESTE CONTRATO NÃO EXCEDERÁ O
MONTANTE DE DINHEIRO PAGO PELA SOCIEDADE AO
LICENCIANTE DURANTE A VIGÊNCIA DO CONTRATO
ANTERIORMENTE À DATA DA VIOLAÇÃO OU SUPOSTA
VIOLAÇÃO DESTE CONTRATO PELA SOCIEDADE OU
UMA AFILIADA QUE DÊ ORIGEM A TAL
RESPONSABILIDADE.
14. Responsabilidades de Direitos de Terceiros:
Entre a Sociedade, suas Afiliadas e o Licenciante, o Licenciante é
responsável por obter e pagar por todos e quaisquer direitos,
consentimentos e licenças exigidos quanto à exploração do
Conteúdo Licenciado conforme autorizado neste Contrato exceto
royalties a pagar em relação à execução pública e/ou comunicação
ao público de Obras Subjacentes Licenciadas, na medida em que
sejam controladas e/ou administradas por uma organização de
direitos de execução, organização de gestão coletiva ou sociedade
de gestão coletiva (por exemplo, em conexão com todos os royalties
em relação à utilização e exploração de fonogramas e obras
audiovisuais; sindicatos/associações; direitos do intérprete, direitos
de remuneração equitativa e direitos conexos, direitos de
publicidade, incluindo todos e quaisquer direitos de nome/imagem
incorporados no Conteúdo Licenciado disponibilizado através de
Plataformas de Distribuição ou de outra forma em todo o Território,
incluindo todos e quaisquer direitos de sincronização, mecânicos,
distribuição e disponibilização nas Obras Subjacentes (conforme
aplicável), independentemente de como caracterizado pelas leis
aplicáveis, etc.).
15. Direitos de Rescisão
a) Sem limitar qualquer outro recurso disponível na lei ou por
equidade, qualquer uma das Partes pode rescindir a Vigência do
Contrato no caso de qualquer violação material deste Contrato pela
outra Parte que não seja corrigida em sessenta (60) dias após
notificação à parte infratora. Sem limitar a generalidade da
disposição anterior, nenhuma das Partes terá o direito de recuperar
os danos ou rescindir a Vigência do Contrato em razão de qualquer
violação pela outra Parte de suas obrigações nos termos deste
instrumento, a menos que a parte infratora não consiga remediar tal
violação em sessenta (60) dias após o recebimento da notificação.

In addition, Company may terminate the Term upon notice to
Licensor in the event that Company ceases to operate the Service
during the Term.
b) Company shall have the right, at any time, to terminate this
Agreement, remove any of the Licensed Content from the Service
and/or the Distribution Platforms, cease providing services to
Licensor, and/or cease the exploitation and distribution of any
Licensed Content, which Company may elect to do as a result of
the determination that (i) Licensed Content infringes or may
infringe upon any third party rights, (ii) Licensor has violated this
Agreement or the Terms of Service, Privacy Policy and/or
Community Guidelines of the Service or a Distribution Platform,
(iii) Licensed Content on the Service or Distribution Platforms may
be hateful, offensive, obscene or inappropriate, (iv) Licensor’s
actions or Licensed Content may harm Company and/or its
Affiliates or bring Company and/or its Affiliates into disrepute by
association, or (v) for any other reason, or no reason, that Company
may determine in its sole discretion.
c) Licensor acknowledges and agrees that, notwithstanding
the expiration or termination of the Term (and the Minimum
Exploitation Period, if any) any content previously created with
and/or generated from Licensed Content including, without
limitation, any Video which embodies Licensed Content, may
remain accessible to users of the Distribution Platforms, and that
Company and its Affiliates shall have no liability for a user’s or a
third party’s retention, use or distribution of any such user
created/generated content.
d) Upon expiration or termination of the Term (and the Minimum
Exploitation Period, if any) with respect to Licensed All-Platform
Recordings, Company shall use commercially reasonable time to
inform Third Party Stores that they are no longer authorized to
distribute the Licensed All-Platform Recordings. Licensor
acknowledges and agrees that Company will not be responsible for
any delays of Third Party Stores’ removing of the Licensed All-
Platform Recordings from their owned or operated services and will
continue to have the exclusive rights to collect the income before
actual removal of such Licensed All-Platform Recordings from the
Third Party Stores.
16. Fraudulent Videos/Plays
a) At all times during and after the Term (and the Minimum
Exploitation Period, if any), Company and its Affiliates reserve the
right to exclude from the determination and calculation of License
Royalties in respect of creations on the TikTok Platforms of Videos
embodying the Licensed Recordings and/or Plays of the Licensed
Recordings on Resso, that Company or its Affiliates reasonably
believe to have been created as the result of fraud or abuse
(“Fraudulent Videos/Plays”).

impossíveis de serem sanadas ou a um pedido de medida cautelar.
Além disso, a Sociedade pode rescindir a Vigência do Contrato
mediante notificação ao Licenciante, caso a Sociedade deixe de
operar o Serviço durante a Vigência do Contrato.
b) A Sociedade terá o direito, a qualquer momento, de
rescindir este Contrato, remover qualquer Conteúdo Licenciado do
Serviço e/ou das Plataformas de Distribuição, cessar a prestação dos
serviços ao Licenciante e/ou cessar a exploração e distribuição de
qualquer Conteúdo Licenciado, o que a Sociedade pode decidir
fazer como resultado da determinação de que (i) o Conteúdo
Licenciado infringe ou pode infringir quaisquer direitos de
terceiros, (ii) o Licenciante violou este Contrato ou os Termos de
Serviço, Política de Privacidade e/ou Diretrizes da Comunidade do
Serviço ou de uma Plataforma de Distribuição, (iii) o Conteúdo
Licenciado no Serviço ou Plataforma de Distribuição pode ser um
conteúdo de ódio, ofensivo, obsceno ou impróprio, (iv) as ações do
Licenciante ou o Conteúdo Licenciado podem prejudicar a
Sociedade e/ou suas Afiliadas ou desacreditar a Sociedade/ou suas
Afiliadas por associação, ou (v) por qualquer outro motivo, ou sem
motivo, que a Sociedade possa determinar a seu exclusivo critério.
c) O Licenciante reconhece e concorda que, não obstante a
expiração ou rescisão da Vigência do Contrato (e do Período
Mínimo de Exploração, se houver) qualquer conteúdo previamente
criado com e/ou gerado a partir do Conteúdo Licenciado, incluindo,
sem limitação, qualquer Vídeo que incorpore o Conteúdo
Licenciado, pode permanecer acessível aos usuários das
Plataformas de Distribuição, e a Sociedade e suas Afiliadas não
terão nenhuma responsabilidade pela retenção, uso ou distribuição
de um usuário ou terceiro de qualquer conteúdo criado/gerado pelo
usuário.
d) Após a expiração ou rescisão do Prazo (e do Período Mínimo
de Exploração, se houver) com relação às Gravações Licenciadas
para Todas as Plataformas, a Sociedade deverá, em tempo
comercialmente razoável, informar às Plataformas de Terceiros que
não estão mais autorizadas a distribuir as Gravações Licenciadas
para Todas as Plataformas. O Licenciante reconhece e concorda que
a Empresa não será responsável por quaisquer atrasos na remoção
das Gravações Licenciadas para Todas as Plataformas pelas
Plataformas de Terceiros de seus serviços próprios ou operados e
continuará a ter os direitos exclusivos de coletar a renda antes da
remoção real de tais Gravações Licenciadas para Todas as
Plataformas das Plataformas de Terceiros.
16. Vídeos/Reproduções Fraudulentas
a) Em todos os momentos durante e após a Vigência do Contrato (e
o Período Mínimo de Exploração, se houver), a Sociedade e suas
Afiliadas se reservam o direito de excluir da determinação e cálculo
dos Royalties de Licença, em relação às criações nas Plataformas
TikTok de Vídeos que incorporam as Gravações Licenciadas e/ou
Reproduções das Gravações Licenciadas no Resso, que a Sociedade
ou suas Afiliadas razoavelmente acreditam ter sido criadas como

b) Without limiting any of Company’s or its Affiliates’ other rights
and remedies, if Company or an Affiliate reasonably believes that
Fraudulent Videos/Plays have occurred, Company and its Affiliates
will have each of the following options (which may be exercised
alone, or in any combination, in their sole, unrestricted discretion):
(i) to require Licensor to immediately and unconditionally
reimburse them for any and all License Royalties previously paid
to or on behalf of Licensor, that are attributable to Fraudulent
Videos/Plays, as determined by Company or its Affiliate (as
applicable), promptly following Company’s or its Affiliate’s
request therefor (but in no event later than five (5) days thereafter
in each instance), (ii) to offset any and all License Royalties
previously paid to or on behalf of Licensor, that are attributable to
Fraudulent Videos/Plays, as determined by Company or its Affiliate
(as applicable), from any and all future License Royalties due for
the remainder of the Term (and the Minimum Exploitation Period,
if any), and/or (iii) to amend and restate (without giving effect to
Fraudulent Videos/Plays) any and all calendar monthly reporting
statements previously delivered to Licensor with retroactive effect,
in order to reverse Fraudulent Videos/Plays and recalculate the
License Royalties due for such monthly periods of the Term (and
the Minimum Exploitation Period, if any) (without giving effect to
Fraudulent Videos/Plays).
c) Without limiting any of Company’s or its Affiliates’ other rights
and remedies, if Company or an Affiliate reasonably believes that
Licensor is directly or indirectly responsible for Fraudulent
Videos/Plays (whether by means of engaging in such activities
directly, or by indirectly lending any form of support, assistance,
funding, resources, cooperation or other form or method of
participation or encouragement to a third party), then, without
limiting the generality of anything in the preceding paragraph,
Company and its Affiliates will have each of the following
additional options (which they may exercise alone, or in any
combination, in their sole, unrestricted discretion): (i) to deem
Licensor to be in material breach of its material obligations under
this Agreement, which are incapable of being cured, (ii) to
terminate the Term, with immediate prospective effect, (iii) to
terminate your Service account and/or the user account of the
persons or entities on the Distribution Platforms that Company or
its Affiliates reasonably believe are responsible for Fraudulent
Videos/Plays, (iv) to disable your further access to the Service,
and/or (v) to immediately take-down from the Service and the
Distribution Platforms the Licensed Content associated with the
Fraudulent Videos/Plays.

seguintes opções (que podem ser exercidas de forma isolada, ou em
qualquer combinação, a seu exclusivo e irrestrito critério): (i) exigir
que o Licenciante os reembolse imediata e incondicionalmente por
todos e quaisquer Royalties de Licença pagos anteriormente para ou
em nome do Licenciante, que sejam atribuíveis a
Vídeos/Reproduções Fraudulentas, conforme determinado pela
Sociedade ou sua Afiliada (conforme aplicável), imediatamente
após a solicitação da Sociedade ou de sua Afiliada (mas em nenhum
caso depois de cinco (5) dias em cada instância), (ii) compensar
todos e quaisquer Royalties de Licença anteriormente pagos para ou
em nome do Licenciante, que são atribuíveis a Vídeos/Reproduções
Fraudulentas, conforme determinado pela Sociedade ou sua
Afiliada (conforme aplicável), de todos e quaisquer Royalties de
Licença futuros devidos pelo restante da Vigência do Contrato (e o
Período Mínimo de Exploração, se houver) e/ou (iii) alterar e
reafirmar (sem dar efeito a Vídeos/Reproduções Fraudulentas)
todas e quaisquer declarações de relatórios mensais previamente
entregues ao Licenciante com efeito retroativo, a fim reverter
Vídeos/Reproduções Fraudulentas e recalcular os Royalties de
Licença devidos para esses períodos mensais da Vigência do
Contrato (e o Período Mínimo de Exploração, se houver) (sem dar
efeito a Vídeos/Reproduções Fraudulentas).
c) Sem limitar qualquer um dos outros direitos e recursos da
Sociedade ou de suas Afiliadas, se a Sociedade ou uma Afiliada
razoavelmente acreditar que o Licenciante é direta ou indiretamente
responsável por Vídeos/Reproduções Fraudulentas (seja por meio
de envolvimento direto em tais atividades, ou por fornecer
indiretamente qualquer forma de suporte, assistência,
financiamento, recursos, cooperação ou outra forma ou método de
participação ou incentivo a um terceiro), então, sem limitar a
generalidade de qualquer coisa no parágrafo anterior, a Sociedade e
suas Afiliadas terão cada uma das seguintes opções adicionais (que
elas podem exercer sozinhas, ou em qualquer combinação, a seu
exclusivo e irrestrito critério): (i) considerar que o Licenciante está
em violação material de suas obrigações materiais nos termos deste
Contrato, que são incapazes de ser sanadas, (ii) rescindir a Vigência
do Contrato, com efeito imediato, (iii) encerrar sua conta de Serviço
e/ou a conta de usuário de pessoas ou entidades nas Plataformas de
Distribuição que a Sociedade ou suas Afiliadas razoavelmente
acreditem serem responsáveis por Vídeos/Reproduções
fraudulentas, (iv) desativar seu acesso ao Serviço e/ou (v) retirar
imediatamente do Serviço e das Plataformas de Distribuição o
Conteúdo Licenciado associado a Vídeos/Reproduções
fraudulentas.
17. Notificação

All notices under this Agreement must be in writing and delivered
to the address specified below in order to be effective.

18. Applicable Law
This Agreement will be governed by the laws of the Federative
Republic of Brazil without regard to conflicts of legal provisions.
Any dispute or claim arising out of or related to this Agreement will
be resolved by arbitration. The Parties, by mutual agreement, under
the terms of Section 4, caput, § 1 and Section 5th. of Law no.
9.307/96, elect the Brazil Canada Chamber of Commerce - BCCC,
in the city of São Paulo, Brazil, to settle all disputes arising from
this Agreement and to resolve definitively any disputes in
accordance with the rules of the BCCC’s internal Regulations,
waiving any other court, however privileged it may be. The place
of the arbitration will be in São Paulo, Brazil. The Parties define
that the procedure will count on the performance of one (1)
arbitrator, appointed in accordance with the provisions of the
abovementioned BCCC’s Regulation.
19. Force Majeure
Neither Party will be responsible for, or be in breach of this
Agreement, to the extent that its performance is delayed as a result
of any act of God, war, terrorism, fire, earthquake, pandemic,
epidemic or other natural disaster, civil commotion, act of
government or any other cause wholly beyond its control, and not
due to its own negligence or that of its contractors or
representatives, and which cannot be overcome by the exercise of
due diligence, including, without limitation, any
regulations/restrictions/orders/sanctions issued by governments
and/or other authorized entities which result in Company being
unable to provide the Service in any part of the Territory during the
period of continuance/enforcement of any such
regulations/restrictions/orders/sanctions ("Force Majeure
Event"). Licensor agrees that Company shall have the right to
suspend the Term and the operation of this Agreement and
Company’s obligations hereunder in the event of a Force Majeure
Event. Such right may be exercised by Company by way of a
written notice to Licensor, and such suspension will last for the
duration of the applicable Force Majeure Event.
20. Miscellaneous:
a) This Agreement constitutes the entire agreement between the
Parties and supersedes all other prior and contemporaneous
agreements or communications with respect to the subject matter
hereof. Licensor agrees to be bound by the Terms of Service and
the Privacy Policy provided on the Service, and the Distribution
Platforms Agreements as they pertain to Licensor for the
exploitation of the Licensed Content and the rights granted
hereunder on the Distribution Platforms. To the extent the terms of
this Agreement conflict with the terms of the Terms of Service or
the Privacy Policy provided on the Service, or terms of the

18. Lei Aplicável
Este Contrato será regido pelas leis da República Federativa do
Brasil, independentemente de conflitos de disposições legais.
Qualquer controvérsia ou reclamação decorrente de ou relacionada
a este Contrato será resolvida por arbitragem. As Partes, de comum
acordo, nos termos do Artigo 4, caput, parágrafo 1º e Artigo 5ª da
Lei nº 9.307/96, elegem a Câmara de Comércio Brasil Canadá -
BCCC, na cidade de São Paulo, Brasil, para dirimir todas as
controvérsias oriundas deste Contrato e resolver definitivamente
quaisquer controvérsias de acordo com as regras do Regulamento
interno da BCCC, renunciando qualquer outro tribunal, por mais
privilegiado que seja. O local da arbitragem será em São Paulo,
Brasil. As Partes definem que o procedimento contará com a
atuação de 1 (um) árbitro, nomeado de acordo com o disposto no
referido Regulamento da BCCC.
19. Força Maior
Nenhuma das Partes será responsável por, ou violará este Contrato,
na medida em que seu desempenho seja atrasado como resultado de
qualquer ação da natureza, guerra, terrorismo, incêndio, terremoto,
pandemia, epidemia ou outro desastre natural, comoção civil , ato
do governo ou qualquer outra causa totalmente fora de seu controle,
e não devido à sua própria negligência ou de seus contratados ou
representantes, e que não pode ser superada pelo exercício da
devida diligência, incluindo, sem limitação, quaisquer
regulamentos/restrições/ordens/sanções emitidas por governos e/ou
outras entidades autorizadas que resultem na incapacidade da
Sociedade de fornecer o Serviço em qualquer parte do Território
durante o período de continuação/aplicação de tais
regulamentos/restrições/ordens/sanções (“Evento de Força
Maior”). O Licenciante concorda que a Sociedade terá o direito de
suspender a Vigência do Contrato e a operação deste Contrato e as
obrigações da Sociedade aqui previstas no caso de um Evento de
Força Maior. Esse direito pode ser exercido pela Sociedade por
meio de uma notificação por escrito ao Licenciante, e tal suspensão
durará pela duração do Evento de Força Maior aplicável.
20. Diversos:
a) Este Contrato constitui o acordo integral entre as Partes e
substitui todos os outros acordos ou comunicações anteriores e
contemporâneos com relação ao assunto aqui tratado. O
Licenciante concorda em estar vinculado aos Termos de Serviço e
à Política de Privacidade disponibilizados nos Serviços, e aos
Contratos das Plataformas de Distribuição, no que diz respeito ao
Licenciante, para a exploração do Conteúdo Licenciado e os direitos
aqui concedidos em relação às Plataformas de Distribuição. Na
medida em que os termos deste Contrato conflitem com os termos
dos Termos de Serviço ou da Política de Privacidade

Distribution Platforms Agreements, the terms of this Agreement
shall control.
b) No person or entity who is not a party to this Agreement shall
have any right to enforce any term of this Agreement, regardless of
whether such person or entity has been identified by name, as a
member of a class or as answering a particular description. For the
avoidance of doubt, this shall not affect the rights of any permitted
assignee or transferee of this Agreement. This Agreement may not
be modified except by a written agreement signed by both Parties.
No waiver by a Party hereto of any provision of this Agreement or
default hereunder will affect such Party’s right thereafter to enforce
such provision or to exercise a right or remedy set forth in this
Agreement in the event of any other default, whether or not similar.
If any provision of this Agreement is held to be unenforceable, in
whole or in part, the unenforceability of that provision will not
affect the validity of the other provisions of this Agreement. By
entering into this Agreement, Company and Licensor have and will
have the status of independent contractors. Accordingly, there is no
joint venture, partnership, agency or fiduciary relationship existing
between the Parties, and the Parties do not intend to create any such
relationship by this Agreement. The terms contained in this
Agreement which by their nature and context survive or are
expressly intended to survive the expiration or termination of the
Term of this Agreement will so survive and continue in full force
and effect until they are satisfied or by their nature expire including,
without limitation, Licensor’s warranties and representations and
confidentiality and indemnification obligations hereunder. This
Agreement will be binding upon and inure to the benefit of the
Parties and their permitted successors and assigns.
c) Company may assign this Agreement in whole or in part to any
subsidiary, affiliated or controlling corporation, to any person or
entity owning or acquiring a substantial portion of the stock or
assets of Company, or to any partnership or other venture in which
Company participates, and such rights may be similarly assigned
by any assignee. Company may also assign Company’s rights to
any of Company’s licensees and sub-licensees if advisable in
Company’s sole discretion to implement the license or sub-license
granted. Licensor will not have the right to assign this Agreement
or any of Licensor’s rights hereunder without Company’s prior
written consent. Any purported assignment by Licensor in
violation of this paragraph will be null and void ab initio.
d) This Agreement, and the terms of this Agreement shall be treated
as “confidential information”, and any information disclosed by one
Party to another in connection with this Agreement shall be treated
as “confidential information” by the receiving party, and shall not
be disclosed to any third party without the consent of the other
party; provided that, such “confidential information” may be
shared, on an as-needed basis, with the Party’s financial and legal
advisors, the Party’s third party contractors (if such contractor is
bound by confidentiality obligations), the Party’s investors,
prospective investors and/or prospective buyers (if bound by

disponibilizados nos Serviços, ou termos dos Contratos das
Plataformas de Distribuição, os termos deste Contrato prevalecerão.
b) Nenhuma pessoa ou entidade que não seja parte deste Contrato
terá o direito de fazer cumprir qualquer termo deste Contrato,
independentemente de tal pessoa ou entidade ter sido identificada
pelo nome, como membro de uma classe ou como respondendo a
uma descrição particular. Para evitar dúvidas, isso não afetará os
direitos de qualquer cessionário ou licenciado autorizado deste
Contrato. Este Contrato não pode ser modificado, salvo mediante
acordo escrito assinado por ambas as Partes. Nenhuma renúncia por
uma Parte de qualquer disposição deste Contrato ou inadimplência
afetará o direito de tal Parte de fazer cumprir tal disposição ou de
exercer um direito ou recurso estabelecido neste Contrato em caso
de qualquer outra inadimplência, quer seja semelhante, ou não. Se
qualquer disposição deste Contrato for considerada inexequível, no
todo ou em parte, a inexequibilidade dessa disposição não afetará a
validade das outras disposições deste Contrato. Ao celebrar este
Contrato, a Sociedade e o Licenciante têm e terão o status de
contratantes independentes. Consequentemente, não há joint
venture, parceria, agência ou relação fiduciária existente entre as
Partes, e as Partes não pretendem criar nenhuma relação desse tipo
por meio deste Contrato. Os termos contidos neste Contrato que,
por sua natureza e contexto, sobrevivam ou são expressamente
destinados a sobreviver à expiração ou rescisão deste Contrato,
sobreviverão e continuarão em pleno vigor e efeito até que sejam
satisfeitos ou por sua natureza expirem, incluindo, sem limitação,
as garantias e declarações do Licenciante e as obrigações de
confidencialidade e indenização aqui dispostas. Este Contrato
vinculará e reverterá em benefício das Partes e seus sucessores e
cessionários autorizados.
c) A Sociedade pode ceder este Contrato, no todo ou em parte, a
qualquer subsidiária, afiliada ou sociedade controladora, a qualquer
pessoa ou entidade que possua ou adquira uma parte substancial das
ações ou ativos da Sociedade, ou a qualquer parceria ou outro
empreendimento em que a Sociedade participe, e tais direitos
podem ser cedidos de forma semelhante por qualquer cessionário.
A Sociedade também pode ceder os direitos da Sociedade a
qualquer um de seus licenciados e sublicenciados, se for
aconselhável, a critério exclusivo da Sociedade, para implementar
a licença ou sublicença concedida. O Licenciante não terá o direito
de ceder este Contrato ou qualquer dos direitos do Licenciante nos
termos deste instrumento sem o consentimento prévio por escrito da
Sociedade. Qualquer suposta cessão pelo Licenciante em violação
deste parágrafo será nula e sem efeito ab initio.
d) Este Contrato e os termos deste Contrato serão tratados como
"informações confidenciais", e qualquer informação divulgada por
uma Parte a outra com relação a este Contrato será tratada como
"informação confidencial" pela parte receptora, e não será
divulgada a terceiros sem o consentimento da outra parte; desde
que, tais "informações confidenciais" possam ser compartilhadas,
conforme necessário, com os consultores financeiros e jurídicos da
Parte, os contratados terceirizados da Parte (se tal contratado estiver
vinculado por obrigações de confidencialidade), investidores da
Parte, potenciais investidores e/ou compradores em potencial (se

confidentiality obligations that are no less restrictive than this
“Confidentiality” section), by Company with the its Affiliates, and
as required in connection with a legal proceeding (subject to
notifying the other Party within a sufficient amount of time to afford
the other Party a reasonable opportunity to obtain a protective
order) and in the ordinary course of a Party’s fulfillment of its
written and/or legal obligations to third parties. Nothing in this
Agreement shall prohibit or limit either Party's use or disclosure of
information (i) previously known to it by lawful means without
obligation of confidence, (ii) independently developed by or for it
without use of or access to the other Party's confidential
information, (iii) acquired by it from a third party which, to the
reasonable knowledge of the receiving party, is not under an
obligation of confidence with respect to such information, or (iv)
which is or becomes publicly available through no breach of this
Agreement. No Party hereto will, without the prior written consent
of the other Party, issue any press release or make any other public
announcement or statement relating to any specific terms and
conditions of this Agreement.
e) This Agreement will be executed in both English and Portuguese
versions, in case of conflict, the English version shall prevail.
f) The Parties acknowledge and consent to the electronic signature
of this Agreement through the "DocuSign" platform
(https://www.docusign.com/), and recognize its legal validity,
pursuant to Section 10, paragraph 2 of the Brazilian Decree 2,200-
2/2001, and Section 6 of the Brazilian Decree 10,278/2020, to the
maximum extent permitted by law. The Parties hereby waive any
rights to request the exchange, send or delivery of the original wet
signed copies of the Agreement as a necessary condition for its
validity and enforceability, as well as the right to question or
challenge the validity of the method adopted for the execution of
this Agreement, as provided in this section, to the maximum extent
permitted by applicable law.

vinculados por obrigações de confidencialidade que não sejam
menos restritivas do que esta cláusula de "Confidencialidade"), pela
Sociedade com suas Afiliadas, e conforme necessário em um
processo legal (sujeito a notificar a outra Parte com antecedência
suficiente para permitir que a outra Parte tenha oportunidade
razoável de obter uma medida cautelar) e no curso normal do
cumprimento por uma Parte de suas obrigações escritas e/ou legais
para com terceiros. Nada neste Contrato deve proibir ou limitar o
uso ou divulgação de informações por qualquer das Partes (i)
previamente conhecidas por ela por meios legais sem obrigação de
sigilo, (ii) desenvolvidas de forma independente por ou para ela,
sem uso ou acesso às informações confidenciais da outra Parte, (iii)
adquiridas por ela de um terceiro que, pelo conhecimento razoável
da parte receptora, não tem obrigação de confidencialidade com
relação a tais informações, ou (iv) que estão ou se tornem
publicamente disponíveis sem violação deste Contrato. Nenhuma
Parte deste instrumento irá, sem o consentimento prévio por escrito
da outra Parte, emitir qualquer comunicado à imprensa ou fazer
qualquer outro anúncio público ou declaração relacionada a
quaisquer termos e condições específicos deste Contrato.
e) Este Contrato será firmado nas versões em Inglês e Português, e,
em caso de conflito, a versão em Inglês prevalecerá.
f) As Partes reconhecem e consentem com a assinatura eletrônica
deste Contrato por meio da plataforma DocuSign
(https://www.docusign.com/), e reconhecem sua validade jurídica,
nos termos do Art. 10, parágrafo 2º do Decreto Brasileiro 2.200-
2/2001, e Art. 6º do Decreto Brasileiro 10.278/2020, até o limite
máximo permitido por lei. As Partes renunciam a quaisquer direitos
de solicitar a troca, envio ou entrega das cópias originais assinadas
com caneta do Contrato como condição necessária para a sua
validade e exequibilidade, bem como o direito de questionar ou
contestar a validade do método adotado para a assinatura deste
Contrato, conforme disposto nesta cláusula, na extensão máxima
permitida pela lei aplicável.
