FATO RELEVANTE

Rede D’Or São Luiz S.A. (“Companhia” ou “Rede D’Or”), em complemento aos fatos relevantes
divulgados em 23 de fevereiro e 14 de dezembro de 2022, bem como aos comunicados ao
mercado divulgados em 14 de abril, 10 de agosto e 8 e 24 de novembro de 2022, informa aos
seus acionistas e ao mercado em geral, na forma da Lei nº 6.404/76 e da Resolução CVM 44/21,
que, conforme notícia publicada no website da Agência Nacional de Saúde Suplementar (ANS),
em reunião realizada nesta data, a sua diretoria colegiada aprovou, com restrições, o pedido de
aprovação prévia relativo à transferência do controle acionário de sociedades controladas pela
Sul América S.A. (“SASA”) para a Rede D’Or, no contexto da operação de combinação de
negócios acordada entre a Companhia e a SASA (“Operação”).

MATERIAL FACT

Rede D’Or São Luiz S.A. (“Company” or “Rede D’Or”), further to the material facts released on
February 23 and December 14, 2022, as well as the notices to the market released on April 14,
August 10, and November 8 and 24, 2022, hereby informs its shareholders and the market in
general, for the purposes of Law No. 6,404/76 and CVM Resolution No. 44/22, that, as per the
news released in the website of the National Agency of Supplementary Health – ANS, in a
meeting held today, its Board of Officers has granted, subject to certain restrictions, its prior
approval regarding the transfer of control of certain companies controlled by Sul América S.A.
(“SASA”) to Rede D’Or, in the context of the business combination agreed between the Company
and SASA (“Transaction”).
