LICENSE AGREEMENT

THIS AGREEMENT between (“Licensor”)

and . (“Producer”) constitutes our entire agreement with
respect to the matters set out below, upon the following terms and conditions:

1. LICENSED MATERIAL: The Licensed Material consists of:

2. GRANT OF RIGHTS: For good and valuable consideration, the sufficiency of which
is hereby acknowledged, Licensor hereby grants to the Producer and its
assignees and licensees, the perpetual, non-exclusive right and license under
copyright law, trademark law, and otherwise to photograph, film, make reference
to and otherwise include and use the Licensed Material in and in connection with
the Production currently entitled “ ” (the “Picture”) by all
manner and means of communication worldwide, whether now known or
hereafter devised, including, without limitation, theatrical or non-theatrical
exhibition (with or without admission fee); broadcasting and transmission of the
Picture on all formats of television; reproduction; sale and rental of the Picture in
the from of video cassettes, discs, and similar devices including but not limited to
CD-I, CD-ROM, interactive video devices and all other technological innovations;
on all forms and modes of public transportation and in radio, television and print
advertisements, trailers and promotional excerpts for the Picture, including
“behind the scenes” and “making of” books and productions connected with the
Picture, on a royalty-free basis (the “License”).

3. INTELLECTUAL PROPERTY RIGHTS: Except for the License granted by the Licensor
herein, Producer shall acquire no right or interest in the Licensed Material or the
copyright, trademark or other proprietary rights therein, which proprietary rights
shall remain the property of the Licensor. The Picture, together with all related
materials created in connection therewith, including all worldwide copyrights
therein, shall be the sole exclusive property of the Producer.

4. WARRANTIES: Licensor hereby represents and warrants to Producer that

Licensor is either the owner of the Licensed Material, including the copyright,
trademarks and all other proprietary rights contained therein or the lawful and
authorized agent of the Owner; that Licensor has the full right, power and
authority to enter into this agreement and to grant to Producer all the rights and
License specified herein; that any and all moral rights any party may have in the
Licensed Material are waived; that no further consent is required from any other
person, firm, corporation or labour organization to enable Producer to use the
Licensed Material for the purposes and in the manner described herein; and that
no such use by Producer will subject Producer to liability for further payment of
any kind to any other party or will infringe upon or violate any property or right of
any third party.

5. NO OBLIGATION TO PRODUCE: Nothing contained in this agreement shall obligate

Producer to use the Licensed Material or to produce the Picture or, if produced,
 to include the Licensed Material in the completed Picture or in any related
materials authorized herein.

6. NO INJUNCTION: If, at any time, Producer or its assignees or licensees are

alleged to be in default of any provision of this agreement, the sole remedy of
Licensor shall be a claim for money damages in action at law and neither
Licensor nor any party claiming through or in place of Licensor shall be entitled to
apply for, obtain or attempt to enforce any injunctive or other form of relief which
would in any way interfere with the production, exhibition, exploitation,
advertising and promotion of the Picture and/or with the exercise by Producer
and its assignees and licensees of the rights and License granted herein.

7. SUCCESSORS AND ASSIGNS: This agreement shall inure to the benefit of and be
binding upon both Licensor and Producer and their respective heirs, legal
representatives, successors and assigns.

8. GOVERNING LAW: This agreement shall be governed and construed in

accordance with the laws of the Province of Manitoba and the laws of Canada
applicable therein.
