AVISO AOS ACIONISTAS

PET CENTER COMÉRCIO E PARTICIPAÇÕES S.A. (“Companhia”) comunica aos

acionistas e ao mercado em geral que, em Assembleia Geral Ordinária da Companhia
realizada no dia 30 de abril de 2021, às 09h00 (“AGO”), foi, dentre outras matérias, declarada
a distribuição e aprovado o pagamento de dividendos suplementares pela Companhia,
relativos ao exercício social findo em 31 de dezembro de 2020, no montante total de R$
2.587.072,35 (dois milhões, quinhentos e oitenta e sete mil, setenta e dois reais e trinta e cinco
centavos), equivalente a R$0,00656632017, por ação ordinária de emissão da Companhia..

1. Farão jus aos dividendos os detentores de ações de emissão da Companhia em 30 de

abril de 2021 (inclusive), data da sua aprovação pela Assembleia Geral Ordinária da
Companhia.

2. As ações da Companhia serão negociadas ex-dividendo a partir de 03 de maio de 2021,

inclusive.

3. O pagamento dos dividendos será realizado em moeda corrente nacional, até o 31 de

maio de 2021, conforme data a ser fixada por deliberação da Diretoria da Companhia
e divulgadas oportunamente por meio de novo Aviso aos Acionistas.

4. Não haverá atualização monetária ou incidência de juros entre a data da declaração

dos dividendos e a data do efetivo pagamento.

5. Na data do pagamento do dividendo, conforme definido pela Diretoria, a Companhia

creditará o dividendo devido a cada acionista, segundo o número de ações ordinárias
de sua titularidade na data-base de 30 de abril de 2021 (respeitadas as negociações
realizadas até esse dia, inclusive), de acordo com o domicílio bancário fornecido a
Itaú Corretora de Valores Mobiliários S.A., instituição responsável pela escrituração
das ações da Companhia.

6. Para os acionistas cujo cadastro não contenha a inscrição do número do CPF/CNPJ

ou a indicação de “Banco/Agência/Conta Corrente”, os dividendos somente serão
creditados depois da atualização cadastral e nos prazos determinados pelo Itaú
Corretora de Valores Mobiliários S.A.
 7. Os acionistas cujas ações estão depositadas em instituições prestadoras dos serviços
de custódia de valores mobiliários terão seus dividendos creditados conforme
procedimentos adotados pelas instituições depositárias.

Adicionalmente, a Companhia informa que o montante de juros sobre capital próprio

declarado em Reunião do Conselho de Administração da Companhia, realizada em 17 de
dezembro de 2020, objeto de divulgação em Aviso aos Acionistas na mesma data, será pago
aos acionistas na mesma data a ser designada pela Diretoria da Companhia para pagamento
dos dividendos suplementares aprovados na AGO, respeitadas as particularidades das
respectivas declarações de proventos, inclusive, mas não se limitando, com relação às
respectivas datas de corte para apuração das bases acionárias ex-juros e ex-dividendos.

NOTICE TO SHAREHOLDERS

PET CENTER COMÉRCIO E PARTICIPAÇÕES S.A. ("Company") informs the

shareholders and the market in general that, at the Company’s Annual General Meeting held
on April 30, 2021, at 9:00 am ("AGM"), it has been, among other matters, declared the
distribution and payment of supplementary dividends by the Company, related to the fiscal
year ended on December 31, 2020, in the total amount of R$ 2,587,072.35 (two million, five
hundred and eighty-seven thousand, seventy-two reais and thirty-five cents), equivalent to
R$ R$0,00656632017, per common share issued by the Company.

1. Shareholders in the shareholding position on April 30th, 2021 (inclusive), which

is the date of the approval by the Company's Annual General Meeting, will be
entitled to dividends.

2. Shares issued by the Company shall be traded ex-dividends as of May 3rd, 2021,
inclusive.

3. The payment of dividends shall be made in Brazilian national currency, no later than
May 31st, 2021, according to the date to be determined by resolution of the
Company's Executive Board and to be disclosed in due time through a new Notice
to Shareholders.

4. There shall be no monetary restatement or incidence of interest between the date of

declaration of dividends and the date of actual payment.

5. On the date in which the dividends are paid, as defined by the Company’s Executive
Board, the Company shall credit the dividend due to each shareholder, according to
the number of common shares owned by the shareholder as of April 30th, 2021
(respecting the negotiations held up to this date, inclusive), pursuant to the bank
information provided to Itaú Corretora de Valores Mobiliários SA, institution
responsible for the bookkeeping of the Company’s shares.

6. Shareholders whose registration does not include the Corporate or Individual

Taxpayer ID number (CPF/CNPJ) or the indication of "Bank / Branch / Checking
Account", dividends will only be credited after the registration update, within the
deadlines determined by Itaú Corretora de Valores Mobiliários S.A.
 7. Shareholders whose shares are kept by institutions providing securities custody
services will have their dividends credited in accordance with procedures adopted by
depositary institutions.

In addition, the Company informs that the amount of interest on equity declared at the
Company's Board of Directors' Meeting, held on December 17th, 2020, which was disclosed
in a Notice to Shareholders on the same date, will be paid to shareholders on the same date
to be appointed by the Company's Board of Directors to pay the supplementary dividends
approved at the AGM, respecting the particularities of the respective declarations, including,
but not limited to, in relation to the respective cut-off dates for calculating the shareholder
bases ex-interest on equity and ex-dividends.
