A Escale Tech é uma empresa com modelo disruptivo de vendas e marketing digital
atuando na aquisição de clientes (end-to-end) e que, mediante fornecimento das
informações por seus parceiros comerciais, conecta tais parceiros e suas marcas a
potenciais consumidores, e utiliza dados e tecnologia nas etapas da jornada de compra
buscando criar experiências personalizadas para o consumidor e possibilitar maior
conversão e fidelização para os seus parceiros comerciais, geração de demanda
incremental e um funil completo de conversão de vendas. A Escale Tech alcança clientes
e potenciais oportunidades de negócio a partir dos seus ativos digitais, com a ajuda de
dados públicos e por meio de canais próprios (portfólio de marcas digitais, sites e
aplicativos, audiência midiática e parcerias exclusivas de dados).
A Escale Health, por sua vez, é o braço exclusivo da Escale Tech para aquisição de clientes
ligados à saúde suplementar para contratação de planos de saúde e/ou planos
odontológicos. Para a Companhia, o investimento na Escale Health e na Quinhentos é
um importante pilar na estratégia de integração dos serviços prestados pela Companhia
entre canais online e offline e é um passo relevante na revolução da maneira de atuação
da Qualicorp nos canais digitais.
As aquisições não estão sujeitas à aprovação por órgãos reguladores e nem a outras
condições precedentes, de modo o fechamento e liquidação das operações ocorre de
maneira simultânea à assinatura dos contratos.

The investment in Escale Health will be made exclusively through subscription of new
common shares, nominative and without nominal value, to be issued by Escale Health
in the total amount of R$ 84,248,100.00 (eighty-four million, two hundred and forty-
eight thousand and one hundred reais) to be fully directed to the growth and expansion
of Escale Health's activities. Additionally, the Company also has a subscription bonus
that will grant it the right to make a complementary investment of 5% (five percent) of
the total and voting capital in Escale Health, in the same valuation, within the period of
12 (twelve) months. If the rights in the subscription bonus are exercised, the Company
will own shares representing 40% (forty percent) of Escale Health's total and voting
share capital, in addition to its indirect participation via Quinhentos.
The investment in Quinhentos will also be made exclusively through primary issuance
and acquisition of Preferred Units of the C-3 Series, to be issued by Quinhentos after the
payment of an acquisition price equivalent to the amount converted into US dollars of
R$ 48,366,536.00 (forty-eight million, three hundred and sixty-six thousand and thirty-
six reais).
Escale Tech is a company with disruptive model of sales and digital marketing, acting in
the customer acquisition (end-to-end) and that, through the information provided by its
business partners, connects such partners and their brands to potential consumers.
Escale Tech uses data and technology in the steps of the purchase journey, seeking to
create personalized experiences for the consumer and to enable greater conversion and
loyalty for its commercial partners, as well as incremental demand generation and a
complete sales conversion funnel. Escale Tech reaches customers and potential business
opportunities from its digital assets, supported by public data and through its own
channels (portfolio of digital brands, websites and applications, media audience and
exclusive data partnerships).
Escale Health is, in turn, Escale Tech's exclusive arm for the acquisition of customers
linked to the private health segment that want to hire health and/or dental plans. For
the Company, the investments in Escale Health and Quinhentos are an important pillar
in the strategy of integrating its services in the online and offline channels and is a
relevant step in the revolution of Qualicorp’s operations in digital channels.
In the context of the conclusion of investment contracts, Qualicorp and Escale Health
also engaged into a commercial partnership agreement with priorities of both increasing
sales of health plans (both in the Affinities and SMEs segments) and reducing churn
through the use of cognitive modeling. The partnership will optimize Qualicorp's
conversion funnel, with reduced acquisition cost (leads) in the market of Affinities and
SMEs collective plans, in addition to an increase in its online demand. Escale Health will
also act as a new digital sales channel for Qualicorp’s plans with extensive cross-sell, up-
sell possibilities, as well as being a platform to test and trade new products.
In addition to the investment contracts concluded on this date and to certain intellectual
property contracts, there was also executed a Shareholders' Agreement to establish
governance, granting important minority rights for the Company, including appointment
rights to the Management bodies of Escale Health, in addition to regulate the transfer
rules for equity interests in Escale Health and Quinhentos. In this context, the Company
also secured relevant transfer rights from Escale Health to Escale Tech or to Quinhentos,
in the case of liquidity events (IPO, sale of control or similar transactions) in any of these
companies.
Escale Health, indirectly through Quinhentos, already has investments from major funds
in the venture capital and private equity market such as Kaszek Ventures, QED Investors,
Invus, Global Founders Capital (GFC) and Redpoint e.Ventures.
The acquisitions are not subject to approval by regulatory entities or other preceding
conditions, so the closing and settlement of the transactions occur simultaneously with
the signing of contracts.
