FATO RELEVANTE

A CRUZEIRO DO SUL EDUCACIONAL (“Companhia”) (CSED3), em observância aos

termos da Lei nº 6.404/1976 e ao disposto na Instrução CVM n° 358/2002, conforme
alterada, comunica a seus acionistas e ao mercado em geral, que assinou nesta data,
Contrato de Compra e Venda de Quotas e Outras Avenças (“Contrato”) por meio do qual,
celebrou negócio jurídico (“Transação”) que resultará na aquisição da totalidade das
cotas da INSTITUIÇÃO UNIVERSITARIA MOURA LACERDA (“Moura Lacerda”),
mantenedora do Centro Universitário Moura Lacerda pelo valor referencial, que serão
pagos em 5 anos e sujeito a ajustes, de R$54.000.000,00 (cinquenta e quatro milhões
de reais).

Com 98 anos de história e sediado na cidade de Ribeirão Preto-SP, o Centro Universitário

Moura Lacerda é uma das mais tradicionais instituições de educação do interior paulista,
com operações também na cidade de Jaboticabal e um total aproximado de 3 mil alunos
da educação básica a pós-graduação.

Em linha com a estratégia da Cruzeiro do Sul Educacional, a Moura Lacerda, além de

possuir autonomia como Centro Universitário, exerce papel de liderança regional e com
uma marca forte e reconhecida em uma das principais cidades do estado de São Paulo.
Seus 3 campi dispõem de infraestrutura completa e diferenciada para a demanda de
educação presencial de qualidade. Em seu portfólio atual são destaques os cursos de
Engenharia, Medicina Veterinária, Arquitetura e Direito. Destaca-se que a IES não opera
atualmente na Educação a Distância, sendo certo que a oferta de cursos desta
modalidade sob a marca Moura Lacerda em Ribeirão Preto e região se configura numa
oportunidade importante para a companhia.

MATERIAL FACT

CRUZEIRO DO SUL EDUCACIONAL (“Company”) (CSED3), in compliance with the

terms of Law No. 6,404 / 1976 and the provisions of CVM Instruction No. 358/2002, as
amended, communicates to its shareholders and the market in general, that on this date,
it signed a Purchase and Sale Agreement for Quotas and Other Covenants (“Contract”)
through which it entered into a legal transaction (“Transaction”) that will result in the
acquisition of all the shares of INSTITUIÇÃO UNIVERSITARIA MOURA LACERDA
(“Moura Lacerda” ), maintainer of the Centro Universitário Moura Lacerda for the
reference amount, to be paid in 5 years and subject to adjustments, of R$ 54,000,000.00
(fifty-four million reais).

With 98 years of history and based in the city of Ribeirão Preto-SP, Centro Universitário
Moura Lacerda is one of the most traditional educational institutions in the interior of
São Paulo, with operations also in the city of Jaboticabal and a total of ~3 thousand
students from K-12 to graduate school.

In line with Cruzeiro do Sul Educacional's strategy, Moura Lacerda, in addition to having
autonomy as a University Center, plays a regional leadership role and with a strong and
recognized brand in one of the main cities in the state of São Paulo. Its 3 campuses have
a complete and differentiated infrastructure for the demand for quality on-site education.
Its current portfolio includes Engineering, Veterinary Medicine, Architecture and Law
courses. It is noteworthy that the institution does not currently operate in Distance
Learning, being certain that the offer of courses of this modality under the Moura Lacerda
brand in Ribeirão Preto and region is an important opportunity for the Company.
