No

Além disso, no trimestre houve

antecipada a potenciais mudanças cambiais daquele país.

no Anexo 4 deste Release.

A CVC

RESULTS | 4Q21
In 2021, the pandemic caused adverse impacts on the Company’s activities. In the beginning of the
year, the second wave affected new bookings and increased cancellations and reimbursements. When
vaccination started in the middle of the year, travel plans gradually resumed, especially to domestic
destinations. Subsequently, the announced easement on restrictions to the entry of travelers by countries
with great tourism opportunities fostered an increased interest in international air travel. In early December,
the arrival of the new variant (Omicron), with increased transmissibility rate, caused another slowdown in
sales, especially to international destinations. At the time of disclosure of this report, the greatest part of its
global effects seems to have dissipated, and we again see an increased interest in international and domestic
travels by consumers. The Company is aware of the developments of the variant and believes that its effects
are temporary because, despite its fast dissemination, there are signs of stabilization or decline in cases in
some of the countries first affected by it and also where we operate.
The resumption of the sector will be boosted by the large pent-up demand. The index of tourism
activities, released by the Pesquisa Mensal de Serviços (PMS), of IBGE, showed an increase for the 8th
consecutive month in December, accruing 21.1% in the year of 2021, which is reflected on CVC Corp’s
operations in Brazil, which boarded 7.7 million passengers in 2021, 30% more than in 2020.
The improvement of CVC Corp, regarding financial and operational aspects, combined with a more
favorable environment, creates conditions for us to take on our leading role in the Latin American tourism
sector. We are entering a new growth cycle, with important project deliveries for 2022, with the purpose of
improving customer service as well as operational efficiency, in order to be increasingly part of their
purchase journey and their travel experience.
In August, we concluded a new capitalization process for the company, totaling a net inflow of
R$806.6 million in capital in 2021, intended for the amortization of debentures and strengthening of working
capital. The company ended the year with a net debt of R$ 322.9 million, the lowest level in the last 2 years.
We remain optimistic about the forecasts for 2022, however attentive to the main macroeconomic,
political and geopolitical events, which include the recently started war in Ukraine. More limited impacts of
the pandemic and repressed demand will play a central role in the gradual recomposition of the air network
and in the increase of passengers embarked in 2022. Domestic tourism in Brazil and Argentina should remain
heated, while international travel should show growth throughout the year, and it is still premature to try to
infer whether we will have significant impacts from the war in Ukraine on our business environment.

RESULTS | 4Q21
Due to the effects of the COVID-19 pandemic in the company’s results as of the 2Q20, Management believes that sometimes
comparing with 2020 or 4Q20 may not help understand the company’s performance and, thus, certain overviews in this report use
3Q21 as reference, to measure the quarterly evolution, or 2019, as a reference for a year without major events. When 2019 is used
as reference, the information is presented pro forma, for it adjusts the reported amounts with the acquisitions made throughout
that year, enabling a better comparability.
CVC Corp’s Bookings in 4Q21 recorded a new quarterly growth compared to the previous quarter
(63.9% compared to 4Q20), showing a slowdown in the second two weeks of the month of December due
to the effects related to the advancement of Omicron, the new
COVID-19 variant. Additionally, in the quarter there was impact
on the Brazilian operation (-12.8% vs 3Q21) as a result of the
cyber attack that affected new bookings in the first half of
October 2021, offset by the new quarterly growth in the
Argentinian operation (125.7% vs 3Q21), boosted by domestic
travels, which enjoyed benefits granted by the PreViaje
program.
In 2021, Bookings increased 40.7% compared to 2020,
due to gradual restructuring of the airline network, increased
easement to movement of people, gradual easement of travel
restriction measures and progress of the vaccination
campaigns in countries where we operate and in the main
travel destinations.
The demand for domestic destination travels stood out in
the Brazilian and Argentinian operations, especially as of the
middle of the year. In the Brazilian operation, despite the (i)
high sales volume recorded in 2019 Black Friday, resulting from an aggressive price policy and the (ii)
slowdown in sales in December due to the spread of Omicron, the Bookings for November and December
2021 corresponded to 66% of the number recorded in the same period in 20191 – international air travel
leaped to 47%, in the same comparison basis, against 33% recorded in the third quarter, which shows a
3
RESULTS | 4Q21
demand increase for international travel (disregarding the analysis for the month of October due to the
cyber attack – Bookings for 4Q21 corresponded to 57% of the number reported for 4Q19¹). Nevertheless,
bookings for national destinations still stand out, corresponding to 71% of the total in the last bimester.
Consumed Bookings increased 32.6% compared to 3Q21, mainly due to the summer vacation season
and year-end holidays, and 99.1% compared to 4Q20, as a result of the stricter restrictions in 2020. In the
quarter, we must highlight the B2C operation, which increased 45.6% compared to 3Q21 and 74.0%
compared to 4Q20, and the operation in Argentina, which was 125.7% higher than 3Q21, due to the factors
mentioned above.
In the year, we must highlight the Argentinian operation, which increased 61.6% compared to 2020,
with less internal restrictions combined with governmental incentive programs for domestic travels, which
foster the repetition of travel purchase and as a result of the cashback offered. In the Brazilian operation,
boardings throughout the year showed a progressive increase, both national and international, due the
increase in confidence by the traveler with the increased vaccination, resumption of corporate travels as of
2Q21, opening of borders and recent reduction in restrictions to enter several countries. National
destinations prevail for the 7.7 million boarded passengers in the year, although international boarding had
a more significant growth in the last months of 2021.
The balance in travel vouchers generated due to the effects of Covid-19 was R$ 761.1 million in the
end of 2021, R$ 68.7 million lower than the balance in the end of September. Management believes that
bookings and boardings may accelerate in the next months, taking advantage of access to foreign
destinations and expansion of the airline network.
On February 22, Brazilian Provisional Presidential Decree No. 1.1012 was published to amend Brazilian
Law No. 14.046 (“Tourism Law”) and, among other provisions, extends to December 31, 2023 the period for
rescheduling and using the credits made available in services, bookings and events.
The Net Revenue in 4Q21 advanced 36.3% compared to 3Q21 (92.9% vs 4Q20), mainly due to the
higher average ticket in domestic travels (high travel season) and increase in the demand for international
air travel, and in Argentina, with consumers possibly reacting in advance to potential currency change in
such country. In 2021, the Net Revenue was 59.6% higher than 2020, affected by the gradual increase in
Consumed Bookings and the average ticket.
The Take Rate in 4Q21, similar to that reported in 3Q21 (9.1% and 8.9%, respectively), was made up
by margin gain in Brazil, resulting from a greater representativity of B2C in the Consumed Bookings due to
seasonal effect (43% to 53%, 3Q21 and 4Q21, respectively), partially offset against the greater participation

of Argentina, as a result of a growth in excess of 100% of its Net Revenue, especially due to accelerated
sales of the Ola brand, which has less margins.
The General and Administrative Expenses increased 32.3% in 4Q21 compared to the previous
quarter due to salary adjustment arising from a union agreement (‘collective bargaining agreement’, in 10%,
that took place in November), higher expenses with IT and non-existence of savings caused by the reduction
of working hours in 3Q21, partially offset by the reversal of part of the bonus provision. In the year, the
improvement of several areas, such as Governance, Customers and Information Technology, contributed to
the 11.3% increase compared to 2020.
The Sales Expenses increased 70.7% in 4Q21 compared to 3Q21, as a result of the increase in
Consumed Bookings in Argentina and Brazil. In 2021, such item had decreased 29.5% compared to 2020, as
although the Net Revenue had increased 59.6%, there was, in the Brazilian operation, lower expenses with
marketing and reversal of Provisions for Loss, mainly formed in 2020 by virtue of the pandemic, as the
expected risks did not materialize.
The Other Operating Expenses increased 19.8% in 4Q21 compared to 3Q21 mainly as a result of the
expenses to discontinue ITA Airlines’ operations, and revenues arising from airlines concerning
reimbursements already paid, net of new provisions for payment of reimbursements, which jointly totaled
an negative amount of R$ 19.9 million.
In the quarter, non-recurring values were recorded in relation to expenses incurred due to the cyber
attack (reflected in General and administrative expenses and Other operating expenses), which affected the
operation in Brazil in October/2021 (R$ 52.5 million) and reversal of the labor provisions in Argentina
(R$ 7.9 million), totaling a R$ 53.4 million impact. For further details see Exhibit 4 hereto. Without consider
the effects mentioned above, Recurring Operating Expenses would increase 15.6% compared to previous
quarter.

RESULTS | 4Q21
In the 4Q21, EBITDA was R$ 35.4 million negative, while the Adjusted EBITDA, which includes the
expenses with bank slips and excludes the non-recurring items, was R$ 8.9 million positive.
In 4Q21, the Financial Result totaled a net expense of R$ 42.1 million, higher than 3Q21 mainly due
to the effect of the higher average interest rate on the net debt of the Company and charges incurred in
advancement of R$ 660.6 million in receivables in the last quarter of the year.
In 2021 YTD, the Financial Result recorded a net expense of R$ 101.7 million, a decrease of 30.1%
compared to year 2020, mainly due to the positive impact of mark-to-market of hedge contracts and
earnings from financial investments.
The Net Loss in 2021 corresponded to R$ 486.6 million, a decrease of 60.3% compared to the previous
year. The Depreciation and Amortization line item totaled R$ 208.6 million and is mainly made up of
amortizations of intangible assets related to surplus value of companies acquired by CVC Corp in the past
years and investments in Information Technology (as below).
For another quarter, there was no constitution of deferred Income Tax, however, its recording for tax
purposes remains unchanged.
