TERMOS E CONDIÇÕES GERAIS DE COMPRA DE PRODUTOS
E/OU SERVIÇOS
Estes Termos e Condições Gerais de Compra de Produtos e/ou
Serviços ("Termos") regerão todas as requisições e/ou ordens de
compra de produtos e/ou prestação de serviços ("Ordem") emitidas
pela OCYAN S.A. e suas filiais, subsidiárias ou afiliadas, ("OCYAN")
ao fornecedor e/ou prestador de serviços ("FORNECEDOR").
Para fins destes Termos, OCYAN e FORNECEDOR serão
individualmente denominadas "Parte" e conjuntamente "Partes".
1. Aplicação dos Termos e Aceitação das Ordens de
Compra/Serviços:
1.1. O presente instrumento se aplica ao fornecimento de
produtos, mercadorias, equipamentos, materiais e/ou serviços ("Item"
ou "Itens"), pelo FORNECEDOR à OCYAN ("Fornecimento"),
requeridos por meio de uma Ordem emitida, por escrito, pela
OCYAN, sendo todos os termos e condições dispostos nestes
Termos incorporados a cada Ordem, a menos que outras condições
sejam especificamente designadas pela OCYAN como sendo
aplicáveis a uma Ordem de Compra/Serviços específica.
1.2. A Ordem indicará: (i) as especificações dos Itens solicitados; (ii)
o prazo para entrega/execução dos Itens; (iii) o local de
entrega/execução dos Itens; (iv) o preço aplicável e (v) outras
especificações técnicas, se aplicável.
1.3. Ao aceitar qualquer Ordem emitida pela OCYAN, o
FORNECEDOR reconhece e declara que leu, compreendeu e está
de acordo com todas as disposições contidas nestes Termos,
obrigando-se de forma irretratável ao seu integral cumprimento.
2. Entrega, Aceitação e/ou Recusa dos Itens:
2.1. São condições essenciais para o Fornecimento à OCYAN: (i) o
cumprimento das datas e prazos estabelecidos para entrega dos
Itens, (ii) a entrega/execução dos Itens no local especificado e
durante o expediente comercial da OCYAN, salvo se acordado, por
escrito, de forma diversa entre as Partes, (iii) a entrega de uma só
vez dos Itens constantes da Ordem, salvo se acordado de outra
forma e/ou prévia e expressamente autorizado pela OCYAN; (iv) a
entrega da nota fiscal anexada à Ordem, (v) a entrega dos
documentos estabelecidos nas Instruções de Embarque ("Shipping
Instructions"), quando aplicável; (vi) a entrega do certificado, relatório
de serviços, "Data Book" e/ou ficha técnica de segurança, ou outro
documento aplicável que contenha as respectivas especificações
técnicas dos Itens e (vii) a não-exclusividade no fornecimento de
Itens à OCYAN, salvo circunstâncias especiais e prévia e
expressamente aprovadas pela OCYAN.
2.2. Todos os Itens devem ser entregues à OCYAN conforme
descrição, forma, qualidade e quantidade estabelecidas na Ordem,
acompanhados dos certificados, licenças, manuais e/ou outros
documentos aplicáveis, sendo a sua aceitação final condicionada ao
cumprimento de todas as normas, regulamentos da Associação
Brasileira de Normas Técnicas (ABNT) e padrões de segurança,
nacionais e/ou internacionais, estabelecidos pela legislação vigente e
aplicável. Na ausência de qualquer outra especificação, todos os
Itens deverão ser novos, livres de defeito e de perfeita qualidade,
devendo cumprir todas as normas técnicas aplicáveis, sempre
visando a satisfação final da OCYAN consoante os mais altos
padrões de qualidade do mercado.
2.3. O pagamento está condicionado à aprovação dos Itens pela
OCYAN, observada a medição do Fornecimento, realizada de acordo
com os critérios, forma e periodicidade estabelecidos na Ordem.
Caso a OCYAN entenda que os Itens fornecidos não estejam de
acordo com as normas e condições pactuadas poderá, mediante

GENERAL TERMS AND CONDITIONS OF PURCHASE OF
PRODUCTS AND/OR SERVICES
This General Terms and Conditions of Purchase of Products and/or
Services (''Term") shall rule all purchase's requests and/or orders of
products and/or services ("Order") issued by OCYAN S.A. and its
subsidiaries or affiliates ("OCYAN") to the supplier and/or service provider
("SUPPLIER").
OCYAN and SUPPLIER are referred to individually as "Party" and jointly as
"Parties".
1. Application of the Terms and Acceptance of the
Purchase Order/Services Order:
1.1. This instrument applies to the supply of products, goods, equipment,
materials and/or services, ("Item" or "Items"), by the SUPPLIER to
OCYAN ("Supply"), requested by means of a written Order issued by
OCYAN, containing all terms and conditions set forth herein and taken
over in each Order, unless other conditions are specifically designated by
OCYAN as being applicable to a Purchase Order/Services Order.
1.2. The Order shall indicate: (i) thespecification of the Items
requested; (ii) the time of delivery/execution of the Items;
(iii) the place for delivery/execution of the Items; (iv) applicable price and
(v) other technical specifications, if applicable.
1.3. By accepting any Order issued by OCYAN, the SUPPLIER
acknowledges and declares that it has read, understood and agrees with
all the provisions contained in this Term, obliging itself irreversibly to its full
compliance.
2. Delivery, Acceptance and/or Refusal of the Items:
2.1. Are essential conditions for the Supply to OCYAN: (i) compliance with
the dates and deadlines established for delivery of Items; (ii) the delivery/
execution of Items at the location specified in the Order during OCYAN
business hours, unless otherwise agreed in writing between the Parties;
(iii) the one time delivery of the Items listed in the Order, unless otherwise
agreed and/or if previous and expressly authorized by OCYAN; (iv) the
delivery of the invoice attached to the Order; (v) the delivery of the
documents set forth in the "Shipping Instructions", when applicable; (vi)
the delivery of the certificate, services' report, data book, and/or safety
data sheet, or another applicable document containing the technical
specifications of the Items and (vii) the non-exclusivity of supplying the
Items to OCYAN, except in special circumstances and if previously and
expressly approved by OCYAN.
2.2. All Items shall be delivered to OCYAN according to description, form,
quality and quantity established in the Order, accompanied by the
certificates, licenses, manuals and/or others applicable documents, and its
final approval is conditional upon compliance with all rules and regulations
of the Associação Brasileira de Normas Técnicas (ABNT) and national
and/or international safety standards established by the and applicable
law in force. In the absence of any other specifications, all Items shall be
new, free of defects and of perfect quality, and shall comply with all
applicable technical standards, always aiming at the final satisfaction of
OCYAN in accordance with the highest market standard of quality.
2.3. The payment is subject to the approval of the Items by OCYAN,
observing the measurement of the Supply, performed in accordance with
criteria, form and periodicity established in the Order. If OCYAN
understands that the Items supplied are not in accordance with the agreed
rules and conditions, it may, upon written notice, retain the payment until

2.4. A OCYAN reserva-se no direito de recusar Itens que não
atendam às respectivas normas técnicas, especificações do
fabricante e/ou informações contidas na Ordem.
2.5. Na hipótese de não aprovação dos Itens, a OCYAN poderá
conceder ao FORNECEDOR, caso entenda possível a correção dos
problemas, um único prazo adicional de, no máximo, 30 (trinta) dias
para que esta refaça e/ou corrija os problemas apontados, sem
qualquer custo ou despesa adicional para a OCYAN, salvo se
acordado, por escrito, de forma diversa entre as Partes.
2.6. Em caso de (i) devolução ou recusa dos Itens pela OCYAN, ou
(ii) entrega antecipada dos Itens sem autorização prévia e por escrito
da OCYAN, o FORNECEDOR arcará com todos os custos advindos
deste fato, incluindo, mas não se limitando, aos custos de
armazenagem, conservação, frete, transporte, mobilização,
desmobilização, seguro ou qualquer taxa eventualmente aplicável.
2.7. A qualquer tempo durante o Fornecimento dos Itens, a OCYAN
poderá determinar a sua suspensão mediante simples notificação ao
FORNECEDOR, se, a exclusivo critério da OCYAN, os Itens
fornecidos/executados estiverem em desacordo com todas as
disposições contidas nestes Termos.
2.8. Em caso de ocorrência de caso fortuito ou de força maior que
comprovadamente impeçam a observância dos prazos de entrega
dos Itens, o FORNECEDOR deverá comunicar imediatamente a sua
ocorrência à OCYAN, podendo o prazo de entrega ser prorrogado
até o fim do período decorrente do caso fortuito ou força maior,
desde que o evento não se prolongue por mais do que 10 (dez) dias
corridos. Ultrapassado este prazo a Ordem de Compra/Serviços
poderá ser cancelada pela OCYAN sem aplicação de qualquer multa
e/ou indenização.
2.9. Carência de mão-de-obra, de materiais ou utilidades, bem
como atrasos e greves de subcontratados do FORNECEDOR não
serão aceitos como motivos de ausência, atrasos e/ou falha de
entrega, sendo que atrasos ensejarão, independentemente de sua
causa, multa moratória de 2% (dois por cento) incidentes sobre o
valor da Ordem, por dia de atraso, iniciando na data prometida para
entrega dos Itens, cumulativa com uma multa punitiva
correspondente a 10% (dez por cento) sobre o valor da Ordem, em
caso de inadimplemento.
3. Inspeção e Avaliação:
3.1. A OCYAN reserva-se no direito de, a qualquer momento e em
qualquer lugar, efetuar inspeções técnicas e avaliações nas fases de
concepção, planejamento, produção e entrega, bem como em
processos e testes finais (incluindo inspeções das embalagens) nos
estabelecimentos do FORNECEDOR e seus subcontratados, a fim
de solicitar alterações e correções nas referidas fases e processos.
3.2. Estas inspeções, avaliações e sugestões não vinculam a
aceitação final da OCYAN e, portanto, não isentam o
FORNECEDOR de suas responsabilidades, em especial quanto ao
Fornecimento dos Itens.
4. Transporte:
4.1. Salvo pacto em contrário entre a OCYAN e o FORNECEDOR,
nas transações nacionais e internacionais, serão utilizados como
parâmetro as condições de preço CIF (Cost, Insurance and Freight),
FOB (Free on board), FCA (Free Carrier) ou EXW (Ex works).
4.2. Se a documentação de transporte estiver incompleta e/ou em
desacordo com a legislação pertinente e/ou com os procedimentos
da OCYAN, os Itens poderão ser recusados pela OCYAN ou pela
transportadora e os Itens permanecerão armazenados por conta e
risco do FORNECEDOR.

2.4. OCYAN reserves the right to refuse the Items that are not in
accordance with the technical standards, manufacturer's specifications
and/or information contained in the Order.
2.5. In the event of non approval of the Items, OCYAN may grant to
SUPPLIER, if possible to repair the problem, a single additional period of
30 (thirty) days maximum for fixing the problems pointed out, without any
costs or expenses for OCYAN, unless otherwise agreed in writing
between the Parties.
2.6. In event of (i) return or refusal of the Items by OCYAN, or(ii) early
delivery of the Items without previous written authorization by OCYAN, the
SUPPLIER shall support all costs resulting from that, including, but not
limited to storage costs, preservations, freight, transportations,
mobilization, demobilization, insurance, or any applicable fee.
2.7. At any time during the Supply of the Items, OCYAN may determine its
suspension by simple notification to SUPPLIER, if, at OCYAN's sole
discretion, the Items supplied/executed in disagreement with all the
provisions contained in this Term.
2.8. Should Act of God or Force Majeure events occurs and provably
prevent the delivery of the Items on the agreed date, the SUPPLIER shall
immediately report its occurrence to OCYAN, and the delivery date may
be extended until the termination of the Act of God or Force Majeure
period, provided that the event does not extend for more than ten
(10) consecutive days. After the period hereof the Purchase
Order/Services Order may be canceled by OCYAN without penalties or
indemnifications.
2.9. Lack of labor, materials or facilities, as well as delays and strikes of
SUPPLIER's subcontractors shall not be accepted as a fair reason for
absences, delays and/or non-deliveries. Delays shall imply, regardless of
its cause, on a moratorium fine of 2% (two per cent) on the value of the
Order, per day of delay, starting on the promised date for the delivery of
the Items, cumulative with a punitive fine corresponding to 10 (ten per
cent) on the value of the Order, in case of default.
3. Inspections and Evaluations:
3.1. OCYAN reserves the right, at anytime and anywhere, to perform
technical inspections and evaluations during the design, planning,
production and delivery stages, as well as in the final processes and tests
(including the package inspections) at the SUPPLIER`s facilities and its
subcontractors, in order to request modifications and corrections in such
stages and processes.
3.2. These inspections, evaluations and suggestions do not bind the final
acceptance of OCYAN and, therefore, do not exempt the SUPPLIER from
its responsibilities, especially when supplying the Items.
4. Transport:
4.1. Unless otherwise agreed between OCYAN and SUPPLIER, national
and international transactions shall use as parameters the price conditions
of CIF (Cost, Insurance and Freight), FOB (Free on board), FCA (Free
Carrier) or EXW (Ex works).
4.2. If the transport documentation is incomplete and/or in disagreement
with the relevant legislation and/or OCYAN's procedures, the Items may
be refused by OCYAN or by the carrier and the Items shall be stored on
the SUPPLIER's account and risk.

5. Responsabilidades:
5.1. O FORNECEDOR responsabiliza-se direta e 5.1.
integralmente, sem prejuízo das obrigações de indenizar e
independentemente de culpa, por qualquer reclamação, condenação,
multas, perdas e danos (diretos e/ou indiretos), reivindicações,
demandas, queixas e representações, de qualquer natureza,
causados à OCYAN e/ou terceiros e clientes, por ação ou omissão do
FORNECEDOR, de seus empregados, prepostos e/ou subcontratados,
incluindo, mas não se limitando ao pagamento e/ou reembolso, à
escolha da OCYAN, de quaisquer encargos, despesas, custos,
honorários advocatícios, multas ou qualquer tipo de condenação
devida em decorrência da inobservância ou infração de disposições
legais, regulamentos, normas e políticas aplicáveis ao fornecimento de
Itens, eximindo a OCYAN de qualquer responsabilidade.
5.2. O FORNECEDOR responsabilizar-se-á integralmente pelo
cumprimento da legislação trabalhista, previdenciária, fiscal, civil,
tributária, ambiental e social aplicáveis sobre o Fornecimento dos
Itens objeto da Ordem, incluindo, mas não se limitando a, todos os
encargos, seguros, custos, adicionais de insalubridade e
periculosidade quando aplicáveis, bem como as contribuições de
natureza social, civil, tributária, trabalhista e previdenciária, sendo,
para todos os efeitos, considerado como único empregador de seu
pessoal, no qual responde integralmente perante seus empregados,
subcontratados e órgãos de fiscalização municipal, estadual e
federal, administrativa ou judicial, mantendo a OCYAN livre de
quaisquer reivindicações ou demandas de quaisquer naturezas.
5.3. O FORNECEDOR deverá obter toda e qualquer licença, alvará,
certificado, registro aduaneiro, vistos de trabalho e/ou qualquer outro
tipo de autorização que porventura seja exigida no país de destino
e/ou origem para o Fornecimento dos Itens objeto da Ordem, assim
como para o cumprimento das demais obrigações relacionadas à
mesma.
5.4. O FORNECEDOR garante que durante o Fornecimento dos
Itens (i) não fará uso, direto ou indireto, de mão-de-obra infantil ou
trabalho forçado em suas atividades industriais; (ii) não permitirá
qualquer tipo de ato ou situação discriminatória; (iii) não praticará
jornada de trabalho além do máximo permitido por Lei, por dia ou
qualquer período, devendo manter em boa ordem e guarda os
controles de jornada de trabalho diária de seu pessoal, conforme
modelo determinado pelo órgão competente; (iv) executará o
Fornecimento com segurança, saúde, higiene, cuidado com o meio-
ambiente, diligência, profissionalismo e eficiência, inclusive ao operar
equipamentos próprios e/ou da OCYAN, nos termos e limites
estabelecidos a cada Ordem; (v) manterá os padrões morais, éticos
e sociais mais elevados ao conduzir as atividades empresariais; (vi)
fornecerá ao seu pessoal, às suas próprias expensas, todos os EPI´s
(Equipamentos de Proteção Individual) aprovados e certificados pelo
órgão competente, necessários e obrigatórios para o cumprimento de
suas obrigações e (vii) cumprirá plenamente todas as leis,
regulamentos, políticas da OCYAN e outras normas que se apliquem
às operações e atividades da OCYAN.
5.5. Não obstante os termos aqui contidos, a obrigação da
OCYAN sob estes Termos e/ou Ordem (seja por razão de quebra de
contrato, delito ou outros, incluindo prestações sob indenização, caso
exista), deverá ser limitada ao valor disposto na Ordem, e a OCYAN
não deverá ser responsabilizada por danos indiretos, incidentais,
emergentes ou por quaisquer danos de natureza econômica,
inclusive lucros cessantes ou perdas de lucros ou receitas,
independentemente do fundamento no qual o FORNECEDOR
embase eventual indenização por danos, ainda que tais danos sejam
previsíveis ou se a OCYAN tiver sido informada acerca da
possibilidade de sua ocorrência.
6. Prazo e Rescisão:

5. Responsibilities:
The SUPPLIER shall be directly and full responsible,
without prejudice to the obligations of indemnifying and regardless of fault,
for any claim, condemnations, fines, losses and damages (direct and/or
indirect), claims, demands, complaints and representations of any nature
caused to OCYAN and/ or third parties and customers, due to an act or
omission of the SUPPLIER, its employees, agents and/or subcontractors,
including but not limited to payment and /or reimbursement, at OCYAN's
option, of any charges, expenses, costs, attorneys' fees, penalties or any
kind of condemnation as a result of non-compliance or violation of legal
provisions, regulations, rules and policies applicable to the supply of the
Items, exempting OCYAN of any responsibility.
5.2. The SUPPLIER shall be fully responsible to comply with applicable
laws related to labor, social security, taxes, civil, social and environmental
rules concerning the Supply of the Items contained in the Order, including,
but not limited to, all charges, insurance, costs, health hazard bonus and
risk premium, if applicable, as well as social contributions, civil, tax, labor,
and social security conditions. The SUPPLIER, for all purposes, shall be
considered as the sole employer of the employees, responding for its
employees, subcontractors and municipal, state and federal supervisory
bodies, administratively or judicially, holding OCYAN harmless from
claims of any nature.
5.3. The SUPPLIER shall obtain all licenses, permits, certificates, customs
registration, work visa and/or any other kind of authorizations that may be
required in the country of destination and/or country of origin for the
Supply of the Items contained in the Order, as well as the fulfillment of
others related obligations.
5.4. The SUPPLIER warrants that during the Supply of the Items
(i) shall not make use, direct or indirect, of child labor or forced labor in its
industrial activities; (ii) shall not allow any type of discriminatory act or
situation; (iii) shall not practice working hours beyond the maximum
allowed by law, per day or any other period, keeping in good order and
controlling the daily working hours of its employees, in accordance with
the model determined by the competent body; (iv) shall perform the
Supply with safety, health, hygiene, care with the environment, diligence,
professionalism and efficiency, inclusive when operating its own
equipment and/or OCYAN's, under the terms agreed in each Order; (v)
shall maintain the highest moral, ethical and social standards in
conducting business activities; (vi) shall supply to its personnel, at its own
expenses, all EPI's (Individual Protection Equipment) approved and
certificated by the competent body, necessary and mandatory for the
fulfillment of its obligations and (vii) shall comply with all laws, regulations,
polices of OCYAN and other rules applicable to the operations and
activities of OCYAN.
5.5. Not withstanding the terms contained herein, the obligations of
OCYAN under this Term and/or Order (whether due to breach of contract,
offense or otherwise, including installments indemnification, if any), shall
be limited to the amount described in the Order, and OCYAN shall not be
liable for any indirect, incidental, consequential damages or any damages
of economical nature, including loss of profits or revenues, regardless the
grounds may used by the SUPPLIER so as to justify eventual
indemnification for damages, even if such damages were predictable or if
OCYAN has been informed about the possibility of its
occurrence.
6. Term and Termination:

6.1. O prazo de vigência destes Termos iniciará com a emissão da
Ordem pela OCYAN e permanecerá vigente até o término da
garantia dos Itens prevista no item 7.4 destes Termos.
6.2. A OCYAN poderá rescindir, motivadamente, a Ordem em razão
da interrupção, total ou parcial, do Fornecimento, ainda que não
reportada imediatamente pelo FORNECEDOR à OCYAN, ou em
razão de sua suspensão temporária, que dure período igual ou
superior a 5 (cinco) dias corridos, salvo se outro prazo for acordado
por escrito entre as Partes, sem aplicação de qualquer multa e/ou
penalidade à OCYAN.
7. Garantias:
7.1. Sem prejuízo das garantias previstas nestes Termos, em lei, na
Ordem, ou de outra forma concedida pelo FORNECEDOR, a mesma
garante expressamente que os Itens fornecidos serão próprios,
desembaraçados e livres de quaisquer gravames, defeitos, falhas,
e/ou divergência nas especificações técnicas, respondendo pelo
mais alto padrão de qualidade da indústria, concordando, desde já,
em eximir a OCYAN de quaisquer responsabilidades em relação aos
Itens, indenizando-a se for o caso, em relação a todos e quaisquer
danos advindos de qualquer infração à garantia ora concedida.
7.2. O FORNECEDOR, às suas expensas e a critério da
OCYAN, substituirá ou reparará de forma satisfatória à
OCYAN os Itens que apresentem defeitos, vícios, avarias ou que não
correspondam às especificações descritas na Ordem, no prazo de
até 7 (sete) dias da notificação da OCYAN nesse sentido, salvo se
outro prazo for acordado por escrito entre as Partes, mesmo que tal
defeito seja verificado após o recebimento e aceite do Item.
7.3. Em se verificando que o reparo ou substituição dos Itens não foi
realizado de forma satisfatória, a OCYAN poderá, a seu exclusivo
critério e cumulativamente: (i) devolver os Itens cabendo ao
FORNECEDOR a restituição do preço pago pela OCYAN, bem como
a indenização à OCYAN por custos de armazenagem, transporte e
desinstalação; ou ainda (ii) por si próprio, consertar os Itens, ou
adquirir bens ou serviços equivalentes junto à outras empresas,
devendo o FORNECEDOR reembolsar a OCYAN das eventuais
despesas ou diferença de preços que esta incorrer em razão da
conserto dos Itens, ou aquisição de bens e serviços equivalentes
(incluindo custos com armazenagem, transporte e seguro)
selecionados e adquiridos a critério exclusivo da OCYAN.
7.4. As garantias dadas por Itens fornecidos pelo FORNECEDOR,
independentemente de quem os tenha fabricado, vendido ou
distribuído, será de 18 (dezoito) meses da entrega ou 1 (um) ano a
partir da data em que o Item seja colocado em uso ou operação, o
que ocorrer por último, salvo se expressamente acordado de forma
diversa entre as Partes.
8. Preço e Forma de Pagamento:
8.1. O preço de qualquer Item será o preço indicado na respectiva
Ordem de Compra/Serviços ("Preço"), e incluirá todos os custos,
despesas, tributos, tais como impostos, encargos, taxas,
emolumentos, contribuições fiscais e parafiscais que incidem ou
venham a incidir, direta ou indiretamente, nos Itens.

6.1. The period of validity of this Term shall begin with the issuance of
the Order by OCYAN and shall remain in force and effect until the
termination of the warranty of the Items provided in item 7.4 of this Term.
6.2. The OCYAN may reason ably terminate the Order due to total or partial
interruption of the Supply, even if not immediately reported by the
SUPPLIER to OCYAN, or due to its temporary suspension that lasts for 05
(five) or more current days, unless otherwise agreed in writing between
the Parties, without the application of any fines and/or penalties to
OCYAN.
7. Warranty:
7.1. Without prejudice to the guarantees provided herein, by law, in the
Order, or otherwise granted by the SUPPLIER, the SUPPLIER expressly
guarantees that the Items supplied will be cleared, free of any liens,
defects, failures, and/or divergence concerning technical specifications,
responding to the highest quality standards in the industry. The
SUPPLIER agrees with exempting OCYAN of any liability in relation to the
Items, and shall indemnify OCYAN for any and all damages resulting from
a breach of any warranty granted herein, if applicable.
7.2. The SUPPPLIER, at its own expenses and at the criteria of
OCYAN, shall satisfactorily replace or repair to OCYAN the Items that
present defects, malfunctions or which do not correspond to the
specifications described in the Order, within a period of up to 07 (seven)
days counted as from the receipt of OCYAN's notification, unless
otherwise agreed in writing between the Parties, even if such defect has
been verified after the receipt and acceptance of the Item.
7.3. In the event the repair or replacement of the Items have not been
satisfactorily performed, OCYAN shall, at its sole discretion and
cumulatively: (i) return the Items to the SUPPLIER for the refund of the
amount paid by OCYAN, as well as the proper indemnification due to
OCYAN regarding costs associated with storage, transportation and
disassemble, or (ii) repair the Items on its own, or purchase equivalent
goods or services from other companies, and the SUPPLIER shall
reimburse OCYAN for eventual expenses and prices' differences
concerning the repair of the Items or purchase of equivalents goods and
services (including costs associated with storage, transportation and
insurance) selected and purchased at OCYAN's sole discretion.
7.4. The warranties related to the Items supplied by the SUPPLIER,
regardless of who manufactured, sold or distributed it, shall be of 18
(eighteen) months counted as from the delivery, or 01 (one) year counted
as from the date when the Item started been used or operated, whichever
occurs last, unless otherwise expressly agreed between the Parties.
8. Price and Payment:
8.1. The price of any Item shall be the price indicated in respective
Purchase Order/Services Order ("Price"), and shall include all costs,
expenses, taxes, such as duties, charges, emoluments, fiscal and
parafiscal contributions which may incur, directly or indirectly, in the Items.

8.2. Somente após a aprovação dos Itens pela OCYAN, o
FORNECEDOR emitirá a respectiva Nota Fiscal, identificando
claramente o número da Ordem e Condições de Pagamento nela
estabelecida.
(i) As Notas Fiscais de Serviços obrigatoriamente deverão ser
emitidas e postadas no "Portal de Fornecedores" da OCYAN
até o dia 22 do mês corrente, caso contrário, deverão ser
emitidas a partir do primeiro dia do mês subsequente.
(ii) As Notas Fiscais de Produtos obrigatoriamente deverão ser
entregues junto com o item, no local de entrega acordado. Nos
casos de coleta internacional de Produtos, a invoice deverá
ser emitida apenas após a
aprovação dos documentos de embarque.
8.3. O FORNECEDOR declara estar ciente que os
pagamentos a serem realizados pela OCYAN ocorrerão nos dias 05 OCYAN shall occur on the following days: 05 (five), 14 (fourteen), 20 (twenty)
(cinco), 14 (quatorze), 20 (vinte) e/ou 26 (vinte e seis) de cada mês. and/or 26 (twenty-six) of each month.
8.4. As Notas Fiscais com vencimentos que ocorram entre os dias
acima estabelecidos, serão postergadas para o primeiro dia de
pagamento subsequente ao vencimento, sem que isso enseje a
aplicação de quaisquer multas e/ou penalidades à OCYAN.
8.5. Não será aceito pela OCYAN a cobrança pelo Fornecimento dos
Itens após 120 (cento e vinte) dias da finalização e aprovação
destes, salvo exceções que poderão ser previamente analisadas.
8.6. Tendo sido as faturas pagas com o valor indevido e não
informado à OCYAN no prazo de até 10 (dez) dias, o
FORNECEDOR deverá ressarcir a OCYAN com o valor pago a
maior, acrescido de 10% (dez por cento) sobre o excedente com
juros e correção monetária pelo índice do IGP-M, ou por outro índice
que vier a substituí-lo, devendo esta ser paga em até 30 (trinta) dias
após a notificação da OCYAN, mediante uma carta de desconto ou
uma nota de débito do FORNECEDOR, conforme for o caso.
8.7. A Nota Fiscal irregular será devolvida pela OCYAN, com
as informações que motivaram a rejeição, contando-se novo prazo
para o efetivo pagamento.
8.8. Caso a OCYAN seja autuada, notificada ou intimada em razão
do não cumprimento, pelo FORNECEDOR, de qualquer obrigação
legal e/ou contratual de sua responsabilidade, a OCYAN poderá
suspender, no todo ou em parte, o pagamento devido ao
FORNECEDOR, até que a mesma satisfaça a respectiva obrigação e
que a OCYAN seja liberada da autuação, notificação ou intimação.
8.8.1 A contagem do prazo para o pagamento iniciar-se-á no
dia seguinte após a satisfação das condições previstas, sem
incidência de multas ou juros.
8.8.2 Ainda, a OCYAN terá a prerrogativa de descontar,
reter ou compensar os valores eventualmente despendidos
e/ou cobrados, conforme o caso, bem como despesas
incorridas com a defesa da OCYAN, direta ou indiretamente,
das quantias a serem pagas ao FORNECEDOR até que seja
comprovada a exclusão de qualquer responsabilidade que
porventura possa a ser aplicada à OCYAN em razão da
Ordem de Compra/Serviços.
8.8.3 Na falta de eventuais créditos existentes em favor do
FORNECEDOR, esta concorda em reembolsar a OCYAN
por quaisquer quantias desembolsadas pela mesma até
então, bem como por quaisquer perdas e danos incorridos
pela OCYAN em razão do inadimplemento do
FORNECEDOR com relação às obrigações decorrentes de
Lei ou destes Termos, independente de culpa ou dolo,
mediante simples solicitação da OCYAN, no prazo de 10
(dez) dias contados do recebimento desta comunicação.
9. Tributos:

8.2. Only after the approval of the Items by OCYAN, the SUPPLIER shall
issue the invoice, identifying the number of the Order and the payment
conditions established therein.
(i) The Services invoices shall be issued and posted on OCYAN´s
"Supplier Portal" up to 22 (twenty) day of the current month,
otherwise the invoice shall be issued in from the first day of the
subsequent month.
(ii) The Products invoices shall be delivery with the item at the place of
delivery agreed upon. In case of international collection of Products,
the invoice shall be issued only after the approval of the shipping
documents.
8.3. The SUPPLIER declares to be aware that the payments to be made by
8.4. The invoices with due dates occurring between the days stablished
above, shall be postponed to the first subsequent day after the due date,
without any penalties to OCYAN.
8.5. The OCYAN will not accept any charges related to the Supply of the
Items after 120 (hundred and twenty) days of its finalization and approval,
unless exceptions to be previously analyzed.
8.6. In case the invoices are wrongly paid and OCYAN is not informed
within 10 (ten) days, the SUPPLIER shall reimburse to OCYAN the
amount paid in excess plus 10% (ten per cent) over the amount overpaid
with interest and monetary correction according with the IGP-M index, or
by another index that eventually substituted it. Such amount shall be paid
within up to 30 (thirty) days after notified by OCYAN, by means of a
discount letter or debit note from de SUPPLIER, as the case may be.
8.7. The irregular invoice shall be returned by OCYAN with all the
information that caused the rejection, and a new due date shall begin for
payment.
8.8. In the event OCYAN is charged, notified, or summoned due to
SUPPLIER's failure to comply with any legal and/or contractual obligation
under its responsibility, OCYAN may totally or partially suspend the
payment until the SUPPLIER complies with its obligations and OCYAN is
released from the charge, notification or summon.
8.8.1 The deadline for payment shall initiate being counted on the
following day after the specified conditions were met, without
penalties or interest.
8.8.2 OCYAN shall also be entitled to discount, retain or
compensate any amounts that may have been spent and/or
charged, as the case maybe, as well as the expenses incurred in
defending OCYAN, directly or indirectly, of the amounts to be paid
to the SUPPLIER until it is proven the exclusion of any liability that
may be applied to OCYAN due to the Purchase Order/Service
Order.
8.8.3 In the absence of any existent credits in favor of
SUPPLIER, the SUPPLIER agrees to reimburse OCYAN for
any amounts disbursed until that date, as well as for eventual
losses and damages incurred by OCYAN due to SUPPLIER's
default regarding legal obligations or provisions contained in this
Term, regardless of fault or willful misconduct, upon a simple
request from OCYAN, within 10 (ten) days counted as from the
receipt of such request.
9. Taxes:

9.1. Os tributos devidos, direta e indiretamente, decorrentes do
Fornecimento dos Itens, serão da exclusiva responsabilidade do
FORNECEDOR, devendo o mesmo discriminar com clareza a
incidência de cada um sobre os Itens.
9.2. A OCYAN, quando parte retentora, descontará e recolherá nos
prazos da Lei, dos pagamentos a efetuar, os tributos obrigatórios
pela legislação em vigor, inclusive, quando se tratar de cessão de
mão de obra, o percentual cabível, podendo ser 11% (onze por
cento) ou aquele indicado em regulamento específico.
10. Inexistência de Vínculo Empregatício:
10.1. O FORNECEDOR será considerado, para efeitos destes
Termos, um fornecedor e/ou prestador de serviços autônomo e,
dessa forma, colaboradores do FORNECEDOR não serão
considerados administradores, representantes, sócios e/ou
empregados da OCYAN.
10.2. Estes Termos não estabelecem qualquer vínculo empregatício
ou responsabilidade, solidária ou subsidiária, em relação à OCYAN
e os colaboradores do FORNECEDOR, nem tampouco dos terceiros
por ele indicados e seus respectivos colaboradores, que vierem a
executar o Fornecimento dos Itens, correndo por conta exclusiva do
FORNECEDOR, único responsável como empregador, todas as
despesas do pessoal, inclusive, mas não se limitando a, os encargos
decorrentes da legislação vigente trabalhista, previdenciária ou
securitária, inclusive as reparações dos danos civis causados por
acidentes do trabalho, obrigando- se assim o FORNECEDOR, ao
cumprimento de todas as disposições em vigor, quer quanto à
remuneração dos seus colaboradores quer quanto aos demais
encargos de qualquer natureza, especialmente de seguro contra
acidente do trabalho.
10.3. O FORNECEDOR compromete-se a eximir e indenizar a
OCYAN por qualquer obrigação de caráter trabalhista ou
previdenciário relacionada aos seus colaboradores, arcando com
todos os custos gerados por eventuais demandas ajuizadas,
incluindo honorários advocatícios, sob pena de retenção ou
compensação dos valores devidos a título de referidos recolhimentos
e rescisão da Ordem de Compra/Serviços e destes
Termos, independentemente de notificação por parte da OCYAN,
sem prejuízo de eventual ressarcimento adicional por perdas e
danos.
10.4. Quaisquer custos, inclusive honorários de advogados, havidos
pela OCYAN em decorrência de ação trabalhista movida por
colaboradores do FORNECEDOR, deverão ser ressarcidos por esta,
no prazo de 72 (setenta e duas) horas após o recebimento da
notificação por escrito da OCYAN.
10.5. O FORNECEDOR compromete-se ainda a requerer a exclusão
da OCYAN em caso de reclamação trabalhista ou previdenciária, não
podendo ser arguida solidariedade nem responsabilidade subsidiária
pelo FORNECEDOR na hipótese de ação judicial.
11. Propriedade Intelectual:
11.1. O FORNECEDOR declara que todos os materiais, programas,
firmware, software, know-how, métodos e conceitos a eles
associados que forem utilizados, conforme aplicável, direta ou
indiretamente, no Fornecimento dos Itens, são usados de acordo
com a legislação vigente, bem como nos termos do contrato de
licença firmado entre o FORNECEDOR e a empresa detentora do
direito de propriedade intelectual relativo ao material, programa,
firmware, software, know-how, métodos e conceitos a eles
associados.

9.1. The due taxes, directly and indirectly, resulting from the Supply of
the Items, shall be SUPLLIER's exclusive responsibility, and SUPLLIER
shall clearly identify the incidence of each one on the Items.
9.2. OCYAN, as the withholding source, will deduct and pay, within the legal
deadlines, from payments it effects, the taxes required by the legislation in
force, including in case of labors assignment, the applicable percentage,
which may be 11% (eleven per cent) or the one indicated in the specific
regulation.
10. Lack of Employment Relationship:
10.1. For the purpose hereof, the SUPPLIER will be deemed an independent
supplier and/or service provider and, therefore, SUPPLIER's employees
shall not be considered as administrators, representatives, partners and/or
employees of OCYAN.
10.2. This Term does not set forth any employment relationship or liability,
whether joint or ancillary, with regard to OCYAN and SUPPLIER's
employees or third parties appointed by it and their respective Associates
who may perform the services presently agreed upon, and SUPPLIER,
being solely liable as employer, will exclusively bear all expenses with
personnel, including but not limited to, duties resulting from labor, social
security or insurance legislation in force, including compensation for civil
damages caused by occupational accidents, therefore SUPPLIER
commits to comply with all the provisions in force, whether with regard to
payment to its employees or with regards to other duties of whatever
nature, in particular of insurance for occupational accident .
10.3. SUPPLIER commits to exempt OCYAN from and indemnify it for any
duties of a labor or social security nature related to its employees, bearing
all costs caused by potential demands, including attorney's fees, under
penalty of withholding or compensation of the amounts due as such
payments and terminating the Purchase Order/Services Order and this
Term, regardless of notification by OCYAN, without prejudice of eventual
additional compensation for damages.
10.4. Any costs, including attorney's fees, paid by OCYAN as a result of a
labor lawsuit caused by SUPPLIER's employees, shall be reimbursed by
the SUPPLIER, within 72 (seventy- two) hours from the receipt of OCYAN'
s notification in writing.
10.5. In addition, SUPPLIER commits to request OCYAN's exclusion in
case of labor and social security claims, and neither joint liability nor
ancillary liability may be alleged by SUPPLIER in case of a lawsuit.
11. Intellectual Property:
11.1. The SUPPLIER declares that all materials, software, programs,
firmware, know-how, methods and associated concepts that are used, as
applicable, directly or indirectly, in the Supply of the Item, are in
accordance with the legislation in force, as well as the license agreement
executed between the SUPPLIER and the company which owns the
intellectual property rights relating to the materials, software, programs,
firmware, know-how, methods and associated concepts.

11.2. O FORNECEDOR eximirá a OCYAN de toda e qualquer
responsabilidade oriunda de patente, direitos autorais, proteção de
marca registrada, segredos comerciais, patentes, modelos de
utilidade e outros direitos de propriedade intelectual reconhecidos em
qualquer jurisdição, em todo o mundo, inclusive todos os
requerimentos e registros, decorrentes da entrega documentos e/ou
disponibilização de informações e/ou entrega de qualquer Item objeto
de uma Ordem de Compra/Serviços.
11.3. O FORNECEDOR reconhece que eventuais produtos,
materiais, obras, resultados e/ou relatórios e/ou outro tipo de
propriedade intelectual que venham a ser criados durante a
execução de uma Ordem de Compra/Serviços pertencerão
exclusivamente à OCYAN ou a seus legítimos sucessores todos e
quaisquer direitos, títulos e interesses relacionados com as
atividades desenvolvidas pelo FORNECEDOR, seus
Representantes, colaboradores e/ou terceiros envolvidos com os
Itens contratados, em decorrência de uma Ordem de
Compra/Serviços, sozinho ou em conjunto com quaisquer outros
prestadores de serviço, sendo certo, outrossim, que os valores
acordados por meio da Ordem de Compra/Serviços compreendem a
contraprestação por qualquer valor decorrente dessa atividade
desenvolvida pelo FORNECEDOR.
12. Confidencialidade:
12.1. O FORNECEDOR obriga-se, por si, seus sócios,
administradores, representantes, prepostos, empregados,
subcontratados ou qualquer pessoa a ela ligada, a tratar e manter,
em caráter de absoluto sigilo e exclusividade, durante e após a
vigência destes Termos, todas as informações transmitidas pela
OCYAN, incluindo, mas não se limitando a (i) informações de
natureza técnica, comercial financeira e outras; e (ii) existência de
contratos entre a OCYAN e o FORNECEDOR e/ou OCYAN e seus
clientes, para fins publicitários ou qualquer outro fim.
12.2. O FORNECEDOR assume também total responsabilidade por
quebra de sigilo realizada por seus empregados, prepostos e/ou
subcontratados, responsabilizando-se civil e criminalmente, por seus
atos e omissões, caso venha a causar danos à OCYAN em razão da
quebra de sigilo.
13. Seguros:
13.1. O FORNECEDOR deverá, durante todo o Fornecimento,
manter contratado e em plena vigência e efeito, às suas próprias
expensas, todos os seguros de seu pessoal, bens, responsabilidade
geral e danos à terceiros, além dos seguros obrigatórios por força de
lei, fornecendo cópias das respectivas apólices à OCYAN sempre
que solicitado.
13.2. A contratação de qualquer seguro exigido não isenta nem
reduz as responsabilidades do FORNECEDOR.
13.3. Na hipótese de os seguros exigidos serem insuficientes ou
inexistes, o FORNECEDOR arcará integralmente com os ônus
decorrentes de eventuais sinistros.
13.4. Correrão integralmente por conta do FORNECEDOR as
franquias e prêmios que vierem a ser estabelecidos, bem como o
ônus que resultar de exigências e/ou recomendações dos
seguradores, devendo o FORNECEDOR incluir a OCYAN como
cossegurada.
13.5. Todos os seguros do FORNECEDOR, incluindo os seguros
fornecidos pelos seus subcontratados, deverão incluir a OCYAN
como segurada adicional, além da renúncia de seus seguradores a
todo e qualquer direito de sub-rogação contra a OCYAN.
13.6. Quando da execução do escopo offshore, os seguros
mencionados não poderão conter exclusão quanto a riscos offshore,

11.2. The SUPPLIER shall exempt OCYAN from any and all liabilities
arising from patent, copyright, trademark protection, trade secrets,
patents, utility models and other intellectual property rights recognized in
any jurisdiction worldwide, including all requirements and records due to
the delivery of documents and/or disclosure of information and/or delivery
of any Item subject to a Purchase Order/Services Order.
11.3. The SUPPLIER acknowledges that eventual products, materials,
works, results and/or reports and/or other intellectual property that may be
created during the execution of a Purchase Order/Services Order shall
belong exclusively to OCYAN or its legitimate successors, and any and all
rights, titles and interests related to the activities developed by the
SUPPLIER, its Representatives, employees and/or third parties involved
with the contracted Items, as a result of a Purchase Order/Service Order,
individually or jointly with others services provider, whereby the amounts
agreed by means of a Purchase Order/Services Order comprise the
consideration for any amount resulting from this activity developed by the
SUPPLIER.
12. Confidentiality:
12.1. The SUPPLIER undertakes, on its behalf, its partners, managers,
representatives, agents, employees, subcontractors, or any associated
person, to treat and maintain, as a matter of absolute secrecy and
exclusivity, during and after the validity of this Term, all the information
provided by OCYAN, including, but not limited to (i) technical, commercial,
financial and other information; and (ii) the existence of contracts executed
between OCYAN and SUPPLIER and/or OCYAN and its customers, for
advertising or any other purposes.
12.2. The SUPPLIER assumes full responsibility for breach of
confidentiality by its employees, agents and/or subcontractors, being civilly
and criminally responsible for their actions and omissions, in the event of
occurrence of damages due to breach of confidentiality.
13. Insurance:
13.1. The SUPPLIER shall, during the Supply, keep in full force and effect
all insurances related to their people, properties, general liability and
damage to third parties, including the mandatory insurance required by
law, at its own expense, providing copies of its policies to OCYAN,
whenever requested.
13.2. The contracting of any insurance does not exempt nor reduce
the responsibility of the SUPPLIER.
13.3. In case the required insurance is insufficient or nonexistent, the
SUPPLIER shall fully bear the burden resulting from any claims.
13.4. The SUPPLIER shall be responsible for the deductible and premium
insurance that may be established, as well as any burden resulting from
requirements and/or recommendations from the insurers. The SUPPLIER
shall include OCYAN as a co-insured.
13.5. The SUPPLIER's insurances, including its subcontractors'
insurances, shall include OCYAN as an additional assured party, in
addition the SUPPLIER shall ensure that the insurers waive all the
subrogation rights against OCYAN.
13.6. In the case of an offshore execution of the work scope, the
insurances hereby mentioned shall not include exclusions related to

riscos relativos a plataformas, embarcações ou demais riscos
relacionados à atividade de óleo e gás.
14. Documentos Integrantes:
14.1. Integram estes Termos: (i) Termo de Recebimento e
Compromisso do Código de Conduta de Terceiros da OCYAN;
(ii) Código de Conduta de Terceiros da OCYAN; (iii) Anexo de
SSTMA para Fornecedores e Prestadores de Serviços (Ref. OD-
SST-AN-001); (iv) Proposta Comercial/Técnica do FORNECEDOR; e
(v) "12 Compromissos de Ouro de Segurança" da OCYAN,
"Homologação de Fornecedores" e "Política sobre Conformidade
com Atuação Ética, Íntegra e Transparente", os quais encontram-se
disponíveis em http://www.ocyan-sa.com ou no Portal de
Homologação de Fornecedores da OCYAN - Equipo (ou de outra
forma entregue pela OCYAN), cujos documentos fazem parte
integrante dos presentes Termos, como se aqui estivessem
integralmente transcritos.
14.2. Em caso de conflito entre a Proposta Comercial da
FORNECEDOR e estes Termos, prevalecerão os últimos.
15. Conformidade com as Diretrizes Anticorrupção da
OCYAN:
15.1. O FORNECEDOR declara e garante por si e por suas
subsidiárias, controladas e coligadas, bem como por seus
respectivos sócios, administradores (incluindo membros do conselho
e diretores), executivos, empregados, prepostos, agentes,
subcontratados, procuradores e/ou qualquer outro representante, a
qualquer título ("Representantes") que não existem acusações,
alegações, demandas, investigações, inquéritos, processos,
indiciamentos, ou outros atos de coerção contra o FORNECEDOR
e/ou seus Representantes relacionadas às Normas Aplicáveis, e
que cumprem e continuarão cumprindo, durante a vigência deste
Contrato, todas as leis e regulamentos aplicáveis às atividades
relacionadas a este Contrato, incluindo, a OECD Convention,
U.S. Foreign Corrupt Practices Act ("FCPA"), the UK Bribery Act e a
Lei brasileira Anticorrupção nº 12.846/2013 e seus respectivos
regulamentos, bem como toda e qualquer legislação aplicável,
nacional ou internacional, que proíba pagamento, oferecimento,
promessa ou recebimento de vantagens indevidas ou qualquer coisa
de valor para ou de Agentes Públicos ou privados ou Pessoa
Politicamente Exposta, com o propósito de obter vantagem
comercial, reter contratos ou celebrar negócios, para si ou terceiros,
ou influenciar a decisão de Agentes Públicos ou Pessoa
Politicamente Exposta em violação aos seus deveres legais ("
Normas Aplicáveis").
15.2. O FORNECEDOR declara e garante que conhece, compreende
e cumprirá o disposto no Código de Conduta de Terceiros da Ocyan,
disposto no website: http://www.ocyan-sa.com, em sua última versão,
e que faz parte integral deste Contrato ("Código de Conduta de
Terceiros"), comprometendo-se a observar e aplicar os princípios
contidos no Código de Conduta de Terceiros e eventuais
atualizações na condução dos Serviços, objeto do Contrato. O
FORNECEDOR declara, ainda, que treinará seus integrantes,
alocados na execução deste Contrato, sobre as Normas Aplicáveis e,
na ausência de evidências quanto à condução do treinamento,
aceitará receber treinamentos ministrados pela OCYAN,
comprometendo-se a exigir a presença nos referidos treinamentos de
todos os Representantes envolvidos na execução deste Contrato.
15.2.1 A OCYAN poderá exigir a substituição imediata, e sem
qualquer ônus, de qualquer Representante alocado na execução
deste Contrato que não participe dos treinamentos a que se refere a
cláusula acima.

14. Integrate Documents:
14.1. This Term includes: (i) Acknowledgement of Receipt and
Undertaking of the Code of Conduct for OCYAN's Third Party, (ii) Code of
Conduct for OCYAN's Third Party; (iii) Exhibit on SSTMA for Suppliers
and Service Providers (Ref. OD-SST-AN-001); (iv) SUPPLIER's
Commercial/Technical Proposal; (v) "OCYAN's 12 Golden Safety
Commitments", "Approved Suppliers" and "Compliance to an Ethic,
Righteous and Transparent Policy", available in the following electronic
address http://www.ocyan-sa.com or in the OCYAN´s Supplier
Registration Portal – Equipo (or otherwise provided by OCYAN), which
integrates this Term together with its documents, as if it was transcribed
herewith.
14.2. In the event of controversy between the Commercial Proposal
of SUPPLIER and the Term herein, the Term shall prevail.
15. Compliance of Anti-Corruption Directives of OCYAN:
15.1. SUPPLIER hereby declares and warrants for itself and its subsidiaries,
affiliates and associated companies, as well as their respective
shareholders, administrators (including board members and directors),
executives, employees, representatives, subcontractors, attorneys and
any other representative ("Representatives") that there are no charges,
allegations, demands, investigations, inquiry, suits, indictments, or other
acts of coercion against SUPPLIER or its Representatives related to the
Applicable Rules, and that they comply with and continue to comply,
during the term of this Agreement, with all laws and regulations applicable
to activities related to this Agreement, including the OECD Convention, the
US Foreign Corrupt Practices Act ("FCPA"), the UK Bribery Act and
Brazilian anti-corruption law No. 12.846/2013, and its respective
regulations, as well as any applicable national or international law
prohibiting the payment, offer, promise or receipt of improper advantages
or anything of value to or from Public or private Agents or Politically
Exposed Person with the purpose of gaining business advantage,
withholding contracts or entering into business for themselves or third
parties, or influencing the decision of Public Officers or Politically Exposed
Person in violation of their legal duties ("Applicable Rules").
15.2. SUPPLIER declares and warrants that it knows, understands and will
comply with the provisions of the Ocyan Third Party Code of
Conduct, available on the website: http://www.ocyan-sa.com,
in its latest version, and which is part of this Agreement ("Third Party
Code of Conduct"), and undertakes to observe and apply the principles
contained in the Third Party Code of Conduct and any updates on the
conduct of the Services, which are the purpose of this Agreement.
SUPPLIER further states that it will train its members, assigned in the
execution of this Agreement, on the Applicable Rules and, in the absence
of evidence as to the conduct of the training, will agree to receive training
provided by OCYAN, undertaking to require the presence in said trainings
of all Representatives involved in the
execution of this Agreement.
15.2.1 OCYAN may demand the immediate replacement, and without any
encumbrance, of any Representative assigned to the execution of this
Agreement that does not participate in the training referred to in the
aforementioned clause.

15.2.2 A não realização dos treinamentos ou a não participação dos
Representantes em treinamentos realizados pela OCYAN, não
eximirá o FORNECEDOR da obrigação de cumprir o disposto nesta
Cláusula.
15.3 O FORNECEDOR deverá, em relação à este
Contrato:
(i) desenvolver e manter controles internos adequados
relacionados às obrigações do FORNECEDOR previstas
nesta Cláusula;
(ii) elaborar e preparar seus livros, registros e relatórios de
acordo com as práticas contábeis usualmente adotadas,
aplicáveis ao FORNECEDOR pelo período mínimo de 10
(dez) anos após o encerramento deste Contrato;
(iii) elaborar livros, registros e relatórios apropriados das
transações do FORNECEDOR, de forma que reflitam correta
e precisamente, e com nível de detalhamento
razoável os ativos e os passivos do FORNECEDOR.
15.4 Salvo divulgação prévia e por escrito à OCYAN, o
FORNECEDOR declara e garante que nenhum de seus
Representantes relacionados com as atividades previstas neste
Contrato é Agente Público ou Pessoa Politicamente Exposta.
Declara, ainda, que os Representantes relacionados com as
atividades previstas neste Contrato não têm relação de qualquer
natureza, incluindo pessoal, de negócios ou de associação, com
qualquer Agente Público ou Pessoa Politicamente Exposta que
está ou poderá estar em posição de influenciar a obtenção de
negócios e/ou outras vantagens em favor da OCYAN.
15.5 Qualquer prática, pelo FORNECEDOR, em violação às
declarações constantes desta Cláusula de Conformidade
poderá ensejar a resolução de pleno direito deste Contrato pela
OCYAN, de forma automática e independentemente de qualquer
formalidade, sendo certo que o FORNECEDOR isentará e manterá a
OCYAN indene em relação a quaisquer reivindicações, penalidades,
multas, honorários e despesas razoáveis com advogados, perdas ou
danos diretos e indiretos, inclusive lucros cessantes, relacionados ou
decorrentes da violação cometida, sem prejuízo do direito de
regresso da OCYAN.
15.5.1. A OCYAN poderá reter quaisquer pagamentos futuros ao
FORNECEDOR até que o valor de todos os danos e prejuízos
incorridos pela OCYAN em razão do descumprimento do
FORNECEDOR seja definido. A OCYAN poderá descontar de
quaisquer pagamentos devidos ao FORNECEDOR, o valor de todos
os danos e prejuízos incorridos pela OCYAN em razão do
descumprimento pelo FORNECEDOR. O FORNECEDOR não terá
direito a qualquer indenização, reivindicação ou demanda em face da
OCYAN por conta da extinção do Contrato. Esta cláusula
permanecerá válida e será aplicada mesmo após o término ou
rescisão deste Contrato.
15.6. A OCYAN poderá realizar anualmente ou em periodicidade
menor, a seu exclusivo critério, avaliação de integridade do
FORNECEDOR, que, por sua vez, deverá colaborar com a OCYAN
fornecendo as informações e documentos solicitados pela OCYAN,
incluindo, mas não se limitando a, declaração de que cumpre com o
estabelecido nesta Cláusula de Conformidade, estando sujeita às
consequências previstas na cláusula acima.

15.2.2 Failure to carry out the training or the non-attendance of the
Representative in trainings carried out by OCYAN will not exempt
SUPPLIER from the obligation to comply with the
provisions of this Clause.
15.3 SUPPLIER shall, in relation to this Agreement:
(i) develop and maintain adequate internal controls related to the
obligations of SUPPLIER provided for in this Clause;
(ii) prepare and execute its books, records and reports in accordance
with generally accepted accounting practices applicable to
SUPPLIER for a minimum period of 10 (ten) years after termination
of this Agreement; and
(iii) prepare appropriate books, records and reports of SUPPLIER´s
transactions in order to reflect, correctly and accurately, and in
reasonable details, the level of the assets and liabilities of
SUPPLIER.
15.4 Unless prior written notice is given to OCYAN, SUPPLIER hereby
declares and warrants that none of its Representatives relating to the
activities provided for in this Agreement is a Public Agent or a Politically
Exposed Person. It further declares that the Representatives related to
the activities provided for in this Agreement have no relation whatsoever,
including personnel, business or association, with any Public Agent or
Politically Exposed Person who is or may be in position of influencing
the obtaining of business and/or other advantages in favor of OCYAN.
15.5 Any practice by SUPPLIER, in violation of the representations
contained in the Compliance Clause may
result in the automatic termination of this Agreement by OCYAN,
irrespective of any formality, provided that SUPPLIER shall exempt and
hold OCYAN harmless in respect of any claims, penalties, fines, reasonable
fees and expenses with attorneys, direct or indirect losses or damages,
including loss of profits and consequential damages, arising out of or in
connection with the violation committed, without prejudice to right of
subrogation of OCYAN.
15.5.1. OCYAN may retain any future payments to SUPPLIER until the
value of all damages and losses incurred by OCYAN because of
SUPPLIER's noncompliance is defined. OCYAN may deduct from any
payments owed to SUPPLIER, the amount of all damages and losses
incurred by OCYAN because of SUPPLIER´s noncompliance. SUPPLIER
shall not be entitled to any indemnification, claim or demand in the face of
OCYAN due to termination of this Agreement. This clause will remain valid
and in effect after termination or end of this Agreement.
15.6. OCYAN may perform annually or at a lesser frequency, in its sole
discretion, an integrity assessment of SUPPLIER, who, in turn, shall
cooperate with OCYAN by providing the information and documents
requested by OCYAN, including, but not limited to, a statement that it
complies with the provisions of this Compliance Clause, subject to the
consequences set forth in the above clause.

15.8. Caso a OCYAN tome conhecimento de fatos ou indícios de que
ocorreu, ou que está na iminência de ocorrer, violação às
declarações constantes desta Cláusula de Conformidade por parte
do FORNECEDOR ou por quaisquer dos seus Representantes,
poderá a OCYAN determinar, a seu exclusivo critério, a suspensão
imediata da realização dos Serviços objeto do Contrato e a
substituição imediata dos envolvidos, sem prejuízo da faculdade de
rescindir o presente Contrato.
15.8.1. Para a avaliação dos fatos ou indícios acima
referidos, o FORNECEDOR deverá cooperar com a
OCYAN, disponibilizando todos os documentos solicitados
relacionados com as atividades realizadas no âmbito deste
Contrato, bem como prestar os esclarecimentos
necessários para elucidação dos fatos.
15.8.2. Caso o FORNECEDOR se recuse
injustificadamente a prestar qualquer informação solicitada
pela OCYAN, a OCYAN poderá rescindir este Contrato,
de forma automática e independentemente de qualquer
formalidade, sem que seja devido ao FORNECEDOR
qualquer indenização, seja a que título for, aplicando-se,
neste caso, o disposto nesta Cláusula de Conformidade.
15.8.3. A OCYAN se reserva no direito de utilizar as
informações colhidas no procedimento a que se refere
esta Cláusula 15.8 para informar de maneira voluntária as
autoridades competentes ou colaborar com investigações
promovidas pelas autoridades responsáveis pela
instauração e/ou julgamento de processos judiciais ou
administrativos, nos termos da legislação vigente, sem
que isso implique em infração de qualquer dever de
confidencialidade disposto neste Contrato.
15.9 Caso qualquer autoridade pública venha a instaurar
procedimento ou processo para investigar condutas relacionadas a
este Contrato, o FORNECEDOR se compromete a cooperar com a
OCYAN, quando por esta solicitado, no âmbito de referida
investigação.
15.10. Caso o FORNECEDOR subcontrate no todo ou em parte a
execução dos serviços, objeto deste Contrato, o FORNECEDOR
deverá realizar avaliação de integridade do terceiro contratado
previamente à sua contratação e deverá informar a OCYAN sobre a
existência de qualquer evento que possa gerar risco à OCYAN, que
poderá, a seu exclusivo critério, recusar a subcontratação pelo
FORNECEDOR, bem como exigir e acompanhar o cumprimento do
disposto nesta Cláusula de Conformidade pelo seu subcontratado do
FORNECEDOR.
15.11. Definições. Para fins deste Contrato:
a) o termo "Agente Público" inclui qualquer indivíduo que
seja:
(i) agente, autoridade, empregado, servidor, funcionário
ou representante de entidade governamental, órgão,
departamento, agência ou ofício públicos, incluindo
quaisquer entidades dos poderes executivo,
legislativo e judiciário, entidades da administração
pública direta ou indireta, empresas públicas,
sociedades de economia mista e fundações públicas,
nacionais ou estrangeiras;
(ii) pessoa exercendo, ainda que temporariamente e sem
remuneração, cargo, função ou emprego
em entidade de um Estado soberano e suas
instrumentalidades, incluindo entidades que prestem
serviços ou sirvam a uma função pública;
(iii) diretor, conselheiro, integrante ou representante de
uma organização internacional pública;
(iv) diretor, conselheiro ou funcionário de partido político,
bem como candidatos concorrendo a cargos públicos

15.8. If OCYAN becomes aware of facts or indications that a violation to
the statements in this Compliance Clause has occurred, or is about to
occur, by SUPPLIER or by any of the Representatives, OCYAN may
determine, at its sole discretion, the immediate suspension of the
performance of the Services and the immediate replacement of the
Representatives involved, without prejudice to the right to terminate this
Agreement.
15.8.1. For the evaluation of the facts or indications referred to above,
SUPPLIER shall cooperate with OCYAN, making available all
requested documents relating to the activities carried out under
this Agreement, as well as providing the clarifications
necessary to elucidate the facts.
15.8.2 If SUPPLIER unjustifiably refuses to provide any information
requested by OCYAN, OCYAN may terminate this Agreement,
automatically and regardless of any formality, without any compensation
being due to SUPPLIER, whatever the title, and in this case, the
provisions of this Compliance Clause shall apply.
15.8.3 OCYAN reserves the right to use the information collected in the
procedure referred to in this Clause 15.8 to voluntarily inform the
competent authorities or collaborate with investigations promoted by the
authorities responsible for the prosecution and / or judgment of judicial or
administrative proceedings in accordance with current legislation and
without implying in violation of any duty of confidentiality provided in this
Agreement.
15.9. Should any public authority files a suit or proceeding to investigate
conduct in connection with this Agreement, SUPPLIER undertakes to
cooperate with OCYAN, when requested by it, in connection with the said
investigation.
15.10 If SUPPLIER subcontracts in whole or in part the execution of the
services, purpose of this Agreement, SUPPLIER shall carry out an integrity
assessment of the subcontractor prior to its engagement and shall inform
OCYAN of the existence of any event that may create a risk to OCYAN,
that may, in its sole discretion, refuse the subcontract by SUPPLIER or, as
well as require and monitor compliance with the provisions of this
Compliance Clause by SUPPLIER's subcontractor.
15.11 Definitions. For purposes of this Agreement:
a) the term "Public Agent" includes any individual who is:
(i) agent, authority, employee, servant, employee or representative
of a governmental entity, agency, department, body or public
official, including any entities of the executive, legislative and
judicial branches, entities of the direct or indirect public
administration, public company, joint capital company and
national or foreign public foundations;
(ii) exercising, even temporarily and without remuneration, a
position, function or employment in an entity of a sovereign
State and its instrumentalities, including entities that provide
services or serving to a public function;
(iii) officer, director, member or representative of a public
international organization;
(iv) officer, director or employee of political party, as well as
candidates running for elective or political public office; or
(v) member of a royal family, including persons who do not have
formal authority but who may influence business interests.

b) o termo "Pessoa Politicamente Exposta" significa: pessoas que
exercem ou exerceram, algum cargo ou função pública relevante e
seus Parentes Próximos, em período definido na legislação aplicável.
16. Disposições Gerais:
16.1. Cada Parte é responsável por suas próprias obrigações.
Nenhuma das Partes deverá fazer qualquer declaração ou incorrer
em qualquer obrigação em nome ou benefício da outra Parte. A
relação entre as Partes é exclusivamente de contratantes
independentes.
16.2. A Ordem e estes Termos não poderão ser objeto de cessão,
transferência, alienação ou subcontratação, salvo se prévia e
expressamente aprovado pela OCYAN, no todo ou em parte, pelo
FORNECEDOR, incluindo, mas não se limitando aos créditos
decorrentes da Ordem.
16.3. O FORNECEDOR não poderá subcontratar o
Fornecimento dos Itens sem a prévia e expressa aprovação da
OCYAN.
16.4. O FORNECEDOR declara que o objeto das Ordens de
Compra/Serviços não infringe ou viola seu objeto social e atividades
empresariais, nem quaisquer normas de natureza legal,
regulamentar, administrativa, judiciária, convencional ou contratual.
16.5. O FORNECEDOR expressamente declara e concorda
que:
(i) A demora ou omissão no exercício de
direitos que sejam assegurados às Partes por lei
ou pelo presente instrumento não constituirá
novação ou renúncia a tais direitos, nem
prejudicará seu eventual e oportuno exercício;
(ii) A renúncia a direitos que assistam à
Partes em razão de lei ou do presente Contrato
somente será válida se formalizada por escrito; e
(iii) A nulidade ou invalidade de qualquer das
cláusulas destes Termos não prejudicará a
validade e eficácia das demais.
16.6. As notificações ou outras comunicações serão realizadas por
escrito e serão consideradas enviadas se entregues pessoalmente,
ou se enviadas por transmissão de fax, por correio expresso ou por
correspondência certificada, com frete pago, e endereçadas à Parte
no endereço estabelecido na Ordem de Compra/Serviços.
16.7. As disposições destes Termos constituem o entendimento e
acordo integral entre as Partes com relação às transações
contempladas nas Ordens de Compra/Serviços, e prevalece sobre
quaisquer outros entendimentos ou acordos anteriores entre as
Partes, sejam por escrito ou verbais, referentes às transações
contempladas nas Ordens de Compra/Serviços.
17. Lei de Regência e Foro:
17.1. Não obstante qualquer disposição em contrário, a Ordem
de Compra/Serviços será regida pelas leis do Brasil.

b) the term "Politically Exposed Person" means: Persons who exercise
or have held any relevant position, job or public function and their close
relatives, within a period defined in the applicable legislation
16. Miscellaneous:
16.1 Each Party is responsible for its own duties. None of the Parties
shall make any representation, incur in any obligation on behalf of, or for
benefit of the other Party. The relationship between the Parties is
exclusively that of independent contractors.
16.2 The Order and this Term may not be assigned, transferred, disposed
or subcontracted, unless previously and expressly approved by OCYAN,
in whole or in part, by the SUPPLIER, including, but not limited to the
credits arising from the Order.
16.3. The SUPPLIER shall not subcontract the Supply of the Items
without the prior written and express approval of OCYAN.
16.4. The SUPPLIER states that the purpose of the Purchase
Order/Services Order neither breach or violate their respective corporate
purpose and business activities, nor any laws, regulatory, administrative,
conventional or contractual rules.
16.5. The SUPPLIER agrees and represents that:
(i) The delay or failure in the exercise of the
rights assured to the Parties herein or by law does not
constitute a novation or waiver of such rights nor shall
prejudice its potential and appropriate performance;
(ii) The waiver of rights assured to the Parties
herein or by law shall be valid only if formalized in
writing; and
(iii) The nullity or void of any provision herein
shall not affect the validity and
effectiveness of any other provision.
16.6. Notices or other communication shall be performed in writing and
shall be deemed as sent if delivered in person, or sent by facsimile
transmission, by courier, or by certified mail, with prepaid freight and
addressed to the Party at the address set forth in the
Purchase Order/Services Order.
16.7. The provisions herein constitute the understanding and entire
agreement between the Parties with respect to the transactions provided
for in and related to the Purchase Order/Services Order, and supersedes
any other understandings or agreements between the Parties, whether in
written or oral, relating to the transactions set forth in the Purchase
Order/Services Order.
17. Governing Law and Jurisdiction:
17.1. Notwithstanding anything to the contrary, the Purchase
Order/Services Order shall be governed by the laws of Brazil.

TERMOS E CONDIÇÕES ADICIONAIS DE COMPRA DE
PRODUTOS E/OU SERVIÇOS PARA ENTREGA E/OU
EXECUÇÃO NO MAR (OFFSHORE)
Estes Termos e Condições Adicionais de Compra de Produtos e/ou
Serviços para entrega e/ou Execução no Mar (Offshore) ("Termos
Adicionais"), bem como todas as condições gerais de Fornecimento
de Itens acima previstas, aplicam-se ao Fornecimento de Itens
unidade(s) marítimas de perfuração, mar afora ("Offshore"), operada
(s) pela OCYAN ("Unidade"), nos termos da legislação aplicável, em
especial a Lei nº 5.811/72.
1. Considerando o objeto social da OCYAN, o
FORNECEDOR declara e garante à OCYAN que, se os Itens forem
entregues ou executados em Unidade marítima de perfuração, mar
afora (offshore), deverão seguir, obrigatoriamente, os padrões
aplicáveis de acordo com a Lei nº. 5.811/72 e toda legislação
vigente, anterior ou posterior, inclusive para fins de pagamento de
adicionais, remuneração de pessoal, bônus, regime e jornada de
trabalho, incluindo, mas não se limitando a, todo treinamento e
certificação de segurança e/ou sobrevivência do pessoal aplicável
para os Itens contratados para Fornecimento offshore.
2. Somente para os casos em que os Itens forem executados
enquanto às Unidades estiverem em estaleiro (docadas para reparo),
e se durante este período não for possível a permanência do pessoal
do FORNECEDOR a bordo na Unidade, aplicar-se-á, neste caso, o
regime e a jornada de trabalho estabelecida na CLT – Consolidação
das Leis do Trabalho.
3. O preço disposto nas Ordens nas quais estes Termos
adicionais sejam aplicáveis compreenderá os custos, despesas e
obrigações acessórias relativos a todas e quaisquer bonificações,
tributos, encargos e contribuições trabalhistas, previdenciárias e
sociais, incluindo, mas não se limitando ao transporte, logística,
hospedagem, alimentação, mobilização e/ou desmobilização de
todos os Itens até o local de embarque definido pela OCYAN, sob
responsabilidade do FORNECEDOR e às suas expensas. A OCYAN
poderá fornecer transporte aéreo (helicóptero) ou marítimo
(embarcação) até a unidade marítima, a seu exclusivo critério, para
todo o pessoal do FORNECEDOR.
4. Na ocorrência de (i) perda do embarque; (ii)
desembarque antecipado em função do não cumprimento das
normas de segurança aplicáveis ao trabalho Offshore e
(iii) desembarque sem justificativa legal, por parte do pessoal do
FORNECEDOR, vindo a prejudicar o fornecimento dos Itens ou não,
serão debitados do FORNECEDOR todos os custos referentes (a) ao
voo especial contratado pela OCYAN ou pelo cliente da OCYAN, e
(b) a acomodação e/ou refeições por estadias ou sobrestadias em
hotel.
5. Na ocorrência de: (i) desembarque antecipado em função
do não cumprimento das normas de segurança aplicáveis aos
Serviços offshore; (ii) embarque e/ou desembarque fora da
programação por ausência de documentação; e/ou (iii) desembarque
sem justificativa legal, de qualquer dos colaboradores do
FORNECEDOR, que prejudique ou não os o Fornecimento dos Itens,
fica certo e ajustado que serão debitados do FORNECEDOR todos
os custos referentes ao transporte, aéreo ou marítimo, do local de
embarque definido pela OCYAN até a Unidade onde serão
fornecidos os Itens, sem prejuízo das demais penalidades e
indenizações previstas nestes Termos e na respectiva Ordem.
6. Na hipótese de paralisação das atividades da OCYAN, da
Unidade e/ou de seus clientes, em decorrência da falha ou falta de
execução dos Serviços ora contratados, o FORNECEDOR ficará
responsável pelo pagamento de todos os danos sofridos pela

ADDITIONAL TERMS AND CONDITIONS FOR PURCHASE OF
PRODUCTS AND/OR SERVICES DELIVERED AND/OR EXECUTED AT
SEA (OFFSHORE)
These Additional Terms and Conditions for Purchase of Products and/or
Services for Delivered and/or Executed at Sea (Offshore) ("Additional
Terms"), shall apply to the Supply of Items to the offshore drilling unit(s)
operated by OCYAN ("Unit"), oversea ("Offshore") in addition to the
general conditions hereinabove and in accordance with applicable law, in
particular Law nº 5.811/72.
1. Considering OCYAN's business, SUPPLIER represents and
warrants to OCYAN that in case of Items delivered or provided in an
offshore drilling unit, oversea (Offshore), Supplier must follow the
standards set forth in Brazilian Law No. 5811/72 and in all applicable
legislation, whether existing or to be enacted, including for the purpose of
payment of health and safety bonuses, personnel compensation, other
bonuses, maximum working hours and shifts, including, but not limiting, to
all safety and/or survival certification and training of personnel employed in
offshore
services.
2. Should the Items be provided while the offshore drilling units are
in a shipyard (docked for repairs) , and if during the period overnight stay
on the Unit is considered impossible, SUPPLIER'S personnel shifts and
working hours shall be those set forth in the Brazilian Labor Code ("
Consolidação das Leis Trabalhistas or "CLT).
3. The price indicated in the Orders in which this Additional
Terms applies shall comprise all costs, expenses and side obligations in
connection with all bonuses, taxes, charges and labor, social security and
social contributions, including, without limitation, for transportation,
logistics, accommodation, mobilization and/or demobilization of all Items
to the dispatch location defined by OCYAN's Client, at the responsibility
and cost of SUPPLIER. OCYAN may provide air transportation by
helicopter or sea transportation to the unit, at the sole discretion of
OCYAN's client, for all personnel of SUPPLIER.
4. In the event of occurrence of (i) missed boarding, (ii) early
departure as a result of non-compliance with safety norms which are
applicable to Offshore work, (iii) departure from the unit irrespective of a
legally sound reason, all on the part of any member of SUPPLIER's
personnel, whether to the actual prejudice of the Supply of Items or not,
shall deduct from payments to SUPPLIER all costs (a) of special flights
hired by OCYAN or OCYAN's client, and (b) of hotel accommodation and/or
meals for stays or extended stays.
5. In the event of: (i) early arrivals due to non- compliance with
safety standards for Offshore Services; (ii) departures and arrivals off the
schedule due to lack of documentation; and/or (iii) arrival of any of
SUPPLIER's employees, without legal justification, that adversely affects,
or not, the Items' Supply shall enable OCYAN to charge the SUPPLIER
for all costs related to the transportation, air or maritime, from the local
boarding defined by OCYAN to the Unit where the Items shall be
provided, without prejudice to any other penalties and indemnities
provided for herein.
6. In the event of interruption of the activities of OCYAN, its Unit
and/or its customers, due to the failure or breach of Services agreed
herein, SUPPLIER shall be responsible for paying all damages incurred
by OCYAN, including any fine and/or penalty that OCYAN is or shall be

7. No caso de transporte de Itens, em havendo atraso
motivado pelo FORNECEDOR, aplicar-se-á a cobrança no valor
atribuído à OCYAN pelo cliente da OCYAN ou outro fornecedor da
OCYAN, referente ao custo do serviço.
8. Antes do início do Fornecimento dos Itens, os
empregados do FORNECEDOR deverão participar de curso de
indução com duração mínima de 8 (oito) horas, a ser ministrado pela
OCYAN, em data e local a ser informado pela OCYAN.
9. O FORNECEDOR deverá comunicar à OCYAN,
imediatamente e em tempo hábil, quaisquer irregularidades,
incidentes, condição de insegurança no local de trabalho ou
deficiências porventura existentes no Fornecimento dos Itens de sua
responsabilidade, ou que de alguma forma interfira na sua
entrega/execução, ou ainda envolva pessoal da OCYAN.
10. Na hipótese de ocorrência de acidente de trabalho envolvendo os
empregados destacados para o Fornecimento dos Itens, o
FORNECEDOR deverá emitir imediatamente à OCYAN,
encaminhando, no prazo máximo de até 24 (vinte e quatro) horas, a
respectiva Comunicação de Acidente de Trabalho – CAT.
11. Na ocorrência de: (i) desembarque antecipado em função do não
cumprimento das normas de segurança aplicáveis aos Serviços
offshore; (ii) embarque e/ou desembarque fora da programação ou
por ausência de documentação; e/ou (iii) desembarque sem
justificativa legal, de qualquer dos colaboradores do FORNECEDOR,
que prejudique ou não os Serviços, fica certo e ajustado que serão
debitados do FORNECEDOR todos os custos referentes ao
transporte, aéreo ou marítimo, do local de embarque definido pela
OCYAN até a Unidade onde serão executados os Serviços, no valor
de R$ 4.600,00 (Quatro mil e seiscentos reais) por colaborador, sem
prejuízo das demais penalidades e indenizações previstas neste
Contrato. Na ocorrência de perda de embarque, o débito será de R$
3.000,00 (Três mil reais), por colaborador.
12. Caso os empregados do FORNECEDOR não se apresentem
devidamente equipados e munidos de todos os EPI's e ferramentas
necessários e obrigatórios para a realização dos trabalhos de forma
a garantir a sua integridade física e das demais pessoas a bordo da
Unidade, a OCYAN poderá aplicar penalidade equivalente a 0,1%
(um décimo por cento) do valor da Ordem de Compra/Serviços por
dia de descumprimento.

7. In the event Items are transported and if there is a delay
attributable to SUPPLIER, OCYAN shall have the right to pass through
any liability or charge made to OCYAN by OCYAN's client or OCYAN's
other supplier, in connection with the applicable cost.
8. Before the beginning of the Supply of Items, SUPPLIER's
personnel must participate in an induction course with a minimum eight-
hour duration, to be given by OCYAN, at a date and place to be informed
by OCYAN.
9. SUPPLIER must inform OCYAN, immediately, of any
irregularity, incidents, unsafe condition at the workplace or other
deficiencies that may exist in the Supply of the Items under its
responsibility, or that in any manner may interfere in such Supply, or that
involver OCYAN personnel.
10. In case of occurrence of a work-related accident involving a
SUPPLIERS' personnel engaged in the Supply of the Items, Supplier must
immediately inform and, within twenty-four (24) hours from the occurrence
of the accident, it must deliver the respect Notice of Work-Related
Accident ("Comunicação de Acidente de Trabalho"- or "CAT").
11. In the event of: (i) early arrivals due to non- compliance with applicable
safety standards for Offshore Services; (ii) departures and arrivals off the
schedule due to lack of documentation; and/or (iii) arrival of any of
SUPPLIER's employees, without legal justification, that adversely affects,
or not, the Items' Supply shall enable OCYAN to charge the SUPPLIER
for all costs related to the transportation, air or maritime, from the local
boarding defined by OCYAN to the Unit where the Items shall be provided
in the amount of R$ 4,600.00 (Four thousand and six hundred reais) per
employee, without prejudice to other penalties and indemnities provided
for in this Agreement. In case of missed departure, the debt will be R$
3,000.00 (three thousand reais), per employee.
12. If the SUPPLIER's employees do not present fully equipped and
carrying all EPI's and other tools required to the Services performance
and needed to ensure their, and other persons physical integrity on board
the Unit, OCYAN shall be entitled to apply a penalty equivalent to the rate
of 0.1% (one tenth percent) of the value of the Purchase Order/Services
Order, per day of non-compliance.
