Comunicado ao mercado

Aquisição de participação acionária relevante

A Tegma Gestão Logística S.A. (“Tegma” ou “Companhia”), em cumprimento ao disposto na Instrução

CVM nº 358/2002, conforme alterada, comunica aos seus acionistas, investidores e ao mercado em
geral que recebeu comunicação da INCA Investments, LLC (“Inca”), informando que a quantidade de
ações ordinárias da Tegma detida pelo conjunto de fundos de investimentos sob a gestão da Inca
atingiu 5,35% das ações ordinárias (TGMA3) emitidas por essa Companhia, totalizando 3.528.800
ações.

A Inca declara que tal participação não tem objetivo de alterar a composição do controle ou a estrutura
administrativa da sociedade.

A Companhia não é responsável pelo conteúdo das informações apresentadas, conforme documento
abaixo.

Notice to the market - Increase of relevant shareholder position

Tegma Gestão Logística S.A. (“Tegma” or the “Company” – B3: TGMA3), pursuant to CVM Instruction
358/2002, as amended, hereby informs the public, the Brazilian Securities and Exchange Commission
(“CVM”), the Securities, Commodities and Futures Exchange – B3 (“B3”), its shareholders and the
market in general, that received a notification from INCA Investments, LLC (“Inca”) informing that the
number of Tegma’s common shares held by investment funds managed by Inca reached 3,528,800
shares, amounting 5.35% of outstanding shares.
Inca states that such participation is not intended to change the controlling composition or the
administrative structure of the company.
