Reapresentação da Proposta da Administração

Belo Horizonte, 19 de abril de 2023 — MRV ENGENHARIA E PARTICIPAÇÕES S.A. (“Companhia” ou “MRV”),
vem a público comunicar aos Acionistas e ao Mercado em geral que foi reapresentada, nesta data, a
Proposta de Administração referente à Assembleia Geral Ordinária e Extraordinária (“Proposta”), a ser
realizada em 25 de abril de 2023.

A reapresentação teve o intuito de retificar as informações constantes do Anexo V da referida Proposta,

exigidas no item 7.3 do Formulário de Referência, no âmbito da deliberação de eleição da chapa indicada
para compor o Conselho de Administração da Companhia (deliberação 2 da AGO), quanto ao critério de
independência dos candidatos, de forma a adequar o Anexo às informações constantes na Proposta.

A Proposta da Administração está disponível para consulta por meio do website da Companhia
(https://ri.mrv.com.br/) e no website da CVM (www.cvm.gov.br).

NOTICE TO SHAREHOLDERS
Resubmission of Management Proposal

Belo Horizonte, April 19th, 2023 — MRV ENGENHARIA E PARTICIPAÇÕES S.A. (“Company or MRV”), hereby
informs the Shareholders and the Market that the Management Proposal for the Annual and Extraordinary
General Meeting (“Proposal”), to be held on April 25, 2023, was resubmitted on this date.

The resubmission had the intention of rectifying the information contained in Attachment V of the referred
Proposal, required in item 7.3 of the Reference Form, in the scope of the deliberation for the election of
the slate nominated to compose the Company's Board of Directors (deliberation 2 of the AGM), regarding
the criteria of independence of the candidates, in order to align the Attachment with the information
contained in the Proposal.

The resubmitted Management Proposal is available for consultation on the Company's website
(https://ri.mrv.com.br/) and on the CVM website (www.cvm.gov.br).
