Rio de Janeiro, 12 de junho de 2023 – A Wilson Sons S.A. (Código B3: PORT3) (“Wilson Sons” ou “Companhia”), nos
termos da regulamentação em vigor, em atenção à nota “Com apetite” veiculada na coluna Lauro Jardim do jornal O
Globo em 11 de junho de 2023 (“Nota”), vem apresentar os esclarecimentos abaixo.

O Diretor de Relações com Investidores da Wilson Sons inquiriu o acionista controlador da Companhia, a Ocean
Wilsons Holdings Limited (“OWHL”), sobre o teor da Nota, e a OWHL informou que divulgou à Bolsa de Valores de
Londres, em 12 de junho de 2023, o Fato Relevante “Response to Media Speculation” anexo, confirmando que está
realizando uma análise estratégica que envolve seus investimentos na Wilson Sons. Afirma que essa análise, que
considerará todas as possíveis opções estratégicas, está atualmente em um estágio inicial e não há certeza quanto
ao seu resultado. A OWHL também afirmou que não recebeu nenhuma proposta formal de terceiros com relação a
uma possível transação envolvendo a Wilson Sons.

manterá seus acionistas e o mercado em geral devidamente informados acerca da ocorrência de qualquer ato ou fato

Response to media speculation

The Board notes recent Brazilian media speculation to the effect that the Company is negotiating the sale of its 57%
owned subsidiary, Wilson Sons S.A. ("Wilson Sons").

The Company confirms that it is undertaking a strategic review involving the Company's investment in Wilson Sons.
That review, which will consider all potential strategic options, is currently at an early stage and there can be no
certainty as to its outcome.

The Company has not received any formal proposals from any third party with regard to a potential transaction
involving Wilson Sons.

A subsequent announcement will be made as required.

MATERIAL FACT

Rio de Janeiro, 12 June 2023 – Wilson Sons S.A. (B3 Ticker: PORT3) (“Wilson Sons” or “Company”), pursuant to the
regulations in force, in view of the note “Com apetite” published in the Lauro Jardim column of the newspaper O Globo
on 11 June 2023 (“Note”), hereby presents the clarifications below.

Wilson Sons’ Investor Relations Officer inquired the Company's controlling shareholder, Ocean Wilsons Holdings
Limited ("OWHL"), regarding the content of the Note, and OWHL informed that, on 12 June 2023, it disclosed the
attached Material Fact “Response to Media Speculation” with the London Stock Exchange stating that it is undertaking
a strategic review involving its investment in Wilson Sons. That review, which will consider all potential strategic
options, is currently at an early stage and there can be no certainty as to its outcome. OWHL also stated that it has not
received any formal proposals from any third party with regard to a potential transaction involving Wilson Sons.

The Company reiterates its commitment to the best levels of transparency and corporate governance and will keep its
shareholders and the market in general duly informed of any material act or fact, under the terms of the applicable
legislation.
