Esclarecimentos sobre notícia veiculada na imprensa

A EQUATORIAL ENERGIA S.A. (“Companhia”) (B3: EQTL3; USOTC: EQUEY) em atenção ao disposto
no art. 157, § 4.º, da Lei n.º 6.404, de 15 de dezembro de 1976, conforme alterada (“Lei das S.A.”) e
na Resolução CVM n.º 44, de 23 de agosto de 2021, conforme alterada, e em atendimento ao ofício
nº 748/2023, vem apresentar os esclarecimentos solicitados pela Comissão de Valores Mobiliários
(“CVM”), a respeito da notícia veiculada no jornal Estadão Broadcast+, em 31/05/2023, sob o título:
"Coluna do Broadcast: Equatorial contrata Rothschild para estudar ativos da Light" (“Notícia”). O
Ofício segue transcrito abaixo:

Prezados Senhores,

Em notícia veiculada pelo Estadão Broadcast+, em 31/05/2023, sob o título “COLUNA DO BROADCAST: EQUATORIAL
CONTRATA ROTHSCHILD PARA ESTUDAR ATIVOS DA LIGHT”, consta, entre outras informações, que “A companhia de energia
Equatorial contratou o Rothschild & Co, que presta serviços financeiros a empresas, para estudar os ativos da Light.”

Solicitamos esclarecimentos sobre o item assinalado, até 01/06/2023, com a sua confirmação ou não, bem como outras
informações consideradas importantes.”

Em atendimento ao Ofício, a Companhia considera pertinente esclarecer que, conforme de amplo

conhecimento do mercado, o seu modelo de negócios é pautado na busca de novas oportunidades,
de forma que é algo natural, no dia a dia da Companhia, analisar constantemente ativos em seus
diversos segmentos de atuação, especialmente distribuição de energia e, nesse sentido, cabe
destacar que muitos dos ativos avaliados não resultam em negócios fechados.
Nesse contexto, a Companhia confirma que tem avaliado os ativos do grupo Light dentro do processo
natural de avaliação de oportunidades conduzido pela Equatorial e, como não houve e não há
nenhuma negociação em curso, entendemos que não se faz necessária qualquer divulgação de
informações ao mercado.

Clarifications on news published in the press

EQUATORIAL ENERGIA S.A. (“Company”) (B3: EQTL3; USOTC: EQUEY) in compliance with the
provisions in art. 157, § 4, of Law No. 6,404, of December 15, 1976, as amended (“Corporate
Law”) and CVM Resolution No. 44, of August 23, 2021, as amended, and in compliance with
official letter no. 748/2023, hereby presents the clarifications requested by the Brazilian
Securities and Exchange Commission (“CVM”), regarding the news published in the newspaper
Estadão Broadcast+, on 05/31/2023, under the title: "Broadcast Column: Equatorial hires
Rothschild to study Light's assets" ("News"). The Official Letter is transcribed below:

Ref.: Request for clarification on news published in the press

Dear sirs,

In news published by Estadão Broadcast+, on 05/31/2023, under the title “BROADCAST COLUMN: EQUATORIAL
CONTRACTS ROTHSCHILD TO STUDY LIGHT ASSETS”, it states, among other information, that “The energy company
Equatorial hired Rothschild & Co., which provides financial services to companies, to study Light's assets.”

We request clarification on the marked item, until 06/01/2023, with your confirmation or not, as well as other
information considered important.”

In compliance with the Official Letter, the Company considers pertinent to clarify that, as widely
known by the market in general, its business model is based on the search for new opportunities,
so it is natural in the Company's day-to-day to constantly analyze assets in the various segments
in which it operates, especially energy distribution and, in this sense, it should be noted that
many of the assets appraised do not result in closed deals.

In this context, the Company confirms that it has analyzed the assets of the Light group within
the natural process of evaluating opportunities carried out by Equatorial and, since there has
not been and there is not an ongoing negotiation, we understand that it is not necessary to
disclose any information to the market.
