FATO RELEVANTE

Americanas S.A. – Em Recuperação Judicial (“Americanas” ou “Companhia”), em continuidade

aos Fatos Relevantes divulgados em 27 de novembro de 2023 e 15 de dezembro de 2023, e ao
Comunicado ao Mercado de 12 de dezembro de 2023, informa aos seus acionistas e ao
mercado em geral o que segue:

A Americanas recebeu termos de adesão e apoio ao Acordo de Apoio à Reestruturação, Plano

de Recuperação Judicial, Investimento e Outras Avenças (“PSA”) subscritos pela BTG Pactual
Asset Management DTVM S.A., em nome dos fundos por ela geridos, pelo Banco Safra S.A. e
pela Oliveira Trust Distribuidora De Títulos e Valores Mobiliários S.A, na qualidade de agente
fiduciário da 17ª emissão de debêntures da Americanas S.A. (ticker: LAMEA7). Nesta data, o
PSA passou a contar com o apoio de credores quirografários titulares de aproximadamente
57% da dívida da Companhia, excluindo os créditos intercompany. Dessa forma, a Companhia
assegurou, no que diz respeito à volume de créditos, o apoio necessário para aprovar seu
Plano de Recuperação Judicial (“PRJ”) na Assembleia Geral de Credores (“AGC”), marcada,
em primeira convocação, para amanhã, 19 de dezembro de 2023. Para garantir a aprovação
do PRJ em AGC, além da aprovação por maioria do volume de créditos, a Companhia precisa
contar também com o voto favorável da maioria simples dos credores presentes na AGC,
sendo que, para esse critério, cada credor tem direito a um voto no cômputo geral.

A Companhia esclarece que os termos de adesão e apoio ao PSA recebidos e mencionados no

Fato Relevante de 15 de dezembro de 2023 foram subscritos por fundos geridos pelo Itaú
Unibanco Asset Management Ltda., e não pela gestora diretamente.

A Companhia manterá seus acionistas e o mercado em geral atualizados acerca de novas

adesões ao PSA e demais assuntos relacionados ao presente Fato Relevante.

MATERIAL FACT

Americanas S.A. – Em Recuperação Judicial (“Americanas” or “Company”), in continuity with

the Material Fact published on November 27 and December 15, 2023 and Notice to the Market
released on December 12, 2023, hereby informs its shareholders and the market in general the
following:

Americanas received terms of adhesion and support for the Restructuring, Judicial
Reorganization Plan and Investment Support Agreement and Other Covenants (“PSA”)
subscribed by BTG Pactual Asset Management DTVM S.A., on behalf of the funds managed by
them and Banco Safra S.A. and by Oliveira Trust Distribuidora de Titulos e Valores Mobiliarios
S.A., as Fiduciary Agent for the 17 issuance Americanas S.A. debenture (ticker: LAME A7). From
this date, the PSA is supported by unsecured creditors holding approximately 57% of the
Company's debt, excluding intercompany credits. In this way, the Company ensured, with
regard to the volume of credits, the necessary support to approve its Judicial Reorganization
Plan (“PRJ”) at the General Creditors’ Meeting (‘AGC’), scheduled, on first call, for tomorrow,
December 19, 2023. To guarantee the approval of PRJ at the AGC, in addition to the approval
by the majority of the volume of credits, the Company must also count on the favorable vote
of the simple majority of the creditors present in the AGC, and, for this criterion, each creditor
is entitled to a vote in the overall count.
The Company clarifies that the term of adhesion and support for the PSA, received and
mentioned in the Material Fact of December 15, 2023, were subscribed by funds managed by
Itau Unibanco Asset Management Ltda., and not by the manager directly.

The Company will keep its shareholders and the market in general updated about new
adhesions to the PSA and other matters related to this Material Fact.
