FATO RELEVANTE

AgroGalaxy Participações S.A. (B3: AGXY3) (“AgroGalaxy” ou “Companhia”), em cumprimento

ao disposto no art. 157, § 4º, da Lei nº 6.404/76 (“LSA”) e na Resolução CVM nº 44, de 24 de agosto
de 2021 informa aos seus acionistas e ao mercado em geral, que, de maneira preventiva, está
discutindo com os credores relevantes titulares dos Certificados de Recebíveis do Agronegócio
(“CRA”) da 79ª Emissão (séria única) e da 82ª Emissão (1ª, 2ª e 3ª séries), potencial dispensa relativa
ao cumprimento do índice financeiro (Dívida Líquida / Ebitda) contratualmente estabelecido pelas
partes.

As emissões foram co-estruturadas pela VERT Companhia Securitizadora, que deverá convocar
uma assembleia especial de titulares dos CRA, na qual será objeto de deliberação a dispensa
formal relativa ao cumprimento do referido índice financeiro.

Esta solicitação de dispensa, apesar de uma sinalização de redução da dívida liquida com respeito
ao ano anterior, faz parte do conjunto de ações que vem sendo tomadas pela Companhia nos
últimos nove meses visando aumentar sua robustez financeira já estabelecida de forma a
enfrentar a volatilidade característica de seu mercado de atuação.

Manteremos o mercado informado a respeito do andamento desta negociação e de qualquer

outro assunto que seja de interesse dos acionistas da Companhia.

MATERIAL FACT

AgroGalaxy Participações S.A. (B3: AGXY3) (“AgroGalaxy” or “Company”), in compliance with

the provisions of art. 157, § 4, of Law No. 6,404/76 (“LSA”) and with CVM Resolution No. 44, of
August 24, 2021, informs its shareholders and the market in general, that, in a preventive manner,
is discussing with the relevant creditors holding the Agribusiness Receivables Certificates (“CRA”)
of the 79th Issue (single series) and the 82nd Issue (1st, 2nd and 3rd series), a potential waiver related
to the financial index covenant (Net Debt/EBITDA) contractually established by the parties.

The issues were co-structured by VERT Companhia Securitizadora, which will call a special meeting
of CRA holders, in which the formal waiver relating to the aforementioned financial index covenant
will be the subject of deliberation.

This waiver request, despite an indication of a reduction in net debt in relation to previous year, is
part of a set of actions that have been taken by the Company in the last nine months aiming to
increase its already established financial strength to face the characteristic volatility of its operating
market.

We will keep the market informed about the progress of this negotiation and any other matter of
interest to the Company's shareholders.
