FATO RELEVANTE

Americanas S.A. – Em Recuperação Judicial (“Companhia”), em atendimento ao disposto no art.

157, §4º da Lei nº 6.404/76 ("Lei das S.A.") e na Resolução CVM nº 44, de 23 de agosto de 2021,
vem informar aos seus acionistas e ao mercado em geral o que segue.

Em razão da complexidade dos impactos da recuperação judicial e da aprovação e homologação

do Plano de Recuperação Judicial da Companhia e das suas subsidiárias JSM Global S.Á.R.L. – Em
Recuperação Judicial, B2W Digital Lux S.Á.R.L. – Em Recuperação Judicial e ST Importações Ltda.
– Em Recuperação Judicial (“Grupo Americanas” e “PRJ”) nos trabalhos de elaboração das
demonstrações financeiras da Companhia e do parecer dos auditores independentes, relativos
ao exercício social de 2023, e com foco na qualidade e adequação do tratamento de suas
informações contábeis, a Companhia informa o adiamento da divulgação de suas
demonstrações financeiras relativas ao exercício social de 2023 e das informações trimestrais
do período findo em 31 de março de 2024, que estavam agendadas para os dias 26 de março de
2024 e 15 de maio de 2024, respectivamente. A Companhia está envidando todos os esforços
para que a auditoria das demonstrações financeiras e a revisão das informações trimestrais
sejam concluídas o mais rapidamente possível, de forma que sejam divulgadas ao mercado até
28 de maio de 2024.

A Companhia informa, ainda, que a sua Assembleia Geral Ordinária será convocada no dia 28 de
março de 2024 para ser realizada no dia 30 de abril de 2024. O exame, discussão e votação das
demonstrações financeiras relativas ao exercício social de 2023 serão deliberadas em
Assembleia Geral Extraordinária a ser oportunamente convocada após a divulgação das
demonstrações financeiras auditadas e parecer dos auditores independentes relativos ao
exercício social de 2023.

A Companhia manterá seus acionistas e o mercado em geral atualizados acerca dos assuntos
objeto do presente Fato Relevante.

MATERIAL FACT

Americanas S.A. – Em Recuperação Judicial (“Company”), in compliance with the provisions

of art. 157, §4 of Law No. 6,404/76 and CVM Resolution No. 44, of August 23, 2021, hereby
informs its shareholders and the market in general the following.

Due to the complex effects of the judicial reorganization and the approval and ratification of
the Judicial Reorganization Plan of the Company and its subsidiaries JSM Global S.Á.R.L. – Em
Recuperação Judicial, B2W Digital Lux S.Á.R.L. – Em Recuperação Judicial and ST Importações
Ltda. – Em Recuperação Judicial ("Grupo Americanas" and "PRJ") in the preparation of the
Company's financial statements and the independent auditors' opinion for the 2023 fiscal
year, and focusing on the quality and adequacy of its accounting information treatment, the
Company informs the postponement of its financial statements disclosure for the 2023 fiscal
year and the quarterly information for the period ended March 31, 2024, which were
scheduled for March 26, 2024 and May 15, 2024, respectively. The Company is making every
effort to complete the audit of the financial statements and the review of the quarterly
information as soon as possible, so that they can be disclosed to the market by May 28, 2024.

The Company also informs that its Ordinary General Meeting will be called on March 28, 2024
and will be held on April 30, 2024. The examination, discussion and voting on the financial
statements for the 2023 financial year will be decided at an Extraordinary General Meeting to
be called in due course, after the disclosure of the audited financial statements and the
independent auditors' opinion for the 2023 financial year.

The Company will keep its shareholders and the market informed about the development of
the matters covered by this Material Fact.
