GUIDANCE COGNA DAY 2023

Belo Horizonte, 07 de dezembro de 2023, COGNA EDUCAÇÃO S.A. (B3: COGN3) (“Cogna” ou
“Companhia”), em cumprimento ao disposto no art. 157, § 4º, da Lei nº 6.404/76 (“LSA”), e na
Resolução CVM nº 44, de 24 de agosto de 2021, informa que, em razão da realização do seu
evento anual com investidores (Cogna Day 2023), na data de hoje, divulgará uma atualização e
novas estimativas, de sua própria operação e de suas Controladas, de determinados indicadores
financeiros relativos ao exercício social de 2024, a seguir:

Cogna: no Fato Relevante de 14 de dezembro de 2020, houve a divulgação de um Guidance,

por meio do qual a Companhia sinalizou a expectativa de alcançar um EBITDA Recorrente de
R$2.400 milhões ao final de 2024, a partir de um EBITDA Recorrente de R$1.000 milhões apurado
em 2020. Em razão de mudanças no cenário macroeconômico e do próprio negócio, a Companhia
atualiza o ponto de partida do valor realizado em 2020 e a respectiva projeção para 2024:

referido Fato Relevante e, portanto, espera atingir o valorde R$1.000 milhões ao final de 2024.

 Vasta Plataform Limited: em relação ao Valor Anual de Contrato (ACV) do Ciclo 2024, a Vasta
projeta encerrar 30 de setembro de 2024 com um crescimento de 16% a 18% na comparação
com o Ciclo 2023 realizado de R$ 1.207 milhões, sendo:

Saber Serviços Educacionais S.A.: em relação às unidades de negócio que envolvem as

operações do Programa Nacional do Livro Didático (PLND), Idiomas e Novos Negócios, a Saber

estará disponível nos websites da Comissão de Valores Mobiliários – CVM (www.cvm.gov.br) e da
própria Companhia (ri.cogna.com.br) pouco antes do início do evento (9:00); e (ii) as projeções
ora divulgadas serão incluídas, dentro do prazo regulamentar, no seu Formulário de Referência.

As projeções ora divulgadas são preliminares e não foram revisadas ou aditadas pelos auditores
independentes da Companhia. Tais considerações futuras podem sofrer alterações devido a, entre

GUIDANCE COGNA DAY 2023

Belo Horizonte, December 07, 2023, COGNA EDUCAÇÃO S.A. (B3: COGN3) ("Cogna" or
"Company"), in compliance with the provisions of article 157, paragraph 4, of Law No. 6,404/76
("Company Law"), and CVM Resolution No. 44, of August 24, 2021, by informing thar today, in
view of its annual event with investors (Cogna Day 2023), on today's date, it publishes update
estimates of its own financial indicators and those of its subsidiaries, for the fiscal year 2023, of
as follows:

Cogna: In a material fact, dated December 14, 2020, the Company communicated its expectation
to reach a recurrent EBITDA of R$ 2.400 billion by the end of 2024, with reference to a recurrent
EBITDA of R$ 1.000 billion calculated in 2020. However, due to fluctuations in the macroeconomic
environment and business operations, the Company has revised the 2020 benchmark and the
corresponding projection for 2024.

Additionally, regarding Operating Cash Generation, the Company reiterates that it has the
Guidance from the aforementioned Material Fact and, therefore, expects to reach the amount of
R$1,000 million by the end of 2024.
Vasta Plataform Limited: Regarding the Annual Contract Value (ACV) for the 2024 Cycle, Vasta
projects to reach a growth of 16% to 18% by the end of September 30, 2024 in comparison to
R$ 1,207 million from the 2023 Cycle:

Textbook Program (PLND), Languages, and New Business operations, Saber is forecasting the

The presented projections are preliminary and have not been revised or amended by the
independent auditors of the Company. Future assessments are likely to be impacted by various
factors, including changes in market conditions, government regulations, sector performance, and
the Brazilian economy. As such, they are subject to unforeseen modifications without prior notice
and may differ from the numbers and results eventually recorded.
