COMUNICADO AO MERCADO

Americanas S.A. – Em Recuperação Judicial (“Americanas” ou “Companhia”), vem informar aos

seus acionistas e ao mercado em geral que, na presente data, o Comitê Independente, criado
pelo Conselho de Administração da Companhia para apurar as circunstâncias que ocasionaram
os fatos reportados no Fato Relevante divulgado em 11 de janeiro de 2023, divulgou nota à
imprensa com o seguinte teor:

“NOTA À IMPRENSA

O Comitê Independente esclarece que foi constituído com o objetivo de apurar com
absoluta autonomia e isenção os fatos reportados pela Americanas S.A. no dia 11 de
janeiro de 2023. Os membros que o compõem atuarão de forma independente e contarão
com a assessoria do escritório Maeda, Ayres & Sarubbi e da empresa EY, respeitados
especialistas em compliance e em contabilidade forense e investigações, respectivamente.

As acusações contra membros do Comitê são levianas e improcedentes. Esclarece-se que

o coordenador Sr. Otavio Yazbek se limitou a exercer a função de advogado de um comitê
independente na fusão da Americanas com a B2W com o objetivo de assegurar uma
relação de troca adequada e a proteção dos interesses de acionistas minoritários desta
empresa. A Sra. Vanessa Lopes também sempre atuou de forma ética e independente nos
órgãos de governança que integrou desde 2020, nada havendo a comprometer sua
isenção. Por fim, o terceiro membro do Comitê Independente, o Sr. Eduardo Flores, não
apenas dispõe dos atributos técnicos que o qualificam para integrar o referido comitê,
como também nunca teve sua independência questionada.

O Comitê Independente reitera que está comprometido com a apuração imparcial dos
fatos e que os trabalhos de investigação já se encontram em andamento.

A Companhia manterá seus acionistas e o mercado em geral atualizados acerca de andamentos

ou notícias em relação à apuração dos fatos pelo Comitê Independente.

NOTICE TO THE MARKET

Americanas S.A. – Em Recuperação Judicial (“Americanas” ou “Companhia”), hereby informs its

shareholders and the market in general that, on this date, the Independent Committee, created
by the Company's Board of Directors to investigate the circumstances that led to the facts
reported in the Material Fact disclosed on January 11, 2023, released a note to the press with
the following content:

“PRESS RELEASE

The Independent Committee clarifies that it was established with the objective of
investigating with absolute autonomy and exemption the facts reported by Americanas
S.A. on January 11, 2023. The members of the Independent Committee will act
independently and will be advised by Maeda, Ayres & Sarubbi and by the company EY,
respected specialists in compliance and forensic accounting and investigations,
respectively.

The accusations against members of the Committee are frivolous and unfounded. It should
be clarified that the coordinator Mr. Otavio Yazbek simply acted as a lawyer for an
independent committee in the merger of Americanas and B2W with the objective of
ensuring an appropriate exchange ratio and the protection of the interests of the minority
shareholders of this company. Ms. Vanessa Lopes has also always acted ethically and
independently in the governance bodies she has been part of since 2020, and there is
nothing to compromise her impartiality. Finally, the third member of the Independent
Committee, Mr. Eduardo Flores, not only has the technical attributes that qualify him to
serve on the referred committee, but his independence has never been questioned.

The Independent Committee reiterates that it is committed to an impartial investigation

of the facts and that the investigation is already in progress.

The Company will keep its shareholders and the market in general updated as to the progress
or news in relation to the investigation of the facts by the Independent Committee.
