dos internacionais para evitar a dupla tributação. Esse atraso foi, par-
cialmente, corrigido apenas com sua abertura progressiva ao mer-
cado internacional e com a importância dada pelo Governo Federal
aos investimentos externos no país55.
A partir de 1965, o país passou a negociar acordos para
evitar a dupla tributação: em setembro de 1965 com a Suécia, em
outubro de 1966 com o Japão, em março de 1967 com os Estados
Unidos56. Em 1967, o país assinou o seu primeiro acordo que ainda
permanece em vigor, seguindo uma tendência internacional.
Ao final dos anos 1970, dois terços dos investimentos es-
trangeiros no país eram oriundos de quatro países principais, sendo
eles a Alemanha (Ocidental), os Estados Unidos, o Japão e o Reino
Unido, países que já adotavam, unilateralmente, o método do crédito
em referência ao imposto pago por seus residentes sobre os rendi-
mentos oriundos do exterior. O Brasil assinou acordo com o Japão
na década de 1960, como visto, e com a Alemanha, na que sucedeu.
Com os Estados Unidos, o Brasil até chegou a negociar acordo e até
assinar, mas nunca chegou a entrar em vigor. O acordo assinado com
os americanos não chegou a ser ratificado, tendo sido rejeitado pelo
Senado daquele país por conta da previsão de cláusulas tax-sparing.
Com o Reino Unido, apenas em 2022 um acordo foi assinado, mas,
até o fechamento deste livro, não havia sido ratificado.
Na mesma década de 1970, o Brasil assinou diversos acor-
dos, principalmente com países de economias fortes, como a Áus-
tria, a Bélgica, a Finlândia, a França, a Noruega e a Suécia, prontas
a investirem no exterior. Contudo, nesta época, esses países ainda
não tinham investimentos representativos no Brasil, o que viria a

IIR
Sob esta metodologia principal, o Controlador Final do
Grupo Multinacional é indicado como a entidade integrante do
Grupo Multinacional responsável por recolher o imposto comple-
mentar sobre os lucros auferidos por uma entidade localizada em
uma jurisdição considerada como de baixa tributação.
Apesar da regra geral do IIR priorizar o Controlador Final
como responsável pelo pagamento do imposto complementar, as
Regras GloBE determinam que caso o Controlador Final esteja lo-
calizado em uma jurisdição que ainda não tenha implementado o
IIR, a responsabilidade pelo pagamento do imposto complementar
deverá recair sobre a entidade que é diretamente detida e controlada
pelo Controlador Final, e assim por diante, na cadeia societária122
(the top-down approach).
UTPR
A regra geral para identificação do responsável pelo reco-
lhimento do imposto complementar é a IIR, resultando na imputação
da responsabilidade ao Controlador Final. Contudo, as Regras
GloBE também definiram uma regra de “proteção” (backstop) que
será aplicada caso se verifique que, mesmo após a aplicação do IIR,
a ETR do Grupo Multinacional é inferior a 15%. Esse mecanismo
pode consistir na indedutibilidade de despesas ou ajuste equivalente,
resultando em uma carga tributária maior.

130 Desde que as pessoas jurídicas controladas no exterior não (art. 78, Lei nº
12.973/2014):
I - estejam situadas em país com o qual o Brasil não mantenha acordo ou ato
com cláusula específica para troca de informações para fins tributários (ou a
controladora no Brasil disponibilize a contabilidade societária em meio digital
e a documentação de suporte da escrituração, na forma e prazo estabelecidos

IV - tenham renda ativa própria inferior a 80% da renda total (art. 84, Lei nº

Frente a esta prática elisiva, a OCDE destaca as duas ca-
tegorias para combater a prática de treaty shopping: (i) regras espe-
cíficas de antiabuso (Specific Anti-Avoidance Rules – SAAR) e, (ii)
regras gerais de antiabuso (General Anti-Avoidance Rules – GAAR).
O conceito de beneficiário efetivo (beneficial ownership) e cláusu-
las de Limitação de Benefícios em acordos para evitar a dupla tribu-
tação são exemplos de regras específicas antiabuso (SAARs). Dentre
as regras gerais antiabuso (GAARs), destaca-se a inclusão do princí-
pio da substância sobre a forma e do chamado Principal Purpose
Test (“PPT”) na redação dos acordos153.

porada fora do Brasil. Nestes casos, a venda de ativos localizados
no Brasil foi feita de forma direta a comprador no Brasil via entidade
estrangeira. As autuações levadas ao CARF262 foram lavradas com
base no fundamento de que a venda foi feita no exterior somente
para reduzir a carga fiscal de 27,5% a 34% para 15%. Ainda que as
estruturas guardem alguma semelhança com casos de alienação in-
direta de ativo, a base desses casos é distinta visto que a tributação
do ganho de capital decorrente da venda direta de ativos tanto no
Brasil quanto no exterior é regulada pela legislação brasileira, alte-
rando-se apenas sua carga fiscal.

vesse dispositivo legal expresso que ensejasse a tributação. O con-
tribuinte, no entanto, alegou que, a despeito da omissão normativa,
também havia vedação ao direito da Uganda em tributar tal operação
pelo Acordo de Bitributação entre a Holanda e a Uganda (OCDE,
2020, p. 25).
O Peru é outro país que também é citado271, quando o as-
sunto é a alienação indireta de ativos. Antes da de lei sobre o assunto
no Congresso em 2011, o país reclama ter deixado de tributar diver-
sas operações de transferências indiretas de sociedades peruanas nos
setores de óleo e gás e mineração, como nos casos Majaz (2007),
Barrett (2008) e Petrotech (2009). Diferentemente dos outros países
mencionados, as autoridades fiscais peruanas não autuaram essas
operações, muito embora tenham sido amplamente divulgadas e cri-
ticadas pela opinião popular e mídia (LA REPUBLICA, 23 de maio
de 2019).

274 Muito embora o Acordo de Bitributação entre o Brasil e Japão seja um dos
poucos acordos que não atribui ao país de fonte do rendimento qualquer poder
de tributar o ganho de capital na alienação de participações, o Brasil possui em
alguns de seus acordos disposição (“Most Favoured Nation Clause – MFN”)
que restringe o poder de tributar no país de fonte à alíquota mais baixa do que
disposta no referido acordo, caso o Brasil tenha firmado acordo posterior esta-
belecendo essa alíquota inferior. Nesse sentido, a Solução de Consulta COSIT
nº 150/2021 analisou contexto, no qual o consulente era responsável pela reten-
ção do IRRF decorrente de ganho de capital auferido por residente português
na alienação de participação societária de sociedade brasileira, e entendeu que,
com base na MFN Clause presente no acordo Brasil-Portugal (2001), poderia
aplicar a disposição de ganho de capital do acordo Brasil-Israel (2001) por ser
mais benéfica e posterior. O artigo 13(4) do acordo Brasil-Portugal não res-
tringe a tributação brasileira sobre esses ganhos, caindo na hipótese de aplica-
ção de alíquotas gerais (15-22,5%), no entanto, o artigo 13(3) do acordo Brasil-
Israel restringe a tributação brasileira a 15%. A Solução de Consulta, então,
formalizou entendimento de que o ganho de capital da alienação de participação
de sociedade brasileira por residente em Portugal estaria sujeito à alíquota de
15%, como disposto pelo acordo Brasil-Israel, com base na aplicação do MFN
Clause presente no acordo Brasil-Portugal.

345 “In short, the Sabou case concerned a tax assessment issued by the Czech
tax authorities based on information obtained from other Member States (Spain,
France, UK). In a fourth Member State (Hungary), witnesses were also exam-
ined in this respect. Sabou claimed that Czech tax authorities had illegally ob-
tained information about him, as he was not informed of the requests for assis-
tance (and thus not involved in formulating the questions); and secondly, he
was also not invited to take part in the examination of witnesses. According to
the Court, the involvement of the taxpayer was not required, as these procedures
merely took place in the investigation stage (i.e., information collecting), which
must be distinguished from the contentious stage. The outcome of this case has
been heavily criticized, particularly because of the artificial division the court
made between both stages. This case is however interesting for two other

points: First, the actions by the tax authorities were taken prior to the entry into
force of Charter of Fundamental Right of the EU which provides for a right to
be heard before any individual measure which adversely affects a person is
taken. Some authors believe this is the reason why the Court decided in the
negative for the taxpayer, as normally the guarantees of the Charter would apply
to such procedures. Member States are clearly in the course of ‘implementing
Union law’ while exercising a right conferred by European Union law, as re-
quired by Article 51(1) of the Charter. Falling outside the temporal scope of the
Charter would according to some explain the ECJ’s decision. However, accord-
ing to AG Kokott, in this case a right to be heard also cannot be deduced from
the general legal principles of European Union law – as codified by the Charter.
The Member States would in principle also have to comply with these principles
when requesting information under the Directive. As AG Kokott stated, in this
specific case the Member State concerned merely wanted to check the tax-
payer’s statements and the taxpayer himself has already set out his view. It
should be examined in each specific case whether notifying the taxpayer in ad-
vance would defeat the purpose of checking the information, as the taxpayer
might for example attempt to influence witnesses. A second important point
which was brought up concerned the probative value of the information ob-
tained under the Directive. The ECJ has previously stated that the validity of
information obtained under the Directive is not absolute. The Court now added
that the Directive does not govern the ways to challenge the accuracy of the
information obtained, thus taxpayers have to rely on the applicable national
rules and procedures in each Member State. From the above it is clear that the
protection offered by human rights in this field is still in an embryonal stage. It
is without a doubt that in the future more cases regarding exchange of infor-
mation will be referred to the ECtHR and the ECJ, which will hopefully lead to
the development of minimum standards for taxpayer protection” (DIEPVENS,

364 Another issue which might arise is the fact that information might be leaked
to third parties such as the press. The misuse of the TIE and the potential leaking
of business data to the press may result in financial consequences for the tax-
payer. This was analysed by the US Court of Appeals for the Ninth Circuit ad-
dressing Aloe Vera of America vs. the United States decided on 30th July 2009.
124 In this case, Aloe Vera claimed civil damages due to the unauthorized dis-
closure in the Japanese news of the information exchanged under the provisions
of the DTT between the United States and Japan. Aloe Vera claimed damages
based on the duty of the tax administration in the United States to ensure that
the confidentiality of the EOI should be protected. The US Court of Appeals,
when analysing this case stated that it was not established whether the tax ad-
ministration of the United States knowingly disclosed false information or knew
that the foreign tax administration would misuse that information. For the US
Court, negligence is not enough to rule against the US Government. One of the
drawbacks of this decision is that the US Court of Appeals, the US Tax Admin-
istration and Aloe Vera focused on whether the statute of limitation of two years
to claim damages by Aloe Vera had lapsed or not. Therefore, the Court only
analysed the scope of the duty of confidentiality by the tax administration and
the safeguards that the Receiving state (i.e. Japan) should have implemented to

365 As a result, although the civil liability of the state is objective, in the sense
that proof of fraud or negligence is not required, it is necessary to demonstrate
the existence of a causal link between the conduct of the government official
and the loss or damage caused to the citizen. There is no doubt that government
action in the tax area can give rise to damage to the citizen and/or taxpayer.
Abuse and excess in the exercise of power by the tax authorities, apart from
errors committed in the exercise of activities, has the potential to give rise to
harm and the state must be held liable for any damage suffered by a taxpayer

rule providing for joint and several liability between the states in the event of
damage suffered by the taxpayer, so that the latter may seek reparation in his
