ACORDO DE CONFIDENCIALIDADE
TECH MAHINDRA SERVIÇOS DE
INFORMÁTICA LTDA., pessoa jurídica de
direito privado, devidamente constituída,
inscrita no CNPJ/MF sob o número
09.302.110/0001-82, com sede na Avenida
Maria Coelho Aguiar, 215 – Bloco C – 5º
andar, CEP: 05804-900, neste ato
representada na forma de seu contrato
social, doravante denominada “TECH
MAHINDRA”; e
<<INSERIR RAZÃO SOCIAL>>, pessoa jurídica
de direito privado, devidamente constituída,
inscrita no CNPJ/MF sob o número <<inserir
número equivalente ao CNPJ>>, com sede na
<<inserir endereço sede>>, neste ato
representada na forma de seus atos
constitutivos, doravante denominada
“CONTRATADA”, e, em conjunto com a TECH
MAHINDRA, doravante denominadas Partes;
Considerando que as Partes pretendem
celebrar Contrato de Prestação de Serviços
entre si, em razão do qual a TECH
MAHINDRA disporá de informações
confidenciais à CONTRATADA, prévia e
posteriormente à celebração do referido
Contrato;
Considerando que as Partes desejam ajustar
as condições para o fornecimento das
informações de ordem confidencial pela
TECH MAHINDRA à CONTRATADA e definir o
uso e a proteção dessas informações;
As Partes têm entre si, justo e acordado,
celebrar o presente Acordo de
Confidencialidade (“Acordo”), que se regerá
pelas cláusulas e condições seguintes:
Cláusula Primeira. Por este instrumento, as
Partes acordam que toda e qualquer
informação fornecida pela TECH MAHINDRA
à CONTRATADA, independentemente de
estar identificada como “confidencial” e
independentemente do formato em que for
disponibilizada, seja por escrito, arquivo
magnético, oralmente, ou por qualquer outra
fonte de revelação, será entendida como
informação confidencial.
Parágrafo Primeiro. Diante do disposto no
caput desta cláusula, entende-se por
informação confidencial toda e qualquer
informação, dado, ou conhecimento
NON DISCLOSURE AGREEMENT
TECH MAHINDRA SERVIÇOS DE
INFORMÁTICA LTDA., a private company,
duly constituted, enrolled with the taxpayer
number 09.302.110/0001-82, with its head
office at 215, Maria Coelho Aguiar Avenue,
Bloco C, 5th floor, ZIP Code: 05804-900, in this
act represented in accordance with its By-
Laws, hereinafter referred to as “TECH
MAHINDRA”; and
<<INSERT COMPANY’S NAME>>, a private
company, duly constituted, enrolled with the
taxpayer number <<insert number>>, with its
head office at <<insert address>>, in this act
represented in accordance with its By-Laws,
hereinafter referred to as “CONTRACTOR”,
and, together with TECH MAHINDRA,
hereinafter referred to as Parties;
Whereas the Parties want to sign a Services
Agreement and by which TECH MAHINDRA
will have to disclose some confidential
information to the CONTRACTOR, before and
after the signature of the mentioned
Agreement;
Whereas the Parties want to adjust the
conditions for the revealing of the
confidential information from TECH
MAHINDRA to the CONTRACTOR and define
the use and protection of those information;
The Parties, hereinafter agree, to sign this
present Non Disclosure Agreement
(“Agreement”), which will be regulated by
the clauses and conditions below:
Clause One. By this instrument, the Parties
agree that all and any information revealed
by TECH MAHINDRA to the CONTRACTOR,
not mattering if the information is identified
as “confidential” and not mattering the form
of its revealing, if by written, magnetic
archive, orally, or by any other revealing
source, will be understand as confidential
information.
First Paragraph. Because of the established
above, it is understood by confidential
information, all and any information, data, or
knowledge that belongs to TECH MAHINDRA,
pertencente à TECH MAHINDRA, ou
quaisquer de suas empresas coligadas ou
afiliadas, sejam esses dados comerciais,
financeiros, técnicos, societários, ou de
qualquer outra espécie, incluindo, sem
limitação, as informações relativas a produtos
e serviços, clientes da TECH MAHINDRA e
suas atividades, informações bancárias,
planos, intenções, oportunidades de
marketing, sistemas, softwares, estratégias,
idéias, conceitos, relações comerciais, know
how, segredos comerciais, situações
negociais futuras ou já implementadas, que
sejam fornecidas à CONTRATADA.
Parágrafo Segundo. Fica estabelecido que a
revelação e a utilização das informações
confidenciais pela CONTRATADA limitar-se-
ão à necessidade do desenvolvimento dos
serviços contratados, sendo certo que a TECH
MAHINDRA, a seu exclusivo critério, decidirá
acerca das informações que precisem ser
reveladas à CONTRATADA para a execução
dos serviços.
Parágrafo Terceiro. Não serão consideradas
informações confidenciais, os dados,
conhecimentos ou informações que sejam de
domínio público ou já comprovadamente
conhecidos da CONTRATADA, desde que
sobre tais informações não pendam
obrigação de confidencialidade anterior e
desde que não tenham sido obtidas pela
TECH MAHINDRA ou empresas coligadas e
afiliadas e não tenham sido reveladas por
outras fontes sujeitas a acordo semelhante
ao presente.
Cláusula Segunda. A TECH MAHINDRA, por si
e por seus representantes, empregados e
prepostos, compromete-se a:
a) utilizar as informações confidenciais
exclusivamente para o desenvolvimento dos
serviços para os quais foi contratada pela
TECH MAHINDRA;
b) no desenvolvimento de suas atividades,
preservar o caráter de confidencialidade das
informações, revelando-as somente àqueles
que delas tenham de conhecer para a
execução dos serviços contratados e desde
que esses tenham sido submetidos
previamente à assinatura de termo
semelhante ao presente;
c) manter em absoluto sigilo e c) maintain the confidentiality and do not
or any of its associate companies or affiliates,
not mattering if they are commercial,
financial, technical, corporate or any other
specie data, including, but not limiting the
information related to products and services,
TECH MAHINDRA’s clients and its activities,
bank information, plans, intentions,
marketing opportunities, systems, software,
strategies, ideas, concepts, commercial
relations, know how, commercial secrets,
business situations already in course or
future ones, that are revealed to the
CONTRACTOR.
Second Paragraph. It is established that the
revealing and use of the confidential
information by the CONTRACTOR will be
limited to the necessity of the execution of
the hired services, and TECH MAHINDRA will
decide, at its sole discretion, what are the
information that need to be revealed to the
CONTRACTOR for services execution.
Third Paragraph. Will not be considered
confidential information, the data, knowledge
or information that are public known or
already known by the CONTRACTOR, but only
if above those information there are no
confidentiality obligation set before, and only
if those information were not obtained from
TECH MAHINDRA or its associate companies
and affiliates and were not revealed by other
source that was obliged by a similar
confidentiality agreement.
Clause Two. TECH MAHINDRA, through itself
and its agents and employees, compromises
to:
a) use the confidential information only for
the development of the services that was
hired by TECH MAHINDRA;
b) during the execution of its activities, to
preserve the confidentiality characteristic of
the information, only revealing them to those
who need to know the information for the
execution of the services hired, but only if
these people have been submitted before to
the signature of a similar confidentiality
agreement;

copiar, revelar, em proveito próprio ou de
terceiros, nem permitir que qualquer terceiro
use, reproduza, copie ou revele as
informações confidenciais, sem o prévio e
expresso consentimento, por escrito, da
TECH MAHINDRA, por todo o período de
vigência deste Acordo e por mais 10 (dez)
anos após a extinção do presente ou por todo
o período em que as informações forem
consideradas confidenciais, o que ocorrer por
último;
d) exercer sobre as informações confidenciais
o mesmo grau de cuidado que utiliza
normalmente para a proteção de suas
próprias informações confidenciais e
segredos de negócio;
e) destruir ou devolver à TECH MAHINDRA, a
critério desta, ao final deste Acordo ou
sempre que solicitada pela TECH MAHINDRA,
todos e quaisquer documentos, compilações,
papéis, relatórios, gravações, fitas magnéticas
e amostras, que, por qualquer forma,
contenham informações confidenciais, e
respectivas cópias, sendo proibido à
CONTRATADA alterar a substância ou a
forma dos documentos acima mencionados;
f) não questionar, nem disputar, quaisquer
direitos autorais ou de propriedade
industrial/intelectual sobre as informações
confidenciais e dos materiais delas
decorrentes, já existentes, desenvolvidos ou
aperfeiçoados durante a vigência deste
Acordo, reconhecendo a TECH MAHINDRA
como real e legítima titular de tais direitos;
g) manter confidencialidade acerca da
existência deste Acordo e seu conteúdo, bem
como de demais instrumentos celebrados
com a TECH MAHINDRA;
h) exigir dos seus empregados,
representantes, prepostos e colaboradores
que assinem termo semelhante ao presente
antes da revelação de qualquer informação
confidencial da TECH MAHINDRA;
i) informar à TECH MAHINDRA, tão logo tome
conhecimento, de toda revelação não
autorizada, esbulho ou mau uso, por
qualquer pessoa, de qualquer informação
confidencial da TECH MAHINDRA, e auxiliar
na tomada de providências para evitar
qualquer violação futura das informações
use, reproduce, copy, reveal, for its own
benefit or in benefit of third ones, neither
permit that any third person use, reproduce,
copy or reveal the confidential information,
without the previous and in written
authorization from TECH MAHINDRA for all
the period of validity of this Agreement and
for ten (10) more years after its termination
or by all the period that the information are
considered as confidential, whatever occurs
last;
d) have the same care and use the same
security system that has for its own
confidential information and business
secrets;
e) destroy or return to TECH MAHINDRA, at
its sole discretion, by the end of this
Agreement or whenever is required by TECH
MAHINDRA, all and any documents,
compilations, papers, reports, records,
magnetic tapes and samples that, for any
form, have confidential information and its
copies, being prohibited by the CONTRACTOR
to exchange the information or form of the
documents mentioned above;
f) do not question or dispute, any author or
industrial/intellectual property rights
regarding the confidential information and
the material developed through them, even if
already existed or if developed or improved
during the validity of the Agreement,
recognizing TECH MAHINDRA as the real and
legal owner of these rights;
g) maintain the confidentiality of the
existence of this Agreement and its subject,
as well for the other instruments signed with
TECH MAHINDRA;
h) require of its employees, agents and
collaborators the signature of a similar
confidentiality agreement previously to the
revealing of any confidential information
from TECH MAHINDRA;
i) inform to TECH MAHINDRA, as soon as gets
knowledge of any non authorized revealing,
adverse or bad use, for any person, of any
confidential information from TECH
MAHINDRA and help with the providences to
avoid any future violation of the confidential
information; and

Cláusula Terceira. Na hipótese da
CONTRATADA vir a ser compelida a revelar
qualquer informação confidencial da TECH
MAHINDRA, em razão de ordem judicial ou
administrativa válidas, deverá a CONTRACTOR, before any revealing, will
CONTRATADA, anteriormente a qualquer
revelação, comunicar a TECH MAHINDRA, a
fim de que essa verifique a possibilidade legal
de afastar o cumprimento de tais ordens.
Parágrafo Único. Na impossibilidade de
afastamento de tais ordens, a CONTRATADA
somente poderá revelar as informações
confidenciais na extensão em que tiver sido
demandada.
Cláusula Quarta. A CONTRATADA declara-se
ciente que a revelação das informações
confidenciais pode causar à TECH MAHINDRA
danos irreparáveis, razão pela qual no caso
de descumprimento das obrigações
assumidas neste Acordo, este instrumento e
os demais existentes entre as Partes poderão
ser rescindidos de pleno direito e a
CONTRATADA deverá indenizar a TECH
MAHINDRA, além de eventual multa
contratual a que esteja submetida, de todas
as despesas judiciais ou extrajudiciais que a
TECH MAHINDRA incorrer e por toda a
quantia necessária para reparar a TECH
MAHINDRA pelas perdas e danos apurados,
inclusive danos indiretos, perda de receitas e
lucros cessantes, sem prejuízo da eventual
responsabilidade criminal e da retratação
pública da CONTRATADA, a critério da TECH
MAHINDRA.
Cláusula Quinta. O presente Acordo tem
validade entre as Partes a partir de sua
assinatura e permanece vigente por prazo
indeterminado até que as Partes coloquem
fim ao Contrato de Prestação de Serviços que
pretendem firmar ou, em não havendo a
celebração do referido Contrato, até que as
Partes manifestem seu desejo em terminar o
presente Acordo, mediante comunicação
prévia à outra Parte com 30 (trinta) dias de
antecedência.

Clause Third. If the CONTRACTOR is obliged
to reveal any confidential information from
TECH MAHINDRA, because of any court or
administrative valid orders, the
have to communicate TECH MAHINDRA, so
TECH MAHINDRA can verify if there is a legal
possibility to do not accomplish with those
orders.
Sole Paragraph. If it is not possible to do not
accomplish with the orders, the
CONTRACTOR is only allowed to reveal the
confidential information limited to the ones
required on the orders.
Clause Four. The CONTRACTOR declares its
knowledge that the revealing of the
confidential information may cause to TECH
MAHINDRA irreparable damages and
because of that, in case of default of the
obligations assumed in this Agreement, this
instrument and the others existed between
the Parties may be legally terminated and the
CONTRACTOR will have to indemnify TECH
MAHINDRA, besides any agreement fee
established, for all court and out-of-court
expenses and for all the necessary amount to
repair TECH MAHINDRA for all losses and
damages verified, including indirect damages,
income losses and loss of profits, without
prejudice of a possible criminal responsibility
and of a public retraction by the
CONTRACTOR, at TECH MAHINDRA’s sole
discretion.
Clause Five. This present Agreement is valid
between the Parties from its signature and
remains valid with no final term, until the
Parties terminate the Services Agreement
that intend to sign or, in case of no signature
of the Agreement, until the Parties want to
terminate it, always within a thirty (30) days
previous notice to the other Party.
Parágrafo Primeiro. Este Acordo poderá ser
rescindido de pleno direito na hipótese de
inadimplemento contratual da
CONTRATADA, notadamente, mas sem se
limitar, pela revelação de qualquer
informação confidencial da TECH MAHINDRA
ou pela utilização indevida da informação
confidencial, bem como na hipótese de
requerimento de liquidação, recuperação
judicial ou extrajudicial ou falência de
quaisquer das Partes.
Parágrafo Segundo. Em qualquer hipótese de
rescisão contratual a obrigação de
confidencialidade em relação às informações
já recebidas permanece vigente pelo prazo
disposto neste Acordo, conforme Cláusula
Segunda, alínea “c”.
Cláusula Sexta. O presente Acordo é firmado
em caráter irrevogável e irretratável e obriga
as Partes, seus herdeiros e sucessores a
qualquer título.
Cláusula Sétima. Qualquer omissão,
tolerância ou autorização da TECH
MAHINDRA quanto ao descumprimento ou
cumprimento parcial pela CONTRATADA das
obrigações assumidas neste Acordo, será
considerada mera liberalidade da TECH
MAHINDRA, não significando novação
contratual ou gerando direito adquirido de
qualquer espécie à CONTRATADA ou
renúncia de direito da TECH MAHINDRA,
podendo a TECH MAHINDRA exercer seus
direitos a qualquer tempo.
Cláusula Oitava. Eventuais alterações no
Acordo somente serão válidas se promovidas
mediante documento escrito, devidamente
identificado como tal e assinado pelas Partes.
Cláusula Nona. O presente Acordo, seus
direitos e obrigações não poderão ser
cedidos a terceiros pela CONTRATADA, sem o
prévio e expresso consentimento da TECH
MAHINDRA.
Cláusula Décima. Caso as Partes não venham
a celebrar Contrato de Prestação de Serviços
ou outro acordo entre si, fica vedado a
CONTRATADA contratar, para qualquer
finalidade, empregado, executivo, diretor,
agente, gerente ou qualquer funcionário ou
colaborador da TECH MAHINDRA, que tenha
tido acesso, relação ou qualquer espécie de
envolvimento com este Acordo e negociações
First Paragraph. This Agreement can be
legally terminated in case of CONTRACTOR’s
default, such as, but not limited to, the
revealing of any of TECH MAHINDRA’s
confidential information or by the incorrect
use of the confidential information, and also
in case of requirement of liquidation, judicial
or out-of-court recuperation or bankruptcy of
any of the Parties.
Second Paragraph. In any case of Agreement
termination, the non disclosure obligation
remains valid and in force for the term herein
established on Clause Two, letter “c”.
Clause Six. This present Agreement is signed
within an irrevocable and irreversible
character and obliges the Parties, its
inheritors and successors, at any title.
Clause Seven. Any omission, tolerance or
authorization from TECH MAHINDRA
regarding the non accomplishment or the
partial accomplishment of the obligations
assumed by the CONTRACTOR in this
Agreement, will be TECH MAHINDRA’s
concession, and will not mean or constitute
renewal, vested right or any waiver of right,
being TECH MAHINDRA able to execute its
rights at any time.
Clause Eight. Any modifications in this
Agreement will only be valid if executed
through an identified written document,
signed by the Parties.
Clause Nine. This present Agreement, its
rights and obligations cannot be assigned to
third parties by the CONTRACTOR, without
the written and previously approval from
TECH MAHINDRA.
Clause Ten. In case the Parties do not sign a
Services Agreement or any other agreement,
it is prohibited to the CONTRACTOR to hire,
for any matter, an employee, executive,
director, agent or any other TECH
MAHINDRA’s collaborator, that has had
access, relation or any involvement with this
Agreement and negotiations between the
Parties, during the validity of this present
entre as Partes, durante a vigência deste e
pelo prazo de 1 (um) ano a contar da extinção
do presente Acordo, a menos que haja
autorização expressa da TECH MAHINDRA,
sob pena de arcar com multa equivalente a
12 (doze) vezes a remuneração auferida pelo
empregado junto à TECH MAHINDRA, sem
prejuízo das perdas e danos excedentes.
Cláusula Décima Primeira. O presente
Acordo constitui a integralidade do
contratado entre as Partes em relação à
confidencialidade das informações fornecidas
pela TECH MAHINDRA à CONTRATADA,
prevalecendo sobre qualquer outra
disposição ou contrato que o contrarie neste
ponto.
Cláusula Décima Segunda. Este Acordo será
regido e interpretado de acordo com as leis
brasileiras, elegendo-se, desde já, os tribunais
da Comarca de São Paulo como competentes
para julgar quaisquer litígios, controvérsias
ou reclamações originárias deste
instrumento.
E, por estarem entre si, justas e contratadas,
assinam o presente instrumento, em 02
(duas) vias de igual teor e forma, na presença
das testumunhas abaixo.

Agreement and for a period of one (1) year
after its termination, unless CONTRACTOR
has a written authorization from TECH
MAHINDRA, under the penalty of a fee
equivalent to twelve (12) times the
remuneration of the employee before TECH
MAHINDRA, without derogating the losses
and damages surplus.
Clause Eleven. This present Agreement
constitutes the full accord from the Parties
related to the confidentiality of the
information revealed from TECH MAHINDRA
to the CONTRACTOR and shall prevail above
any agreement and term that may be
contrary to this subject.
Clause Twelve. This Agreement will be
governed by and construed in accordance
with the Brazilian Laws, electing the Parties
the courts of São Paulo Judicial District to
judge any litigation, controversy or claims
regarding this instrument.
Witness whereof, the parties sign this present
instrument, in two (2) counterparts of equal
form, before two (2) witnesses.
