FATO RELEVANTE

São Paulo, 22 de maio de 2024 – Suzano S.A. (“Companhia” ou “Suzano”) (B3:SUZB3/ NYSE:
SUZ), vem, em atenção ao Ofício nº 384/2024-SLS, enviado pela Superintendência de Listagem e
Supervisão de Emissores da B3 S.A. – Brasil, Bolsa, Balcão (“B3”), em 21 de maio de 2024
(“Ofício”), e recebido pela Companhia na mesma data, abaixo transcrito, prestar os seguintes
esclarecimentos:

Prezado(a) Senhor(a),

Tendo em vista as últimas oscilações registradas com os valores mobiliários de emissão

dessa empresa, o número de negócios e a quantidade negociada, conforme abaixo, vimos
solicitar que seja informado, até 22/05/2024, se há algum fato do conhecimento de V.Sa. que
possa justificá-los.

Em atenção à solicitação apresentada pela B3 por meio do Ofício, a Companhia esclarece que vêm
sendo veiculadas na mídia notícias a respeito de uma potencial operação envolvendo a Suzano e a
International Paper Company (“International Paper”), desde o dia 07 de maio de 2024, o que
parece ter impactado a cotação e volume de negociação das ações de sua emissão.

A respeito, a Companhia divulgou, em cumprimento às obrigações constantes da Lei das S.A. e da

Resolução CVM nº 44, bem como em atendimento a Ofício expedido pela CVM, Fato Relevante e
Comunicado ao Mercado por meio do qual esclareceu aos acionistas e ao mercado em geral que
analisa permanentemente oportunidades de mercado para potenciais operações, sem que houvesse,
naquela oportunidade, qualquer documento formal, acordo, ato ou decisão da Companhia que
pudesse caracterizar um fato relevante.

Mais recentemente, foi veiculada nova notícia a respeito de uma potencial operação entre a
Companhia e a International Paper no site da Reuters1, em 20 de maio de 2024. A Companhia
acredita que a oscilação experimentada nas ações de sua emissão no pregão de 21 de maio de 2024
provavelmente deve-se a esta notícia.

De todo modo, considerando a ocorrência de oscilação atípica, a Companhia confirma que tem
interesse nos ativos da International Paper e que, no entanto, reitera que inexiste, até o momento,
qualquer acordo, vinculante ou não, tampouco qualquer decisão ou deliberação dos órgãos de
administração da Companhia em relação a uma potencial operação, que contenham o mínimo de
materialidade necessário à configuração de um fato relevante.

A Companhia informa, por fim, que realizou as apurações internas pertinentes e inquiriu os seus
administradores sobre a notícia veiculada na mídia antes de prestar o presente esclarecimento.

A Companhia reitera o seu compromisso em manter o mercado devidamente informado a respeito

de qualquer informação relevante.

MATERIAL FACT

São Paulo, May 22th, 2024 – Suzano S.A. (“Company” or “Suzano”) (B3: SUZB3/NYSE:
SUZ), in response to Official Letter No. 384/2024-SLS, sent by the Listing and Issuer
Supervision Superintendence of B3 S.A. - Brasil, Bolsa, Balcão ("B3"), on May 21st, 2024
("Letter"), and received by the Company on the same date, the Company hereby provides the
following clarifications:

Considering the recent fluctuations observed in the securities issued by this company, the
number of trades, and the volume traded, as detailed below, we kindly request that you inform
us by May 22th, 2024, if there are any facts known to you that could justify them."

In response to the request presented by B3 through the Official Letter, the Company clarifies that
news regarding a potential transaction involving Suzano and the International Paper Company
("International Paper") have been disclosed in the media since May 7th, 2024, which appears to
have impacted Company’s shares price and trading volume.
Regarding this matter, the Company disclosed, in compliance with the obligations set forth in the
Brazilian Corporation Law and CVM Resolution No. 44, as well as in response to an Official
Letter issued by the CVM, a Material Fact and Notice to the Market through which it clarified to
shareholders and the market in general that it continuously analyzes market opportunities for
potential transactions, without, at that time, any formal document, agreement, act, or decision by
the Company that could constitute a material fact.

More recently, a new report regarding a potential operation between the Company and
International Paper was published on the Reuters’ website2 on May 20th, 2024. The Company
believes that the fluctuation experienced in the shares price on May 21st, 2024, is likely due to
this news.

Nevertheless, considering the occurrence of atypical fluctuations, the Company confirms its
interest in International Paper assets. However, it reiterates that, up to the moment, there is no
agreement, binding or otherwise, nor any decision or deliberation by the Company's management
regarding a potential operation that meets the minimum materiality required to qualify as a
material fact.

The Company further informs that it conducted relevant internal investigations and inquiries
with its administrators regarding the media report before providing this clarification.

Finally, the Company reaffirms its commitment to keep the market duly informed about any
relevant information.
