AVISO AOS ACIONISTAS

PAGAMENTO DE DIVIDENDOS

A CIA. HERING (“Companhia”, B3: HGTX3), comunica aos seus acionistas que foi
aprovada, em Assembleia Geral Ordinária realizada nesta data (29/04/2021), a
distribuição de Dividendos no montante de R$ 16.641.812,65 (dezesseis milhões,
seiscentos e quarenta e um mil, oitocentos e doze reais e sessenta e cinco centavos),
correspondente à R$ 0,1068510589 por ação. A distribuição é referente ao resultado da
Companhia no exercício de 2020, como dividendos complementares ao mínimo
obrigatório e será imputada aos dividendos obrigatórios do referido ano. Terão direito
aos dividendos os detentores de ações de emissão da Companhia em 29 de abril de 2021,
sendo as ações negociadas ex-dividendos a partir de 30 de abril de 2021. O pagamento
dos dividendos será realizado no dia 26 de maio de 2021, sem qualquer atualização
monetária.

Os acionistas terão seus créditos disponíveis de acordo com o domicílio bancário

fornecido ao Banco Itaú S.A., Instituição Financeira Escriturária das ações de emissão da
Companhia. Aos acionistas cujo cadastro não contenha a inscrição do número do CPF/MF
ou do CNPJ/MF, ou a indicação de Banco/Agência/Conta Corrente, os valores somente
serão creditados a partir do 3º dia útil, contado da data da atualização cadastral nos
arquivos eletrônicos do Banco Itaú S.A. Aos acionistas que tiverem as ações depositadas
na B3, os dividendos serão pagos e repassados por intermédio dos seus agentes de
custódia.

NOTICE TO SHAREHOLDERS
PAYMENT OF DIVIDENDS

CIA. HERING (“Company”, B3: HGTX3), hereby informs its shareholders that was
approved, in Annual General Meeting held on this day (04/29/2021), the payment of
dividends in the amount of R$ 16,641,812.65 (sixteen million, six hundred and forty-one
thousand, eight hundred and twelve reais and sixty-five centavos), corresponding to R$
0.1068510589 per share. The distribution refers to Company’s result of the fiscal year of
2020, as complementary dividends to the mandatory minimum and will be imputed to
the mandatory dividends of that year. It will have the right on dividends that ones who
hold the shares on April 29th,2021, the shares will be traded ex-dividends from April, 30,
2021. The payment of dividends will be made on May 26th, 2021, without any monetary
restatement.

Shareholders will have their credits available according to the bank address provided
toBanco Itaú S.A., the Financial Institution of the shares issued by the Company. To
shareholders whose registration does not contain the registration number of the CPF /
MF or CNPJ / MF, or the indication of Bank/Branch/Current Account, the amounts will
only be credited as from the 3rd business day, counted from the date of the registration
update in the electronic files of Banco Itaú S.A. To shareholders who have their shares
deposited at B3, dividends and interest on equity will be paid and transferred through
their custody agents.
