COMMERCIAL AGENCY AGREEMENT CONTRATO DE REPRESENTAÇÃO COMERCIAL
This Agreement (“Agreement”), entered into this
December 10th of 2015, by and between
XXXXXXXXXXXXXXXXXXX., a corporation organized and
existing under the laws of the State of Brazil, with head
offices at City of xxxxxxx, State of xxxx, at Rua
(hereinafter “”), and xxxxxxxxxxxxxxxxxxxxx, with
head offices at Street xxxxxxxxxxxxxxx, at the city of
xxxx, State of xxxxxxxxx, registered with the Federal
Taxpayers’ Registry under nº xxxxxxxxxxx, hereby
represented by its attorney-in-fact Mr. xxxxxxxxxxx
Brazilian, xxxxxx, xxxxx, bearer of the Identity Card
(RG) nº xxxxxxx and registered with the Individual
Taxpayers’ Registry (CPF/MF) under nº xxxxxxx
(“AGENT”), agree as follows:
1. REPRESENTATION SERVICES AND
EXCLUSIVITY
1.1. This Agreement, as it can be inferred and
interpreted from the provisions and covenants it
contains, as well as from the will of the parties,
constitutes a Commercial Agency Agreement where
appoints AGENT as its agent and sales representative
for the territory comprised by and defined as described
in Exhibit “A” (“TERRITORY”), which becomes an
integral part of this Agreement, excluding any relation,
connection or implications under the laws regulating
labor relations. This Agreement represents, for all
purposes of the law and of this present agreement, an
instrument regulating a relationship of strict commercial
nature between parties.
1.2. It is to the exclusive responsibility of the AGENT
to seek and obtain, as well as maintain in force for the
full term of this Agreement, all licenses, permits and
authorizations, including but not limited to the
registration before the State Council of Commercial
Representatives, and bear all the expenses and
maintenance costs of its operations.
1.3. AGENT shall carry out its activities and will
represent the PRODUCTS of in the assigned territory on
a non-exclusive basis, without being submitted to any
form of subordination with respect to the observance of
’s internal regulations or working hours, being free to
act within the limitations provided for in the present
agreement.
1.4. Parties hereby agree and contract that may, at
its sole discretion, appoint third parties as agents to the
same territory assigned to AGENT, as well as establish
its own sales organization in the same territory. In this

xxxxxx, na cidade de xxxxxxx, Estado de xxxxxxx,
inscrita no Cadastro de Pessoas Físicas/Ministério da
Fazenda (CNPJ/MF) sob o nº xxxxxxxxxxxxx, Registro
Tributário do Condado sob o nº xxxxxxxxxxxxx neste
instrumento representada por seu procurador Sr.
xxxxxxxxxxxx, brasileiro, (estado civil), (profissão),
portador da Cédula de Identidade (RG) sob o nº xxxxx
e inscrito no Cadastro de Pessoas Físicas/Ministério da
Fazenda (CPF/MF) sob o nº xxxxxxxxxxxxxxx
(“REPRESENTANTE”), acordam o seguinte:
1. SERVIÇOS DE REPRESENTAÇÃO E
EXCLUSIVIDADE
1.1. Este Contrato, conforme venha a ser inferido e
interpretado pelas cláusulas e avenças nele contidas
bem como pela vontade das partes, constitui um
Contrato de Representação Comercial onde designa o
REPRESENTANTE como seu agente e representante de
vendas no território compreendido por e definido
conforme descrito no Anexo “A” (“TERRITÓRIO”), que
se torna parte integrante deste Contrato, excluindo
qualquer relação, conexão ou implicações de acordo
com as leis que regulam as relações trabalhistas deste
Contrato, representando, para todos os fins legais e
deste contrato um instrumento regulatório do
relacionamento de natureza estritamente comercial
entre as partes.
1.2. O REPRESENTANTE terá a responsabilidade
exclusiva de buscar e obter bem como de manter em
vigor pelo prazo integral deste Contrato todas as
licenças, alvarás e autorizações, incluindo, mas não
somente o registro perante o Conselho Estadual de
Representantes Comerciais e de incorrer com todas as
despesas e custos de manutenção de suas operações.
1.3. O REPRESENTANTE desempenhará todas as
suas atividades e representará os PRODUTOS da no
território designado em bases não exclusivas, sem se
submeter a qualquer forma de subordinação com
respeito ao cumprimento dos regulamentos internos ou
horário de trabalho da , ficando livre para agir dentro

mediated directly by own sales force or by third agents
thus appointed to the AGENT’s assigned territory.
1.5. The AGENT shall act as an independent
contractor, at its own risk and account, and shall retain
its own personnel in number and qualification the
AGENT deems necessary to fulfill the obligations
undertaken under the present Agreement. The AGENT
hereby undertakes to hold harmless and free from any
liabilities and obligation to indemnify AGENT’s
personnel, including without limitation liabilities and
obligations of a social security and labor contingent
nature that may jointly or severally be forced to
comply with or pay, the AGENT hereby undertaking to
reimburse for all expenses, restrictions, court costs and
reasonable lawyer’s fees thereof.
1.6. AGENT’s freedom of action shall always be
interpreted as and limited to the strict provisions of the
present agreement. The AGENT is hereby expressly
prevented from mediating sales to client/customer
located outside the assigned territory without ’s
previous written consent.
2. PRODUCTS
2.1. The attached Exhibit “B”, which becomes an
integral part of the present Agreement, provides a
listing of the products the AGENT is hereby authorized
to market in the assigned Territory.
2.2. , at its sole discretion, may alter or modify such
PRODUCTS and Price List with anticipation of 30 days of
its effective date.
2.3. AGENT may, occasionally, mediate sales of
other products, provided previously consents and
agrees in writing and in separate with the terms and
conditions applicable specifically to that sale.
2.4 As part of the AGENT’s obligations under
the present agreement, the AGENT undertakes to feed
with all information related to ’s market of influence and
to the performance of ’s competition in the assigned
territory.
2.5. AGENT may inform to the market of his new
capacity as ’s agent in the Territory. AGENT, however,
undertakes to previously submit to any advertisement
materials or announcements for approval prior to its
publication or distribution.

1.4. As Partes, por este Contrato, acordam e
contratam que a poderá, à sua única discrição, nomear
terceiros como representantes do mesmo território
atribuído ao REPRESENTANTE bem como estabelecer

1.5. O REPRESENTANTE atuará como contratado
independente, por sua própria conta e risco, e reterá
seu próprio pessoal no número e com a qualificação que
o REPRESENTANTE considerar necessário para cumprir
as obrigações assumidas neste Contrato. O
REPRESENTANTE assume pelo presente manter a
isenta de e livre de quaisquer obrigações e obrigação de
indenizar o pessoal do REPRESENTANTE, incluindo, mas
não somente, responsabilidades e obrigações de
natureza contingente previdenciária e trabalhista que a
poderá, em conjunto ou separadamente, ser obrigada a
respeitar ou pagar, e o REPRESENTANTE pelo presente
se compromete a reembolsar a por todas as despesas,
restrições, custas processuais e honorários advocatícios
razoáveis da mesma.
1.6. A liberdade de ação do REPRESENTANTE será
sempre interpretada como e limitada às cláusulas
estritas do presente contrato. O REPRESENTANTE fica
aqui expressamente impedido de mediar as vendas ao
cliente localizado fora do território designado sem o
consentimento prévio e escrito da .
2. PRODUTOS
2.1. O Documento “B” anexo, que se tornou parte
integrante deste Contrato, fornece uma lista dos
produtos que o REPRESENTANTE fica aqui autorizado a
comercializar no Território designado.
2.2. , à sua única discrição, poderá alterar ou
modificar tais PRODUTOS e a Lista de Preços com
antecipação de 30 dias de sua data efetiva.
2.3. O REPRESENTANTE poderá, ocasionalmente,
mediar vendas de outros produtos da , ficando certo
que deverá previamente autorizar e concordar por
escrito e em separado com os termos e as condições
aplicáveis especificamente a essa venda.
2.4 Como parte das obrigações do REPRESENTANTE
sob o presente contrato, o REPRESENTANTE
compromete-se a fornecer à todas as informações
relativas ao mercado de influência da e ao desempenho
da concorrência da no território designado.
2.5. O REPRESENTANTE poderá informar o mercado
sobre sua nova qualidade como representante da no
Território. Entretanto, o REPRESENTANTE compromete-

3. COMPENSATION
3.1. In consideration of the mediation of business
transactions and all the other services performed for ,
AGENT shall be entitled to a commission computed in
accordance with the commission rate set forth in Exhibit
“C” attached hereto, which becomes an integral part of
the present Agreement. Commission shall be calculated
over the gross price of the PRODUCTS (excluding all
taxes) sold with the effective mediation by AGENT in
the TERRITORY, as evidenced in ’s invoice.
3.2. Commissions shall only be considered due after
effectively receives the corresponding payment made
by the client/customer exclusive of any returns,
samples, IPI and ICMS (tax substitution) taxes.
3.2.1. Commissions shall be paid to AGENT not later
than the twentieth (20th) day of the month subsequent
to the month the credit is received by , against
presentation of the competent services invoice and the
respective receipt of payment, by AGENT.
3.2.2. Commissions paid on sales cancelled by the
client/customer, whichever the reason, shall be de-
ducted from the next payment(s) to be made by to
AGENT.
3.3. AGENT shall have no right to receive
commissions in the following events:
3.3.1. On orders or proposals refused by , according to
its business practices in force. ’s business practices
presently in force are hereby attached as Exhibit “D”,
which for all legal purposes becomes an integral part of
the present agreement. Amendments to ’s business
practices will come into force 30 days as of the date
AGENT is notified of changes.
3.3.2. On sales made by directly or through any third
party within the TERRITORY.
3.3.3. On sales made by AGENT outside the TERRI-
TORY as well as sales made within the TERRITORY for
delivery of PRODUCTS outside the TERRITORY, except
in case such initiatives by AGENT are previously autho-
rized coordinated in writing by .
3.4 If more than one AGENT is involved in
the solicitation of a particular order, , in its sole
discretion, may split the available commission for the
order between or among the representatives involved
by the following schedule:
(i) Sixty percent (60%) will be paid to the AGENT
in whose territory the product involved is approved.
(ii) Twenty percent (20%) will be paid to the
AGENT in whose territory the purchase order involved is

3. PAGAMENTO
3.1. Em contraprestação à mediação das transações
comerciais e de todos os outros serviços executados

integrante do presente Acordo. A comissão será
calculada sobre o valor bruto (excluída a tributação)
dos PRODUTOS vendidos com a efetiva mediação pelo
REPRESENTANTE no TERRITÓRIO, conforme
comprovado na fatura da .
3.2. As comissões somente serão consideradas após
o devido recebimento pela do efetivo pagamento
correspondente feito pelo cliente excluindo-se qualquer
devolução, amostra e impostos IPI e ICMS (substituição
tributária).
3.2.1. As comissões serão pagas ao REPRESENTANTE
no mais tardar no 20° (vigésimo) dia do mês
subsequente ao mês em que o crédito for recebido
por , contra apresentação da fatura de serviços
apropriada e o respectivo recibo de pagamento pelo
REPRESENTANTE.
3.2.2. As comissões pagas sobre as vendas canceladas
pelo cliente, independentemente do motivo, serão
deduzidas do(s) próximo(s) pagamento(s) a ser(em)
pago(s) pela ao REPRESENTANTE.
3.3. O REPRESENTANTE não terá direito de receber
comissões nos seguintes eventos:
3.3.1. Em pedidos ou propostas recusadas pela ,
conforme suas práticas comerciais em vigor. As práticas
comerciais da atualmente em vigor são anexas ao
presente como Documento “D”, o qual para todos os
fins legais se tornou parte integrante deste contrato. As
alterações às práticas comerciais da passarão a vigorar
30 dias a partir da data em que o REPRESENTANTE for
notificado das mudanças.
3.3.2. Sobre as vendas feitas pela diretamente ou por
meio de terceiros dentro do TERRITÓRIO.
3.3.3. Sobre as vendas feitas pelo REPRESENTANTE
fora do TERRITÓRIO bem como as vendas feitas dentro
do TERRITÓRIO para entrega de PRODUTOS fora do
TERRITÓRIO, exceto se tais iniciativas do
REPRESENTANTE forem previamente coordenadas por
escrito pela .
3.4 Se mais de um REPRESENTANTE estiver envolvido
na solicitação de um pedido em particular, , à sua única
discrição, poderá separar a comissão disponível para o
pedido entre os representantes envolvidos pelo
seguinte cronograma:

3.5 In no event shall the total commission for the
order exceed the amount determined in Section 3.1

than one AGENT is involved in any of the activities

4. REFUSAL OF ORDERS
4.1. reserves the right to, at its sole discretion,
refuse proposals or orders made by AGENT, within 15
(fifteen) days of the date of receipt of such proposals or
orders in writing.

3.5 Sob nenhuma circunstância, o total da comissão do
pedido excede o valor determinado na Cláusula 3.1
deste Contrato. Os escritórios de vendas da Group
Companies serão considerados como REPRESENTANTES
na determinação da comissão dividida. A porcentagem
acima poderá ser ainda dividida igualmente se mais de
um REPRESENTANTE estiver envolvido em qualquer das
atividades acima.

performance of its activities as a COMMERCIAL AGENT.
5.1.7 Meet sales target to each authorized account in
the Territory as set forth in Exhibit “A”.

vendas mediadas pelo REPRESENTANTE.
5.1.6. Sempre que solicitado, fornecerá cópias dos

5.2. Except if exceptionally and expressly authorized
in writing, AGENT shall not act in the name of the and
shall not accept purchase orders, grant reductions,
discounts or extension of payment terms established by

5.3. Likewise, AGENT may not execute any
document on behalf of or use ’s name, product marks
or trademarks, even when in combination with another
name or trademark. AGENT shall, therefore, identify
itself to customers as business mediator, in compliance
with articles 710 through 721 of the Brazilian Civil Code
(Law no. 10.406/02) and Law no. 4.886/65, as
amended by Law no. 8.420/92.
5.3.1. AGENT undertakes to always apply ’s updated
price lists and to strictly follow ’s conditions of sale and
business practices.
5.4. AGENT shall solely and exclusively bear all costs
and expenses incurred in the performance of the
commercial agency including, particularly, those related
to travel, office expenses, employees’ salaries and
contributions to their Severance Fund (FGTS) and social
security, as well as other obligations of a labor nature
arising out of the employment relation between AGENT
and its employees, taxes (specially Income and Service
Taxes), etc.
5.4.1. AGENT shall have under its custody and respon-
sibility all materials, manuals, literature, price lists and
other technical and commercial information delivered by
. AGENT undertakes to keep it confidential and to return
them upon termination of this Agreement.
5.5. shall consistently verify how the AGENT is
performing under this present agreement with respect
to the fulfillment of all the possibilities offered by the
market within the Territory, and shall have the right to,
upon written notice to AGENT served with the minimum
anticipation of sixty (60) days, establish reasonable
sales goals which, if not met by AGENT, shall constitute
an event of default and give the right to terminate this
Agreement by just cause.
5.6. Likewise, in case of negligence of AGENT in the
promotion of PRODUCTS, holds the right to notify
AGENT in writing to immediately cure the default or
terminate the present agreement for cause in the event
the default is not cured by AGENT in ten (10) days as of
the date of notice receipt.
6. NON-COMPETITION AND SECRECY SPECIAL

autorizado por escrito, o REPRESENTANTE não agirá em
nome da e não aceitará pedidos de compra, reduções,
nem concederá reduções, descontos, prorrogação de
condições de pagamento pela .
5.3. Da mesma forma, o REPRESENTANTE não
deverá firmar qualquer documento em nome da nem
usar o nome, as marcas dos produtos ou as marcas
registradas da , mesmo quando em combinação com
outro nome ou marca registrada. O REPRESENTANTE
deverá, portanto, se identificar para os clientes como
mediador de negócios, em cumprimento aos artigos
710 a 721 do Código Civil Brasileiro (Lei no. 10.406/02)
e Lei no. 4.886/65, conforme alterado pela Lei no.
8.420/92.
5.3.1. O REPRESENTANTE compromete-se sempre a
aplicar as listas de preços atualizados da e a seguir
estritamente as condições de venda e as práticas
comerciais da .
5.4. O REPRESENTANTE será única e exclusivamente
responsável por todos os custos e despesas incorridos
no desempenho da representação comercial, incluindo,
especificamente, aqueles relacionados a viagens,
despesas com escritório, salários dos funcionários e
contribuições com o FGTS e a previdência social bem
como outras obrigações de natureza trabalhista
decorrente da relação empregatícia entre
REPRESENTANTE e seus funcionários, impostos
(especialmente Impostos de Renda e sobre Serviços),
etc.
5.4.1. O REPRESENTANTE deverá ter sob sua guarda e
responsabilidade todos os materiais, manuais,
literatura, listas de preços e outras informações
técnicas e comerciais entregues pela . O REPRESEN-
TANTE compromete-se a manter sob confidencialidade
e a devolvê-los ao término deste Contrato.
5.5. verificará como o REPRESENTANTE está
desempenhando sob este contrato com respeito ao
cumprimento de todas as possibilidades oferecidas pelo
mercado dentro do Território, e terá o direito de,
mediante aviso escrito ao REPRESENTANTE fornecido
com a antecipação mínima de 60 (sessenta) dias,
estabelecer metas de vendas razoáveis que, se não
atendidas pelo REPRESENTANTE, constituir-se-á um
evento de inadimplência e terá o direito de rescindir
este Contrato por justa causa.
5
OBLIGATIONS
6.1. AGENT is free to promote/mediate business
transactions on behalf and in favor of any third parties
within the TERRITORY, provided that such third parties
do not trade products which are similar to, or in any
way compete with, those of . During the term of this
agreement and for a period of one year after its
termination, AGENT shall not promote products that
compete or are similar to the PRODUCTS to ’s
customers.
6.1.1. AGENT shall provide with a listing of all prod-
ucts AGENT represents, resells or intermediates the
sale of for companies other than . will respond in thirty
(30) from the receipt of such listing if, on ’s sole discre-
tion, such listed products are similar, or in any way,
concur with PRODUCTS.
6.2. At all times, during or after the term of this
Agreement, AGENT shall treat as confidential and
refrain from disclosing all information received from or
obtained as a result of the commercial representation
hereunder, related to the PRODUCTS, prices,
customers, sales policies of or its business in general.
Failure by AGENT to comply with this condition shall
cause AGENT to indemnify for the losses and damages
such unauthorized disclosure has given way to.
7. TERM
7.1. This Agreement shall be in force for the term of
one (1) year from the Effective Date. At the end of this
period, the contract will be terminated, unless extended
by the parties brought in force by an Amendment in
writing.
7.2. This Agreement may be terminated by either
party, for convenience, without penalty or indemnifica-
tion to the other party, provided with thirty (30) days
notice in writing.
7.3. The Party that gives rise to the early termination of
this Agreement shall pay the other Party an indemnity
equal to the monthly commissions average paid to
AGENT until the termination date multiplied by the
number of months that are missing for the final term of
the contract, as mutually agreed by the Parties. The
Parties agree that this contract and compensation will
be good and effective for all legal purposes, as consti-
tute the sole and exclusive remedy to cure such early
termination.
7.4. Upon early termination of this Agreement by , the
AGENT will have the right to the due commission, as
provided in Clause 3.1, without prejudice to the 's pre-
rogative of retention of the commission due to the
AGENT to the limit of the damage caused and outstand-
ing amounts under this Agreement.
5.6. Da mesma forma, no caso de negligência do
REPRESENTANTE na promoção dos PRODUTOS, detém
o direito de notificar o REPRESENTANTE por escrito para
sanar imediatamente a inadimplência ou rescindir o
presente contrato por justa causa se a inadimplência
não for sanada pelo REPRESENTANTE em 10 (dez) dias
da data do recebimento do aviso.
6. NÃO-CONCORRÊNCIA E OBRIGAÇÕES
ESPECIAIS DE CONFIDENCIALIDADE
6.1. O REPRESENTANTE é livre para
promover/mediar transações comerciais em nome de e
em favor de quaisquer terceiros dentro do TERRITÓRIO,
sendo certo que tais terceiros não comercializam
produtos similares a ou de qualquer forma concorrentes
com os produtos da . Na vigência deste contrato e por
um período de um ano após sua rescisão, o
REPRESENTANTE não promoverá produtos que
concorram ou que sejam similares as PRODUTOS para
os clientes da .
6.1.1. O REPRESENTANTE fornecerá à uma lista de
todos os produtos que o REPRESENTANTE representa,
revende ou intermedia a venda para empresas que não
a . responderá em 30 (trinta) dias do recebimento de
tal lista se, à única discrição da , tais produtos listados
forem similares ou de alguma forma concorrerem com
os PRODUTOS.
6.2. O REPRESENTANTE, sempre, durante ou após a
vigência deste Contrato, tratará como confidenciais e
não revelará todas as informações recebidas da ou
obtidas em decorrência da representação comercial sob
o presente, relativa aos PRODUTOS, preços, clientes,
políticas de vendas da ou aos seus negócios em geral.
O não cumprimento pelo REPRESENTANTE desta
condição fará com que o REPRESENTANTE indenize a
pelas perdas e danos que tal revelação não autorizada
origine.
7. VIGÊNCIA
7.1. O presente Contrato vigorará pelo prazo de 1 (um)
ano a contar desta data. Ao final deste período, o
contrato será considerado rescindido, salvo prorrogação
de vigência intentada pelas partes através de Termo
Aditivo por escrito.
7.2. Este acordo pode ser denunciado por qualquer das
partes, por conveniência, sem penalidade ou
indenização à outra parte, desde que com 30 (trinta)
dias de aviso prévio por escrito.
7.3. A Parte que der causa à rescisão antecipada deste
Contrato pagará à outra Parte uma indenização
equivalente à média das comissões mensais pagas ao
REPRESENTANTE até a data da rescisão, multiplicado
pelo número de meses que faltem para o termo final do
contrato, conforme mutuamente acordado pelas Partes,

será boa e eficaz para todos os fins legais, constituindo

8. FORCE MAJEURE
8.1. Failure, by either Party, to comply with any
obligation set forth herein due to force majeure shall
not give rise to indemnity or the early termination of
this Agreement.
8.2. Force majeure means any event that is beyond
a party’s reasonable control, not caused by the Parties,
and the effects of which is unavoidable, such as strikes,
lack of raw materials, transportation, labor, etc.
8.3. This Agreement shall be considered terminated
without charges to the Parties, if the force majeure
event lasts continuously for more than thirty (30) days.
9. INTEGRITY POLICY
9.1. AGENT declares to know ’s integrity policy and
undertakes to respect and observe such policy during
the term of the Agreement.
9.2. While carrying out its functions hereunder,
AGENT shall faithfully abide by, and comply with, all
laws in effect, and ’s integrity policy. AGENT agrees to
indemnify ’s losses and damages arising out of its
failure to comply with applicable laws and ’s integrity
policy.
10. MISCELANEOUS
10.1. The relationship of and AGENT established by
means of this Agreement is that of independent
contractors, and nothing contained in this Agreement
shall be construed to (i) give either party the power to
direct and control the day-to-day activities of the other,
(ii) constitute the parties as partners, joint ventures,
co-owners or otherwise as participants in a joint
undertaking, or (iii) allow AGENT to create or assume
any obligation on behalf of for any purpose
whatsoever. All financial and other obligations
associated with AGENT's business are the sole
responsibility of AGENT. AGENT shall be solely
responsible for, and shall indemnify and hold free and
harmless from, any and all claims, damages or lawsuits
(including 's reasonable attorneys' fees) arising out of
the acts of AGENT, its employees or its agents.
10.2. The waiver, by any of the Parties, in demanding
the observance of any of the terms, or conditions of the
present agreement shall not be considered as Parties
having relinquished their rights to enforce such
provisions any time thereafter.

7.4. Mediante a rescisão antecipada deste Contrato pela

tenha causado e valores pendentes decorrentes deste

8. FORÇA MAIOR
8.1. A falha de qualquer uma das Partes em cumprir

virtude de força maior não originará indenização ou
rescisão antecipada deste Contrato.
8.2. Força maior constitui qualquer evento fora do
controle, não causado pelas Partes, os efeitos
inevitáveis tais como greves, falta de matérias primas,
transporte, mão de obra, etc.
8.3. Este Contrato será considerado rescindido sem
encargos para as Partes, se o evento de força maior
durar continuamente mais do que 30 (trinta) dias.
9. POLÍTICA REFERENTE À INTEGRIDADE
9.1. O REPRESENTANTE declara conhecer a política
referente à integridade e se compromete a respeitar e
observar tal política durante a vigência do Contrato.
9.2. Ao desempenhar suas funções sob este
Contrato, o REPRESENTANTE deverá aceitar e cumprir
todas as leis em vigor, e da política de integridade da .
O REPRESENTANTE concorda em indenizar perdas e
prejuízos decorrentes de falhas no cumprimento com as
leis aplicáveis e a política de integridade da .
10. DIVERSOS
10.1. O relacionamento de e REPRESENTANTE

independentes, e nada contido neste Contrato deverá
ser interpretado no sentindo de (i) conferir a cada uma
das partes o poder de dirigir e controlar as atividades
diárias da outra; (ii) constituir as partes como
parceiras, co-proprietárias ou de outra forma como
participantes em um empreendimento conjunto; ou (iii)
permitir que o REPRESENTANTE crie ou assuma
qualquer obrigação em nome da para qualquer fim de
qualquer tipo. Todas as obrigações financeiras e outras
associadas com o negócio do REPRESENTANTE são de
única responsabilidade do REPRESENTANTE. O
REPRESENTANTE será unicamente responsável por e

not transfer or assign any of the rights and obligations
undertaken under this Agreement without the prior

or altered by means of a separate instrument duly
executed by both Parties.
10.5. The parties declare that (i) this Agreement is
entered into in accordance with and as permitted by
their respective corporate documents, as amended; (ii)
they are duly represented by individuals vested with the
appropriate powers and authority issued in accordance
with their respective corporate documents, as
amended; and, (iii) they read and understood all terms
and conditions provided herein.
10.6 Entire Agreement. This Agreement sets forth
the entire agreement and understanding of the parties
relating to the subject matter herein and replaces and
supersedes all prior discussions, negotiations and
agreements between them. No modification of or
amendment to this Agreement, nor any waiver of any
rights under this Agreement, shall be effective unless in
writing signed by the party to be bound thereby.
11. VENUE
11.1. This Agreement shall be governed by the laws
of the Federative Republic of Brazil. The Parties hereto
agree the Courts of São Paulo shall be the court of first
instance to solve any dispute arising hereof.
And, for having thus agreed, the Parties execute this
Agreement in two (2) counterparts, and each Party
hereto retains one (1) copy.

devidamente representados pelos indivíduos investidos
dos poderes e da autoridade apropriados, emitidos de
acordo com seus respectivos documentos societários,
conforme alterações; e (iii) leram e entenderam todos
os termos e condições previstos neste instrumento.
10.6 Acordo Completo. Este Contrato estabelece a
totalidade do acordo e entendimento das partes com
relação ao assunto aqui tratado e substitui e prevalece
sobre todos as discussões, negociações e acordos
anteriores entre eles. Nenhuma modificação ou
alteração do presente Acordo, nem qualquer renúncia a
quaisquer direitos ao abrigo deste Acordo, será eficaz
senão, por escrito, assinado pela parte a ser vinculada.
11. JURISDIÇÃO
11.1. Este Contrato será regidos pelas leis da
República Federativa do Brasil. As Partes do presente
concordam que o Foro da Comarca da Capital de São
Paulo para dirimir qualquer disputa decorrente do
presente.
