CONTRATO DE TRABALHO
Pelo presente Contrato de Trabalho, doravante
denominado simplesmente “Contrato”,
IEST TECNOLOGIA LTDA., empresa com sede na
Rua do Paraíso, 595, 11º andar, Paraíso, CEP 04.103-001,
na Cidade de São Paulo, Estado de São Paulo, Brasil,
inscrita no Cadastro Nacional de Contribuintes do
Ministério da Economia (“CNPJ/ME”) sob o n.
32.008.487/0001-45, doravante denominada
“Sociedade”; e
RAFAEL VALVERDE, inscrita no Cadastro de Pessoas
Físicas do Ministério da Economia (“CPF/ME”) sob o n.
389321278-75, portadora da carteira de identidade n.
328887602, residente e domiciliada à Rua Paraná, 137,
Bras, Estado de São Paulo CEP 03.041-010, Brasil,
doravante denominada “Empregada”;
cada uma das partes também denominada
individualmente “Parte”, e conjuntamente “Partes”;
em consideração ao que fora mutuamente ajustado e
acordado, as Partes concordam com o disposto a seguir:
1. SERVIÇOS
1.1. Em 01 de Setembro 2022, o Empregado será
contratada para ocupar o cargo de Desenvolvedor de
Negócios, para a Empresa IN GLOW BRASIL
INTERMEDIACAO DE NEGOCIOS LTDA., com
Sede Corporativa em AV ENG LUIZ CARLOS
BERRINI, 1748 - CONJ 2203 SALA 11, CIDADE
MONCOES, São Paulo, Brasil, doravante referido como
"Cliente".

1.1.1. O horário de trabalho será de 40 (quarenta horas)
semanais devendo ser cumprido de Segunda a Sexta-
Feira, das 08:00 às 17:00 horas com 1 (uma) hora para
refeição e descanso.
1.2. Os serviços serão prestados de acordo com este
Contrato. O Empregado estará sujeito às determinações
da administração da Sociedade e de suas controladoras,
para as quais deverá prestar contas e informações sempre
que solicitada.
1.2.1. O Empregado reconhece e concorda que, durante
todo o período de vigência deste Contrato, terá o dever de
fidúcia perante a Sociedade, incluindo, entre outros, o
dever de lealdade, fidelidade e obediência para atuar de
forma permanente e exclusiva nos melhores interesses da

EMPLOYMENT AGREEMENT
By the present Employment Agreement, hereinafter
referred to as “Agreement”,
IEST TECNOLOGIA LTDA., a company with head
offices at 595, Paraíso Street, 11th floor, Paraíso, zip-code
04.103-001, in the City of São Paulo, State of São Paulo,
Brazil, enrolled with Brazilian Taxpayers’ Registry of the
Ministry of Economy (“CNPJ / ME”) under no.
32.008.487/0001-45, hereinafter referred to as
“Company”; and
RAFAEL VALVERDE, enrolled with Brazilian
Individual Taxpayers’ Registry of the Ministry of
Economy (“CPF / ME”) under no. 389321278-75, bearer
of identity card no. 328887602, resident and domiciled at
137, Paraná Street, Bras, São Paulo city, SP, Brazil, zip-
code 03.041-010, hereinafter referred to as “Employee”;
each and any of these parties also individually referred to
as “Party”, and collectively referred to as “Parties”,
now, then, in consideration of the mutual covenants and
promises set forth herein, the Parties hereto agree as
follows:
1. SERVICES
1.1. On September 01st, 2022, the Employee is contracted
to hold the position of Business Hunter, for the
Company’s client IN GLOW BRASIL
INTERMEDIACAO DE NEGOCIOS LTDA., of
Corporate Headquarter 1748, ENG LUIZ CARLOS
BERRINI Avenue, room 11, Cidade Monções, São Paulo,
Brazil, hereinafter referred to as “Client”.
1.1.1. The working time will be 40 (forty hours) per week
and must be completed from Monday to Friday, from 8:00
to 17:00 hours, with 1 (one) hour for lunch and rest.
1.2. Services will be provided in accordance with this
Agreement. The Employee shall follow directions issued
by the management of the Company and the Client, and
shall report and account to them, whenever required.
1.2.1. The Employee acknowledges and agrees that,
during the term of this Agreement, he will owe fiduciary
duties to the Company, including, but not limited to, the
fiduciary duties of the highest loyalty, fidelity and
allegiance to act at all times solely in the best interests of
the Company, to make full disclosure to the Company of
all information that pertains to the Company’s business
and interests or opportunities available to it, to take no
Sociedade, de divulgar a ela todas as informações
pertencentes ao negócio e aos interesses da Sociedade ou
oportunidades disponíveis, de não tomar medidas que
possam vir a ser danosas ao negócio da Sociedade, seus
interesses, oportunidades, propriedades ou reputação, e
não utilizar, para benefício próprio ou para benefício de
terceiros, quaisquer informações ou oportunidades
pertencentes ao negócio ou interesses confiados a ele ou
que ele venha a tomar conhecimento ao desempenhar suas
funções.
1.2.2. Durante a Vigência deste Contrato, o Empregado
não deverá, de forma direta ou indireta, por meio de
qualquer pessoa física ou jurídica, envolver-se em
qualquer atividade comercial, prestar serviços, associar-
se a (como empregada, proprietária, acionista ou quotista,
agente, representante, executiva, gerente, consultora ou
outros) qualquer pessoa física ou jurídica.
1.3. Os serviços serão prestados na sede da Sociedade ou
em quaisquer outros locais em que a Sociedade tenha
interesses negociais. A Sociedade poderá transferir a
Empregada para qualquer localidade dentro ou fora do
país, a título temporário ou permanente. Sempre que
necessário, o Empregado realizará viagens nacionais e
internacionais a serviço da Sociedade, cujas despesas
razoavelmente incorridas lhe serão reembolsadas, desde
que devidamente comprovadas de acordo com as políticas
internas da Sociedade.
1.4. As principais atividades a serem exercidas pela
Empregada, incluem, mas não se limitam à:
1.4.1. Buscar potenciais vendedores/parceiros que mais
vendem produtos em outras plataformas;
1.4.2. Coletar todas as informações necessárias para
concluir a entrada desses vendedores/parceiros na
plataforma;
1.4.3. Orientar os novos vendedores/parceiros como atuar
na plataforma da SHEIN: desde a elaboração detalhada do
sku (código de uso interno do vendedor/parceiro para
identificar cada produto no seu estoque) até o lançamento
de seus primeiros produtos online.
2. AUSÊNCIA DE IMPEDIMENTO
2.1. A Empregada declara e garante à Sociedade que (a) a
prestação dos serviços aqui previstos não representará
inadimplemento nem violação de nenhum contrato,
acordo ou entendimento que ela tenha com outrem; (b)
informou à Sociedade tudo que poderia ser relevante para
a decisão da Sociedade em contratar o Empregado nos
termos deste Contrato; e (c) é plenamente capaz de
exercer os serviços ora Empregados.
2.2. O Empregado declara e garante à Sociedade que é
livre para celebrar este Contrato e não tem nenhum

action which would reasonably be expected to injure the
Company’s business, interests, opportunities, property, or
reputation, and not to use for his own benefit or for the
benefit of third parties any information or opportunities
pertaining to the Company’s business or interests that are
entrusted to him or that he learned while rendering the
services.
1.2.2. During the term of this Agreement, the Employee
shall not, directly or indirectly, by means of any individual
or legal entity, engage in any business, render services to,
be associated with (as an employee, owner, stockholder,
share or quotaholder, agent, representative, director,
manager, consultant or otherwise) to any entity or
individual.
1.3. Services shall be rendered at the Company’s
headquarters, or at the Employee’s home, or at any other
place where the Company may carry on business.
Whenever necessary, the Employee shall travel within the
Brazilian territory or abroad as instructed by the Company
with reasonable expenses being reimbursed, upon the
presentation of statements in accordance with the internal
policies of the Company.
1.4. The main activities to be performed by the Employee,
include but are not limited to:
1.4.1. Contact potential sellers that are top sellers in other
plataforms;
1.4.2. Collect all required information to complete the
onboard program;
1.4.3. Guide the new sellers through the first steps at
SHEIN: from detailed sku review to launching their first
products online.
2. NO IMPEDIMENT
2.1. The Employee represents and warrants to the
Company that (a) the provision of services established
herein does not represent a default or breach of any
contract, agreement or understanding that he may have
with others; (b) have disclosed everything to the Company
which may be material to the Company's decision to hire
the Employee under this Agreement; and (c) is completely
capable of performing the services hired herein.
2.2. The Employee represents and warrants to the
Company that is free to enter into this Agreement and has
no commitment, arrangement or understanding to or with
compromisso, acordo ou entendimento com qualquer
pessoa que restrinja ou que esteja em conflito com as
obrigações, serviços e responsabilidades decorrentes
deste Contrato. O Empregado, durante a vigência deste
Contrato, não violará qualquer obrigação que possa ter
com terceiros, incluindo antigos empregadores e/ou
contratantes.
2.3. Pela assinatura deste Contrato, o Empregado
reconhece que (i) leu e entendeu este documento; (ii)
verificou, ou teve a oportunidade de verificar, com seu
advogado, os termos e condições aqui previstos; (iii) teve
tempo suficiente para examinar as condições aqui
previstas; e (iv) assinou este Contrato consciente e
voluntariamente.
3. REMUNERAÇÃO
3.1. A Sociedade pagará à Empregada um salário bruto
mensal de R$ 6.000,00 (seis mil Reais) por mês.
4. BENEFÍCIOS
4.1. Durante a vigência deste Contrato, a Empregada terá
direito aos seguintes benefícios, em adição àqueles
previstos na legislação trabalhista, tais como férias e 13º
salário.
4.2. O bônus anual previsto, é definido no valor de
R$7.500,00 (sete mil e quinhentos Reais), conforme
política interna da empresa. Tal valor estará sujeito à
revisão de desempenho.
4.3. O bônus de desempenho mensal, é definido no valor
R$1.500,00 (mil e quinhentos Reais), conforme política
interna da empresa.
5. CONFIDENCIALIDADE
5.1. Durante o período em que a Empregada prestar
serviços à Sociedade e após o término deste Contrato, a
Empregada se compromete a não utilizar, divulgar ou de
qualquer outra forma revelar quaisquer Informações
Confidenciais a que venha a ter acesso no
desenvolvimento de suas atividades.
5.2. Constituem Informações Confidenciais para os
propósitos deste Contrato, incluindo,
exemplificativamente, listas de empregados e
remunerações, planos de aquisição, políticas de preços,
métodos de trabalho e operações, estratégias comerciais,
estratégias de negócios e mercado, planos de propaganda
e marketing, segredos comerciais, industriais e de

any party that restrains or is in conflict with it duties
assumed in connection with this Agreement. The
Employee shall not, during the term of this Agreement,
violate any obligation that may owe to any third party,
including former employers and/or contractors.
2.3. By signing this Agreement, the Employee recognizes
that (i) read and understood this document; (ii) checked,
or had the opportunity to check, with his lawyer, the terms
and conditions foreseen herein; (iii) had sufficient time to
exam the conditions foreseen herein; and (iv) executed
this Agreement conscious and voluntarily.
3. REMUNERATION
3.1. The Company shall pay to the Employee a gross
monthly salary of R$ 6,000.00 (six thousand Reais) per
month.
4. BENEFITS
4.1. During the term of this Agreement, the Employee will
be entitled to the following benefits, in addition to those
results in the labor legislation, such as vacation and 13th
salary.
4.2. The target annual bonus is defined in the amount of
R$7,500.00 (seven thousand five hundred Reais),
according to the company's internal policy. Such amount
will be subject to the performance review.
4.3. The monthly target performance bonus is defined in
the amount of R$ 1,500.00 (one thousand five hundred
Reais), according to the company's internal policy.
5. CONFIDENTIALITY
5.1. During the period in which the Employee render
services to the Company and after the termination of this
Agreement, the Employee shall not use, disclose or
otherwise reveal any Confidential Information of the
Company to which he may have had access as a result of
the performance of his services.
5.2. Confidential Information, for purposes of this
Agreement, includes, without limitation, employee and
employee compensation lists, acquisition plans, pricing
policies, working and operational methods, commercial
strategies, businesses and market strategies,
advertisement and marketing plans, commercial,
industrial and business secrets, technologies, know-how,
negócios, tecnologias, know-how, fórmulas, projetos,
designs, modelos, desenhos, esboços, planos, patentes,
técnicas de programação de computador, programas de
computador, preços, listas de fornecedores e de clientes,
desempenho, lucro, custos, vendas, relatórios financeiros,
participações de mercado e operações especiais, ou
qualquer outra informação confidencial relativa aos
negócios e operações da Sociedade ou de qualquer de suas
afiliadas e/ou clientes e/ou fornecedores. Não constituem
Informações Confidenciais informações de conhecimento
público quando este Contrato foi assinado ou que tenham
se tornado de conhecimento público após a sua assinatura
desde que não em decorrência do descumprimento pelo
Empregado de suas obrigações de confidencialidade.
5.3. Caso o Empregado venha a ser obrigada por força de
lei a divulgar quaisquer Informações Confidenciais,
deverá imediatamente notificar a Sociedade sobre o fato
para que esta possa, então, deliberar sobre as medidas que
julgue necessárias a fim de: (i) evitar a divulgação das
Informações Confidenciais; ou (ii) instruir o Empregado
sobre o modo como as Informações Confidenciais devem
ser divulgadas. O Empregado deverá tomar todas e
quaisquer medidas necessárias para cooperar com a
Sociedade para manter confidenciais as Informações
Confidenciais. As medidas a serem tomadas pelo
Empregado incluem, por exemplo, o pedido às
autoridades judiciais ou administrativas de tratamento
confidencial das Informações Confidenciais.
5.4. O Empregado deverá restituir, assim que solicitada
pela Sociedade ou no término deste Contrato, todos e
quaisquer materiais que contenham Informações
Confidenciais e quaisquer outros materiais da Sociedade.
5.5. A violação de qualquer obrigação de
confidencialidade aqui prevista poderá implicar na
rescisão por justa causa deste Contrato, sem prejuízo das
sanções penais decorrentes de procedimento criminal. O
Empregado deverá notificar imediatamente a Sociedade
em caso de suspeita de ou uso, cópia ou divulgação não
autorizada de quaisquer Informações Confidenciais. O
Empregado deve prestar assistência quando solicitada
pela Sociedade ou suas afiliadas em relação a qualquer
processo em que a Sociedade ou qualquer uma de suas
afiliadas atue contra qualquer pessoa pelo uso, cópia ou
divulgação não autorizada de Informações Confidenciais.
5.6. Se o Empregado se desligar da Sociedade, por
qualquer motivo, o Empregado concorda e autoriza a
Sociedade a notificar seu novo contratante acerca de seus
direitos e obrigações nos termos deste Contrato.
5.7. O Empregado declara e garante à Sociedade que a
Empregada é livre para celebrar este Contrato e não tem
nenhum compromisso, acordo ou entendimento com
qualquer pessoa que restrinja ou que esteja em conflito

formulas, projects, designs, models, sketches, drafts,
plans, patents, computer programming techniques,
computer programs, prices, lists of suppliers and clients,
performance, profits, costs, sales, financial reports,
market share and special operations, or any other
confidential information relating to the business and
operations of the Company or of any its affiliates and/or
its clients and/or providers. It shall not be considered as
Confidential Information any information that was public
knowledge when this Agreement was executed or became
so at a later date, provided that not as a result of a breach
by the Employee of his confidentiality obligations.
5.3. In the event that the Employee is requested by virtue
of law to disclose any Confidential Information, he must
immediately notify the Company about the requested
disclosure so that the Company can take any and all
measures that it deems necessary to (i) avoid the
disclosure of the Confidential Information; or (ii) instruct
the Employee as to how the Confidential Information
should be disclosed. The Employee must take any and all
necessary action to cooperate with the Company to keep
confidential the Confidential Information. The actions to
be taken by the Employee include, but are not limited to,
requesting to the relevant judicial or administrative
authority confidential treatment to the Confidential
Information.
5.4. The Employee must return, upon the request of the
Company or the termination of this Agreement, any and
all materials containing Confidential Information and any
other material belonging to the Company.
5.5. The breach of any confidentiality obligation foreseen
herein may result in the termination for cause of the
Agreement, regardless of criminal penalties arising from
a criminal procedure. The Employee must immediately
notify the Company of any suspected or actual
unauthorized use, copying or disclosure of Confidential
Information. The Employee must provide assistance
whenever requested by the Company or any one of its
affiliates in relation to any proceedings the Company or
any one of its affiliates may take against any person for
unauthorized use, copying or disclosure of Confidential
Information.
5.6. If the Employee leaves the Company, due to any
reason, the Employee hereby consents to and authorizes
the Company to notify his new contractor of his rights and
obligations under this Agreement.
5.7. The Employee states and guarantee to the Company
that the Employee is free to enter into this Agreement and
has no commitment, agreement or understanding with any
person that restricts or is in conflict with the obligations,
com as obrigações, serviços e responsabilidades previstas
neste Contrato. A Empregada, durante a vigência deste
Contrato, não violará qualquer obrigação que possa ter
com terceiros, incluindo antigos empregadores e/ou
contratantes.
5.8 O inadimplemento de qualquer obrigação de
confidencialidade aqui prevista sujeitará o Empregado ao
pagamento de multa, por evento, de, no mínimo, 3 vezes
o último salário bruto mensal recebido pela Empregada,
sem prejuízo de execução específica.
6. NÃO ALICIAMENTO E NÃO CONCORRÊNCIA
6.1. Durante a vigência deste Contrato e por 12 meses
após o seu término, independentemente do motivo de tal
término, o Empregado compromete-se a não aliciar,
persuadir ou induzir qualquer empregado, sócio, cliente
ou qualquer outra pessoa contratada para fornecimento de
bens ou serviços à Sociedade ou a qualquer de suas
afiliadas a: (a) rescindir ou deixar de prorrogar ou renovar
sua relação de emprego, societária, contratual, ou de
negócios com a Sociedade ou com qualquer de suas
afiliadas; ou (b) ser Empregado por ou se associar a
qualquer pessoa que não a Sociedade ou suas afiliadas.
6.2. Durante a vigência deste Contrato e por 12 meses
após o seu término, a Empregada se compromete a não,
direta ou indiretamente, fazer negócios com, se associar
a, ser Empregado por ou prestar serviços a qualquer
Competidor.
6.2.1. Competidor, para fins deste Contrato, compreende
todas as sociedades atuando no mercado em que a
Sociedade e/ou suas afiliadas atuem.
6.2.2. A obrigação de não concorrência estabelecida nesta
Cláusula é limitada ao território brasileiro.
6.3. O inadimplemento da obrigação de não concorrência
durante a vigência deste Contrato e/ou da obrigação de
não aliciamento sujeitará o Empregado ao pagamento de
multa, por evento, de, no mínimo, 3 vezes o último salário
bruto mensal da Empregada, sem prejuízo de execução
específica.
7. INVENÇÕES E CRIAÇÕES
7.1. Todas e quaisquer invenções, descobertas, melhorias,
ideias, conceitos, criações ou quaisquer direitos
suscetíveis ou não a registro perante órgãos de
Propriedade Industrial ou Intelectual no Brasil ou no
exterior que o Empregado tenha criado ou realizado, a
qualquer tempo, relacionadas a quaisquer atividades

services and responsibilities provided for in this
Agreement. The Employee, during the term of this
Agreement, will not violate any obligation that she may
have with third parties, including former employers and/or
contracting parties.
5.8. The non-compliance with any confidentiality
obligation established herein shall also subject the
Employee to the payment of a fine, per event, equivalent
to, at least, 3 times the Employee’s last gross monthly
salary, without prejudice of specific performance.
6. NON-SOLICITATION AND NON-COMPETE
6.1. During the term of this Agreement and for the period
of 12 months as from its termination, regardless of the
cause of its termination, the Employee commits not
solicit, entice, persuade or induce any employee, partner,
customer or any other person or entity hired to provide
goods or services to the Company or to any affiliate
thereof to: (a) terminate or refrain from extending or
renewing his/her employment, partnership, contractual, or
business relationship with the Company or to any of its
affiliates; or (b) be hired by, or to associate with any
person or entity other than the Company or its affiliates.
6.2. During the term of this Agreement and for the period
of 12 months as from its termination, the Employee agrees
not to, directly or indirectly, do business with, associate
with, be hired by or render services to any Competitor.
6.2.1. Competitor, for the purpose of this Agreement,
comprehends all companies doing business within the
market in which the Company and the Client and/or their
affiliates are/is doing business.
6.2.2. The non-compete obligation established in this
Clause is limited to the territory of Brazil.
6.3. The non-compliance with the non-compete obligation
during the term of this Agreement and/or the non-
solicitation obligation shall subject the Employee to the
payment of a fine, per event, equivalent to, at least, 3 times
the Employee’s last gross monthly salary, without
prejudice of specific performance.
7. INVENTIONS AND CREATIONS
7.1. All and any inventions, discoveries, improvements,
ideas, concepts, creations or any rights susceptible or not
of registration before Intellectual or Industrial Property
Authorities in Brazil or abroad created or performed by
the Employee, at any time, related to any activities
rendered by him/her on behalf of the Company

total e exclusiva propriedade da Sociedade Contratante.
7.2. O Empregado deverá transferir à Sociedade todos os
direitos de propriedade dessas Criações, incluindo direito
de autor e de patente, não lhe sendo devida qualquer
remuneração adicional em razão disso. A Empregada
ainda deve celebrar e assinar todos e quaisquer
documentos que a Sociedade julgar necessários para
permitir o pedido, a consecução e obtenção de direitos
autorais, patentes e outros direitos de propriedade, ou para
transferir para a Sociedade todos os direitos, títulos ou
interesses em tais Criações ou trabalhos passíveis de
proteção autoral.
8. NÃO DIFAMAÇÃO
8.1. A Empregada se compromete a não tomar qualquer
atitude com a intenção de, ou cujo resultado possa ser
esperado, difamar ou denegrir a reputação e a boa imagem
da Sociedade, de seus empregados, representantes, sócios,
Empregados, e qualquer pessoa a ela relacionada direta ou
indiretamente.
9. PRAZO E RESCISÃO
9.1. O período de experiência será de 45 dias, podendo ser
prorrogado por mais 45 dias, totalizando 90 dias, contatos
a partir da data de admissão.
9.2. Em caso de rescisão deste Contrato por qualquer
motivo, o Empregado concorda em tomar todas as
medidas necessárias para garantir uma transição suave
para seu sucessor e para ajudar e cooperar totalmente com
a Sociedade para resolver todos os assuntos que surjam da
remoção de seu cargo, incluindo, mas não se limitando a
execução de todos e quaisquer documentos considerados
necessários pela Sociedade. Neste caso, a Empregada
também se compromete a renunciar a todas as possíveis
procurações outorgadas pela Sociedade e por toda e
qualquer empresa do grupo econômico da Sociedade.
9.3. O Empregado também cooperará de forma razoável
no caso de qualquer processo judicial, ação ou
procedimento (ou qualquer recurso referente a qualquer
processo judicial, ação ou procedimento) que possa estar
relacionado a eventos ocorridos durante a vigência deste
Contrato ou em período anterior.
10. DISPOSIÇÕES GERAIS
10.1. O Empregado está ciente do regulamento interno e
das Políticas Internas da Sociedade e das Normas de
Segurança que regulam as atividades da Sociedade e
compromete-se a usar o Equipamento de Proteção

(“Creations”) are owned entirely and exclusively by the
Client.
7.2. The Employee shall transfer to the Client all rights of
property of such Creations, including author and patent
rights, not being due any additional remuneration as a
consequence of such transfer. The Employee shall also
execute all and any documents that the Company
considers necessary to allow the request, the achievement
and obtaining of author, patent and other property rights,
or to transfer to the Client all rights, certificates or
interests in such Creations or works likely to have author
protection.
8. NON DISPARAGEMENT
8.1. The Employee agrees to take no action that is
intended to, or would reasonably be expected to, disparage
or impair the reputation and good image of the Company,
its employees, representatives, partners, Employees, and
any other person directly or indirectly related to the
Company.
9. TERM AND TERMINATION
9.1. The trial period will be 45 days, and may be extended
for another 45 days, totaling 90 days, contacts as of the
hiring date.
9.2. In case of termination of this Agreement due to any
reason, the Employee agrees to take all necessary
measures to ensure a smooth transition to his successor
and to help and fully cooperate with the Company to
address all matters that arise from his removal from his
positions, including, but not limited to, the execution of
any and all documents deemed necessary by the
Company. In this case, the Employee also agrees to
renounce all possible powers of attorney granted by the
Company and any and all companies from the Company’s
economic group.
9.3. The Employee shall also provide his reasonable
cooperation in connection with any lawsuit, claim or
proceeding (or any appeal relating to any lawsuit, claim or
proceeding) which may relate to events occurred during
or prior to the term of this Agreement.
10. GENERAL PROVISIONS
10.1. The Employee is aware of the Company’s internal
rules and the Safety Rules that regulate the Company’s
activities and commits to use the Individual Equipment of
Protection provided by the Company whenever needed.

A Empregada declara que concorda com todos os termos
e condições estabelecidas pelas políticas internas da
Sociedade e de suas afiliadas. O descumprimento das
políticas internas da Sociedade e/ou de suas afiliadas
sujeitará o Empregado a medidas disciplinares e poderá
resultar na rescisão por justa causa deste Contrato.
10.2. Além dos descontos previstos em lei, o Empregado
concede à Sociedade o direito de descontar de sua
remuneração os valores relativos a quaisquer
adiantamentos, pagamentos de benefícios selecionados
pelo Empregado (ou seja, vale-transporte, ticket refeição,
etc.), despesas incorridas pelo Empregado e os danos
causados pelo Empregado.
10.3. Todas as notificações ou aprovações exigidas ou
permitidas por este Contrato devem ser realizadas por
escrito. Qualquer renúncia ou modificação do presente
Contrato apenas será eficaz se realizada por escrito e
assinada pelas Partes. As notificações da Empregada para
a Sociedade devem ser enviadas aos representes das
Intervenientes-Anuentes.
10.4. As Partes se comprometem a empregar seus
melhores esforços para resolver por meio de conciliação
quaisquer controvérsias relacionadas a este Contrato.
10.5. Se qualquer disposição deste Contrato venha a ser
considerada inválida ou inexequível por qualquer motivo,
a invalidade ou inexequibilidade não afetará a validade ou
a exequibilidade das outras disposições do presente
Contrato.
10.6. Este Contrato foi negociado, redigido e assinado em
inglês e português. A versão em português prevalecerá em
caso de conflito com sua versão em inglês.
10.7. Este Contrato será regido e interpretado de acordo
com as leis da República Federativa do Brasil.
10.8. As Partes elegem o foro da Comarca de São Paulo
para dirimir quaisquer questões relativas ao Contrato.
As Partes firmam o presente Contrato em duas vias de
igual teor e forma, na presença das duas testemunhas
abaixo assinadas.

The Employee states that agrees with all terms and
conditions established by the internal policies of the
Company and its affiliates. The non-compliance with the
internal policies of the Company and/or of its affiliates by
the Employee will subject the Employee to disciplinary
actions and may result in the termination with cause of this
Agreement.
10.2. In addition to any deductions provided by law, the
Employee grants to the Company the right to discount
from the Employee’s remuneration the value of any
advanced payments of remuneration, payment for benefits
selected by the Employee (i.e. transportation ticket, meal
ticket, etc.), expenses incurred by the Employee and
damages caused by the Employee.
10.3. All notifications or approvals required or permitted
by this Agreement must be given in writing. Any waiver
or amendment to this Agreement will not be effective
unless executed in writing and signed by both Parties. The
notifications from the Employee to the Company must be
sent to the legal representatives of the Interviewing
Parties.
10.4. The Parties agree to use their best efforts to solve
any controversy related to this Agreement by means of
conciliation.
10.5. If any provision of this Agreement is deemed to be
invalid or otherwise unenforceable for any reason, the
invalidity or unenforceability shall not affect the validity
or enforceability of any of the other provisions of this
Agreement.
10.6. This Agreement has been negotiated, written and
executed in Portuguese and English. The Portuguese
version shall prevail in case of any inconsistence with its
English translation.
10.7. This Agreement will be governed by and interpreted
in accordance with the laws of The Federative Republic
of Brazil.
10.8. The courts of the City of São Paulo shall have
exclusive jurisdiction over any controversies arising from
this Agreement.
In witness whereof, the Parties have executed this
Agreement in two counterparts of equal content and form
before the two witnesses specified below.
