A AMBIPAR PARTICIPAÇÕES E EMPREENDIMENTOS S.A. (“Ambipar” ou

“Companhia”), comunica aos seus acionistas e ao mercado em geral que, em 3 de
Março de 2023 após o cumprimento de todas as exigências societárias e regulatórias,
foi concluída a Combinação de Negócios entre a Emergência Participações S.A.
(“Ambipar Response”) e a HPX Corp (“HPX”), anunciada em Fato Relevante divulgado
em 6 de julho de 2022.

Esta Combinação de Negócios fortalece uma empresa líder no setor de serviços

ambientais, combinando a experiência da Ambipar Response em resposta a
emergências e gestão ambiental com a parceria financeira e estratégica da HPX. A
partir de hoje as ações ordinárias e warrants da Ambipar Response passam a ser
negociados na NYSE American sob os códigos “AMBI” e “AMBI.WS”, respectivamente.

A conclusão desta operação permite à Ambipar Response acelerar a expansão global

dos negócios, levando a reconhecida qualidade, o padrão de excelência no
atendimento e o amplo portfólio de serviços para todas as geografias.

A Ambipar Response está presente em trinta e nove países nos seis continentes, possui
mais de trezentas bases operacionais, e é fornecedora de referência global para
atendimento a emergências, serviços industriais e ambientais com soluções que
endereçam a agenda ambiental e de sustentabilidade, atendendo aos setores químico,
petroquímico, mineração, transporte, papel e celulose, utilities, entre outros.

Com o amadurecimento das operações da Ambipar Response em mercados relevantes,

a Combinação de Negócios potencializa o crescimento da participação de mercado.

A transação capitaliza a companhia em mais de US$ 174 milhões, com consequente

redução da alavancagem da Ambipar, que detém 70,8% do capital e 96,0% dos direitos
de voto.

AMBIPAR PARTICIPAÇÕES E EMPREENDIMENTOS S.A. (“Ambipar” or “Company”),

informs its shareholders and the market in general that, on March 3rd, 2023, after being
comply with all corporate and regulatory requirements, the Business Combination was
concluded between Emergência Participações S.A. (“Ambipar Response”) and HPX Corp
(“HPX”), announced in a Material Fact released on July 6th, 2022.

The business combination strengthens a leading player in the environmental services

industry, combining Ambipar Response's expertise in emergency response and
environmental management with HPX's financial and strategic partnership. At this date,
Ambipar Response’s Class A ordinary shares and warrants are expected to begin trading
on the NYSE American under the ticker symbols “AMBI” and “AMBIWS”, respectively.

The conclusion of this operation allows Ambipar Response to accelerate the global
expansion of its business, taking recognized quality, the standardized services, and broad
portfolio of services across all geographies.

Ambipar Response is present in thirty-nine countries on six continents, has more than
three hundred operational bases, and is a global reference supplier for emergency
response, industrial and environmental services with solutions that address the
environmental and sustainability agenda, serving the sectors chemical, petrochemical,
mining, transport, pulp and paper, utilities, among others.

With the maturation of Ambipar Response's operations in relevant markets, the Business
Combination boosts market share growth.

The transaction contributes with gross proceeds of over US$174 million, with a
consequent reduction of Ambipar’s leverage, and which holds 70.8% of the outstanding
shares, and 96.0% of the voting rights.
