FATO RELEVANTE
Nos 12 meses findos em março 2024, a empresa adquirida atingiu receita líquida de R$ 35 milhões, EBITDA
normalizado de R$ 9,5 milhões e lucro líquido de R$ 5 milhões.
A aquisição da Welding reforça o nosso compromisso de focar em serviços de alto valor agregado e com
menor intensidade de capital. Com presença muito forte no setor sucroenergético, a Welding
desempenha papel central na ambição da Priner de expandir as operações para diferentes segmentos e
serviços, sempre se destacando pela notoriedade técnica.
A safra mais recente (2023/2024) registrou recordes de produção no setor, com 33,4 bilhões de litros de
etanol e 42 milhões de toneladas de açúcar, representando aumentos significativos em relação ao período
anterior. Destaca-se também o crescimento na produção de etanol de milho, com aumento de cerca de
800% nos últimos cinco anos, juntamente com o desenvolvimento das plantas de etanol de segunda
geração (E2G), tecnologias que trarão menor sazonalidade à produção de etanol no Brasil.
Esse investimento está em linha com a estratégia da Priner de se firmar como líder no mercado de
engenharia de integridade e inspeção, prestando serviços que aprimorem a eficiência e a segurança
operacional dos nossos clientes, consequentemente gerando valor para os acionistas.
A Priner esclarece que a Transação não configura hipótese prevista no art. 256 da Lei n° 6.404/1976,
tampouco, ensejará direito de recesso para seus acionistas.

MATERIAL FACT
Priner Serviços Industriais S.A. (“Company”), in compliance with the requirements of Law No. 6,404 of
December 15, 1976, especially Article 157; and as provided by Resolution of the Brazilian Securities
Commission (“CVM”) No. nº 44, August 23rd, 2021, as further amended, hereby announces the acquisition
of quotes representing one hundred per cent (100%) of the capital stock of da Welding Inspeções,
Engenharia e Análise de Materiais Ltda. (“Welding”), under the terms and conditions of the Quotas
Purchase Agreement (“Agreement”), entered into on this date (“Transaction”).The Transaction was
approved by the Company's Board of Directors in a meeting held on this date.
During the last 12-month period ending in March 2024, the company reported a net revenue of R$ 35
million, a normalized EBITDA of R$ 9,5 million, and a net profit of R$ 5 million. The acquisition of Welding
bolsters our dedication to delivering high value-added services with less capital intensity. With a
prominent presence in the sugar-energy sector, Welding will play a pivotal role in Priner's vision to expand
operations across diverse segments and services, consistently showcasing exceptional technical
proficiency.
The latest harvest (2023/2024) marked a historic production in the industry, with 33.4 billion liters of
ethanol and 42 million tons of sugar produced, which shows a substantial growth compared to the
previous period. Noteworthy is the surge in corn ethanol production, showing an incremental of
approximately 800% over the past five years, coupled with the advancements in second-generation
ethanol plants (E2G) that promise to minimize the seasonal fluctuations in ethanol production within
Brazil.
This strategic investment closely aligns with Priner's goal of solidifying its position as a market leader in
integrity and inspection engineering, delivering services that optimize efficiency and operational safety
for our clientele, ultimately generating significant value for our shareholders.
Priner clarifies the Transaction does not constitute a hypothesis provided for in art. 256 of Law No.
6,404/1976, nor will it give rise to the right of withdrawal for its shareholders.
