FATO RELEVANTE
A Companhia, através de sua subsidiária integral Ultra Som Serviços Médicos S.A., assinou
em 4 de setembro de 2020 contrato de compra e venda de quotas e outras avenças para a
aquisição de 100% da participação societária da Promed Assistência Médica Ltda., Promed
Brasil Assistência Médica Ltda., Saúde – Sistema Assistencial Unificado de Empresas Ltda.,
Centro Médico Progroup Ltda., Med Clínicas Serviços Médicos Ltda., Hospital Progroup Ltda.
e 96,5% da participação societária do Hospital Vera Cruz S.A., entidades parte de uma
estrutura composta por 3 operadoras de saúde, 3 hospitais, 1 hospital dia e 7 clínicas de
atendimento primário (Grupo Promed ou Promed e Transação Promed, respectivamente).
A Transação Promed inclui a aquisição de 3 hospitais que totalizam 255 leitos, dentre eles
o Vera Cruz, um dos mais tradicionais e bem reconhecidos do Estado de Minas Gerais, com
70 anos de história, o qual passou recentemente por amplo processo de investimento para
modernização e revitalização de estrutura, além de 1 hospital dia com 18 leitos e 7 clínicas
de atendimento primário. O Grupo Promed registrou nos últimos 12 meses (base junho/20)
receita líquida combinada (antes de consolidação) de R$ 600 milhões, com sinistralidade
consolidada de aproximadamente 84%.
O estado de Minas Gerais, segundo mais populoso do Brasil com mais de 21 milhões de
habitantes, possui atualmente cerca de 5 milhões de beneficiários de planos de saúde. Já a
região de saúde de Belo Horizonte (conforme definida pela ANS) considera um agrupamento
de municípios com cerca de 5,5 milhões de habitantes e 2 milhões de beneficiários de planos
de saúde.
Quando concluída, a Companhia fortalecerá ainda mais sua presença no estado de Minas
Gerais onde, por meio da RN Metropolitan e do Grupo São Francisco, já possui atualmente
uma carteira de cerca de 70 mil beneficiários em planos de saúde na região do Triângulo
Mineiro. Dentre os planos de expansão orgânica para a região, está prevista a construção
de um novo hospital na cidade de Uberlândia com inauguração prevista para o segundo
semestre de 2021, além de outras unidades assistenciais como clínicas e prontos
atendimentos.
Com profissionais especializados, o hospital conta com cerca de 140 médicos, 400
colaboradores e uma estrutura de ponta para atender com qualidade e eficiência. Por meio
do trabalho humanizado, a unidade tornou-se referência em gestação de alto risco e
atendimento infantil de alta complexidade.
CENTRO-OESTE – GOIÂNIA
A Samedh conta com uma carteira de cerca de 18 mil beneficiários de planos de saúde
concentrados na região de Goiânia, com a carteira majoritariamente de planos coletivos
corporativos. Com isso, a Companhia permanece consolidando sua estratégia de
crescimento na região centro-oeste do país. A potencial Transação Samedh é sinérgica pois
a Companhia já possui cerca de 220 mil beneficiários nessa região sendo atendidos,
atualmente, pela rede própria do Grupo América (agora incorporado pelo Hapvida),
composta por 3 hospitais, 1 recém-inaugurado pronto atendimento, 14 clínicas e 17 centros
de diagnóstico por imagem e coleta laboratorial. Dentre os planos de expansão orgânica
para a região Centro-Oeste estão previstas novas estruturas assistenciais incluindo um
hospital em Dourados (Mato Grosso do Sul), um pronto atendimento, uma clínica e duas
unidades de diagnóstico, todos com inauguração prevista para o primeiro semestre de 2021.
O preço de aquisição foi fixado, inicialmente, em R$20,0 milhões. Este valor poderá ser
alterado diante de ajuste de preço decorrente de alterações verificadas no recebimento
médio mensal da Carteira quando da data da conclusão da Transação Samedh.
A conclusão das Transações está condicionada a determinadas condições precedentes que
podem ou não incluir (i) a negociação bem-sucedida dos respectivos instrumentos
contratuais de aquisição e suas respectivas formalizações; (ii) a condução de maneira
satisfatória dos procedimentos de diligência legal, contábil e operacional em curso; (iii) a
apreciação e aprovação pela Agência Nacional de Saúde Suplementar (ANS); (iv) a
apreciação e aprovação pelo Conselho Administrativo de Defesa Econômica (Cade); e (v)
no caso da Transação Promed, aprovação pelos acionistas da Companhia reunidos em
assembleia geral, a ser oportunamente convocada.
Por fim, a Companhia esclarece que, à exceção da Transação Promed, as demais transações
não deverão gerar direito de retirada, na forma da legislação aplicável.
MATERIAL FACT
On September 4, 2020, the Company, through its wholly owned subsidiary Ultra Som
Serviços Médicos S.A., signed a purchase and sale agreement for quotas and other
covenants for the acquisition of 100% of the equity interest of Promed Assistência Médica
Ltda., Promed Brasil Assistência Médica Ltda., Saúde – Sistema Assistencial Unificado de
Empresas Ltda., Centro Médico Progroup Ltda., Med Clínicas Serviços Médicos Ltda.,
Hospital Progroup Ltda, and 96.5% of the total capital of Hospital Vera Cruz S.A., all entities
part of a structure comprised of 3 healthcare operators, 3 hospitals, 1 day-hospital and 7
primary care clinics (Promed Group or Promed, and Promed Transaction, respectively).
Promed Group operations are concentrated in the metropolitan region of Belo Horizonte,
state of Minas Gerais, being the second largest player in the region, with about 11% of
market share. The 3 combined operators have a total portfolio of around 270 thousand
health plan beneficiaries also located mainly (~80%) in the metropolitan region of Belo
Horizonte. More than 95% of the beneficiaries are on corporate plans and the average
consolidated ticket is around R$147.
The Promed Transaction also includes the acquisition of 3 hospitals totaling 255 beds,
including Vera Cruz hospital, one of the most traditional and well-known in the state of Minas
Gerais with over 70 years of history, that recently underwent a wide modernization and
refurbishing process, 1 day-hospital with 18 beds and 7 primary care clinics. Over the last
12 months (at June 2020), Promed Group recorded combined net revenues (before
consolidation) of R$600 million, with a consolidated MLR of approximately 84%.
The state of Minas Gerais, the second most populous in Brazil with over 21 million
inhabitants, currently has around 5 million health plan beneficiaries. The health region of
Belo Horizonte (as defined by the ANS, Brazilian private healthcare agency), on the other
hand, considers a group of municipalities with approximately 5.5 million inhabitants and 2
million health plan beneficiaries.
When the Promed Transaction is concluded, the Company will further strengthen its
presence in the state of Minas Gerais where, through RN Metropolitan and São Francisco
Group, it currently has a portfolio of approximately 70,000 health plan beneficiaries in the
Triângulo Mineiro region. Among the organic expansion plans for the region, the
construction of a new hospital in the city of Uberlândia is scheduled to open in the second
half of 2021, in addition to other care units such as clinics and emergency units.
The enterprise value is R$ 1.5 billion, including real estate of two hospitals, which combined
have approximately 10,000 square meters of built area. Promed Group's net debt (currently
around R$ 500 million) will be deducted from the purchase price and, from the remaining
amount (Equity Value), approximately R$500 million will be paid in cash (80% at the closing
date and 20% retained for price adjustment procedures) and R$500 million will be paid in
shares upon issuance and delivery of 8.3 million shares of the Company. The purchase price
represents an estimated implicit multiple of 13.2x EBITDA when considering the
achievement of all estimated synergies.
Upon conclusion of the Promed Transaction, the Company will expand its growth strategy
through a platform that will allow for a vertical and integrated operation in one of the main
markets in Brazil, reinforcing its commitment to expansion, consolidation and, consequently,
creating value for its shareholders.
To continue the expansion and verticalization project of the companies recently acquired by
Hapvida, the Company signed a long-term lease agreement for the Materno Infantil Sinhá
Junqueira Hospital, in Ribeirão Preto/SP (Sinhá Junqueira Hospital and Sinhá Transaction,
respectively). The children’s hospital, traditional in the region and with more than 40 years
of existence, has a strong physical and management structure and is a reference in
pediatrics and obstetrics, with national and international recognition. The unit will receive
investments of more than R$ 11 million in the coming years to modernize and expand the
existing capacity. The unit, which has 7,400 square meters of built area, has more than 100
beds, emergency unit, surgical center, neonatal and pediatric ICU, premature and nursery
unit, in addition to 42 single and double rooms. It also has a diagnostic imaging center,
clinical analysis laboratory and blood center.
With specialized professionals, the hospital has about 140 doctors, 400 employees and a
state-of-the-art structure to serve with quality and efficiency. Through humanized work, the
unit has become a reference in high-risk pregnancies and highly complex childcare.
In the context of the continuous plan for verticalization and organic expansion, three new
hospitals in Barretos, Bauru and São Carlos now under construction are scheduled to come
online in the first half of 2021. In addition, as already informed, in the coming months the
Company should also assume the operations of Medical, in Limeira, which has more than
80 thousand beneficiaries, a hospital and clinics, as well as the São José Group, in the Vale
do Paraíba region, with more 50 thousand beneficiaries, two hospitals and clinics. This
illustrates the Company's efforts to expand its operations in the most populous state of
Brazil, increasingly nationalizing its operations.
MIDWEST – GOIÂNIA
The Company signed a memorandum of understanding for a voluntary transfer of the entire
portfolio of Samedh – Multi Saúde – Assistência Médica and Hospitalar Ltda. (Samedh)
beneficiaries by its wholly-owned subsidiary Hapvida Assistência Médica Ltda. (Samedh
Transaction).
The acquisition price was initially set at R$20.0 million. This value may change in the future
due to price adjustments for variations in the average monthly receivables of the Portfolio
as of the Samedh Transaction completion.

The conclusion of all Transactions is subject to certain conditions precedent that may or may
not include: (i) successful negotiation of the respective contractual acquisition instruments
and their respective formalizations; (ii) conducting in an acceptably manner all legal,
accounting and operational due diligence procedures; (iii) the consideration and approval of
Agência Nacional de Saúde Suplementar (ANS, Brazilian private healthcare agency); (iv)
the consideration and approval of Conselho Administrativo de Defesa Econômica (Cade,
Brazilian antitrust authority); and (v) in the case of the Promed Transaction, approval by the
Company’s shareholders in a future assembly meeting.
Finally, the Company clarifies that, with the exception of the Promed Transaction, other
transactions should not generate withdrawal rights, in accordance with the applicable
legislation.
