Comunicado ao Mercado

OMEGA ENERGIA S.A ("Omega Energia" ou "Companhia" - Novo Mercado: MEGA3), comunica aos seus

acionistas e mercado em geral que assinou com EDF EN do Brasil Participações Ltda. ("EDFR") um

Memorando de Entendimentos (Term Sheet), em bases não vinculantes, relacionado a potencial operação

de permuta de participações societárias detidas por Omega Energia e EDFR nas sociedades titulares dos

ativos do Complexo Solar Pirapora e do Complexo Eólico Ventos da Bahia ("Potencial Operação").

Caso a Potencial Operação venha a ser realizada, a Omega Energia passará a deter 100% (cem por cento)

das participações societárias nas sociedades titulares dos ativos do Complexo Eólico Ventos da Bahia

(incluindo as Fases 1, 2 e 3) e EDFR passará a deter 100% (cem por cento) das participações societárias

nas sociedades titulares dos ativos do Complexo Solar Pirapora (incluindo as Fases 1, 2 e 3), encerrando-

se, assim, as ;oint ventures entre Omega Energia e EDFR.

O Memorando de Entendimentos não cria qualquer direito ou obrigação para as partes de realizar a

Potencial Operação, sendo que qualquer direito ou obrigação só existirá caso as partes decidam celebrar

documentos definitivos e vinculantes relacionados à Potencial Operação.

A Companhia manterá seus acionistas e o mercado em geral devidamente informados acerca de novos

fatos relacionados ao presente comunicado.

Notice to the Market

OMEGA ENERGIAS.A ("Omega Energia" or "Company" - Novo Mercado: MEGA3), hereby informs its

shareholders and the general market that it has executed a Term Sheet, on a non-binding basis, with EDF

EN do Brasil Participações Ltda. ("EDFR"), relating to a potential exchange (permuta) of shareholding

interests held by Omega Energia and EDFR in the companies holding the assets of the Pirapora Solar

Complex and of the Ventos da Bahia Wind Complex ("Potential Transaction").

lf the Potential Transaction is completed, Omega Energia shall hold 100% (one hundred percent) of the

shareholding interests in the companies holding the assets of the Ventos da Bahia Wind Complex (including

Phases 1, 2 e 3) and EDFR shall hold 100% (one hundred percent) of the shareholding interests in the

companies holding the assets of the Pirapora Solar Complex (including Phases 1, 2 e 3), thereby terminating

the joint ventures between Omega Energia and EDFR.

The Term Sheet does not create any right or obligation for the parties to complete the Potential Transaction

and any such right or obligation shall only be created if the parties decide to execute definitive and binding

agreements relating to the Potential Transaction.

The Company will keep its shareholders and the market duly informed about new facts regarding this

notice.
