excluindo o resultado de outras despesas e receitas operacionais dos períodos. Além disso, os resultados apresentados incluem os efeitos do IFRS 16/CPC 06 (R2) -
Operações de arrendamento mercantil, que elimina a distinção entre arrendamentos operacionais e financeiros, exceto quando indicado.

Comprovamos em mais um trimestre a força da nossa marca. Pesquisa NielsenIQ Homescan mostrou que somos a rede
alimentar mais presente nos lares brasileiros: 1 em cada 4 domicílios frequentam o Assaí. A preferência dos(as) clientes também
se comprovou no Marcas Mais, divulgado pelo Estadão, em que fomos escolhidos como o atacarejo mais admirado do Brasil.
Nosso modelo diferenciado continua mostrando seu sucesso: no trimestre, tivemos crescimento de vendas acima de 20% e
ganhos relevantes de market share. Mesmo em um contexto de alto investimento, geramos R$ 9,4 bilhões de caixa operacional
desde 2021, o que evidencia a excelente qualidade da nossa expansão e a maturação acelerada das lojas convertidas de
hipermercados – neste que é um dos maiores projetos executados na história do varejo brasileiro. Chegamos à sua fase final,
com 90% das lojas convertidas em operação, apresentando múltiplos de vendas e evolução da rentabilidade. Seguimos sendo
destaque no segmento de cash and carry, e alcançamos faturamento de R$70 bilhões nos últimos 12 meses. Com a proximidade
do encerramento do intenso ciclo de investimentos (em razão do projeto de conversões), e a contínua maturação das novas
lojas, avançaremos no processo de desalavancagem. Obrigado por estarem conosco!

A receita líquida teve um crescimento de R$ 3,2 bilhões em relação ao 3T22, alcançando R$ 17,0 bilhões, o que
representa um avanço de 23% em comparação ao 3T22 e de 59% comparado ao 3T21. A continuidade no ritmo de
crescimento acima de 20%, mesmo diante de cenário de deflação das commodities e elevado patamar de endividamento
da população, é decorrente principalmente:
(i) da significativa contribuição da expansão (+23,7%), com 52 lojas abertas nos últimos 12 meses;
(ii) da dinâmica comercial, com destaque para a campanha do 49º Aniversário Assaí “Festa em Dobro”; e
(iii) da melhoria contínua na experiência de compras, com agilidade na adaptação do sortimento e adequação
dos serviços para atender às demandas regionais, que reflete na continuidade do crescimento de clientes
(73 milhões de tickets no 3T23, +25% vs. 3T22).
As vendas ‘mesmas lojas’ (-0,9%) apresentaram evolução sequencial (-2,0% no 2T23) e melhora gradativa ao longo do
trimestre. O desempenho trimestral foi impactado pela deflação alimentar, impulsionada principalmente por
commodities agrícolas, e pelo efeito do fechamento dos hipermercados em 2022, que resultou em forte base de
comparação. As vendas ‘mesmas lojas’ apresentaram evolução ao longo do período, atingindo nível positivo em
setembro, resultado da recuperação dos volumes, que apresentaram crescimento nos meses de agosto e setembro.
A atratividade da proposta de valor da Companhia foi comprovada por pesquisa recente divulgada pela Nielsen. O Assaí
conquistou a posição de marca com maior penetração nos lares brasileiros, e está presente em 1 a cada 4 domicílios.
Adicionalmente, os ganhos de market share foram expressivos, tanto na visão total (+2,7 p.p.) quanto na visão ‘mesmas
lojas’. O avanço constante da participação de mercado em diversas regiões evidencia a força da marca e os diferenciais do
Assaí, que segue conquistando novos clientes através da contínua melhoria da experiência de compra.
No acumulado do ano, a receita líquida atingiu R$ 48,1 bilhões, uma evolução de +25% e um aumento de R$ 9,5 bilhões
em relação aos 9M22, resultado da contribuição da expansão nos últimos 12 meses (+24%), impulsionada pelas
conversões de hipermercado, além do crescimento das vendas ‘mesmas lojas’ de +0,9%.

Durante o trimestre, foram inauguradas 4 conversões de hipermercados em estados das regiões Sudeste (RJ, SP, MG) e
Nordeste (CE). O processo de conversões está em fase final e totaliza, até o momento, 59 lojas convertidas das 66 lojas
adquiridas.
Com cerca de 10 meses de operação, em média, as conversões já apresentam faturamento médio mensal de R$ 25
milhões no trimestre, patamar 13% superior às lojas orgânicas maduras (R$ 22 milhões), com um múltiplo de vendas
superior a 2,7x (vs. 2,5x no 2T23). A rentabilidade segue em evolução natural e sustentável de maturação: a margem
EBITDA Pós-IFRS16 das 47 conversões inauguradas em 2022 está acima de 7%, enquanto a margem na visão Pré-IFRS16
atingiu 5,4%.
O desempenho das lojas convertidas segue evoluindo conforme expectativa do projeto, mesmo diante de um cenário
macroeconômico mais desafiador do que o esperado, em função da localização excepcional dos pontos comerciais.
A expansão orgânica também avançou no 3T23, com 3 novas unidades inauguradas, sendo uma delas no Espírito Santo,
marcando a entrada do Assaí no estado e ampliando a presença nacional da Companhia, agora presente em 24 dos 26
estados brasileiros, além do Distrito Federal.
Adicionalmente, no mês de outubro, 3 lojas orgânicas foram inauguradas, totalizando 18 novas unidades em 2023 (sendo
12 conversões e 6 orgânicas). Atualmente, cerca de 20 lojas estão em fase de obras para inaugurações no 4T23 e em
2024.

GALERIAS COMERCIAIS
As galerias comerciais impulsionam o fluxo de clientes nas lojas, contribuindo significativamente para a maturação das
conversões, diluição do aluguel e dos custos de ocupação. Ao final do 3T23, 66% do total disponível de área bruta locável
estava em operação, alcançando uma receita de R$ 23 milhões, o que representa um crescimento de 64% em relação ao
3T22. No acumulado dos primeiros 9 meses do ano, a receita advinda das galerias totalizou
R$ 67 milhões, avanço de 86% em relação ao mesmo período do ano anterior.
Adicionalmente, as vendas online via operadores last mile, uma importante ferramenta para oferecer maior
conveniência aos clientes Assaí, continuam em expansão e apresentam crescimento de 63% em relação ao 3T22.

A equivalência patrimonial (participação de aproximadamente 18% que o Assaí detém no capital da FIC) atingiu R$ 12
milhões no trimestre. O número de cartões Passaí emitidos ultrapassou 2,5 milhões e representa mais do que 4% do
faturamento.
A linha de Outras Receitas e Despesas Operacionais apresentou efeito contábil (não caixa) positivo de R$ 65 milhões no
trimestre, principalmente decorrente da baixa de contratos de aluguel encerrados. Com a saída do antigo controlador
(Grupo Casino) e dada a existência de cláusula que previa a possibilidade de término antecipado dos contratos de aluguel
de 28 lojas pertencentes ao fundo Península, foi necessária a negociação de novos contratos de locação. Informações
detalhadas na seção ‘Impactos da saída do controlador’ na página 11 deste documento.
O EBITDA Ajustado Pós-IFRS16 foi de R$ 1,2 bilhão no trimestre, R$ 201 milhões superior ao 3T22, correspondente a um
crescimento de 20%. A margem EBITDA Pós-IFRS16 atingiu 7,1%, o maior patamar do ano. Apesar da redução de 0,2 p.p.
em relação ao mesmo período do ano anterior, o patamar atual representa o menor nível de pressão desde o início do
projeto de conversões. Na visão Pré-IFRS16, a margem EBITDA encerrou o trimestre em 5,4%, patamar 0,3 p.p. superior
ao 2T23 e estável em relação ao 3T22, comprovando a qualidade da expansão, mesmo diante de grande volume de lojas
em maturação.

O resultado financeiro incluindo os juros do passivo de arrendamento totalizou R$ 737 milhões no trimestre, o
equivalente a 4,3% da receita líquida.
Excluindo o efeito dos juros do passivo de arrendamento, a despesa financeira total do trimestre foi de R$ 506 milhões, o
que representa 3,0% das vendas. Esse resultado, em comparação com o ano anterior, reflete principalmente o maior
volume de dívida bruta no período (R$ 1,8 bilhão) e o menor impacto dos juros capitalizados dado o avanço do projeto de
conversões (R$ 53 milhões no 3T23 vs. R$ 247 milhões no 3T22).
O custo da dívida inclui impacto negativo de R$ 6 milhões no 3T23 (R$ 9 milhões no 9M23) referente às negociações de
waiver relacionadas aos contratos de dívida. Informações detalhadas na seção ‘Impactos da saída do controlador’ na
página 11 deste documento.
O lucro líquido reportado inclui (i) impacto positivo (não caixa) de cerca de R$ 41 milhões referente à baixa de contratos
de aluguel renegociados e (ii) impacto negativo de R$ 4 milhões no 3T23 (R$ 6 milhões no 9M23) referente às
negociações de waiver relacionadas aos contratos de dívida. Informações detalhadas na seção ‘Impactos da saída do
controlador’ na página 11 deste documento.
Os investimentos totalizaram R$ 598 milhões no trimestre como resultado do avanço da expansão, com abertura de 7
lojas, sendo 4 conversões e 3 orgânicas. Com a entrada em um novo estado (Espírito Santo), o 3º trimestre marca a
ampliação da presença nacional do Assaí, agora presente em 24 dos 26 estados brasileiros, além do Distrito Federal.
Os investimentos atingiram R$ 1,7 bilhão nos 9M23 com a inauguração de 15 lojas no período e cerca de 20 lojas em
obras ao final de setembro, com inaugurações previstas para 4T23 e 2024.

Adicionalmente, a antecipação de recebíveis é uma operação característica do varejo e do mercado brasileiro. O saldo de
recebíveis descontados em 30 de setembro de 2023 foi de R$ 2,6 bilhões com prazo médio de 14 dias que somados aos
recebíveis não descontados (R$ 839 milhões) totalizam R$ 3,4 bilhões.
A dívida líquida somados os recebíveis descontados e as parcelas remanescentes da aquisição dos pontos comerciais de
hipermercados sobre o EBITDA Ajustado Pré-IFRS16 atingiu 4,44x, uma queda de 0,2x comparada ao mesmo período do
ano anterior. Essa redução foi suportada pela geração de caixa operacional de R$ 4,9 bilhões, com crescimento de 54%
nos últimos 12 meses.

A Companhia ressalta que, de acordo com os contratos financeiros, a alavancagem da Companhia é de 1,96x e está em
patamares inferiores ao limite dos covenants (3,00x).
Desde 2021, o Assaí incrementou o faturamento em R$ 31 bilhões e intensificou o ritmo de expansão com a abertura de
103 lojas, resultando em investimentos que totalizaram R$ 10,3 bilhões (inclui a aquisição de 66 pontos comerciais de
hipermercados). No mesmo período, a Companhia gerou R$ 9,4 bilhões de caixa operacional que suportaram 91% dos
investimentos.
O patamar de alavancagem atual reflete o maior projeto de expansão realizado pela Companhia, que se encontra em fase
de conclusão. O término desse projeto, com o fim dos pagamentos no 1T24, permitirá a Companhia a reduzir a sua
alavancagem.
Esse processo de desalavancagem será suportado, principalmente, por uma geração de caixa crescente com a maturação
e qualidade da expansão, readequação no nível de investimento em novas lojas, além da expectativa de queda da taxa de
juros levando a um menor custo de carregamento da dívida.

RISCO SACADO
Operações de venda de títulos a receber a uma instituição financeira e de antecipação de recebíveis são práticas comuns
do varejo e do mercado brasileiro.
A Administração da Companhia também considerou a orientação do Ofício CVM SNC/SEP nº 01/2022, observando os
aspectos qualitativos sobre esse tema e concluiu que não há impactos relevantes justamente por manter a essência
econômica da transação e não existir quaisquer tipos de alteração às condições originalmente pactuadas com os
fornecedores. O saldo a pagar destas operações era de R$ 903 milhões em 30 de setembro de 2023, sendo R$ 479
milhões de produtos e R$ 424 milhões de imobilizado.
O ciclo de caixa no 3T23 totalizou 4,1 dias ajustado para recebíveis descontados. O resultado representa uma melhora
de 8,9 dias vs. 3T22 e é explicada, principalmente, pela normalização dos níveis de estoque após o intenso ritmo de
abertura de lojas em 2022.

A geração de caixa operacional totalizou R$ 4,9 bilhões no acumulado dos últimos 12 meses, com crescimento de 54%
em relação ao 3T22, o que representa um incremento de R$ 1,7 bilhão no período. A maior geração de caixa reflete (i)
a eficiência da gestão do capital de giro, resultado da normalização do giro de estoques para patamares alinhados aos
níveis históricos, uma vez que 2022 foi marcado por um intenso ritmo de expansão, e (ii) o avanço de R$ 363 milhões
do EBITDA, mesmo diante de um cenário de deflação de commodities e elevado número de lojas em maturação.
A geração de caixa operacional suportou os investimentos em expansão (R$ 4,7 bilhões), dado o contexto do projeto
de conversões de hipermercados. No entanto, o custo da dívida (-R$ 1,6 bilhão), potencializado pela alta taxa de juros
no período, impactou negativamente a geração de caixa total no período.
No acumulado dos últimos 12 meses, a liberação de caixa totalizou R$ 906 milhões, evidenciando que a maturação
das novas lojas e a finalização dos pagamentos da aquisição em 2024 contribuirão para uma maior geração de caixa da
Companhia.

(i) Efeito não caixa de R$ 62 milhões na linha de Outras Receitas e Despesas Operacionais referente à baixa de
contratos encerrados, impactando positivamente o lucro líquido reportado no trimestre em cerca de R$ 41
milhões;
(ii) Efeito no passivo de arrendamento, a valor presente, de R$ 414 milhões e no ativo de R$ 476 milhões pelo
período de duração dos contratos (22 anos);
(iii) Aumento no intangível de R$ 95 milhões, correspondente ao direito de uso pelo prazo da locação. Esse valor
será pago no 4T23;
(iv) Foi negociado um aumento gradual dos pagamentos até o quinto ano do contrato. O aumento terá seu pico
em 2027, representando entre 10bps-20bps da despesa de aluguel como percentual da venda líquida dessas
lojas. Após esse período, os valores serão diluídos com a evolução das vendas.
Adicionalmente, a saída do controlador resultou em negociações de waiver relacionados aos contratos de empréstimos,
debêntures e CRIs, com impacto total de R$ 93 milhões (saída de caixa), sendo R$ 44 milhões no 3T23. No P&L, os efeitos
serão reconhecidos até o final dos contratos de dívida. No 3T23, o resultado financeiro foi impactado negativamente em
R$ 6 milhões (R$ 9 milhões no 9M23) e o lucro em R$ 4 milhões (R$ 6 milhões no 9M23). As negociações foram
concluídas.
Não há outros contratos de qualquer natureza com exposição à cláusula de saída do antigo controlador que possam
incorrer em custos futuros para a Companhia.

Com a adoção da norma IFRS 16, em janeiro de 2019, algumas linhas da demonstração de resultados são impactadas.

O Assaí, dentro do modelo de negócio, promove iniciativas que visam a construção de uma sociedade responsável e
inclusiva, baseada em 5 pilares estratégicos:
• Queda de 1% nas emissões de escopos 1(1) e 2(2) em relação ao mesmo período de 2022, em linha com a
estratégia de combate às mudanças climáticas e meta de redução das emissões em 38% até 2030 (ano-
base 2015).
• Conquista, pelo segundo ano consecutivo, do Selo Ouro no Registro Público de Emissões do Programa
Brasileiro GHG Protocol, conferido apenas para empresas que reportam suas emissões de forma
completa e auditada por terceira parte independente.
• Entrada no indicador IDiversa, da B3. O Assaí é a única empresa do varejo alimentar a integrar o ranking,
comprovando o compromisso da Companhia em criar uma empresa diversa e com igualdade de
oportunidades para todos(as).

• Novos lançamentos do Instituto Assaí:

o Edital Esporte e Cidadania, com 50 Organizações da Sociedade Civil das regiões Norte, Nordeste
e metropolitana de São Paulo, sendo apoiadas em formação pedagógica, estruturação
institucional, investimento financeiro e fortalecimento do ecossistema social esportivo.
• Reaproveitamento de 43% (+2 p.p vs. 3T22) nos processos de tratamento de resíduos pela reciclagem,
compostagem e redução do desperdício de alimentos, com destaque para o programa Destino Certo,
com doação de 644 toneladas frutas, legumes e vegetais.

PRÊMIOS E RECONHECIMENTOS
O Assaí foi eleito, pelo segundo ano consecutivo, a marca mais admirada do setor de Atacarejo pelo Marcas Mais,
publicado pelo jornal O Estado de S. Paulo a partir de pesquisa feita em parceria com a TroianoBranding.
A Companhia também obteve destaque em importantes índices divulgados neste trimestre, como o Valor 1000 (na
21ª posição dentre as mil maiores empresas do país em faturamento); e a Melhores e Maiores (2ª posição dentre as
varejistas e 24º lugar no ranking geral por faturamento).
Por fim, ranking anual da Institutional Investor, uma das mais importantes publicações do mercado financeiro,
reconheceu Belmiro Gomes como o melhor CEO na categoria Varejo; Daniela Sabbag a melhor CFO na categoria
Varejo; e Gabrielle Helú a 3º melhor profissional de RI do segmento de Varejo.

Desde 2021 tem suas ações negociadas tanto na Bolsa de Valores de São Paulo (B3) - sob o ticker ASAI3 – quanto na
Bolsa de Nova York (NYSE), sendo a única do seu segmento listada em ambas. É ainda uma Corporation, ou seja, uma
Companhia sem um único controlador. O Assaí integra a seleta carteira do IDIVERSA B3, que reconhece as empresas
de capital aberto com melhores indicadores em diversidade de raça e gênero.
Em 2023, foi considerada a marca de varejo alimentar mais valiosa pelos rankings anuais promovidos pela Interbrand
(20ª colocação geral) e pela Brand Finance (13ª colocação geral), além de ser certificada, pelo segundo ano

We proved the strength of our brand during one more quarter. According to a NielsenIQ Homescan survey, we are the most widely
present food chain in Brazilian homes: 1 in 4 households shop at Assaí. Our customers’ preference was also confirmed by the
Marcas Mais Study published by Estadão newspaper, in which we were elected the most admired Cash and Carry player in Brazil.
Our unique model continues to reap successes: in the quarter, we registered sales growth of over 20% and relevant gains in market
share. Despite the context of high investments, the Company’s operating cash generation totaled R$ 9.4bn since 2021, which
reflects the quality of our expansion and the rapid maturation of converted stores – one of the biggest projects in the history of
Brazilian retail. We have reached the final phase of the project: 90% of the converted stores are already operational, with sales
uplift and margin evolution.
The Company continues to seek a prominent position in the cash and carry segment, reaching R$ 70bn of sales in the last 12
months. Given the intense cycle of investments related to the conversions project nearing completion, and with the maturation of
new stores, we should move forward with our deleveraging process. Thank you for being with us!

Net sales in the quarter increased R$3.2 billion (23%) from 3Q22 to reach R$17.0 billion, up 59% from 3Q21. The continued
growth pace of over 20%, despite the scenario of deflation in commodities and high levels of household debt, is mainly due
to:
(i) the significant contribution from the expansion project (+23.7%), with 52 stores opened in the last 12 months;
(ii) the commercial actions, notably the “Festa em Dobro” campaign to mark Assaí’s 49 th anniversary; and
(iii) the continuous improvement in the shopping experience, with rapid adaptation of assortment and services
to meet the customers’ needs of each region, which is reflected in continued customer growth
(73 million tickets in 3Q23, +25% vs. 3Q22).
Same-store sales (-0.9%) continued to improve (-2.0% in 2Q23) gradually during the quarter. The quarterly performance
was affected by food deflation, mainly caused by agricultural commodities, and the closure of hypermarkets in 2022, which
resulted in a strong comparison base. Same-store sales increased during the period to become positive in September,
resulting from the recovery of volumes, which grew in August and September.
The Company’s attractive value proposition was underscored by a recent survey published by Nielsen. Assaí was the brand
with the highest penetration in Brazilian homes, being present in 1 in every 4 households. Additionally, significant market
share gains were achieved in the quarter on both total (+2.7 p.p.) and same-store bases. The constant market share
expansion in diverse regions prove the strength of the Assaí’s brand and its unique differentials, which continues to attract
new customers by continuously improving the shopping experience.
In 9M23, net sales totaled R$48.1 billion, up R$9.5 billion (25%) from 9M22, driven by the expansion in the last 12 months
(24%), mainly by the strong performance of hypermarket conversions and same-store sales growth (0.9%).

During the quarter, 4 hypermarket conversions were inaugurated in the Southeast (Rio de Janeiro, São Paulo and Minas
Gerais) and Northeast (Ceará) regions. The conversion process is in the final phase: 59 of the 66 acquired stores have been
converted so far.
Operating for approximately 10 months on average, the conversions already register average monthly revenue of R$25
million in the quarter, 13% higher than registered by mature organic stores (R$22 million), with a sales uplift of over
2.7x (vs. 2.5x in 2Q23). Profitability continues its trajectory of natural and sustainable maturation: Post-IFRS16 EBITDA
margin from the 47 conversions inaugurated in 2022 is above 7%, while Pre-IFRS16 margin reached 5.4%.
The performance of converted stores continues to improve in line with the project’s expectations, despite a more
challenging macroeconomic scenario than expected, given the exceptional location of commercial points, which
demonstrates the highly attractive business model and the strength of the Assaí brand.
Organic expansion also advanced in 3Q23, with 3 new units opened, including one in Espírito Santo, marking Assaí’s entry
in the state and expanding the Company’s nationwide footprint, with Assaí stores now present in 24 of the 26 Brazilian
states, as well as in the Federal District.
Also, in October, 3 organic stores were inaugurated to bring the total new units in 2023 to 18 (including 12 conversions and
6 organic stores). Currently, about 20 stores are under construction, which should be opened in 4Q23 and 2024.

COMMERCIAL GALLERIES
Commercial galleries drive customer traffic at stores, contributing significantly to the maturation of conversions, and the
dilution of rent and occupancy costs. At the end of 3Q23, 66% of total available gross leasable area was in operation,
generating revenues of R$23 million, an increase of 64% from 3Q22. In 9M23, revenue from galleries totaled R$67 million,
up 86% year on year.
Moreover, online sales via last mile operators, an important tool to offer greater convenience to Assaí customers,
continue to grow, increasing 63% in relation to 3Q22.

Equity income from Assaí's interest of approximately 18% in the capital of FIC came to R$12 million in the quarter. The
number of Passaí cards issued exceeded 2.5 million, now accounting for more than 4% of gross sales.
Other Operating Income and Expenses recorded a positive (non-cash) accounting effect of R$65 million in the quarter,
mainly due to the write-off of the terminated rental agreements. With the exit of the former controlling shareholder (Casino
Group) and given the existence of a clause that establishes the possibility of early termination of rental agreements of 28
stores pertaining to the Península fund, it was necessary to negotiate new rental agreements. Detailed information is
available in the section “Impacts of exit of controlling shareholder” on page 11 of this document.
Post-IFRS16 Adjusted EBITDA in the quarter was R$1.2 billion, up R$201 million (20%) from 3Q22. Post-IFRS16 EBITDA
margin reached 7.1%, the highest in the year. Despite the 0.2 p.p. decline year on year, this is the lowest level of pressure
since the launch of the conversion project. Pre-IFRS16 EBITDA margin was 5.4% at the end of the quarter, 0.3 p.p. higher
than in 2Q23 and stable compared to 3Q22, which attests to the quality of expansion, despite the large number of stores
in maturation.

The financial result, including interest on lease liabilities, totaled R$737 million in the quarter, corresponding to 4.3% of net
sales.
Excluding the effect of interest on lease liabilities, financial expense in the quarter was R$506 million, equivalent to 3.0% of
sales. Compared to the previous year, this result mainly reflects higher gross debt during the period (R$1.8 billion) and the
lower impact of capitalized interest considering the progress of conversion project (R$53 million in 3Q23 vs. R$247 million
in 3Q22).
The cost of debt includes a negative impact of R$ 6 million in the 3Q23 (R$ 9 million on 9M23) related to the waiver
negotiations on the debt contracts. Detailed information is available in the section “Impacts of exit of controlling
shareholder” on page 11 of this document.
The net income reported includes (i) the positive (non-cash) impact of around R$41 million related to the write-off of rental
agreements terminated and (ii) negative impact of R$ 4 million in the 3Q23 (R$ 6 million in 9M23) related to waiver
negotiations on the debt contracts. Detailed information is available in the section “Impacts of exit of controlling
shareholder” on page 11 of this document.
Investments in the quarter totaled R$598 million due to the progress of expansion, with the opening of seven stores,
including four conversions and three organic. With the entry in a new state (Espírito Santo), the 3rd quarter marks the
expansion of nationwide presence of Assaí, which is now present in 24 of the 26 Brazilian states, plus the Federal District.
Investments in 9M23 reached R$1.7 billion with the opening of 15 stores in the period and around 20 stores under
construction, with inaugurations expected for 4Q23 and 2024.

Moreover, the receivables discount is an operation typical to the retail sector and the Brazilian market. Discounted
receivables on September 30, 2023 totaled R$2.6 billion, with an average term of 14 days, which added to the receivables
not discounted (R$839 million) totaled R$3.4 billion.
The net debt added to the receivables discounted and the remaining installments on the acquisition of hypermarket
commercial points divided by the Pre-IFRS16 Adjusted EBITDA reached 4.44x, down 0.2x from the same period the previous
year. This reduction was supported by the operating cash generation of R$4.9 billion in the last 12 months, which represents
54% growth.

The Company emphasizes that, in accordance with financial agreements, its leverage ratio is 1.96x, which is below the limits
established in covenants (3.00x).
Since 2021, Assaí has increased gross sales by R$ 31 billion and has intensified the pace of expansion with the opening of
103 stores, which resulted in investments totaling R$10.3 billion (including the acquisition of 66 hypermarket commercial
points). During the period, the Company’s operating cash flow totaled R$9.4 billion which supported 91% of the total
investments.
The current leverage level reflects the largest expansion project carried out by the Company, which is in the completion
phase. The completion of this project, with the end of payments in 1Q24, will allow the Company to reduce its leverage.
This deleveraging process will be mainly supported by a growing cash generation with the maturation and quality of the
expansion, readjustment in the level of investment in new stores, and the expectation of a reduction in interest rate leading
to a lower cost of debt.

FORFAIT OPERATIONS
The sale of receivables to a financial institution is a common practice in the retail and the Brazilian market.
In such an operation the Company provides its suppliers the option to be paid in advance through agreements with financial
institutions. These agreements aim to provide suppliers with earlier liquidity than they would get if they were paid directly
by the Company. The decision of suppliers to enter into such arrangements, referred to as “forfait” or “risco sacado" in
Portuguese, is at the sole discretion of the supplier.
If a supplier enters into such an arrangement the financial institution becomes the creditor, and the Company pays the
financial institution (instead of the supplier) under the original terms agreed with the supplier. The Company receives a
commission from the financial institution for this intermediation, which is recorded as financial revenue. The Supplier
accepts to be paid at a discount to the invoiced amount by the financial institution. There is no obligation resulting in
additional expenses for the Company, and the liability to the Financial Institution is not considered net debt.
In assessing this matter, the Company's management considered the guidance of CVM SNC/SEP Official Letter No. 01/2022.
The Company assessed qualitative aspects of its forfait operations, and concluded that its forfait operations maintain the
economic substance of the transaction and do not involve any changes to the originally agreed conditions with suppliers.
On September 30, 2023, the balance payable on these operations was R$903 million, including R$479 million related to
products and R$424 million to property and equipment.
The cash conversion cycle in 3Q23 was 4.1 days, adjusted for discounted receivables, an improvement of 8.9 days from
3Q22 and is mainly explained by the normalization of inventory levels after the intense pace of store openings in 2022.

Operating cash flow totaled R$4.9 billion in the last 12 months, up 54% (R$1.7 billion) from 3Q22. The higher cash flow
in the period reflects (i) efficient working capital management resulting from the normalization of inventory turnover
to levels in line with historical levels, since 2022 was marked by an intense pace of expansion; and (ii) the increase of
R$363 million in EBITDA, despite a scenario of deflation of commodities and the large number of stores under
maturation.
Operating cash flow sustained the investments in expansion (R$4.7 billion) related to the hypermarket conversion
project. However, cost of debt (-R$1.6 billion), which increased due to high interest rates during the period, negatively
affected total cash flow in the period.
In the last 12 months, cash disbursement totaled R$906 million, showing that the maturation of new stores and the
conclusion of acquisition payments in 2024 will contribute to increased cash flows for the Company.

(i) Non-cash effect of R$62 million in Other Operating Income and Expenses related to the write-off of agreements
terminated, which had a positive impact on net income from the quarter of around R$41 million;
(ii) Effect on lease liabilities, at present value, of R$414 million and on assets of R$476 million over the duration of
the agreements (22 years);
(iii) Increase in intangible assets of R$95 million, corresponding to the right of use during the rental period. This
amount will be paid in 4Q23;
(iv) The negotiation included a gradual increase in payments until the fifth year of the agreement. The highest
increase will be in 2027, representing between 10bps–20bps of rental expenses as a percentage of net sales of
these stores. After this period, the amounts will be diluted by sales growth.
Moreover, the exit of the controlling shareholder resulted in waiver negotiations related to loan agreements, debentures
and CRIs, with a total impact of R$93 million, R$44 million of which in 3Q23. In the Income Statement, the effects will be
recognized until the end of the debt contracts. In the 3Q23, the financial result was negatively impacted by R$ 6 million (R$
9 million in 9M23) and the net income by R$ 4 million (R$ 6 million in the 9M23). The negotiations were concluded.
There are no other contracts of any nature subject to the clause regarding the exit of the former controlling shareholder
that could result in future costs for the Company.

based on five strategic pillars:
• Reduction of 1% in scope 1(1) and 2(2) emissions from the same period in 2022, in line with the Company's
strategy of combating climate change and its target to reduce emissions by 38% by 2030 (base year 2015).
• “Selo Ouro”, for the second consecutive year, in the Public Emissions Register of the Program Brazilian
GHG Protocol, given only to companies that report their emissions complete and audited by an
independent third party.
• Inclusion in B3’s IDiversa index. Assaí is the only food retail company to join the ranking, which underlines
its commitment to creating a diverse company with equal opportunities for all.

Since 2021, Assaí shares have been both traded on the São Paulo Stock Exchange (B3), under the ticker ASAI3, and the
New York Stock Exchange (NYSE), making it the only company in the sector to be listed on both. It is also a corporation,
that is, a Company with no single controlling shareholder. Assaí is part of the select portfolio of IDIVERSA B3, which
recognizes publicly-held companies with the best indicators of racial and gender diversity.
In 2023, it was considered the most valuable food retail brand at the annual rankings compiled by Interbrand (20th
overall) and by Brand Finance (13th overall) and, for the second straight year, it was awarded the Great Place To Work
(GPTW) seal. In addition, in 2022, Assaí was Top of Mind in the “Wholesale” category, in a survey carried out by
Datafolha Institute.
