CONFIDENTIALITY AGREEMENT
THIS CONFIDENTIALITY AGREEMENT (the
“Agreement”) is made this DD of MMMMM
of 20XX, by and between
LOTS LATIN AMÉRICA LOGÍSTICA E LOTS LATIN AMÉRICA LOGÍSTICA E
TRANSPORTE LTDA (“LOTS)”, limited liability
company, with its head offices in the City of
São Paulo, State of São Paulo, at Avenida das
Nações Unidas, n° 14261 - wing A – 6° floor–
Vila, , , enrolled with the National Corporate
Taxpayers Registry of the Ministry of Finance
(CNPJ/MF) under number29.094.172/0001-
06, herein duly represented in accordance
with its Bylaws; and
PRIVATE ENTITY'S NAME (“COMPANY”), a
corporation organized and existing under the
laws of Country, with its head offices in the
City of City, State of State, at full address,
enrolled with the CNPJ/MF under number
taxpayer's registry number, herein duly
represented in accordance with its corporate
documents;
Each one referred to as “Party” and
collectively and indistinctly as “Parties”;
RECITALS
WHEREAS, the Parties are in the process of
discussions with respect to a possible
business transaction, regarding the specify
the potential transaction / Name of the
Project (the “Potential Transaction”);
WHEREAS, in the course of such discussions,
each Party may disclose Confidential
Information (as defined below) to the other
Party; and

PELO PRESENTE ACORDO DE
CONFIDENCIALIDADE (o “Acordo”), celebrado
neste dia DD de mmmmm de 20XX, entre
TRANSPORTE LTDA (“LOTS”), sociedade
limitada, regulamentada pela legislação
brasileira, com sede na Cidade de São Paulo,
Estado de São Paulo, Av. das Nações Unidas,
14261 Ala, A - 6º Andar - Vila Gertrudes, ,
devidamente inscrita no CNPJ/MF sob o
nº29.094.173/0001-06, neste ato
representada na forma de seu Contrato
Social; e
RAZÃO SOCIAL (“COMPANHIA”), pessoa
jurídica de direito privado regulamentada pela
legislação nacionalidade, com sede na Cidade
de Cidade, Estado de Estado, na Endereço
completo, devidamente inscrita no CNPJ/MF
sob o nº CNPJ, neste ato representada na
forma de seus atos constitutivos;
Cada uma delas referida como “Parte” e
coletiva e indistintamente referidas como
“Partes”
CONSIDERAÇÕES
CONSIDERANDO QUE as Partes estão em
processo de discussão com relação a possível
operação comercial referente à detalhar o
possível negócio / nome do Projeto (a
“Potencial Transação”);
CONSIDERANDO QUE, no curso de tais
discussões, cada Parte poderá vir a revelar
Informações Confidenciais (conforme definido
abaixo) à outra Parte; e
 WHEREAS, the Parties seek to safeguard and
protect their respective Confidential

NOW, THEREFORE, in consideration of the
premises and mutual promises set forth
herein, the Parties hereby agree as follows:
Article 1. Definitions
1.1 As used herein, the following
capitalized terms have the following
meanings:
“Disclosing Party” means: (a) LOTS,
with respect to all its Confidential
Information disclosed to COMPANY
hereunder; or (b) COMPANY, with
respect to all its Confidential
Information disclosed to LOTS
hereunder.
“Receiving Party” means: (a)
COMPANY, with respect to all
Confidential Information received from
LOTS hereunder; or (b) LOTS, with
respect to all Confidential Information
received from COMPANY hereunder.
“Representatives” mean a Party’s
subsidiaries, branches, partners, related
companies, shareholders or
quotaholders, successors, assigns,
subcontractors or other corporate
affiliates, their directors, officers,
employees, agents or representatives, or
any third party, including lawyers,
accountants, auditors, financial advisors

RESOLVEM as Partes, em consideração às
premissas e promessas mútuas aqui
estabelecidas, acertar e concordar com tudo
quanto segue:
Cláusula 1. Definições
1.1. Conforme utilizados neste Acordo, os
termos capitalizados abaixo possuem os
seguintes significados:
“Parte Reveladora” significa: (a) a LOTS,
com relação as todas as suas
Informações Confidenciais reveladas à
COMPANHIA em conformidade com
este Acordo; ou (b) a COMPANHIA, com
relação a todas as suas Informações
Confidenciais reveladas à LOTSem
conformidade com este Acordo.
“Parte Receptora” significa: (a) a
COMPANHIA, com relação a todas
Informações Confidenciais recebidas da
LOTS em conformidade com este
Acordo; ou (b) a LOTS, com relação a
todas Informações Confidenciais
recebidas da COMPANHIA em
conformidade com este Acordo.
“Representantes” significa as
subsidiárias, filiais, parceiros, coligadas,
acionistas ou quotistas, os sucessores de
uma Parte, ou seus cessionários,
subcontratantes ou outros afiliados,
seus administradores, diretores,
empregados, prepostos ou
representantes, ou qualquer terceiro,
incluindo advogados, contadores,
and consultants, to which it discloses the auditores, assessores financeiros e

1.2 Notwithstanding the foregoing, the
Confidential Information shall not
include information which:
(a) is now or hereafter becomes,
through no fault or negligence of
the Receiving Party or any of its
Representatives, in the public
domain;
(b) was lawfully obtained by the
Receiving Party from a third party
who has breached no obligation to
the Disclosing Party or any other
party with respect thereto;
(c) was already known to the
Receiving Party prior to disclosure
of the Confidential Information as
shown by its written records in
existence at the time of disclosure;
(d) was independently developed by
the Receiving Party without
making use of any Confidential
Information nor other information
that the Disclosing Party disclosed
in confidence to any third party; or
(e) subject to compliance with Section
2.2, is required to be disclosed
pursuant to any law, regulation or
governmental order, or any rule of
stock exchange on which shares or

1.2. Sem prejuízo do acima disposto, as
Informações Confidenciais não deverão
compreender as informações que:
(a) sejam atualmente ou tornem-se,
por nenhuma culpa ou negligência
da Parte Receptora ou de qualquer
um de seus Representantes, de
domínio público;
(b) sejam legalmente obtidas pela
Parte Receptora de um terceiro que
não tenha violado nenhuma
obrigação em relação à Parte
Reveladora ou qualquer outra parte
em relação a este Acordo;
(c) já sejam de conhecimento da Parte
Receptora antes da revelação daS
Informações Confidenciais
conforme evidenciado por seus
registros escritos existentes no
momento da revelação;
(d) sejam independentemente
desenvolvidas pela Parte Receptora
sem fazer uso da Informação
Confidencial nem qualquer outra
informação que a Parte Reveladora
revelou em confidência a qualquer
terceiro; ou
(e) em cumprimento com o disposto
na Cláusula 2.2, sejam requeridas a
serem reveladas de acordo com
qualquer lei, regulamento ou
determinação governamental, ou

Article 2. Nondisclosure Obligations
1.3 In consideration of the Disclosing Party’s
disclosure of Confidential Information to
the Receiving Party, the Receiving Party
agrees that it shall:
(a) not reveal any Confidential
Information or let it available to
any third party without the
Disclosing Party’s prior written
consent, except pursuant to
Article 2.1 (c);
(b) not use any Confidential
Information except for the
purpose of evaluating the
possibility of entering into the
Potential Transaction;
(c) be entitled to disclose the
Confidential Information only to
such Representatives of the
Receiving Party who need to
know such Confidential
Information for the purposes of
evaluation of the Potential
Transaction, who have been
informed of the confidential
nature of such Confidential
Information and who, the
Receiving Party shall procure,
shall abide by this Agreement.
1.4 If the Receiving Party is required to
disclose the Confidential Information
pursuant to any law, regulation or

Cláusula 2. Obrigações de Confidencialidade
1.3. Em consideração à revelação da
Informação Confidencial pela Parte
Reveladora à Parte Receptora, a Parte
Receptora deverá:
(a) não revelar nem deixar disponível
qualquer Informação Confidencial a
qualquer terceiro sem o prévio
consentimento por escrito da Parte
Reveladora, exceto na hipótese da
Cláusula 2.1 (c);
(b) não usar qualquer Informação
Confidencial para qualquer fim que
não seja para o propósito de avaliar
a possibilidade de celebrar a
Potencial Transação;
(c) divulgar a Informação Confidencial
apenas aos Representantes da
Parte Receptora que precisam
saber de tal Informação
Confidencial para os propósitos de
avaliação da Potencial Transação,
que tenham sido informados da
natureza confidencial de tais
informações e que, a Parte
Receptora deverá se certificar,
deverá respeitar os termos deste
Acordo.
1.4. Se a Parte Receptora for requerida a
revelar a Informação Confidencial em
conformidade com qualquer lei,
 governmental, judicial or arbitration
order, or any rule of stock exchange,
the Receiving Party shall first notify the
Disclosing Party of any such
requirement, shall only furnish the
portion of the Confidential Information
that it is required to disclose, and shall
at the Disclosing Party’s expense
exercise reasonable efforts to obtain
reliable assurances that confidential
treatment will be accorded with
respect to the Confidential Information
disclosed.
Article 3. Copies
1.5 The Receiving Party may make a
reasonable number of copies or other
reproductions of the Confidential
Information, as well as compilations,
summaries and excerpts, to the extent
necessary to accomplish the purposes of
this Agreement. Any copies,
reproductions, compilations, summaries
and excerpts so made shall become part
of the Confidential Information.
Article 4. Ownership of Confidential
Information
1.6 All rights, titles and interest in and to
the Confidential Information shall
remain the exclusive property of the
Disclosing Party. The Parties
acknowledge and agree that this
Agreement shall not be construed as a
transfer or sale by the Disclosing Party
of any rights whatsoever, by license or
otherwise, in or to any of its
Confidential Information, and no
licenses or rights under any patent,
copyright, trademark, or trade secret
shall be made, granted or implied by
this Agreement. The Receiving Party

Cláusula 3. Cópias
1.5. A Parte Receptora poderá fazer um
número razoável de cópias ou outras
reproduções da Informação
Confidencial, compilações, resumos,
extratos, no limite necessário para
cumprir com os propósitos deste
Acordo. Quaisquer cópias, reproduções,
compilações, resumos e extratos feitos
se tornam parte da Informação
Confidencial.
Cláusula 4. Propriedade da Informação
Confidencial
1.6. Todos os direitos, títulos e interesses
com respeito à Informação Confidencial
permanecerão sendo de propriedade
exclusiva da Parte Reveladora. As
Partes reconhecem e concordam que
este Acordo não deverá ser
interpretado como uma transferência
ou venda, pela Parte Reveladora, de
quaisquer direitos, por licença ou outra
forma, de qualquer Informação
Confidencial, e nenhuma licença ou
direitos sobre qualquer patente,
direitos autorais, marca, ou segredo
comercial deverá ser feito, concedido

Article 5. Control of Confidential Information
1.7 Each Party shall take its reasonable
measures and precautions to maintain
the confidential nature of the
Confidential Information at least the
same degree of care that it uses to
protect its own confidential, proprietary
or trade secret information and
materials of similar nature and
importance (but in no event less than
reasonable care) to protect the
confidentiality and avoid the
unauthorized use, disclosure,
publication or dissemination of the
Confidential Information.
Article 6. Injunctive Relief
1.8 Each Party acknowledges that the
extent of damages in the event of a
breach of any provision of this
Agreement would be difficult or
impossible to ascertain, and that there
will be no adequate remedy available at
law in the event of any such breach.
Therefore, each Party agrees that in the
event it breaches any provision of this
Agreement, the other Party will be
entitled to seek specific performance
and injunctive or other equitable relief,
in addition to any other relief to which
they may be entitled to at law. Any
such relief shall be in addition to and
not in lieu of any appropriate relief in

Cláusula 5. Controle da Informação
Confidencial
1.7. Cada Parte deverá tomar suas
respectivas medidas e precauções para
manter a natureza confidencial da
Informação Confidencial com, no
mínimo, o mesmo grau de zelo usado
para proteger suas próprias
informações confidenciais, proprietárias
ou segredo comercial e materiais de
similar natureza e importância (mas em
nenhuma hipótese menos do que
cuidado razoável) para proteger a
confidencialidade e evitar o uso, a
revelação, a publicação ou
disseminação indevidos da Informação
Confidencial.
Cláusula 6. Medidas Cautelares
1.8. As Partes reconhecem que a extensão
dos danos no caso de uma violação a
qualquer termo deste Acordo seria de
difícil ou impossível apuração e que não
há qualquer remédio adequado
disponível em lei no evento de qualquer
violação. Dessa forma, as Partes
concordam que na hipótese de
violarem qualquer cláusula deste
Acordo, a outra Parte terá direito de
buscar cumprimento específico e
quaisquer outras medidas cautelares,
além das outras medidas às quais a
Parte possa ter direito por lei. Qualquer
medida será em adição e não em
substituição a qualquer medida

Article 7. Return or Destruction of
Confidential Information
1.9 Upon the completion of discussions
between the Parties or termination of
this Agreement, upon request by the
Disclosing Party, the Receiving Party
shall immediately, at its sole expense, (i)
return to the Disclosing Party all items
of the Confidential Information
(including all copies thereof) of the
Disclosing Party and (ii) destroy or
delete the same contained or reflected
in any of its or its Representatives’ notes
or personal memoranda, considering
that neither Party shall be obligated to
purge any extra copies of the
Confidential Information from electronic
medias used solely for disaster recovery
backup purposes.
Article 8. Product Samples
1.10 During the process of discussions of the
Potential Transaction between the
Parties, the Disclosing Party may provide
the Receiving Party with certain product
samples. The Receiving Party will not
use product samples provided by
Disclosing Party for any purpose other
than within the scope of discussions of
the Potential Transaction.
1.11 The Receiving Party will not analyze, nor
have any of its Representatives or any
other party analyze or apply any reverse
engineering procedures with the
purpose of determining the formula, the

Cláusula 7. Devolução ou Destruição da

1.9. Após a conclusão das discussões entre
as Partes ou término deste Acordo,
mediante requerimento da Parte
Reveladora, a Parte Receptora deverá

(i) devolver à Parte Reveladora todos os
itens da Informação Confidencial
(inclusive suas cópias) da Parte
Reveladora e (ii) destruir ou apagar a
Informação Confidencial contida ou
refletida em qualquer de suas
anotações e memorando pessoal ou de
seus Representantes, considerando que
nenhuma das Partes será obrigada a
destruir quaisquer cópias extras da
Informação Confidencial das mídias
eletrônicas utilizadas apenas para fins
de reservas para recuperação de
desastres.
Cláusula 8. Amostras de Produto
1.10. Durante o processo de discussão da
Potencial Transação entre as Partes, a
Parte Reveladora pode vir a fornecer à
Parte Receptora amostras de certos
produtos. A Parte Receptora não
poderá usar as amostras de produtos
fornecidas pela Parte Reveladora para
qualquer propósito que não esteja
dentro do escopo das discussões da
Potencial Transação.
1.11. A Parte Receptora, nem qualquer de
seus Representantes ou qualquer outra
parte poderão analisar ou aplicar
quaisquer processos de engenharia
reversa com o propósito de determinar

any product or technology made
available to the Receiving Party in
relation to the Potential Transaction. In
the hypothesis of making available any
chemical products samples, if that’s the
case, the analysis to determine proper
blending or concentration levels is
permitted so long as such analysis would
not be such as to lead determination of
the chemical structure or composition
of the product samples.
1.12 Any data or information arising from or
in connection with the evaluation of
Disclosing Party’s product samples
under the scope of this Agreement or
otherwise shall also be treated as
Confidential Information for any and all
purposes.
1.13 Article 7 above also applies with respect
to product samples provided by either
Party to the other.
Article 9. Term
1.14 This Agreement shall remain in effect
for a one (1) year term, subject to a one
year extension if the Parties are still
discussing and considering the Potential
Transaction at the end of the first year.
Notwithstanding the foregoing, the
Parties’ duty to hold in confidence
Confidential Information that was
disclosed during term shall remain in
effect for two (2) years after
termination of this Agreement.

seus componentes, ou em qualquer
produto ou tecnologia disponibilizada à
Parte Receptora em função da Potencial
Transação. Na hipótese de
disponiblização de amostras de
produtos químicos, se for o caso, a
análise para determinar mistura
apropriada ou níveis de concentração é
permitida desde que tal análise não
leve à determinação da estrutura
química ou composição das amostras
de produtos.
1.12. Qualquer dado ou informação
decorrente ou em conexão com a
avaliação das amostras de produto da
Parte Reveladora sob o escopo deste
Acordo ou não deverão ser tratados
como Informação Confidencial para
todo e qualquer propósito.
1.13. A Cláusula 7 acima também se aplica
com relação às amostras de produto
fornecidas por qualquer uma das Partes
à outra.
Cláusula 9. Vigência
1.14. O presente Acordo permanecerá em
vigor pelo prazo de 1 (um) ano, sendo
possível a sua extensão por mais um
ano, se as Partes ainda estiverem em
discussão e considerando a Potencial
Transação no final do primeiro ano.
Sem prejuízo, a obrigação das Partes de
manter o sigilo da Informação
Confidencial revelada durante o prazo
de vigência deste Acordo deverá
continuar em vigor por 2 (dois) anos
após o seu término.
Article 10. General Provisions
1.15 The breaching Party (the “Indemnifying
Party”) will indemnify the other Party
(the “Indemnified Party”) and hold it
harmless from any and all loss or
damage (including, but not in any way
limited to legal costs) which may arise
from any unauthorized disclosure or use
of the Confidential Information or any
other breach of the provisions of this
Agreement by the Indemnifying Party or
any of its Representatives. In addition,
in no event shall either Party be liable to
the other Party or any of its
Representatives for any indirect
damages, loss of profits, personal
injuries or damages, whether death,
physical or property, arising from or in
relation to the Potential Transaction.
The provisions of this Article 10.1 shall
survive the expiry or termination of this
Agreement.
1.16 This Agreement supersedes and
replaces any and all prior contracts or
agreements, written or oral between
the Parties relating to the Confidential
Information covered by this Agreement.
No waiver of any provision of this
Agreement or of any right hereunder, or
any modification hereof, and no
authorization of any act not in
conformity herewith shall be deemed to
amend or supersede this Agreement, in
whole or in part, unless such waiver or
authorization in writing specifically so
provides.

Cláusula 10. Disposições Gerais
1.15. A Parte infratora (a “Parte
Indenizadora”) irá indenizar a outra
Parte (a “Parte Indenizada”) e isentar
de responsabilidade de toda e qualquer
perda ou dano (incluindo, mas não se
limitando às custas judiciais) que possa
vir a ocorrer em razão de qualquer
revelação ou uso não autorizado da
Informação Confidencial ou qualquer
outra violação dos termos e condições
deste Acordo pela Parte Indenizadora
ou qualquer um de seus
Representantes. Não obstante, em
nenhuma hipótese deverá qualquer
uma das Partes ser responsabilizada
perante a outra Parte ou qualquer de
seus Representantes, por qualquer
danos indiretos, lucros cessantes,
injúria ou dano pessoal, seja morte,
dano físico ou dano à propriedade,
decorrentes da, ou em relação à
Potencial Transação. O disposto nesta
cláusula 10.1 deverá prevalecer mesmo
após o término deste Acordo.
1.16. O presente Acordo prevalece e substitui
todo e qualquer contrato ou acordo,
por escrito ou verbal, entre as Partes,
com relação à Informação Confidencial
objeto deste Acordo. Nenhuma
renúncia de qualquer provisão ou de
qualquer direito previstos neste
Acordo, qualquer alteração de seus
termos e condições, e nenhuma
autorização de qualquer ato em
desacordo com este Acordo deverá ser
considerado uma alteração ou
substituição, no todo ou em parte,
exceto se tal renúncia ou autorização
for feita por escrito.
1.17 Except upon mutual written agreement,
or as may be required by law or the
rules of any applicable stock exchange,
neither Party shall in any way or in any
form disclose the subject matter of this
Agreement, the fact that discussions
that gave rise to this Agreement are
taking place or have taken place, or
make any public announcement
pertaining to any such actual or possible
discussions or negotiations.
1.18 This Agreement is neither intended to
create, nor shall it be construed as
creating (i) any obligation to continue
discussions or negotiations with respect
to the Potential Transaction or any
other agreement or (ii) any pre-
agreement to enter into any business.
1.19 The Disclosing Party shall not have any
liability or responsibility for errors or
omissions in, or any decisions made by
the Receiving Party in reliance on, any
Confidential Information disclosed
under this Agreement. Additionally, the
Disclosing Party expressly disclaims any
and all representations or warranties
with respect to the Confidential
Information, including as to its accuracy
or completeness, whether implied or
express.
1.20 Neither Party shall transfer or assign its
rights or obligations under this
Agreement in whole or in part without
the prior written consent of the other
Party.
1.21 Any notices between the Parties shall be
made in writing and delivered either
personally or by certified mail with

1.17. Salvo mediante mútuo acordo por
escrito, ou conforme requerido por lei
ou por regulamentos de qualquer bolsa
de valores aplicável, nenhuma das
Partes deverá revelar o assunto deste
Acordo, o fato das discussões que
deram causa a este Acordo estarem
ocorrendo, ou terem ocorrido, ou fazer
qualquer anúncio público com relação a
qualquer discussão ou negociação atual
ou em potencial.
1.18. O presente Acordo não se destina a
criar e nem deverá ser interpretado
como criando (i) qualquer obrigação de
continuar as discussões ou negociações
com relação à Potencial Transação ou
qualquer outro acordo ou (ii) qualquer
pré-acordo para celebrar qualquer
negócio.
1.19. A Parte Reveladora não será
responsabilizada por erros ou omissões
na Informação Confidencial, ou
qualquer decisão tomada pela Parte
Receptora com base em qualquer
Informação Confidencial revelada sob
este Acordo. Adicionalmente, a Parte
Reveladora expressamente nega
qualquer representação ou garantia
com relação à Informação Confidencial,
inclusive quanto à sua precisão ou
integridade, seja implícita ou explícita.
1.20. Nenhuma das Partes poderá transferir
ou ceder seus direitos ou obrigações
em relação a este Acordo, no todo ou
em parte sem a anuência por escrito da
outra Parte.
1.21. Qualquer notificação entre as Partes
deverá ser feita por escrito e entregue
pessoalmente ou por carta registrada

1.22 The provisions of this Agreement are
binding upon and inure to the benefit of
the Parties and their respective
successors and assigns.
1.23 In the event any provision of this
Agreement shall for any reason be held
to be invalid, illegal or unenforceable in
any respect, the remaining provisions of
this Agreement shall remain in full force
and effect to the maximum extent
possible.
1.24 This Agreement shall be governed by

1.22. Os termos e condições deste Acordo
vinculam e reverterão em benefício das
partes e seus respectivos sucessores e
cessionários.
1.23. Na hipótese de qualquer termo ou
condição deste Acordo, por qualquer
razão, ser considerada inválida, ilegal
ou inexigível em qualquer aspecto, os
termos e condições restantes deverão
continuar em plena e máxima validade
e eficácia.
1.24. Este Acordo será regido pelas leis do
