ÂNIMA EDUCAÇÃO CONCLUI TRANSAÇÃO COM A GAMA ACADEMY

A ANIMA HOLDING S.A. (“Ânima Educação”), em atendimento ao disposto na Instrução CVM n° 358,
de 3/1/2002, conforme alterada, comunica a seus acionistas e ao mercado em geral, que assinou, nesta
data, um CONTRATO DE COMPRA E VENDA DE PARTICIPAÇÃO SOCIETÁRIA E OUTRAS AVENÇAS e
demais instrumentos conexos (“Contratos”), por meio do qual celebrou negócio jurídico (“Transação”),
que resultará na aquisição de parte das ações ordinárias e preferenciais da Gama Academy (“Gama
Academy”), uma plataforma digital para formação de habilidades tecnológicas, com uma opção de
aquisição de controle até o final de 2025.

Gama Academy

A Gama Academy é uma Edtech, fundada por Guilherme Junqueira em 2016, que seleciona e capacita
profissionais na área de tecnologia. A Gama Academy é uma referência nacional na capacitação de
habilidades digitais e obteve resultados expressivos nos últimos anos, tendo formado e/ ou treinado
mais de 30 mil alunos e atendido mais de 650 empresas, com um crescimento de receita superior a
300% em 2020.

Por meio da sua plataforma educacional de qualidade (NPS de 93), que já conta com mais de 270 mil
profissionais, o objetivo é formar habilidades para diminuir o gap crescente de talentos na área de
tecnologia. A Gama Academy atende clientes B2C e B2B ajudando a selecionar candidatos e/ou
desenvolver colaboradores com habilidades, que incluem programação, design, marketing, vendas e
soft skills.

Racional Estratégico

A Ânima Educação enxerga a chegada da Gama Academy como o embrião de uma nova vertical de
ensino de tecnologia, alavancando a oferta de habilidades digitais para os próprios alunos do
Ecossistema Ânima e empresas parceiras além do lançamento de um novo portfólio de cursos
regulados no contexto do lifelong learning.

A partir da aquisição, a Gama Academy passa a ser a Coding School oficial do Learning Village, hub de
inovação e educação fundado pela Singularity University e HSM. A aquisição marca mais um avanço
na transformação digital da Ânima Educação e na contínua aproximação da Ânima Educação com o
ecossistema de start-ups.
Estrutura da Transação

O contrato firmado prevê a aquisição, pela Ânima Educação, de 55,78% do capital da Gama Academy
no fechamento da transação, sendo 31,89% em ações preferenciais e 23,89% em ações ordinárias, por
R$ 33,8 milhões sendo feito por:

1. Desembolso total de caixa de R$ 20,3 milhões nos dois primeiros anos, sendo R$ 11,8 milhões
de aporte primário e R$ 8,5 milhões de secundária, conforme o cronograma a seguir:
▪ R$ 15,3 milhões no fechamento do contrato;
▪ R$ 5,0 milhões em até 12 meses.

2. A transação também considera sinergias com potencial mínimo de geração de valor de R$13,5
milhões para os próximos 5 anos, com participação no Learning Village, implementação de
projeto de distribuição de produtos, oferta de portfólio de cursos de graduação,
desenvolvimento de UC Dual para cursos da área de tecnologia e oferta de serviços
compartilhados entre outras sinergias estratégicas.

3. Mecanismo de opções para a compra do restante da participação, exercido no início de 2026,

em valor a ser apurado com base no EBITDA auditado de 2025.

A Transação não está sujeita à aprovação pelo Conselho Administrativo de Defesa Econômica – CADE,
seguirá todas as condições usuais para operações similares e será implementada em etapas, passando,
no entanto, a ter eficácia em 6 de julho de 2021.

ÂNIMA EDUCAÇÃO CONCLUDES TRANSACTION WITH GAMA ACADEMY

ÂNIMA HOLDING S.A. (“Ânima Educação” or “Company”), in compliance with the provisions of CVM
Instruction No. 358, of 3/1/2002, as amended, announces to its shareholders and to the market in
general, that it signed, on this date, a SHARE PURCHASE AND SALE AGREEMENT AND OTHER RELATED
INSTRUMENTS ("Contracts"), through which it entered into legal business ("Transaction"), which will
result in the acquisition of part of the ordinary and preferred shares of Gama Academy ("Gama
Academy"), a digital platform for training technological skills, with an option to acquire control by the
end of 2025.

Gama Academy

Gama Academy is an Edtech, founded by Guilherme Junqueira in 2016, which selects and trains
professionals in the field of technology. Gama Academy is a national reference in digital skill training
and has achieved significant results in recent years, having trained more than 30,000 students and
served more than 650 companies, with revenue growth exceeding 300% in 2020.

Through its quality educational platform (NPS 93), which already has more than 270,000 professionals,
the goal is to form skills to reduce the growing talent gap in the field of technology. Gama Academy
serves B2C and B2B customers by helping select candidates and/or develop skilled collaborators, which
include programming, design, marketing, sales and soft skills.

Strategy Rationale

Ânima Educação sees the arrival of Gama Academy as the embryo of a new vertical of technology
teaching, leveraging the offer of digital skills for Ânima Ecosystem students and partner companies
themselves as well as launching a new portfolio of regulated courses in the context of lifelong learning.

From this acquisition, Gama Academy becomes the official Coding School of Learning Village, hub of
innovation and education founded by Singularity University and HSM. The acquisition marks another
advance in the digital transformation of Ânima Educação and in the continuous approach of Ânima
Educação to the ecosystem of start-ups.
Structure of the Transaction

The contract provides for the acquisition, by Ânima Educação, of 55,78% of the capital of Gama
Academy at the close of the transaction, being 31,89% in preferred shares and 23,89% in ordinary
shares, for R$ 33,8 million being made by:

1. Total cash disbursement of R$ 20.3 million in the first two years, with a primary contribution
of R$ 11.8 million and a secondary of R$ 8.5 million, according to the following schedule:
▪ R$ 15,3 million at the time the contract is signed;
▪ R$ 5,0 million in up to 12 months.

2. The transaction also considers synergies with a minimum value generation potential of R$13.5
million for the next 5 years, with participation in the Learning Village, implementation of
product distribution project, offering portfolio of undergraduate courses, development of Dual
UC for courses in technology and offering shared services among other strategic synergies.

3. Option mechanism for the purchase of the remaining stake, to be exercised in early 2026, with
value to be calculated based on the audited EBITDA of 2025.

The Transaction is not subject to approval by the Administrative Council of Economic Defense - CADE,
it will follow all the usual conditions for similar operations and will be implemented in stages, however,
it is effective on July 6, 2021.
