Avaliação de possível separação entre Natura &Co Latam e Avon

A Natura &Co Holding S.A. ("Natura &Co" ou a "Companhia") anuncia que seu Conselho
de Administração autorizou sua Diretoria a avaliar uma possível separação de Natura &Co Latam
e Avon em duas companhias de beleza independentes e de capital aberto, a fim de gerar ainda
mais valor para os acionistas.

A possível separação está em linha com a estratégia de Natura &Co de simplificar sua estrutura
corporativa e proporcionar mais autonomia para suas unidades de negócios, após as recentes
vendas de Aesop e The Body Shop.

Essa separação tem como objetivo promover o potencial de ambas as empresas, que possuem
abrangências geográficas distintas, atendem diferentes consultores de beleza e consumidores e,
juntas, oferecem valor limitado de sinergia sob a estrutura atual.

A estrutura da possível transação ainda está sendo avaliada, mas espera-se que resulte em duas
companhias separadas e independentes (Natura e Avon), com planos de negócios próprios,
governança independente e equipes de gestão mais bem preparadas para perseguir estratégias
mais direcionadas para impulsionar o valor de longo prazo para os acionistas:

• Natura: uma empresa líder em beleza, com um histórico de foco em

sustentabilidade, proprietária e operadora da marca Natura em todo o mundo, e com
o direito a operar a marca Avon na América latina, e;

• Avon: a proprietária da marca Avon, operando um negócio diversificado

geograficamente, com uma sólida herança de inovação em beleza e cuidados
pessoais, impulsionada pelo propósito intrínseco de criar um mundo melhor para as
mulheres.

A Natura continuaria operando com ambas as marcas na região. Portanto, a possível separação
não afetaria a integração das marcas na América Latina. A Avon, por sua vez, se beneficiaria
indiretamente das vendas na América Latina por meio de um acordo comercial com a Natura,
enquanto continuaria suas operações em outros mercados fora da América Latina.

A potencial separação também proporcionaria aos acionistas uma maior visibilidade sobre
desempenho financeiro, estrutura, perspectivas de crescimento e teses de investimento das
respectivas companhias.

Não há garantia de que qualquer separação será, em última análise, recomendada pelo Conselho
de Administração. A conclusão de uma separação está sujeita a várias condições, incluindo, entre
outras, a aprovação final do Conselho de Administração e a aprovação da maioria dos acionistas.

Enquanto a administração de Natura &Co realiza a avaliação estratégica, a Companhia continua

a implementação da estratégia de turnaround da Avon e a integração dos negócios da Natura e da
Avon na América Latina.

MATERIAL FACT

Assessment of potential separation of Natura &Co Latam and Avon

Natura &Co Holding S.A. (“Natura &Co” or the “Company”) announces that its Board of
Directors has authorized its management to assess a possible separation of Natura &Co Latam
and Avon into two independent publicly traded beauty companies in order to unlock further
shareholder value.

The possible separation is consistent with Natura &Co’s ongoing strategy of simplifying its
corporate structure while providing increased autonomy to its business units and follows the
recent divestments of Aesop and The Body Shop.

This separation would aim to unlock the potential of both companies, which have distinct
geographical footprints, serve different beauty consultants and consumers, and together offer
limited synergy value under the current structure.

The structure of the potential transaction is still being assessed but it is expected that it would
result in two separate, standalone entities (Natura and Avon) with unique business plans,
independent governance and management teams better equipped to pursue more tailored
strategies to drive long-term shareholder value:

• Natura: a leading beauty company with a historically clear focus on sustainability, owning
and operating the Natura brand worldwide and with the right to operate the Avon brand
in Latin America and;

• Avon: the owner of the Avon brand, operating a geographically diversified business with
a strong innovation heritage in beauty and personal care and driven by an intrinsic
purpose of creating a better world for women.

Natura would continue to operate with both brands in the region, so the potential separation would
not impact the integration of the brands in Latin America. In turn, Avon would indirectly benefit
from the sales in Latin America through a commercial arrangement with Natura, while continuing
its operations in other markets outside Latin America.

The potential separation would also afford shareholders greater visibility into the financial
performance, structure, growth prospects, and investment theses of the respective companies.
There can be no assurance that any separation will ultimately be recommended by the Board of
Directors. Completion of a separation would be subject to various conditions, including, among
others, final approval from the Board of Directors and consent from the majority of shareholders.

While Natura &Co´s management conducts the strategic assessment, the Company continues to
implement Avon´s turnaround strategy and to integrate the businesses of Natura and Avon in
Latin America.
