Ao assinar este acordo, você declara que sofreu
danos diretos ou indiretos como resultado de

Fundão em Mariana, Minas Gerais, Brasil, em 5
de novembro de 2015.
Desde novembro de 2018, um grupo grande de
autores entrou no processo relacionado ao
colapso da barragem perante a Alta Corte de
Justiça da Inglaterra e País de Gales em Londres
contra a BHP Group (UK) Ltd (uma empresa
incorporada on Reino Unido) e a BHP Group
Limited (uma empresa de capital aberto
australiana). Os processos estão atualmente
tramitando na corte Inglesa sob os números HT-
2022-000304 e HT-2023-000346. Se você já é
um autor nessa ação, você não pode entrar
neste contrato com Ações do Rio Doce.
O objetivo deste contrato é permitir que Ações
do Rio Doce possa apresentar uma ação de
indenização por esses danos em seu favor como
parte de uma ação coletiva, ou alcançar um
acordo com entidades dos grupos Samarco e
Vale e/ou seus, diretores ou outros
empregados que possam ser responsabilizados,
EXCLUSIVE MANDATE AGREEMENT
THIS AGREEMENT is made between:
1. Stichting Rio Doce Claims (Ações do Rio Doce), a
foundation incorporated under Dutch law, with its
registered seat in Amsterdam, with e-mail
info@acoesdoriodoce.com (“Ações do Rio
Doce”); and
2. Atila Ferrari, born on 01/08/1988, having their
residence at 05 Rua Rouxinol, Colatina, 29709320,
Es, with CPF number 12656832713, and with e-
mail atila_ferrari@hotmail.com and cell phone
number 5527999502236.
(The “Affected Party”)
SUMMARY OF THIS AGREEMENT
By signing this agreement, you state that you have
suffered direct or indirect damages as a result of
or in connection with the collapse of the Fundão
dam in Mariana, Minas Gerais, Brazil on 5
November 2015.
Since November 2018, a large group of claimants
have been engaged in proceedings in relation to
the Dam Collapse before the High Court of Justice
of England & Wales in London against BHP Group
(UK) Ltd (a company incorporated in the United
Kingdom) and BHP Group Limited (an Australian
public company). The proceedings are currently
listed with the English court under claim numbers
HT-2022-000304 and HT-2023-000346. If you are
already a claimant in these proceedings, you
cannot enter into this agreement with Ações do
Rio Doce.
The purpose of this agreement is to enable Ações
do Rio Doce to either bring a claim for
compensation for those damages on your behalf
as part of a group action against, or to reach a
settlement with entities within the Samarco group
and the Vale group and/or their directors or other
employees who may be held liable, in whole or in

By signing this agreement, you will no longer be
able to bring this claim or settle the claim yourself.
Only Ações do Rio Doce can do so. If Ações do Rio
Doce terminates this agreement, your right to
pursue the claims will return to you. By signing this
agreement, you consent to the fact that during the
term of this agreement you cannot legally take any
action against or attempt to settle your claims
regarding the damages you suffered in relation to
the collapse of the Fundão dam.

Aggregated Claims: The Claim together with any
and all claims and rights, including potential and
future claims and rights, of all other Affected
Parties against any of the Defendants in relation to
any and all present and future, direct and indirect
damage, and any and all losses, caused directly or
indirectly by the Dam Collapse and all its
consequences. This also includes any present and
future ancillary claims and/or rights (e.g. actions
for declaring null and void any provisions, such as
but not limited to waivers in any settlement
agreements the Affected Parties may have
entered into with the Defendants), including
future claims and/or rights which the Affected
Parties have or will have against the Defendants
which enable or facilitate the Pursuit of the
principal claims and rights;

termos da Cláusula 15.4;

irrevocable court ruling.
Claim: any and all claims and rights, including
potential and future claims and rights, that the
Affected Party has or will have against any of the
Defendants in relation to any and all present and
future, direct and indirect damage and any and all
losses, caused directly or indirectly by the Dam
Collapse and all its consequences. This also
includes any present and future ancillary claims
and/or rights (e.g. actions for declaring null and
void any provisions, such as but not limited to
waivers in any settlement agreement the Affected
Party may have entered into with the Defendants),
including future claims and/or rights which the
Affected Party has or will have against the
Defendants which enable or facilitate the Pursuit
of the principal claims and rights;
Claims Compensation: the total of any and all
monies fully, finally, irrevocably and definitively
owed to Ações do Rio Doce or the Affected Parties,
directly or indirectly, from the Defendants, in
relation to or in connection with the Aggregated
Claims, including any interest, as well as
compensation (including any interest) which was
irrevocably recovered pursuant to Clause 15.4;

group and the Vale group, that are responsible
and/or liable for the Dam Collapse and its
consequences, including but not limited to
Samarco Mineração S.A. and Vale S.A. and their
subsidiaries located in the European Union, as well
as their group companies in the broadest sense,
directors or other employees, wherever they are
located globally.

Parliament and of the Council of 27 April 2016 on
the protection of natural persons with regard to
the processing of personal data and on the free

ou uma seleção deles), incluindo, entre outros:
(i) atuar como parte em processos
judiciais em favor da Parte
Afetada, as Partes Afetadas ou
uma parte das Partes Afetadas,
seja ou não por meio de
procedimentos interlocutórios ou
por meio de prorrogação, para
instituir e defender ações
judiciais, para obter sentenças e
decisões, ordens e liminares;
(ii) impor penhoras aos Réus,
executar liminares, cobrar multas
e, de forma mais geral, tomar
todas as medidas de precaução,
conservação e execução;
(iii) interromper a prescrição em
relação à Ação, ao Conjunto de
Direitos de Ação ou a uma parte
dos Conjunto de Direitos de Ação;
(iv) negociar e participar de
tentativas de acordo e settlement

relação à Ação, ao Conjunto de
Direitos de Ação ou a uma parte
do Conjunto de Direitos de Ação;
(v) instruir especialistas jurídicos e
não jurídicos e celebrar contratos

way of interlocutory proceedings or
by way of prorogation, to institute
and defend legal actions, to obtain
judgments and rulings, orders and
injunctions;
(ii) to levy attachments on the
Defendants, to enforce injunctions,
to collect penalty payments and,
more generally, to take
precautionary, conservatory and
enforcement measures;
(iii) to interrupt the limitation period in
relation to the Claim, the
Aggregated Claims, or a part of the
Aggregated Claims;
(iv) to negotiate and participate in
and negotiation
attempts with the Defendants in
relation to the Claim, the
Aggregated Claims, or a part of the
Aggregated Claims;
(v) to instruct both legal and non-legal
experts and conclude agreements in
relation thereto;
(vi) to conclude settlement, and
arbitration agreements and make or

3.1 The Affected Party hereby gives an exclusive

the Claim in Ações do Rio Doce’s name on behalf
of the Affected Party (“Exclusive Mandate”) in
accordance with the terms of this Agreement. The

terminated or has otherwise expired.

the mandator or, in case of his bankruptcy or receivership, by the trustee or, if the debt rescheduling regulations
for natural persons has been declared applicable with regard to the mandator, by the administrator. Where the
mandator’s estate is divided pursuant to Section 13 of Book 4, the power of heirs referred to in the preceding
sentence shall vest in his spouse or registered partner.’’

4. NULIDADE
No caso de a Parte Afetada ser parte no
Processo Inglês, o Mandato Exclusivo não
entrará em vigor e este Contrato será nulo e
sem efeito.
5. ACORDOS EXISTENTES
5.1 Caso a Parte Afetada tenha celebrado um
acordo com relação à Ação antes de celebrar
este Contrato ("Acordo Existente"), ela
notificará a Ações do Rio Doce ou seu
Representante sobre isso no momento da
celebração deste Contrato e fornecerá à Ações
do Rio Doce uma cópia do referido Acordo
Existente assim que possível.
5.2 A Ações do Rio Doce terá o direito de
rescindir ou anular (extrajudicialmente), ou
solicitar a um tribunal que anule ou afaste
qualquer renúncia, limitação ou cessão de
reivindicações ou direitos contidos em um
Acordo Existente ("Renúncia Existente"), desde
que a Ações do Rio Doce tenha obtido um
parecer jurídico de um advogado qualificado
determinando que anular e/ou afastar a
Renúncia Existente é benéfico ou necessário
para o ajuizamento da ação.
6. OBRIGAÇÕES DA AÇÕES DO RIO DOCE
6.1 A Ações do Rio Doce envidará seus melhores
esforços para representar os interesses da
Parte Afetada (como parte dos interesses
coletivos das Partes Afetadas ou de uma
seleção destes).
6.2 A Ações do Rio Doce envidará seus melhores
esforços para Ajuizar a Ação (como parte da
Busca coletiva do Conjunto de Direitos de Ações
ou uma seleção delas) e/ou para continuar tal
Busca. Enquanto a Ações do Rio Doce
prosseguir com a Reivindicação, a Ações do Rio
Doce pagará todos os custos associados,
incluindo todos os honorários advocatícios,
honorários periciais, taxas judiciais e custos

4. NULLITY
In the event that the Affected Party is a party to
the English Proceedings, the Exclusive Mandate
will not enter into force and this Agreement shall

5. EXISTING SETTLEMENTS
5.1 In the event that the Affected Party has
entered into a settlement agreement in respect of
the Claim prior to entering into this Agreement
(“Existing Settlement Agreement”), it will notify
Ações do Rio Doce or its Representative thereof at
the time of entering into this Agreement and
provide Ações do Rio Doce with a copy of such
Existing Settlement Agreement as soon as
possible.
5.2 Ações do Rio Doce shall have the right to
terminate or nullify (out of court), or ask a court to
set aside or void any waiver, limitation or
assignment of claims or rights contained in an
Existing Settlement Agreement (“Existing
Waiver”), provided that Ações do Rio Doce has
obtained a legal opinion from a qualified lawyer
determining that voiding and/or setting aside the
Existing Waiver is beneficial or necessary for the
Pursuit of the Claim.
6. OBLIGATIONS OF AÇÕES DO RIO DOCE
6.1 Ações do Rio Doce shall use its best
endeavours to represent the Affected Party’s
interests (as part of the collective interests of the
Affected Parties or a selection thereof).
6.2 Ações do Rio Doce shall use its best
endeavours to Pursue the Claim (as part of the
collective Pursuit of the Aggregated Claims or a
selection thereof) and/or to continue such Pursuit.
As long as Ações do Rio Doce Pursues the Claim,
Ações do Rio Doce will pay all associated costs,
including all lawyers’ fees, expert fees, court fees
and administrative costs.

potencialmente subordinados aos interesses

ação, a Parte Afetada reconhece e consente
expressamente com essa potencial priorização,
compreendendo a natureza inerente da
representação coletiva e a necessidade de a
Ações do Rio Doce tomar decisões que melhor
atendam aos interesses da maioria ou do grupo
como um todo. Tais decisões não serão
consideradas violação das obrigações da Ações
do Rio Doce no âmbito do Mandato Exclusivo.

Rio Doce possesses sole and absolute discretion in
determining how it will reasonably Pursue the
Claim as part of the collective Pursuit of the
Aggregated Claims. By providing the Exclusive

Claim, the Affected Party understands and accepts
the inherent discretion granted to Ações do Rio
Doce.
6.4. The Affected Party acknowledges and
understands that Ações do Rio Doce represents
the collective interests of a large group of Affected
Parties in its Pursuit of the Aggregated Claims.
While Ações do Rio Doce aims to uphold the
interests of all parties forming part of the Affected
Parties, there may be instances where the broader
interests of the group of Affected Parties as a
whole take precedence. In such circumstances,
the interests of a party, such as the Affected Party,
may be subject to and potentially subordinate to
the overarching interests of the collective group.
By providing the Exclusive Mandate to Ações do
Rio Doce to Pursue the Claim, the Affected Party
expressly recognizes and consents to this potential
prioritization, understanding the inherent nature
of collective representation and the need for
Ações do Rio Doce to make decisions that best
serve the interests of the majority or the group as
a whole. Such decisions will not be considered a
violation of the obligations of Ações do Rio Doce
under the Exclusive Mandate.
6.5. Unless indicated otherwise by Ações do Rio
Doce, information regarding the progress of the
Claim will be provided as part and parcel of the
progress of the Aggregated Claims. Ações do Rio
Doce shall provide regular updates on the
progress of the Aggregated Claims on its website:
https://acoesdoriodoce.com. The Affected
Party may contact Ações do Rio Doce through
Ações do Rio Doce’s contact details as set out in
this Agreement or on the website to receive an

6.6 A Ações do Rio Doce compromete-se a
estabelecer um mecanismo de participação
pelo qual as Partes Afetadas possam ser
consultadas e informadas periodicamente
sobre desenvolvimentos relevantes relativos à
Busca dos Direito de Acão agregados. A Parte
Afetada será informada oportunamente dos
detalhes.

6.6 Ações do Rio Doce undertakes to establish a
participation mechanism by which the Affected
Parties can be consulted and informed periodically
on material developments regarding the Pursuit of
the Aggregated Claims. The Affected Party will be
informed of the details thereof in due course.
Consideration
7.1 Ações do Rio Doce is entitled to the
Consideration. The Consideration becomes
payable as soon as the Allocated Claim
Compensation has been determined. Ações do Rio
Doce has the right to and may and will withhold
the Consideration as payment (or instruct the
claim manager or advisor to do so on its behalf)
and distribute the remainder of the Allocated
Claim Compensation to the Affected Party, subject
to the terms and conditions of this Agreement.

será devido pela Ações do Rio Doce à Parte
Afetada. Ao ceder o Mandato Exclusivo à Ações
do Rio Doce para ajuizar a Ação, a Parte Afetada
expressamente compreende e aceita o risco
inerente de que poderá não receber qualquer
pagamento se o litígio, as negociações ou o
pagamento da indenização não forem bem-
sucedidos, o que inclui expressamente o
cenário no qual a Ações do Rio Doce rescinde
este Contrato, conforme estabelecido na
Cláusula 16.2, 16.3 e 16.4.
Prazo de pagamento
7.5 As Partes reconhecem e concordam que o
pagamento de quaisquer resultados
monetários e/ou outros resultados da Busca do
Direito de Indenização para a Parte Afetada são,
além disso, sujeitos à determinação e/ou
administração da Indenização a ser paga pela
Ação e ao processo de distribuição

7.3 The Affected Party acknowledges that Ações
do Rio Doce isresponsible for the distribution of all
or part of the Claims Compensation, and that
Ações do Rio Doce may appoint a claims
administrator or adviser to distribute and/or
oversee such distribution.
7.4 The Parties hereby acknowledge and agree
that the payment of any monetary and/or other
results from the Pursuit of the Claim to the
Affected Party, are expressly contingent upon the
outcome of litigation of the Claim (as part of the
Aggregated Claims) and/or settlement
negotiations and the subsequent recovery of the
Claims Compensation by Ações do Rio Doce. In the
event that the litigation does not result in a
favourable final and irrevocable judgment or
settlement in respect of the Claim, or if, after
obtaining such judgment or settlement, for
whatever reason, no Claims Compensation is
recovered in respect of the Claim, no payment
shall be due to the Affected Party by Ações do Rio
Doce. By providing the Exclusive Mandate to
Ações do Rio Doce to Pursue the Claim, the
Affected Party expressly understands and accepts
the inherent risk that it may not receive any
payment if the litigation, negotiations or the
recovery of the Claim is unsuccessful, which
expressly includes the scenario in which Ações do
Rio Doce terminates this Agreement in accordance
with Clause 16.2, 16.3 and 16.4.
Timing of payment
7.5 The Parties acknowledge and agree that the
payment of any monetary and/or other results
from the Pursuit of the Claim to the Affected Party
are furthermore contingent upon the
determination and / or administration of the
Allocated Claim Compensation and the
subsequent distribution process. As such, the
payment of the Allocated Claim Compensation to
be paid to the Affected Party pursuant to this
Agreement might be delayed pending the
finalization of said process. Ações do Rio Doce
shall use its best efforts to expedite this process,
but cannot guarantee a specific timeframe for
payment. The Affected Party, by mandating Ações

8. OBRIGAÇÕES DA PARTE AFETADA

intermediários da Parte Afetada ou qualquer
outra pessoa, conforme aplicável, aos quais a
Parte Afetada tenha acesso, e (ii) fornecer
outras informações e provas, de forma a evitar
custos desnecessários, exposição,
complexidade ou atraso. A Ações do Rio Doce
reembolsará as despesas razoáveis incorridas
pela Parte Afetada no cumprimento dessas
obrigações, desde que tais despesas tenham
sido aprovadas por escrito pela Ações do Rio
Doce antes de serem incorridas. Quando essa
aprovação não for razoavelmente possível, a
Parte Afetada deverá fornecer à Ações do Rio
Doce um recibo válido (ou cópia eletrônica
válida de um recibo) de quaisquer despesas
pagas do próprio bolso e a Ações do Rio Doce
avaliará se um reembolso retroativo é razoável
do Rio Doce to Pursue the Claim, accepts and

8. OBLIGATIONS OF THE AFFECTED PARTY
Complete Information
a) the Claim and the Pursuit thereof;
b) the activities set out in Clause 8.4; and
c) any matter reasonably incidental thereto,
including any information, circumstance
or change in circumstances which may
have a bearing on the Claim or the Pursuit
thereof.
8.2 The Affected Party shall (i) procure signed
witness statements by the Affected Party or the
Affected Party's Representatives or intermediaries
or any other person as applicable who the
Affected Party has access to, and (ii) provide other
information and evidence, in a way which avoids
unnecessary cost, exposure, complexity or delay.
Ações do Rio Doce shall reimburse the reasonable
out of pocket expenses incurred by the Affected
Party in carrying out these obligations, as long as
such expenses have been approved in writing by
Ações do Rio Doce before being incurred. Where
such approval is not reasonably possible, the
Affected Party shall provide Ações do Rio Doce
with a valid receipt (or valid electronic copy of a
receipt) of any out of pocket expenses and Ações
do Rio Doce will assess whether a retrospective
reimbursement is reasonable and appropriate.
When prior approval is not obtained, no such
reimbursement of out of pocket expenses is

organização da qual a Parte Afetada participe.
Com o objetivo de evitar tal destruição
automática, a Parte Afetada deverá manter e
salvar tais informações, documentos e registros
separadamente de outros dados.

8.4 A Parte Afetada, por meio deste

Parte Afetada deverá se abster de:
a) ter qualquer comunicação com
qualquer Réu, ou qualquer um de seus
Representantes, relacionada à Ação ou
ao prosseguimento da Busca do Direito
de Indenização;
b) tomar qualquer medida legal, inclusive
buscar qualquer ordem de qualquer
tribunal, corte ou outro órgão de
tomada de decisão, relacionada à Ação
ou à Busca do Direito de Indenização;
c) celebrar qualquer acordo com
qualquer Réu, ou participar de
negociações de acordo com qualquer
Réu ou discutir qualquer resolução ou
recuperação das Ações de qualquer
forma com qualquer Réu ou qualquer
outra pessoa;
d) divulgar, compartilhar ou disseminar
qualquer informação confidencial ou
8.3 The Affected Party shall keep in its possession
and readily available any and all information,
documents and records which could be used to
prove the Claim and the amount thereof. The
Affected Party shall prevent such information,
documents and records from being destroyed or
lost by automatic data destruction procedures
that may apply within the organisation of the
Affected Party (if the Affected Party is a legal
entity), or any (other) organisation which the
Affected Party participates in. With a view to
preventing such automatic destruction, the
Affected Party shall keep and save such
information, documents and records separately
from other data.
8.4 The Affected Party hereby agrees and
undertakes not to engage in any action or conduct
that may adversely impact, diminish, or jeopardize
the value or validity of the Claim. Specifically,
without the express written consent of Ações do
Rio Doce, the Affected Party shall refrain from:
a) having any communication with any
Defendant, or any of its Representatives
relating to the Claim or the pursuit
thereof;
b) taking any legal steps, including seeking
any order from any court, tribunal or
other decision-making body, relating to
the Claim or the Pursuit thereof;
c) entering into any settlement with any
Defendant, or engage in settlement talks
with any Defendant or discuss any
resolution or recovery of the Claims in
whatever way with any Defendant or
whomever else;
d) disclosing, sharing, or disseminating any
confidential or privileged information

g) envolver-se em qualquer outra ação ou
comportamento considerado pela
Ações do Rio Doce, a seu critério
exclusivo, como prejudicial à Ação ou
contrário aos melhores interesses do
grupo coletivo de Partes Afetadas.
8.5 A Parte Afetada não poderá (i) ceder,
transferir ou, de outra forma, alienar ou onerar
a Ação de qualquer forma, (ii) renunciar, alterar
ou rescindir, no todo ou em parte, (qualquer
direito acessório ou auxiliar ou outro direito
com relação à) Ação, ou (iii) tomar qualquer
outra medida que possa reduzir o valor ou
colocar em risco a existência ou a aplicabilidade
da Ação.
Reembolso de pagamentos recebidos
8.6 A Parte Afetada notificará prontamente a
Ações do Rio Doce se eventualmente receber
quaisquer pagamentos relativos à Ação sem
que Ações do Rio Doce tenha recebido o valor
total da Contraprestação ou o seu equivalente
(ou seja, 30% de qualquer indenização recebida
pela Parte Afetada) e reembolsará tal valor
excedente à Ações do Rio Doce no prazo de 5
dias uteis após o recebimento, devendo
fornecer os documentos comprobatórios
solicitados.
9. GARANTIAS, REPRESENTAÇÕES E 9. WARRANTIES, REPRESENTATIONS AND
RECONHECIMENTOS DA PARTE AFETADA
9.1 A Parte Afetada declara e garante à Ações 9.1 The Affected Party represents and warrants to

a) a Parte Afetada tem a titularidade total
e exclusiva da Ação, livre de qualquer
garantia, penhor, ônus, gravame,

including on social media platforms, that
could harm or diminish the strength,
value, or perception of the Claim;
f) entering into any agreement, settlement,
or understanding in relation to the Claim;

g) engaging in any other action or behaviour
deemed by Ações do Rio Doce, in its sole
discretion, to be detrimental to the Claim
or contrary to the best interests of the
collective group of Affected Parties.
8.5 The Affected Party may not (i) assign, transfer
or otherwise dispose of or encumber the Claim in
any way, (ii) waive, amend or terminate, in whole
or in part, (any accessory or ancillary right or other
right in respect of) the Claim, or (iii) otherwise take
any action which could reduce the value of or
jeopardize the existence or enforceability of the
Claim.
Reimbursement of payments received
8.6 The Affected Party shall promptly notify Ações
do Rio Doce if it eventually receives any payments
in relation to the Claim without Ações do Rio Doce
having received full payment of the Consideration
or the equivalent thereto (i.e. 30% of any
compensation received by the Affected Party ) and
will reimburse such excess amount to Ações do Rio
Doce within 5 business days after such receipt,
alongside the submission of supporting
documents as requested.
ACKNOWLEDGMENTS OF THE AFFECTED
PARTY
a) the Affected Party has full and exclusive
title to the Claim, free of any security
interest, pledge, lien, encumbrance,
charge and any other right in favour of any

e) A Parte Afetada não se envolveu em
nenhuma das ações listadas na Cláusula
8.4, a menos que a Ações do Rio Doce
ou seus Representantes tenham sido
informado expressamente sobre isso
no momento ou antes da celebração
deste Contrato.
f) até onde é de seu conhecimento, a
Ação não está sujeita a nenhum direito
de compensação que possa ser ou já
tenha sido exercido por um Réu.
g) a Parte Afetada não é uma parte da
Ação Inglesa;
h) a assinatura neste Contrato é feita de
forma totalmente voluntária e sem
qualquer forma de coerção por parte
da Ações do Rio Doce ou de qualquer
terceiro. Nesse sentido, a Parte Afetada
declara que não foi induzida, coagida
ou pressionada de forma alguma a
aceitar os termos deste Contrato;
i) teve a oportunidade de analisar
cuidadosamente cada cláusula e teve
acesso a qualquer consultoria jurídica
necessária para entender as
implicações legais e práticas do
Contrato.
9.2 As garantias e declarações estabelecidas na
Cláusula 9.1 deste Contrato são feitas na data
deste Contrato e deverão continuar sendo
verdadeiras e precisas durante a vigência do

capacity, and legal right to execute and
deliver this Agreement and the Exclusive
Mandate set forth therein, to effectuate
the transactions contemplated by this
Agreement and to perform its obligations
hereunder;
c) the Claim has not been disposed of or
been waived in whole or in part;
d) no breach of any law or regulation by the
Affected Party or his or her affiliates has
occurred or is ongoing which could affect
the value of the Claim;
e) the Affected Party has not engaged in any
of the actions listed in Clause 8.4, unless

has or have been expressly informed
thereof at the time of entering into this
Agreement;
f) to the best of its knowledge, the Claim is
not subject to any right of set off that can
be or has already been exercised by a
Defendant.
g) the Affected Party is not a party to the
English Proceedings;
h) its signature in this Agreement is made
entirely voluntarily and without any form
of coercion by Ações do Rio Doce or any
third party. In this regard, the Affected
Party declares that it has not been
induced, coerced or pressured in any way
to accept the terms of this Agreement;
i) it has had the opportunity to carefully
review each clause and has had access to
any legal advice necessary to understand
the legal and practical implications of the
Agreement.
9.2 The warranties and representations set out in
Clause 9.1 of this Agreement are made on the date
of this Agreement and to the extent applicable
shall continue to be true and accurate throughout

9.3 A Parte Afetada reconhece que:
a) de acordo com este Contrato, única e
exclusivamente a Ações do Rio Doce pode
ajuizar a Ação durante a vigência do Contrato;
b) A Ações do Rio Doce celebrará acordos com
outras Partes Afetadas com termos e assuntos
semelhantes aos deste Contrato e a Ações do
Rio Doce ajuizará a ação juntamente com as
ações dessas outras Partes Afetadas;
c) Ações do Rio Doce celebrou ou celebrará um
contrato de financiamento com um financiador
nos termos com os quais o financiador
concorda em financiar os custos de ajuizar a
Ação em troca de um pagamento de uma parte

outra plataforma de assinatura eletrônica,

9.3 The Affected Party acknowledges that:
a) pursuant to the Agreement, solely and
exclusively Ações do Rio Doce can Pursue
the Claim for the duration of the
Agreement;
b) Ações do Rio Doce will enter into
agreements with other Affected Parties
with similar terms and subject matter as
this Agreement and Ações do Rio Doce will
Pursue the Claim together with the Claims
of those other Affected Parties;
c) Ações do Rio Doce has entered into or
shall enter into a funding agreement with
a funder pursuant to which the funder
agrees to finance the costs of Pursuing the
Claim in return for a payment from a
portion of the Allocated Claim
Compensation;
d) it is essential for Ações do Rio Doce that
the termination of the Agreement by the
Affected Party is restricted, because
Ações do Rio Doce’s funding, and
therefore its ability to perform its
obligations under this Agreement, is
predicated on Ações do Rio Doce’s ability
to Pursue the Aggregated Claims,
including the Claim, until and including
final recovery;
e) at or prior to signing this Agreement, the
Affected Party was given the opportunity
to ask questions to the Representatives of
Ações do Rio Doce, who were available
upon request to answer questions about
and explain the meaning and potential
implications of entering into this
Agreement;
f) the Affected Party understands the
meaning and possible legal implications of
each clause contained in this Agreement and
agrees to them;
g) electronic signatures, including those
facilitated by CongaSign or any other
electronic signature platform and including

inclusive as assinaturas deste Contrato, são

10.DIREITOS E OBRIGAÇÕES MÚTUAS
10.1 As Partes agirão de boa-fé entre si e
tratarão umas com as outras de acordo com os
critérios de razoabilidade, justiça e equidade, e
envidarão seus melhores esforços em todas as
questões decorrentes ou relacionadas a este
Contrato.
11.APERFEIÇOAMENTO DO CONTRATO
11.1 A Ações do Rio Doce tem o direito de
elaborar, fazer e/ou executar todos os
documentos, atos, assuntos e/ou escritos que a
Ações do Rio Doce considere necessários ou
desejáveis para dar pleno efeito a este Contrato
e ao Mandato Exclusivo, inclusive para notificar
os Résu do Mandato.
11.2 A Parte Afetada concorda, neste ato, em
cooperar prontamente com e auxiliar a Ações
do Rio Doce a fazer, executar e/ou fornecer à
Ações do Rio Doce todos os documentos, atos,
assuntos e/ou escritos considerados
necessários ou desejáveis pela Ações do Rio
Doce para dar pleno efeito a este Contrato e ao
Mandato. De acordo com este instrumento, na
primeira solicitação da Ações do Rio Doce, a
Parte Afetada assinará e fornecerá
prontamente à Ações do Rio Doce qualquer
escritura, acordo ou documento que a Ações do
Rio Doce considere necessário ou desejável
para efetivar este Contrato ou o Mandato.
11.3 A Parte Afetada concede à Ações do Rio
Doce uma procuração plena, irrevogável e
incondicional, com direito de sub-rogação, para
realizar em nome da Parte Afetada qualquer um
dos atos previstos nesta Cláusula 11.

10. MUTUAL RIGHTS AND OBLIGATIONS
10.1 The Parties shall act in good faith towards
each other and deal with one another in
accordance with the criteria of reasonableness,
fairness and equity, and exercise their best efforts
in all matters arising out of or in connection with
this Agreement.
11. PERFECTION OF THE AGREEMENT
11.1 Ações do Rio Doce is entitled to make, do,
and/or execute all documents, acts, matters
and/or writings which Ações do Rio Doce deems
necessary or desirable to give full effect to this
Agreement and the Exclusive Mandate, including
to give notice of the Exclusive Mandate to the
Defendants.
11.2 The Affected Party hereby agrees to promptly
cooperate with and assist Ações do Rio Doce in
making, doing, executing and/or providing to
Ações do Rio Doce, all documents, acts, matters
and/or writings deemed necessary or desirable by
Ações do Rio Doce in order to give full effect to this
Agreement and the Exclusive Mandate. In
accordance herewith, at the first request of Ações
do Rio Doce, the Affected Party will promptly sign
and provide to Ações do Rio Doce any deed,
agreement or document that Ações do Rio Doce
deems necessary or desirable in order to
effectuate this Agreement or the Exclusive
Mandate.
11.3 The Affected Party hereby grants to Ações do
Rio Doce a full, irrevocable and unconditional
power of attorney, with the right of substitution,
to perform in the name of the Affected Party any
of the acts provided for in this Clause 11.

12.PROTEÇÃO DE DADOS
12.1 A Ações do Rio Doce, como controladora
de dados, está coletando, armazenando e
processando Dados Pessoais, inclusive Dados
Sensíveis, da Parte Afetada com a finalidade de
Buscar o Direito por Indenização.
12.2 A Ações do Rio Doce tem uma base legal
específica para o processamento de Dados
Sensíveis nos termos do art. 9(2)(a)
consentimento explícito e art. 9(2)(f) Ações
judiciais do GDPR, e art. 11(I) consentimento e
(II)(d) exercício de direitos legais e contratuais
da LGPD. A Ações do Rio Doce garantirá que o
processamento de Dados Sensíveis seja
necessário e proporcional para a finalidade de
prosseguir com a Ação.
12.3 A Ações do Rio Doce realizará uma
avaliação de impacto quanto à proteção de
dados nos termos do art. 35 do GDPR e arts. 38
e 50, parágrafo 2 (I)(d) da LGPD, para garantir
que os direitos e interesses da Parte Afetada,
como titular dos dados, sejam devidamente
levados em consideração. A Ações do Rio Doce
tomará as medidas apropriadas para
salvaguardar a confidencialidade e a segurança
dos Dados Pessoais da Parte Afetada.
12.4 Ao celebrar este Contrato, a Parte Afetada
consente, por meio deste instrumento, com a
coleta, o armazenamento, o processamento e o
compartilhamento de seus Dados Pessoais,
inclusive Dados Sensíveis.
Retenção
12.5 A Ações do Rio Doce reterá os Dados
Pessoais da Parte Afetada pelo período de
tempo necessário para a finalidade de Buscar
de Direito por Indenização, e não mais do que o
necessário para o cumprimento de requisitos
legais, contábeis ou de relatórios específicos.
Isso inclui a retenção dos Dados Pessoais pelo

12. DATA PROTECTION

including Sensitive Data, of the Affected Party for
the purpose of Pursuing the Claim.
12.2 Ações do Rio Doce has a specific legal basis
for the processing of Sensitive Data under art.
9(2)(a) explicit consent and art. 9(2)(f) legal claims
of the GDPR, and art. 11(I) consent and (II)(d)
exercise of legal and contractual rights of the
LGPD. Ações do Rio Doce will ensure that the
processing of Sensitive Data is necessary and
proportionate for the purpose of proceeding with
the Claim.
12.3 Ações do Rio Doce will conduct a data
protection impact assessment pursuant to art. 35
of the GDPR and arts. 38 and 50, paragraph 2 (I)(d)
of the LGPD, to ensure that the rights and interests
of the Affected Party, as a data subject, are
properly taken into account. Ações do Rio Doce
will take appropriate measures to safeguard the
confidentiality and security of the Personal Data of
the Affected Party.
12.4 By entering into this Agreement, the Affected
Party hereby consents to the collecting, storage,
processing, and sharing of her or his Personal
Data, including Sensitive Data.
Retention
12.5 Ações do Rio Doce will retain the Personal
Data of the Affected Party for the period of time
that is necessary for the purpose of Pursuing the
Claim, and no longer than is necessary for the
fulfilment of specific legal, accounting or reporting
requirements. This includes retaining the Personal
Data for the period of time needed to enable
Ações do Rio Doce to quantify the claims, to
allocate compensation, and to defend itself
against any potential claims against Ações do Rio
Doce.

12.6 A Ações do Rio Doce revisará os Dados
Pessoais anualmente para garantir que sejam
precisos e atualizados e excluirá ou tornará
anônimos quaisquer Dados Pessoais que não
sejam mais necessários para a finalidade para a
qual foram coletados, a menos que os Dados
Pessoais sejam necessários para requisitos
legais, contábeis ou de relatórios.
Riscos e mitigação
12.7 O processamento de dados pode envolver

segurança apropriados, a revisão e atualização
regulares das medidas de segurança e o
treinamento regular da equipe sobre as
melhores práticas de proteção e segurança de
dados.
Transferências internacionais de dados
12.9 A Ações do Rio Doce transferirá os Dados
Pessoais coletados no Brasil para a Inglaterra
e/ou Uniao Europeia e vice-versa, quando essa
transferência for necessária para o
estabelecimento, exercício ou defesa da Ação.
A Ações do Rio Doce tomará todas as medidas
necessárias para garantir que os Dados Pessoais
sejam transferidos em conformidade com a
LGPD, GDPR, e quaisquer outras leis de
proteção de dados aplicáveis.
12.6 Ações do Rio Doce shall review the Personal
Data annually to ensure that it is accurate and up
to date and delete or anonymise any Personal
Data that is no longer necessary for the purpose
for which it was collected, unless the Personal
Data is needed for legal, accounting or reporting
requirements.
Risks and mitigation
12.7 Data processing can involve certain risks to
the rights and freedoms of the Affected Party as a
data subject. The following risks are considered to
be the main risks associated with data processing:
a) risk of unauthorized access to Personal
Data;
b) risk of data breaches;
c) risk of corruption of data; and
d) risk of data loss.
12.8 Ações do Rio Doce will take all reasonable
steps to avoid these risks and to protect the rights
and freedoms of the Affected Party. These steps
may include, but are not limited to, implementing
appropriate security controls, regularly reviewing
and updating security measures, and providing
regular training to staff on data protection and
security best practices.
Third country data transfers
12.9 Ações do Rio Doce will transfer Personal Data
collected in Brazil to England and/or the European
Union, and vice-versa, where this transfer is
necessary for the establishment, exercise or
defence of the Claim. Ações do Rio Doce shall take
all necessary steps to ensure that the Personal
Data is transferred in compliance with the LGPD,
GDPR and any other applicable data protection
laws.

12.10 A Ações do Rio Doce manterá registros
dos Dados Pessoais que forem transferidos
entre fronteiras, inclusive a data da
transferência, o país para o qual os Dados
Pessoais são transferidos e as medidas tomadas
para proteger os direitos e liberdades da Parte
Afetada, como titular dos dados.
12.11 A Ações do Rio Doce informará a Parte
Afetada e a autoridade de proteção de dados
relevante no caso de qualquer acesso não
autorizado aos Dados Pessoais ou violações de
dados durante a transferência internacional de
dados.

12.12 A Parte Afetada reconhece e consente

Pessoais, coletados pela Ações do Rio Doce em
coordenação com a PGMBM Nederland B.V.
(t/a Pogust Goodhead) e outras entidades
associadas à Pogust Goodhead contratadas
pela Ações do Rio Doce (ainda que
indiretamente) com a finalidade de dar
prosseguimento à Busca do Direito de
Indenização.
12.13 Além disso, a Parte Afetada reconhece e
aceita que os Dados Pessoais compartilhados
com a Ações do Rio Doce poderão ser
divulgados a terceiros relevantes, incluindo,
mas não se limitando a, peritos, consultores,
assessores jurídicos e tribunais, para dar
prosseguimento à Ação. Os referidos Dados
Pessoais também poderão ser compartilhados
com os Réus quando necessário para dar
prosseguimento à Busca do Direito de
Indenização ou chegar a um acordo.
12.14 A Parte Afetada reconhece que os Dados
Pessoais compartilhados com a Pogust
Goodhead e qualquer terceiro relevante podem
incluir, mas não se limitam a, informações de
identificação pessoal, detalhes de contato,
informações financeiras, registros médicos,
documentos relevantes, informações sobre
processos civis no Brasil e quaisquer
negociações com os Réus, e quaisquer outras
informações consideradas necessárias para o
prosseguimento da Busca do Direito de

including the date of the transfer, the country to
which the Personal Data is transferred, and the

Party and the relevant data protection authority in
the case of any unauthorized access to Personal
Data or data breaches during the transfer of data
across borders.
12.12 The Affected Party hereby acknowledges
and consents to the sharing of her or his Personal
Data, collected by Ações do Rio Doce, in
coordination with PGMBM Nederland B.V. (t/a
Pogust Goodhead) and other entities associated
with Pogust Goodhead engaged by Ações do Rio
Doce (albeit indirectly) for the purpose of Pursuing
the Claim.
12.13 Furthermore, the Affected Party
acknowledges and accepts that the Personal Data
shared with Ações do Rio Doce may be disclosed
to relevant third parties, including, but not limited
to, experts, consultants, legal advisors, and courts,
to Pursue the Claim. Said Personal Data may also
be shared with the Defendants where needed to
Pursue the Claim or reach a settlement.
12.14 The Affected Party acknowledges that the
Personal Data shared with Pogust Goodhead and
any relevant third party may include, but is not
limited to, personal identification information,
contact details, financial information, medical
records, relevant documents, information about
civil proceedings in Brazil and any negotiations
with the Defendants, and any other information
deemed necessary for Pursuing the Claim
effectively.

13.CESSÃO OU TRANSFERÊNCIA DE DIREITOS E 13. ASSIGNMENT OR TRANSFER OF RIGHTS AND

OBRIGAÇÕES NOS TERMOS DESTE OBLIGATIONS UNDER THIS AGREEMENT
CONTRATO

13.1 A Parte Afetada não poderá ceder ou
transferir nenhum de seus direitos e/ou
obrigações nos termos deste Contrato sem o
consentimento prévio por escrito da Ações do
Rio Doce.
13.1 The Affected Party may not assign or transfer
any of its rights and/or obligations under this
Agreement without the prior written consent of
Ações do Rio Doce.

14.CONFIDENCIALIDADE 14. CONFIDENTIALITY

14.1 O conteúdo deste Contrato e todas as
informações, comunicações e documentos
trocados a qualquer momento pela ou para a
Parte Afetada e/ou a Ações do Rio Doce ou
qualquer um de seus Representantes, em
relação à Ação, ao Conjunto de Direitos de
Ação, à Indenização em função da Ação, à
Indenização em função da Ação, ou a este
Contrato:
14.1 The contents of this Agreement, and all
information, communications and documents
exchanged at any time by or to the Affected Party
and/or Ações do Rio Doce or either of their
Representatives, in relation to the Claim,
the Aggregated Claims, Claims Compensation,
Allocated Claim Compensation or this Agreement:

15.LIMITAÇÃO DE RESPONSABILIDADE DA
AÇÕES DO RIO DOCE E DE SEUS
REPRESENTANTES
15.1 A Parte Afetada reconhece e aceita que o
sucesso e/ou a recuperabilidade da Ação
depende de muitos desenvolvimentos,
decisões e resultados que estão, em grande
parte, fora do controle da Ações do Rio Doce, e
que os resultados finais da Busca da Ação
podem ser limitados ou nulos. A Parte Afetada
reconhece e aceita que este Contrato não
constitui uma promessa ou uma obrigação da
Ações do Rio Doce ou de seus Representantes
de obter qualquer resultado monetário
concreto ou de outra natureza.
15.2 Nem a Ações do Rio Doce nem qualquer
um dos seus Representantes será responsável
se a Ação, por qualquer razão, for parcial ou
totalmente irrecuperável e/ou infrutífera, o que
inclui expressamente o cenário em que a Ações
do Rio Doce decide rescindir este Contrato de
acordo com a Clausula 16.2, 16.3 e 16.4 e o
cenário em que a Ação prescreve contra um ou
mais dos Réus, exceto nos casos em que isso
seria o resultado de negligência grave ou má
conduta intencional por parte da Ações do Rio
Doce. Não obstante a Cláusula 20.5, os
Representantes da Ações do Rio Doce poderão
contar com a isenção de responsabilidade
fornecida pela Parte Afetada nesta Cláusula.
15.3 Nem a Ações do Rio Doce nem nenhum de
seus Representantes será responsável por
quaisquer perdas, danos ou reclamações
incorridas pela Parte Afetada (seja ou não com
relação a quaisquer atos, medidas ou omissões
de terceiros), com relação à execução,
implementação e/ou cumprimento, ou rescisão
deste Contrato, exceto quando isso for
resultado de negligência grave ou conduta
dolosa da Ações do Rio Doce. Não obstante a
Cláusula 20.5, os Representantes da Ações do
Rio Doce poderão contar com a isenção de
responsabilidade fornecida pela Parte Afetada

15. LIMITATION OF LIABILITY OF AÇÕES DO RIO
DOCE AND ITS REPRESENTATIVES
15.1 The Affected Party acknowledges and accepts
that the success and/or recoverability of the Claim
is contingent on many developments, decisions
and outcomes which are in large part outside of
the control of Ações do Rio Doce, and that the
eventual results of the Pursuit of the Claim could
be limited or nihil. The Affected Party
acknowledges and accepts that this Agreement
does not constitute a promise or an obligation of
Ações do Rio Doce or its Representatives to
achieve any concrete monetary or other result.
15.2 Neither Ações do Rio Doce nor any of its
Representatives shall be liable if the Claim for
whatever reason is partially or entirely
unrecoverable and/or unsuccessful, which
expressly includes the scenario in which Ações do
Rio Doce terminates this Agreement in accordance
with Clause 16.2, 16.3 and 16.4 and the scenario
that the Claim is time-barred against one or more
of the Defendants, except in cases where this
would be the result of gross negligence or wilful
misconduct on the part of Ações do Rio Doce.
Notwithstanding Clause 20.5, the Representatives
of Ações do Rio Doce may rely on the exemption
of liability provided by the Affected Party in this
Clause.
15.3 Neither Ações do Rio Doce nor any of its
Representatives shall be liable for any losses,
damage, or claims incurred by the Affected Party
(whether or not in respect of any acts, measures
or omissions of third parties), in relation to the
performance of, implementation of and/or
compliance with, or termination of this
Agreement, except where such is the result of
gross negligence or wilful misconduct by Ações do
Rio Doce. Notwithstanding Clause 20.5, the
Representatives of Ações do Rio Doce may rely on
the exemption of liability provided by the Affected
Party in this Clause.

16.RESCISÃO E EFEITO: DEVOLUÇÃO DO
DIREITO DE AÇÃO
16.1 Salvo disposição em contrário nesta
Cláusula 16, este Contrato permanecerá em
pleno vigor e efeito até que a Ação e a
Contraprestação (conforme o caso) tenham
sido total, final e irrevogavelmente liquidados e
tal acordo e/ou pagamento tenham sido
notificados pela Ações do Rio Doce à Parte
Afetada por escrito (uma "Notificação de
Acordo"). Com a emissão de uma Notificação de
Contrato, este Contrato, incluindo o Mandato
Exclusivo e qualquer procuração concedida nos
termos deste instrumento, expiram
automaticamente.
16.2. A Ações do Rio Doce poderá decidir, por
motivos graves (ex. artigo 7:408 (2) DCC),
rescindir (opzeggen) este Contrato, seja ou não
como parte de uma decisão de rescindir
contratos semelhantes com outras Partes
Afetadas. A Ações do Rio Doce notificará a Parte
Afetada e, no prazo máximo de quatro semanas
após a notificação da Parte Afetada, notificará
os Réus de sua decisão de rescindir este
Contrato (essas notificações da Ações do Rio
Doce à Parte Afetada e aos Réus em conjunto:
uma "Notificação de Rescisão").
16.3 Para evitar dúvidas, as Partes concordam
expressamente que os motivos graves para a
rescisão deste Contrato nos termos da Cláusula
16.2 incluem, mas não se limitam a, custos
projetados do litígio que excedam

15.4 If the Claim is partially or entirely not
recoverable due to a professional error of a law
firm engaged by Ações do Rio Doce, the
compensation paid by such law firm or its insurer
in relation to such professional error shall be
regarded as Claims Compensation, without any
further or additional liability of Ações do Rio Doce
towards the Affected Party.
16. TERMINATION AND EFFECT
16.1 Unless otherwise provided in this Clause 16,
this Agreement remains in full force and effect
until the Claim has been fully, finally and
irrevocably settled and the Consideration has
been paid and such settlement and/or payment
has been notified by Ações do Rio Doce to the
Affected Party in writing (a “Settlement Notice”).
With the issuance of a Settlement Notice this
Agreement, including the Exclusive Mandate and
any power of attorney granted hereunder,
automatically terminates.
16.2 Ações do Rio Doce may decide, on serious
grounds (ex. article 7:408 (2) DCC)4, to terminate
(opzeggen) this Agreement, whether or not as part
of a decision to terminate similar agreements with
other Affected Parties. Ações do Rio Doce shall
notify the Affected Party and, within no more than
four weeks of notifying the Affected Party, notify
the Defendants of its decision to terminate this
Agreement (these notices from Ações do Rio Doce
to the Affected Party and the Defendants jointly: a
“Discontinuation Notice”).
16.3 For the avoidance of doubt, the Parties
expressly agree that serious grounds for the
termination of this Agreement pursuant to Clause
16.2 include, but are not limited to, the projected
costs of litigation significantly exceeding

Ação, obstáculos imprevistos e significativos
que prejudiquem criticamente a capacidade de
conduzir a Reivindicação e/ou Conjunto dos
Direitos de Ação forma eficaz, como a perda de
testemunhas importantes, conflitos de
interesse insolúveis ou desafios probatórios
intransponíveis e/ou a viabilidade geral e o
valor (estratégico) da Reivindicação e/ou o
Conjunto de Direitos de Ações para as Partes
Afetadas.
16.4 Após a emissão da Notificação de
Descontinuidade deste Contrato, consequente,
o Mandato Exclusivo e procuração estarão
automaticamente terminados.
16.5 Ao celebrar este Contrato, a Parte Afetada
consente expressamente e antecipadamente
com a rescisão do Mandato Exclusivo e de
qualquer procuração concedida neste
Contrato, conforme o caso, e com a rescisão do
Contrato.

that adversely affect the legal standing or the
merits of the Pursuit of the Claim and/or the
Aggregated Claims, unforeseen and significant
obstacles that critically impair the ability to
conduct the Pursuit of the Claim and/or the
Aggregated Claims effectively, such as loss of key
witnesses, unresolvable conflicts of interest, or
insurmountable evidentiary challenges, and/or
the lack of overall feasibility and (strategic) value
of Pursuing the Claim and/or the Aggregated
Claims for the Affected Parties.
16.4 Upon the issuance of the Discontinuation
Notice the Agreement – and hence the Exclusive
Mandate and the power of attorney – will
automatically terminate.
16.5 By entering into this Agreement, the Affected
Party expressly consents in advance to such
termination of the Exclusive Mandate and any
power of attorney granted in this Agreement and
the termination of the Agreement.

prazo de 10 dias corridos a partir da data de
assinatura deste Contrato. No caso de tal
rescisão, a Parte Afetada deverá notificar a
Ações do Rio Doce por escrito, de acordo com a
cláusula 18, devendo tal notificação ser enviada
à Ações do Rio Doce dentro do período de 10
dias especificado (uma "Notificação de
Desistência"). Essa Notificação de Desistência
deverá indicar claramente a intenção de
rescindir o Contrato. De acordo com essa
desistência, o Contrato será automaticamente
rescindido quando o Ações do Rio Doce receber
a Notificação de Desistência e o Direito de Ação
será automaticamente reatribuído à Parte
Afetada e qualquer Mandato Exclusivo, e
Procuração serão automaticamente
rescindidos no mesmo momento.
16.8 Exceto em caso de rescisão do Contrato
pela Ações do Rio Doce, de acordo com a
Cláusula 16.2, 16.3 e 16.4 ou pela Parte Afetada
nos termos da Cláusula 16.7, a rescisão do
Mandato Exclusivo contido neste Contrato não
afeta, por si só, a validade e a exequibilidade do
restante deste Contrato, inclusive o direito da
Ações do Rio Doce de receber a
Contraprestação ou o valor correspondente,
que permanecerá em pleno vigor e efeito (i.e.
30% de qualquer compensação recebida pela
Parte Afetada em relação a Ação após a data de
assinatura deste Contrato).
17.PREVALECIMENTO DOS TERMOS

either the heirs of the Affected Party in
case of death, the receiver in case of
bankruptcy, or the administrator in case
of a declaration of application of the debt

c) by the bankruptcy of Ações do Rio Doce.
16.7 Notwithstanding clause 16.6, the Affected
Party shall have the right to withdraw from this
Agreement without providing any reason within 10
calendar days from the date of signing this
Agreement. In the event of such withdrawal, the
Affected Party must notify Ações do Rio Doce in
writing (which includes via e-mail), in accordance
with clause 18, such notice to be sent to Ações do
Rio Doce within the specified 10-day period (a
“Withdrawal Notice”). This Withdrawal Notice
shall clearly state the intention to withdraw from
the Agreement. Pursuant to such withdrawal, the
Agreement is automatically terminated upon
receipt by Ações do Rio Doce of the Withdrawal
Notice and any Exclusive Mandate and power of
attorney are automatically terminated at that
same time.
16.8 Except in case of termination of this
Agreement by Ações do Rio Doce pursuant to
Clause 16.2,16.3 and 16.4 or by the Affected Party
pursuant to Clause 16.7, the termination of the
Exclusive Mandate contained in this Agreement
does not in itself affect the validity and
enforceability of the remainder of this Agreement,
including the right of Ações do Rio Doce to receive
the Consideration, or the equivalent thereof,
which shall remain in full force and effect (i.e. 30%
of any compensation received by the Affected
Party in regard to its Claim after the date of the
signing of this Agreement by or on behalf of the
Affected Party).
17. SURVIVAL OF TERMS

17.1 Não obstante a rescisão ou expiração
deste Contrato por qualquer motivo, as
seguintes Cláusulas deste Contrato continuarão
em pleno vigor e efeito: Cláusula 1 (Definições),
Cláusula 2 (Construção e Interpretação),
Cláusula 8.6 (Reembolso de pagamentos
recebidos), Cláusula 14 (Confidencialidade),
Cláusula 15 (Limitação de Responsabilidade da
Ações do Rio Doce e de seus Representantes),
Cláusula 16 (Rescisão e Efeito), Cláusula 18
(Avisos), Cláusula 21 (Lei Aplicável), Cláusula 22
(Tribunal Competente). Os direitos e obrigações
contidos em tais disposições permanecerão
após qualquer rescisão ou expiração deste
Contrato até que sejam cumpridos ou, por sua
natureza, expirem.
18.NOTIFICAÇÕES
18.1 Todas as notificações feitas pela Ações do
Rio Doce nos termos deste Contrato e sempre
que a Ações do Rio Doce tiver a obrigação de
notificar a Parte Afetada nos termos deste
Contrato, essas notificações serão feitas na
forma que a Ações do Rio Doce considerar
apropriada. Isso pode incluir (mas não se limita
a) comunicação eletrônica ou verbal, e pode ser
fornecida tanto de forma generalizada quanto
individualizada. A Ações do Rio Doce se
esforçará para fornecer seus avisos nos termos
deste Contrato por escrito (o que inclui e-mail e
mensagens diretas) à Parte Afetada
individualmente. É responsabilidade da Parte
Afetada fornecer à Ações do Rio Doce seus
detalhes de contato e informar a Ações do Rio
Doce sobre quaisquer alterações o mais rápido

8.6 (Reimbursement of payments received),
Clause 14 (Confidentiality), Clause 15 (Limitation
of Liability of Ações do Rio Doce and its
Representatives), Clause 16 (Termination and
Effect) Clause 18 (Notices), Clause 21 (Governing
Law), Clause 22 (Competent Court). The rights and
obligations contained in such provisions shall
remain after any termination or expiration of this
Agreement until they are fulfilled or by their
nature expire.
18.NOTICES
18.1 All notices given by Ações do Rio Doce under
this Agreement, and wherever Ações do Rio Doce
has an obligation to notify the Affected Party
pursuant to this Agreement, such notices shall be
in whatever form Ações do Rio Doce deems to be
appropriate. This may include (but is not limited
to) electronic or verbal communication, and may
be provided on both a generalised or
individualised basis. Ações do Rio Doce will
endeavour to provide its notices under this
Agreement in writing (which includes email and
direct messaging) to the Affected Party
individually. It is the responsibility of the Affected
Party to provide Ações do Rio Doce with its contact
details and to inform Ações do Rio Doce of any
changes as soon as possible.
18.3 Any notice under this Agreement to the other
Party may be delivered at the contact details of
the receiving Party specified in the heading of this
Agreement or as may be notified in writing by the
receiving Party to the other Party from time to
time.

19.ASSINATURAS ELETRÔNICAS
19.1 As Partes concordam que as assinaturas
eletrônicas, inclusive aquelas facilitadas pela
CongaSign ou qualquer outra plataforma de
assinatura eletrônica, serão consideradas
válidas e terão a mesma força e efeito que as
assinaturas manuscritas. Não obstante
qualquer lei em contrário, e considerando o
artigo 10 §2º da Medida Provisória 2.200-2
2.200-2/2001, bem como o artigo 107 do
Código Civil Brasileiro, qualquer documento ou
contrato que exija uma assinatura poderá ser
executado eletronicamente, utilizando a
plataforma de assinatura eletrônica da
CongaSign ou qualquer outra plataforma de
assinatura eletrônica. As Partes reconhecem
que as assinaturas eletrônicas são um método
válido e legalmente vinculante de execução de
contratos. As Partes renunciam expressamente
a qualquer contestação ou objeção à validade
ou aplicabilidade dos contratos firmados por
meio da CongaSign ou de qualquer outra
plataforma de assinatura eletrônica, inclusive
em relação a este Contrato.

20.DISPOSIÇÕES DIVERSAS
20.1 Se qualquer (sub)parágrafo, (parte de
uma) Cláusula ou parte deste Contrato for nulo,
anulado, invalidado, rescindido, dissolvido ou
de outra forma considerado inexequível por
qualquer corte, tribunal ou outro órgão
decisório de jurisdição competente, o restante
deste Contrato permanecerá em pleno vigor e
efeito, com exceção dos (sub)parágrafos,
(partes das) Cláusulas ou parte deste Contrato
que devem ser considerados como
indissoluvelmente conectados com a Cláusula
ou parte deste Contrato nula, anulada,
cancelada ou inexequível. As Partes envidarão
esforços para substituir qualquer Cláusula ou
parte do presente Contrato nula, anulada, ou
inexequível por uma Cláusula ou Cláusulas
válidas que reflita ou reflitam ao máximo a
intenção original das Partes.
19. ELECTRONIC SIGNATURES
19.1 The Parties agree that electronic signatures,
including those facilitated by CongaSign or any
other electronic signature platform, shall be
deemed to be valid and have the same force and
effect as handwritten signatures.
Notwithstanding any law to the contrary, and
considering article 10 §2 of Provisional Measure
2.200-2 2.200-2/2001 as well as Article 107 of the
Brazilian Civil Code, any document or agreement
requiring a signature may be executed
electronically, utilising the CongaSign electronic
signature platform or any other electronic
signature platform. The Parties acknowledge that
electronic signatures are a valid and legally binding
method of executing agreements. The Parties
expressly waive any challenge or objection to the
validity or enforceability of agreements executed
through CongaSign or any other electronic
signature platform, including in relation to this
Agreement.
20. MISCELLANEOUS
20.1 If any (sub)paragraph, (part of a) Clause or
part of this Agreement is annulled, nullified,
voided, rescinded, terminated or otherwise held
unenforceable by any court, tribunal or other
decision-making body of competent jurisdiction,
the remainder of this Agreement shall remain in
full force and effect with the exception of the
(sub)paragraphs, (parts of the) Clauses or part of
this Agreement which must be deemed to be
indissolubly connected with the annulled,
nullified, voided or unenforceable Clause or part
of this Agreement. The Parties shall endeavour to
replace any annulled, nullified, voided or
unenforceable Clause or part of this Agreement
with a valid Clause or Clauses which reflects or
reflect the Parties' original intent to the greatest
possible extent.

20.2 As Partes concordam que qualquer
comunicação feita por escrito, incluindo
comunicações feitas por meio do e-mail ou do
número de telefone celular indicado na parte
inicial deste Contrato, será uma manifestação
completa de sua vontade.
20.3 Este Contrato poderá ser alterado
exclusivamente por escrito, de acordo com um
documento assinado por ambas as Partes, ou
por uma notificação por escrito assinada (o que
inclui e-mail e mensagens diretas) da Ações do
Rio Doce à Parte afetada sobre uma proposta
de alteração à qual a Parte afetada não tenha
se oposto no prazo de 30 (trinta) dias após o
recebimento da notificação da Ações do Rio
Doce propondo a alteração.
20.4 Os termos deste Contrato constituem a
totalidade dos termos acordados entre as
Partes com relação ao Contrato e as Partes não
se baseiam e não estão vinculadas a quaisquer
outros termos ou declarações com relação ao
Contrato.
20.5 Este Contrato, e todas as informações,
declarações e garantias aqui contidas, são feitas
exclusivamente para o benefício das Partes.
Com a única exceção dos Representantes da
Ações do Rio Doce de acordo com a Cláusula 15,
nenhuma pessoa ou entidade, além das Partes
e seus respectivos sucessores e cessionários,
deverá ser beneficiária ou confiar em qualquer
disposição deste Contrato. Especificamente, é
intenção expressa das Partes que, na medida
máxima permitida por lei, nenhum terceiro
tenha quaisquer direitos (incluindo quaisquer
direitos de confiança, execução, reembolso,
indenização ou outros) decorrentes de ou
relacionados a este Contrato ou aos assuntos
aqui contemplados.
20.6 Este Contrato será elaborado nos idiomas
inglês e português. No caso de qualquer
conflito de conteúdo ou interpretação, a versão
em inglês prevalecerá.
21.LEI APLICÁVEL
21.1 Este Contrato e todas as questões
decorrentes ou relacionadas a este Contrato,
incluindo o Mandato Exclusivo, e quaisquer
obrigações não contratuais serão regidos e
20.2 The Parties agree that any communication
made in writing, including communications made
through the e-mail or cell phone number indicated
in the initial part of this Agreement, shall be a full
manifestation of their will.
20.3 This Agreement can exclusively be amended
in writing pursuant to a document signed by both
Parties, or by a signed written notice (which
includes e-mail and direct messaging) from Ações
do Rio Doce to the Affected Party of a proposed
amendment to which the Affected Party has not
objected within thirty (30) days after receipt of
Ações do Rio Doce's notice proposing the
amendment.
20.4 The terms of this Agreement constitute the
totality of the terms agreed upon between the
Parties in relation to the Agreement and the
Parties do not rely on and are not bound by any
other terms or representations in relation to the
Agreement.
20.5 This Agreement, and all information,
representations, and warranties contained herein,
is made solely for the benefit of the Parties. With
the sole exception of the Representatives of Ações
do Rio Doce pursuant to Clause 15, no person or
entity, other than the Parties and their respective
successors and assignees, is intended to be a
beneficiary of or to rely on any provision of this
Agreement. Specifically, it is the Parties' express
intent that, to the maximum extent permitted by
law, no third party shall have any rights (including
any rights of reliance, enforcement,
reimbursement, indemnity, or otherwise) arising
out of or in connection with this Agreement or the
matters contemplated herein.
20.6 This Agreement shall be prepared in English
and in Portuguese. In the event of any conflict of
content or interpretation, the English language
version shall prevail.
21. GOVERNING LAW
21.1 This Agreement and all matters arising out of
or relating to this Agreement, including the
Exclusive Mandate and any non-contractual
obligations shall be governed by and construed in

ter invocado a Cláusula 22.1.

Por meio deste documento, confirmo que,
antes de assinar este Contrato, analisei
cuidadosamente cada cláusula deste Contrato e
tive acesso a qualquer consultoria jurídica
necessária para entender as implicações legais
e práticas do Contrato. Em particular (mas não
limitado a), confirmo expressamente o
seguinte:
• Forneço um Mandato Exclusivo à Ações
do Rio Doce para prosseguir com a Ação
em meu nome (Cláusula 3);
• Como resultado, não poderei mais
apresentar ou resolver esta Ação por mim
mesmo, somente a Ações do Rio Doce
poderá fazer isso por mim (Cláusula 9);
• A Ações do Rio Doce envidará seus
melhores esforços para representar meus
interesses e prosseguir com a Ação, e
exercerá seu poder discricionário único e
absoluto ao fazê-lo (Cláusula 6);
• Caso a Ação seja bem-sucedida, a Ações
do Rio Doce deduzirá 30% do valor
recuperado como Contraprestação
(Cláusula 7);
• O Contrato somente poderá ser
rescindido em determinadas
circunstâncias específicas (Cláusula 16);
22.COMPETENT COURT
22.1 All disputes arising out of or in connection
with this Agreement, the termination thereof and
or any related non-contractual obligations, shall
be submitted exclusively to the jurisdiction of the
competent court of Amsterdam, the Netherlands.
22.2 However, in deviation of Clause 22.1 the
Affected Party may choose another competent
court where the dispute should be submitted,
provided that this choice is communicated in
writing to Ações do Rio Doce within one (1) month
after Ações do Rio Doce has invoked Clause 22.1.
I hereby confirm that, prior to signing this
Agreement, I have carefully reviewed each clause
of this Agreement and have had access to any legal
advice necessary to understand the legal and
practical implications of the Agreement. In
particular (but not limited to), I expressly confirm
the following:
• I provide an exclusive mandate to Ações do
Rio Doce to Pursue the Claim on my behalf
(Clause 3);
• As a result, I will no longer be able to bring
or settle this Claim myself, only Ações do Rio
Doce can do this for me (Clause 9);
• Ações do Rio Doce will use its best
endeavours to represent my interests and
Pursue the Claim, and exercises sole and
absolute discretion in doing so (Clause 6);
• In the event the Claim is successful, Ações do
Rio Doce will deduct 30% from the amount
recovered as Consideration (Clause 7);
• The Agreement can only be terminated in
certain specific circumstances (Clause 16);
• In certain cases, when the Agreement
terminates, Ações do Rio Doce will still be
entitled to 30% of any compensation I
receive (Clause 16.8 and Clause 8.6); and
• Electronic signatures shall be considered a
